Assess a GPU cloud provider as both critical infrastructure and a leveraged counterparty. Price, benchmark scores and an uptime promise cannot tell you whether the provider will deliver the reserved GPUs, remain solvent through your contract, or return your data and prepayments after a default. Underwrite three separate questions: is the provider financially resilient, is the promised capacity real and controllable, and does the contract preserve continuity if another entity, lender or landlord fails?
Before signing, map every legal entity, obtain reliable financial and liquidity evidence, verify the specific hardware and facility, stress-test adverse conditions through the full term, and negotiate reporting, escrow, transition and lender-protection rights. No universal “safe” runway or leverage ratio exists; your acceptance limits should reflect workload criticality, migration lead time and money exposed.

What financing and counterparty risks matter in a GPU cloud contract?
Financing risk is the possibility that the provider cannot fund equipment, power, staffing, maintenance or debt service. Counterparty risk is the possibility that the legal entity promising service fails to perform, enters insolvency, loses access to assets or becomes unable to return your data and money. They overlap, but they are not the same test.
- Financial resilience: Can the relevant entity fund operations and maturities when utilization falls, customers pay late, power costs rise or refinancing is delayed?
- Delivered capacity: Are the exact GPUs, networking, power, cooling and site capacity installed, commissioned and reserved for you, rather than merely announced?
- Contract enforceability: Can you obtain information, credits, refunds, data exports, transition help or access to equipment when the provider or an affiliated asset owner defaults?
- Replacement economics: How long and how much would it take to move your workloads, and how much prepaid cash or unrecoverable engineering effort is at risk?
iTechGuides Team wrote in October 2026 that an AI cloud provider should be underwritten “as critical infrastructure, not as a simple software subscription.” That framing is important: a service-level agreement does not by itself protect you from an insolvent or asset-light supplier.

How do I map the legal and insolvency perimeter?
Start with an entity map, not the brand name on a sales proposal. The company signing your order may not own the GPUs, hold the data-center lease, buy electricity, employ the operations team or receive your deposit.
List every relevant entity
Record the contracting entity’s legal name, registration jurisdiction, parent, subsidiaries, beneficial owners, governing law, court venue and likely insolvency regimes. Identify separately:
Quick wins for a faster PC:
Repair Windows errors before they cause bigger problemsFix Now →Fix the driver behind crashes, sound loss and screen glitchesFind Drivers →- the entity that owns, leases or finances each GPU cluster;
- the entity controlling the data-center or colocation agreement;
- the power, network and maintenance contracting parties;
- the entity receiving prepayments and booking revenue;
- the entity responsible for service credits, data return and migration assistance; and
- each lender, equipment lessor, landlord or secured party with rights over the assets.
A parent’s cash, guarantee or public valuation does not automatically support the subsidiary that invoices you. Obtain an executed parent guarantee or another direct, enforceable credit support instrument if you are relying on group strength. Confirm the guarantor’s jurisdiction, limitations, financial covenants and whether your claim ranks behind secured lenders.
Ask who can interrupt access
Determine whether a lender can repossess GPUs, whether a landlord can terminate the facility lease, whether a colocation operator can cut power or block staff, and whether a network provider can suspend connectivity after a different affiliate defaults. Request non-disturbance or step-in agreements from the relevant equipment owner, landlord or colocation operator where the workload is critical.
Which financial records should I request?
Request evidence that lets you reconcile the provider’s promises to the entity actually bearing the costs and liabilities. Audited statements are strongest; CPA-reviewed statements are a reasonable alternative for a private company when an audit is unavailable. Management-only figures are weaker evidence and should lead to tighter contractual protections, shorter commitments or additional collateral.
| Evidence | What it tells you | Questions to ask |
|---|---|---|
| Two latest fiscal years of audited statements | Revenue quality, cash generation, debt, leases, losses and related-party exposure | Which entity was audited? Are there qualifications, going-concern language or material subsequent events? |
| Latest interim accounts and monthly management accounts | Current liquidity and whether conditions have deteriorated since year-end | How recent are they, and are figures prepared consistently with the audited accounts? |
| Monthly cash-flow forecast through the contract term | Timing of customer receipts, payroll, power, capex, debt service and minimum cash | Which assumptions change under lower utilization or delayed deployment? |
| Cash by entity and currency | What is unrestricted and legally available to the operating entity | How much is restricted, pledged, trapped in another jurisdiction or needed for customer refunds? |
| Debt and lease schedules | Maturities, interest rates, collateral and refinancing dependence | Which facilities mature during your term? What assets secure them? |
| Covenant certificates, waivers and defaults | Whether lenders already see financial stress | Have tests been breached, waived or reset? Are additional draws conditional? |
| Lien and secured-interest searches | Who can seize or control GPUs, servers, receivables or deposits | Can a secured party take possession without honoring your service arrangement? |
| Committed GPU and facility capex schedule | Whether expansion is funded, ordered and deliverable | Is financing executed, or merely announced? What is the delivery and acceptance date? |
| Insurance, litigation and concentration schedules | Operational loss protection and dependence on a few counterparties | Are limits, exclusions and named insureds adequate for your exposure? |
Reconcile every sales-deck number to the reporting entity’s accounts. Separate executed revenue from usage forecasts, refundable or segregated deposits from general working capital, and signed financing from announced fundraising. A large backlog can coexist with refinancing risk, weak collections or a single customer representing most contracted cash flow.

How should I stress-test solvency over the full contract?
Build a downside model covering at least six months of adverse conditions and extend it through the entire contract term. The purpose is not to predict a precise failure date; it is to identify the conditions under which delivery, maintenance or data access would become vulnerable.
Model the required scenarios
- Utilization materially below the provider’s plan.
- A major customer paying late or defaulting.
- Higher electricity, cooling or network costs.
- Delayed deployment, permitting or interconnection.
- GPU price declines, rapid obsolescence or expensive replacement.
- Refinancing that is delayed, unavailable or more expensive than assumed.
For each case, calculate months of operating expense and debt service covered by unrestricted cash plus legally available committed facilities. Identify spending that can be deferred and the maintenance, staffing or expansion commitments that would be cut first. Distinguish cash that is available to the service entity from cash held by a parent, restricted by a lender or reserved for another project.
Set an exposure-specific acceptance gate
There is no universal safe runway, leverage ratio or liquidity multiple for GPU infrastructure. A noncritical batch workload with a short migration path can tolerate less credit support than a production model-serving system that would take months to reproduce. Set a minimum liquidity and credit-support gate using:
- the business and safety impact of an outage;
- realistic migration engineering time and alternative-capacity lead time;
- your prepaid balance and unrecoverable setup costs;
- the share of your workload tied to one GPU generation or site; and
- the time needed to export data, checkpoints, keys, logs and configuration.
Require the provider to notify you promptly of missed debt payments, covenant breaches, financing defaults, restructuring or insolvency filings, loss of critical power or facility capacity, and inability to supply reserved GPU hours. These notices should trigger a defined review, cure period or termination right rather than arrive only after service has stopped.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Clear out junk files and repair common Windows errors3Scan for outdated or missing drivers - takes under a minuteHow can I verify that the promised GPU capacity actually exists?
Treat aggregate fleet counts, press releases, sales decks and uncommitted pipeline estimates as forecasts until documentary evidence proves delivery. iTechGuides Team put it plainly: “A press release, sales deck or uncommitted pipeline estimate is not delivered capacity.”
Request an asset-level inventory
For the cluster supporting your order, request the GPU model and generation, quantity, serial or asset identifier, physical location, ownership or lease status, operational state, customer reservation and commissioning date. Match that list to purchase orders, delivery records, installation and acceptance evidence, maintenance and spares plans, power allocation, cooling design and network topology.

Confirm whether “reserved” means physically installed and blocked for you, contractually committed but not yet delivered, or merely expected from a supplier. Require an objective usable-GPU-hour definition and a process for measuring it. Ask how replacement units are sourced if a card, server, switch or power component fails.
Test whether the facility design is plausible
| Contextual figure | How to use it |
|---|---|
| GPUs represent about 77% of a cluster’s bill of materials (AM Compute, 2026) | Check whether the stated capital budget and asset records are consistent with the claimed fleet. |
| GPU racks draw roughly 40–80 kW (AM Compute, 2026) | Compare the promised rack count with contracted power, cooling and backup capacity. |
| 67% of existing sites cannot support modern GPU densities (Uptime Institute, 2026, as reported by AM Compute) | Demand site-specific evidence rather than assuming any existing data center can host the configuration. |
These figures are contextual, not universal acceptance thresholds. They help you challenge an implausible design; they do not replace a site inspection, engineering review or contractual delivery test.
Check lien, lease and access risk
Map every lien and secured party against the inventory. Ask whether a lender, lessor, landlord or colocation operator could repossess equipment, remove it from the site, cut power or block your personnel after another entity defaults. A non-disturbance agreement should preserve your access, data retrieval and, where feasible, continued operation while you transition.
How do customer commitments and concentration affect provider risk?
Review executed master-service agreements and order forms, not letters of intent. A provider with strong headline bookings can still fail if customers can cancel freely, pay slowly or represent an excessive share of cash flow.
Analyze the revenue quality
- Identify take-or-pay obligations, minimum usage, deposits and refund rights.
- Review payment history, receivables aging and customer credit quality.
- Calculate the largest customers’ shares of revenue and contracted cash flow.
- Check termination, suspension and repricing rights.
- Determine whether a cluster can be redeployed if a major customer leaves or is specialized to one model, topology, region or tenant.
Separate signed, enforceable commitments from forecasts. Test whether customer prepayments are segregated or can be spent on unrelated expansion. Ask what happens if a customer disputes invoices: does the provider still have enough liquidity to operate your reserved cluster?
Use credit-support examples carefully
AM Compute reports that an IREN contract with Microsoft requires 20% of each tranche up front. It also cites a SharonAI/ESDS contract valued at $1.25 billion with $140 million in letters of credit. These examples show how large infrastructure commitments may use deposits or letters of credit; they are not universal benchmarks or proof that a smaller provider has comparable protection.

What contract protections preserve continuity after a default?
Put operational remedies and financial protections in the contract before deployment. An uptime credit alone may leave you as an unsecured creditor with no practical way to recover data or prepayments.
Information and early-warning rights
Require recurring reporting proportionate to your exposure on liquidity, debt, covenants, committed capex, installed and reserved capacity, facility and power status, insurance and customer concentration. Include audit rights, reasonable access to supporting records and prompt notice of the adverse events listed in your stress test.
Prepayment and credit support
Protect deposits with an escrow arrangement, refund obligation, segregated account, letter of credit, parent guarantee or priority claim where commercially possible. Define the amount, draw conditions, expiry and replenishment mechanics. Confirm whether the instrument is issued by a solvent, independent entity and whether it remains enforceable across the relevant insolvency jurisdictions.
Data, configuration and transition
Require regular export capability for data, checkpoints, images, configuration, logs, documentation and encryption keys. Specify formats, retrieval windows, restoration tests and engineering hours for migration. State who pays egress and transfer costs after a provider default, and require assistance from personnel familiar with your environment.

Termination, SLA and step-in terms
Define objective measurements for uptime and usable GPU hours, exclusions, credits and cure periods. Add termination rights for uncured financial default, repeated deployment failure, loss of required capacity and insolvency or restructuring. Seek direct-payment, step-in or non-disturbance rights from the relevant equipment owner, lender, landlord or colocation operator so that a third-party default does not automatically strand your workload.

- Define the perimeter. Build the entity, ownership, lease, power, network and insolvency map. Record governing law, venue and the party responsible for each promise.
- Build the finance file. Collect audited or CPA-reviewed accounts, current interim figures, monthly forecasts, cash by entity and currency, debt and lease schedules, covenant certificates, liens, capex, insurance, litigation and concentration data.
- Stress-test the counterparty. Model low utilization, customer default, higher power costs, deployment delay, obsolescence and refinancing failure through the contract term. Set a liquidity and credit-support gate tied to your workload and migration exposure.
- Verify financed capacity. Reconcile asset-level GPU records to purchase, delivery, installation, acceptance, power, cooling and network evidence. Confirm reservations, commissioning and the rights of secured parties.
- Evaluate offtake. Analyze executed MSAs, take-or-pay provisions, deposits, payment history, receivables aging, customer credit and redeployment options.
- Negotiate continuity and exit. Add reporting, early-warning notices, escrow or credit support, export and restoration tests, transition assistance, objective SLA remedies, termination rights and non-disturbance or step-in protections.
Document unresolved items as explicit conditions to signing or deployment. Do not let a favorable price silently substitute for missing financial evidence or unverified capacity.
How should I compare GPU cloud providers beyond price and uptime?
Use a weighted scorecard that keeps financial resilience, physical delivery, legal protection and replacement economics separate. A provider should not receive a strong overall score merely because it is cheap or reports high aggregate availability.
| Dimension | Measures to score | Evidence to retain |
|---|---|---|
| Financial resilience | Unrestricted liquidity after deposits and committed spending; operating cash conversion; debt maturities; covenant headroom; refinancing dependence; customer and supplier concentration | Accounts, forecasts, schedules, certificates and concentration analysis |
| Verified capacity | Installed and reserved GPUs; ownership and lien status; power, cooling, networking and site redundancy; commissioning and delivery history | Asset register, serials, purchase and delivery records, acceptance tests and facility evidence |
| Contract enforceability | Reporting and audit rights; guarantees and letters of credit; objective SLA remedies; escrow, export, transition, termination and non-disturbance terms | Signed agreement, guarantees, credit instruments and third-party consents |
| Replacement economics | Migration engineering effort; egress and transfer cost; alternative-capacity lead time; prepaid cash and workload exposed | Migration plan, cost estimate, inventory portability and recovery test results |
Score missing evidence as a risk, not as a neutral value. “Not stated” capacity, liquidity or lien information should reduce confidence until the provider supplies verifiable documentation.
What should I do if the provider refuses information or protections?
Refusal to provide audited or reviewed accounts, entity details, asset evidence or basic continuity terms is itself a counterparty signal. You can reduce exposure by shortening the initial term, moving from a large prepayment to monthly payment, limiting production dependence, requiring an escrow or letter of credit, and maintaining a tested secondary provider.
Set a written go/no-go condition for each material gap. If the provider cannot identify the entity that owns the GPUs or explain which lender can repossess them, do not assume the risk disappears because the service is currently operating. Escalate unresolved legal, financial and engineering issues to counsel, finance and infrastructure specialists before signing.
Frequently Asked Questions
Can an uptime SLA protect me if a GPU cloud provider goes bankrupt?
Usually not by itself. SLA credits are generally a claim against the contracting entity and may have little value if operations stop; continuity depends on data-export rights, escrow or credit support, and access arrangements with asset owners and lenders.
What evidence should prove that my reserved GPUs are really allocated?
Ask for an asset-level schedule showing model, quantity, serial or asset identifier, location, operational state and your reservation, then match it to delivery, installation and acceptance records. The contract should define how reserved and usable GPU hours are measured and what happens when a unit fails.
Should I use a parent guarantee instead of a letter of credit?
They provide different protection. A parent guarantee depends on the guarantor’s solvency and the guarantee’s enforcement terms, while a letter of credit can provide a direct draw right subject to its issuer, wording and expiry; your counsel should test both against the applicable jurisdictions and insolvency rules.
How can I limit risk when I cannot avoid a single GPU provider?
Keep portable checkpoints, images, keys, logs and documentation outside the provider, test restoration, and maintain a current migration runbook. Tie expansion and prepayment to verified commissioning milestones so your maximum unrecovered exposure grows only as usable capacity is delivered.
