To judge whether a fundraising helps or harms existing shareholders, separate two questions: How much of the company will each existing holder own after the transaction? and What might that ownership be worth? A new issue can reduce an investor’s percentage stake while increasing the company’s resources and potential value. Conversely, a financing can look attractive at a high valuation yet leave existing holders with weaker voting power, senior claims ahead of them, restrictive terms or an enlarged share count that is difficult to support with future earnings.
The reliable approach is to inspect the security being issued, the fully diluted share count, price and conversion terms, investor rights, use of proceeds, participation opportunities, resale restrictions and the legal offering pathway. This US-focused guide shows how to do that without treating a headline fundraising amount as a verdict.

Start with the distinction that matters: percentage dilution is not the same as value loss
When a company issues additional shares or securities that can become shares, an existing holder usually owns a smaller percentage of the company unless that holder buys enough of the new issue to maintain the stake. That is ownership dilution. It affects a holder’s share of votes, dividends, future profits and sometimes board influence.

Economic value is a separate question. If the company raises capital at a price that reflects the value of the business and then uses the money productively, the value of the smaller percentage could rise. If the company issues securities cheaply, grants preferential rights to the new investors or spends the proceeds without improving its prospects, the existing holder can lose economic value as well as control. The issue price, the company’s prospects, the security’s rights and execution of the plan all matter.

There is no regulator-supplied figure for how much a typical fundraising dilutes shareholders or how often a financing increases shareholder value. Treat every transaction as a document-and-terms exercise rather than applying an assumed average.
1. Identify exactly what is being raised and who is selling
Begin by describing the transaction in one sentence. Do not rely on labels such as “Series A,” “growth round” or “private round.” Determine whether the issuer is:
- selling newly issued common shares;
- selling preferred shares or another senior equity class;
- borrowing through notes or other debt;
- issuing convertible debt or other securities that may become common shares;
- granting warrants or options; or
- facilitating sales by existing shareholders.
A financing can combine several of these. A primary issue sends capital to the company. A secondary sale sends money to selling shareholders and may provide liquidity without raising equivalent new capital for the issuer. The Securities and Exchange Commission’s later-stage financing guidance frames the key question directly: “Which existing owners will have their interests diluted?” Ask it for every security that could increase the company’s share count, not just for the shares sold on closing day.

Separate primary and secondary proceeds
Read the offering document or filing to determine how much money the company receives and how much goes to existing holders. A large announced round can overstate the resources available for growth if a significant portion is a secondary sale. Secondary transactions can still affect price discovery, ownership concentration and liquidity, but they do not fund the company’s operations in the same way as a primary issue.
2. Reconstruct the current and post-transaction share count
Percentage ownership cannot be calculated from the fundraising amount alone. You need the current share count, the number of securities issued and the securities that could later convert into or be exercised for common shares.
Use a fully diluted view
Request or calculate these figures:
- Common shares outstanding before the transaction.
- Preferred shares outstanding and the number of common shares each could receive on conversion.
- Convertible notes, including their conversion price, discount, valuation cap and accrued amount where applicable.
- Options and warrants, including unexercised awards and their exercise prices.
- The proposed new shares and any warrants, options or conversion rights issued with them.
- Any expansion of the employee equity plan.
“Fully diluted” means counting the shares that would exist if the relevant options, warrants and convertible securities were exercised or converted under the stated assumptions. An offering document cited by the SEC illustrates why this matters: dilution can come from the stock sale itself, exercised options and conversions, not merely from the advertised number of new shares.

Calculate the holder’s percentage only after stating assumptions
The basic calculation is:
Post-transaction ownership percentage = the holder’s post-transaction shares ÷ the post-transaction fully diluted shares.
Recommended Free Tools
For a simple primary common-stock issue, the denominator is the pre-issue shares plus the newly issued shares. In a real deal, the denominator may also include conversions, option-pool changes and warrants. If a conversion price, option treatment or pool increase is unknown, present a range or explain that a definitive percentage cannot yet be calculated. Do not present an “exact” dilution number based only on the headline round size.
Illustrative arithmetic
Suppose, solely as an illustration, an investor owns 1,000 shares in a company with 10,000 shares outstanding. If the company issues 2,500 new shares and no other securities convert, the investor still owns 1,000 shares but now holds 8% rather than 10%. That arithmetic describes ownership, not whether the investment’s dollar value rose or fell. A valuation, the issue price and the company’s performance determine the economic result.
3. Compare price, valuation and the rights attached to each security
Two financings with the same dollar amount can have very different effects because the securities may carry different prices and rights. Review the term sheet, purchase agreement, charter, amended charter and any investor-rights agreements.
Price and conversion mechanics
- Record the price per share for each class.
- For convertible debt or preferred securities, identify the conversion price, discount, valuation cap, mandatory-conversion triggers and optional-conversion rights.
- Check whether interest, dividends or other amounts accrue and convert into additional shares.
- Identify warrants or options issued alongside the financing and their exercise terms.
A lower issue price can transfer value to new investors even if the stated post-money valuation sounds high. A conversion feature can create substantially more common shares later than the closing announcement suggests.
Voting and governance
Compare voting rights per share, votes on a separate class basis, board-appointment rights, observer rights, vetoes and protective provisions. A holder can suffer practical control dilution even when the economic percentage appears modest if a new class receives enhanced votes or the right to appoint directors.

Seniority and preferences
Determine whether the new security ranks ahead of existing shares in a liquidation or sale, receives a liquidation preference, accumulates dividends or has participation rights after receiving its preference. These terms affect what remains for common shareholders in a downside scenario and can make two securities with identical ownership percentages economically unequal.
Anti-dilution and other investor protections
Read existing agreements for full-ratchet or weighted-average anti-dilution provisions, pre-emptive or pro-rata rights, pay-to-play requirements, information rights and registration or resale rights. The SEC asks: “Do you have agreements with current investors that will affect future terms, such as anti-dilution provisions?” An existing holder’s contractual protection may change the number or price of shares issued in a later down round.
4. Test whether the use of proceeds can justify the dilution
Find the issuer’s stated use of proceeds in its offering document, private-placement memorandum, registration statement, Form 1-A, crowdfunding materials or periodic filing, depending on the pathway. Sort the planned spending into specific categories such as product development, hiring, manufacturing, debt repayment, acquisitions, working capital or selling expenses.

- What measurable milestone is the capital intended to reach?
- How long will the money last under the company’s stated burn rate?
- What assumptions must be true for the plan to work?
- Could the company need another financing before reaching cash-flow breakeven?
- Would another round create additional dilution or trigger existing anti-dilution rights?
Federal materials establish that offering terms can have long-term effects, but they do not establish the merits of any particular issuer’s plan. For a company-specific assessment, tie every statement about expected growth or cash needs to the issuer’s current filings and clearly distinguish management’s projections from verified results.
5. Determine whether existing shareholders can participate
Participation rights can let an existing holder preserve a percentage stake, but they are not universal. Check the charter, investor-rights agreement, subscription documents and the financing notice for:
- Pre-emptive or pro-rata purchase rights.
- Eligibility thresholds, notice periods and allocation limits.
- Whether the right covers only new common shares or also preferred, convertible and warrant securities.
- Whether the holder must make representations, qualify as an accredited investor or meet other conditions.
- Whether the right is waived for a particular transaction.
If no participation right exists, the holder may be diluted automatically. If a right does exist, exercising it requires capital and may increase exposure to the same business risks. A right to buy is not evidence that the financing is attractive.

6. Check liquidity, resale restrictions and information quality
Investor.gov states: “Unlike an investment purchased on a stock exchange, an investment in a private placement is highly illiquid.” Private-placement investors may face restricted securities, limited disclosure and difficulty finding a buyer; they may need to hold indefinitely. Review the legend on the security, transfer restrictions, lock-ups, company-consent requirements, contractual registration rights and any applicable resale exemption before assuming that a quoted valuation can be converted into cash.
Also compare the information available to existing holders with the information given to new investors. A registered offering generally produces a public disclosure record, while an exempt offering can provide less standardized information. Limited disclosure increases the importance of obtaining the complete capitalization table, risk factors, financial statements, material contracts and use-of-proceeds description.
7. Identify the US offering pathway
Under US federal securities law, an offering generally must be registered or qualify for an exemption. Do not infer the pathway from the transaction’s marketing language. Confirm it in issuer materials and filings.
| Pathway | Regulatory limit or filing point described by the SEC | What it means for assessment |
|---|---|---|
| Rule 504 | Up to $10 million in a rolling 12-month period | Check the exemption’s conditions, state-law requirements and resale restrictions. |
| Regulation Crowdfunding | Up to $5 million in a rolling 12-month period | Review the required intermediary process, investor limits and the information supplied to the public. |
| Regulation A, Tier 1 | Up to $20 million in a 12-month period | Review the offering circular and the applicable ongoing reporting and resale conditions. |
| Regulation A, Tier 2 | Up to $75 million in a 12-month period | Assess the offering circular, ongoing reports and any investment or resale limits that apply. |
| Rule 506(b) | Form D is generally due within 15 days after the first sale; up to 35 non-accredited investors may participate in a 90-calendar-day period, subject to additional requirements. | Confirm investor eligibility, disclosure obligations and transfer restrictions in the actual offering. |
The SEC’s Offering Pathways page was last reviewed or updated April 24, 2026, and its SmallBiz Essentials guidance was dated March 25, 2025. The thresholds and filing rules can change, so verify the current rule before relying on a limit. Under Regulation Crowdfunding, the SEC describes investment-limit formulas tied to annual income and net worth; do not reduce those formulas to a single universal personal limit.

The financing route affects who receives capital, how dilution is created, what disclosures are available and how shares trade. The SEC’s general comparison provides this framework:

| SPAC transaction | May combine SPAC proceeds with private financing. | Existing holders and sponsors can have separate selling or conversion arrangements. | Include sponsor securities, warrants, redemption effects and private-financing shares in the dilution analysis. | The SEC describes potentially high transaction costs and sponsor or private-financing dilution. |

9. Build a document checklist before reaching a conclusion
A disciplined review should collect the following documents and reconcile them against one another:
- The latest charter and any certificate of designation for preferred stock.
- Bylaws and shareholder or investor-rights agreements.
- The term sheet, purchase agreement, note instrument or warrant agreement.
- The fully diluted capitalization table immediately before and after the financing.
- Registration statements, offering circulars, Form D filings or crowdfunding disclosures, as applicable.
- Recent financial statements, management discussion and risk factors.
- The stated use of proceeds and current cash-burn information.
- Any lock-up, registration-rights, resale or transfer-restriction provisions.
Reconcile share counts across the documents. Differences can reflect different dates, conversion assumptions or treatment of the option pool; they should not be silently averaged.
10. Red flags that deserve a pause
- The announcement gives only a dollar amount and valuation, with no security type, share count or conversion terms.
- The post-money share count excludes options, warrants, convertible debt or a proposed employee-pool increase.
- New investors receive senior liquidation preferences, enhanced voting rights or anti-dilution protection that existing holders do not have.
- A large portion of the round is a secondary sale, while the announcement implies all proceeds fund operations.
- Use of proceeds is broad, lacks milestones or does not explain the company’s expected cash runway.
- Existing holders receive a short participation deadline or no clear explanation of eligibility and allocation.
- The securities are restricted, but the valuation discussion assumes immediate liquidity.
- The company relies on an informal exemption label without identifying the actual federal and state-law pathway.
None of these points proves that a financing is bad. Each indicates that the headline announcement is insufficient for an informed shareholder decision.
How to write the final assessment
After gathering the terms, state the result in four separate sentences:
- Ownership: explain the holder’s pre- and post-transaction percentage under the stated fully diluted assumptions.
- Economics: describe the issue price, seniority, preferences and the conditions under which the smaller stake could be worth more or less.
- Control and rights: identify changes to votes, board influence, participation rights and anti-dilution protection.
- Liquidity and uncertainty: state whether the securities can be resold, what disclosure is available and which facts remain unknown.
This format prevents a common error: calling every reduction in percentage ownership a loss, or treating a higher fundraising valuation as proof that existing shareholders benefited.
What this analysis cannot establish by itself
US federal guidance cannot determine a particular holder’s pre-emptive rights, voting rights, class protections, remedies or ability to participate without the issuer’s charter, bylaws, agreements, security documents and applicable state or foreign law. It also cannot establish whether management will execute its plan or whether the investment will appreciate. A company-specific conclusion requires the issuer’s current documents and filings, and the decision to buy, sell or participate remains a personal investment decision.
