Putting a security on a blockchain does not create a securities-law exemption. The token remains subject to the federal securities laws, and each offer, sale, resale, custody arrangement, and trading activity needs its own legal analysis. The practical sequence is to identify the underlying instrument and token design, classify the transaction, then test the available exemption and intermediary rules against investor eligibility, solicitation, disclosure, filing, transfer, and state-law requirements.
In a Jan. 28, 2026 staff statement, the U.S. Securities and Exchange Commission (SEC) described a tokenized security as a security represented by a crypto asset, with ownership recorded in whole or in part on one or more crypto networks. That format changes the recordkeeping or representation method; it does not remove registration requirements.

What the SEC means by a tokenized security
A tokenized security is still the underlying financial instrument for securities-law purposes. The blockchain record may be part of the ownership system, but the legal rights depend on the instrument, its offering documents, the issuer’s records, and the contractual structure connecting the token to those rights.
The SEC staff’s Jan. 28, 2026 statement uses this formulation: “A tokenized security is a financial instrument enumerated in the definition of ‘security’ under the federal securities laws that is formatted as or represented by a crypto asset, where the record of ownership is maintained in whole or in part on or through one or more crypto networks.” The statement reflects staff views and does not have the force of a Commission rule. Federal and state law still govern the parties and the transaction.

That means a token cannot be marketed as a way around registration. If an issuer is offering shares, notes, interests in a fund, or another security through tokens, the issuer must register the offer and sale or fit the transaction within an available exemption. A later transfer can raise a separate resale issue even when the original issuance was exempt.
Start with the token’s legal model
Identical-looking tokens can create different legal results. Before choosing an exemption, document what a holder actually owns, who is obligated to perform, how voting and information rights work, and how a transfer on the network changes the official securityholder record.
Issuer-sponsored tokenized securities
The issuer creates the token and uses it as the representation of its own security. The token’s terms should identify the security, the holder’s rights, transfer restrictions, record-date mechanics, and the relationship between the smart-contract ledger and the issuer’s master securityholder record. An issuer-sponsored token does not become freely tradable merely because transfers are technically possible.
Custodial tokenized security entitlements
A custodian holds the underlying security or security entitlement while issuing a token that represents an indirect interest. The token holder may have contractual rights against the custodian rather than direct rights against the issuer. Custody agreements, segregation, redemption, insolvency treatment, transfer-agent functions, and the process for reconciling the on-chain ledger with the custodian’s books are central to the analysis.
Linked securities
A linked security is issued by a third party and provides exposure to a referenced security without being an obligation of the referenced issuer. The holder’s rights are against the linked-security issuer. Marketing that implies ownership of the referenced stock can be misleading if the token instead carries only a contractual payment obligation.
Security-based swaps
A security-based swap generally gives synthetic exposure to a security or narrow group of securities without conveying the referenced security’s voting, information, or equity rights. If the crypto asset represents a security-based swap, the SEC staff statement says it generally cannot be offered or sold to a person who is not an eligible contract participant unless a Securities Act registration statement is effective and the transaction is effected on a national securities exchange. Transactions among eligible contract participants may use other permitted venues. This classification can therefore eliminate retail distribution even when the token is marketed as “stock-like.”

How the main SEC exemptions fit tokenized offerings
The exemption follows the transaction and the facts, not the use of blockchain technology. The table below summarizes the principal federal pathways described in SEC educational materials. A lawyer must still apply the detailed rule text to the issuer, investors, instrument, and jurisdictions.

Rule 506(b): private token sales without general solicitation
Rule 506(b) is often considered when an issuer wants a private placement and can build investor relationships without publicly advertising the token. The issuer may sell to unlimited accredited investors and to as many as 35 non-accredited investors who meet the rule’s sophistication standard during the stated period. Bringing non-accredited investors into the offering triggers prescribed disclosure obligations, and the issuer must address bad-actor disqualification.
A public website, unrestricted social-media campaign, or open token-sale announcement can undermine the no-general-solicitation condition. Access controls on a token portal are not enough if the offering was publicly promoted. Tokens issued under Rule 506(b) are restricted securities, so the smart contract and transfer process should prevent transfers that would create an unregistered distribution.
Rule 506(c): solicitation with accredited-investor verification
Rule 506(c) permits general solicitation, which can make it more practical to explain a tokenized offering publicly. Every purchaser must nevertheless be an accredited investor. The issuer also must take reasonable steps to verify that status; a checkbox or self-certification alone is not a verification program.
The offering remains private in the sense that the securities are restricted. A compliant token sale therefore needs identity and eligibility controls, records showing the verification method, and transfer restrictions that continue after issuance. Form D and state notice filings still matter, and state regulators retain anti-fraud authority.

Rule 504: a smaller offering with more state-law work
Rule 504 permits up to $10 million in a 12-month period, subject to issuer exclusions and bad-actor provisions. It can fit a smaller tokenized raise, but it does not provide broad federal preemption of state registration requirements. The issuer must examine each state’s qualification, notice, advertising, escrow, and investor-protection rules in addition to the federal conditions.
Resales are restricted except in limited circumstances. A token’s ability to move between wallets does not itself establish that a resale is permissible.
Regulation A: qualified public token offerings
Tier 1
Tier 1 allows an offering of up to $20 million. An eligible U.S. or Canadian issuer must qualify an offering statement on Form 1-A and provide the required financial statements and an exit report. Tier 1 does not preempt state registration, so state review can be required wherever the token is offered.
Tier 2
Tier 2 raises the federal cap to $75 million. Non-accredited investors face investment limits unless the security is listed, and the issuer must provide audited financial statements and ongoing annual, semiannual, current, and exit reports. Tier 2 preempts state registration and qualification, but states can still enforce their anti-fraud laws. A token platform must make the continuing reports accessible and ensure that trading controls do not contradict the offering statement.
Regulation Crowdfunding and retail-facing token sales
Regulation Crowdfunding, under Section 4(a)(6), permits up to $5 million in a 12-month period. The transaction must use a registered broker-dealer or funding portal. Non-accredited investors are subject to investment limits based on their income and net worth, and issuer exclusions apply.

The issuer files Form C and supplies the financial statements, progress reports, and annual reports required for the offering. Securities generally cannot be resold for 12 months, subject to the rule’s exceptions. A blockchain marketplace cannot shorten that period by treating a wallet transfer as a technical transaction rather than a securities resale.
Intrastate exemptions: narrow geographic boundaries
Section 3(a)(11) and Rules 147 and 147A are designed for offerings confined to one state. The issuer must satisfy the applicable in-state business test, and purchasers or offerees must meet the residency conditions. The securities must remain with in-state residents for the required period.
Geofencing a website is not a complete solution. The issuer needs procedures to determine investor location, handle secondary transfers, and prevent a purchaser from moving the token to an out-of-state buyer in violation of the exemption.
Form D and a practical compliance workflow
For Regulation D offerings, Form D is filed electronically through EDGAR no later than 15 calendar days after the first sale. The SEC says a late filing can have consequences, but the filing itself is not a condition to availability of Rules 504, 506(b), or 506(c). State notice filings and fees may have separate deadlines.
- Define the instrument. Identify the underlying security, issuer, holder rights, record-date and voting mechanics, and whether the token is issuer-sponsored, custodial, linked, or a security-based swap.
- Classify the activity. Decide whether the event is a primary offer, secondary resale, custody or entitlement transfer, venue operation, or liquidity provision. Different activities can trigger different registration and intermediary rules.
- Choose and test an exemption. Check solicitation, investor status, offering cap, disclosure, filing, bad-actor, and resale conditions. Document why the facts fit the selected rule.
- Map state and intermediary obligations. Analyze state securities laws, broker-dealer and dealer status, ATS or exchange status, custody, transfer-agent functions, and possible Investment Company Act consequences.
- Reconcile technology with legal records. Smart-contract allowlists, lockups, wallet screening, corporate actions, and transfer approvals must match the off-chain master securityholder record and the legal transfer mechanics.
- Obtain transaction-specific legal review. Securities counsel should review the exact instrument, offering documents, code controls, investor locations, custodial contracts, and planned venues before launch.
Why primary issuance and secondary trading are separate
An exemption for the initial offer does not automatically authorize a trading venue. A secondary market may involve an exchange or alternative trading system, a broker, a dealer, a custodian, a transfer agent, and liquidity providers. Each participant must analyze its own registration, exemption, and conduct obligations.

For a resale, examine Section 4(a)(1), Rule 144 safe-harbor conditions where relevant, the token’s contractual and smart-contract transfer restrictions, and the intermediary’s obligations. A holder may be unable to resell even when a platform can technically route a transaction.
The SEC’s temporary Innovation Exemption for certain venues
On Sept. 17, 2026, the SEC announced a temporary, conditional “Innovation Exemption” for qualifying Tokenized Securities Venues trading tokenized NMS stock. The relief is not a general authorization for all token markets. Conditions include limits on symbols and volume, rights and privileges equivalent to traditional stock, issuer notice and an opportunity to object when tokenization is unaffiliated, auditable public smart contracts, synchronized trading halts, and public operational disclosures.

Outbyte Driver Updater FREEFix the driver behind crashes, sound loss and screen glitchesFind Drivers →Outbyte PC Repair FREEClear out junk files and repair common Windows errorsFree Scan →The relief also covers certain liquidity providers from the dealer definition and is scheduled to expire five years after publication. SEC Chairman Paul S. Atkins said the exemption would allow qualifying venues to trade tokenized NMS stock in a permissioned environment while the Commission considers further action. A venue must confirm that it meets every condition; citing the exemption without doing so is not a compliance strategy.
Common mistakes that create exposure
- Calling the token a “utility” without analyzing rights. Economic exposure, repayment promises, dividends, voting rights, or pooled-investment features can make the asset a security regardless of its label.
- Treating the blockchain ledger as the entire legal record. If the issuer’s official register, custodian’s books, and smart contract disagree, ownership and corporate-action disputes can follow.
- Assuming a private-placement exemption permits open trading. Restricted securities, lockups, resale exemptions, and venue rules continue after issuance.
- Ignoring solicitation evidence. Public marketing can be inconsistent with Rule 506(b), while Rule 506(c) requires documented accredited-investor verification.
- Overlooking state requirements. Federal preemption differs by exemption and does not eliminate state anti-fraud jurisdiction, notice filings, or fees.
- Confusing synthetic exposure with stock ownership. Linked securities and security-based swaps may provide only a contractual payment right, not voting, information, or equity rights.
- Assuming a technical transfer is a legal transfer. Wallet-to-wallet movement may violate a lockup, resale restriction, investor-location condition, or custodial agreement.
What an issuer or platform should document
- The instrument’s legal terms and the token’s relationship to the underlying security.
- Investor identity, location, accreditation or sophistication evidence, and eligibility dates.
- All solicitation channels, offering materials, disclosures, filings, and state notices.
- Offering amounts measured against the applicable 12-month cap.
- Smart-contract restrictions, wallet approvals, lockups, corporate-action procedures, and emergency controls.
- Custody, reconciliation, insolvency, redemption, and recordkeeping arrangements.
- The legal status of every venue operator, broker, dealer, liquidity provider, and transfer agent involved.
- Resale analyses and the basis for allowing or rejecting each transfer.
Because the SEC tokenized-securities statement and exemption summaries are staff materials rather than binding rules, they should not be treated as a substitute for advice on a particular token, investor group, venue, or state. The decisive facts can include issuer consent, custody, transfer restrictions, investor location, and what the venue actually does.
