How Multifamily Mortgage Loans Differ From Commercial Property Loans

Short answer: a multifamily mortgage finances residential rental housing with multiple units, while “commercial property loan” is usually a broader category for debt secured by income-producing real estate. In bank-regulatory frameworks, multifamily lending can be one part of commercial real estate (CRE) lending, alongside properties such as offices, retail centers, industrial buildings and hotels. The labels can overlap; the practical differences come from the property, repayment source, borrower, lender and program rules.

Do not assume that every multifamily loan has a lower rate, longer term, less recourse or easier qualification than another commercial loan. Those features are negotiated or determined deal by deal. Compare the actual underwriting requirements and term sheet rather than relying on the category name.

What each term means

Multifamily mortgage loan

A multifamily mortgage is secured by residential rental property containing multiple dwelling units. The collateral might be an existing apartment building, a smaller rental property or a project being acquired, refinanced or improved. The defining feature is the property’s residential rental use, not a universal loan size, interest rate or repayment schedule.

Lenders evaluate the building’s rents and expenses, physical condition, local market, occupancy and value. They also assess the borrower or sponsoring entity, its experience and liquidity, the proposed equity contribution and the source of repayment. A lender may offer a portfolio mortgage, place the loan through an agency channel or use another program with its own eligibility rules.

Commercial property loan

“Commercial property loan” is an imprecise market phrase. It can refer to financing secured by almost any income-producing real estate, including multifamily housing, office, retail, industrial, self-storage, hotel or mixed-use property. In regulatory usage, commercial real estate is a wider lending category rather than a property type that excludes apartments.

The FDIC’s commercial real estate overview and related interagency guidance treat multifamily property as part of the broader CRE framework. A bank may therefore report an apartment-building mortgage within CRE even though the loan is commonly marketed as a multifamily mortgage.

Why the categories overlap

The key distinction is usually subtype versus category. Multifamily describes the real estate. CRE describes a broader class of exposures secured by income-producing real estate. A multifamily mortgage can consequently be both a multifamily loan and a CRE loan.

The FDIC-hosted interagency source defines the repayment focus this way: “A commercial real estate loan is any loan secured by real estate and for which the primary source of repayment is to be income produced by that real estate, whether through lease revenues or sale of the property.” This is a regulatory framing, not a promise that every lender uses the same product name or underwriting test.

Repayment can involve current rent, proceeds from a sale, refinancing or permanent financing. The exact treatment depends on the rule, examination context and loan structure. A lender can also consider guarantees, other borrower assets or outside operating income, but you should ask which source the lender expects to carry debt service.

Rate, term and recourse Set by the lender and program for the specific transaction. Set by the lender and program for the specific transaction; no category-wide rule controls them.

How lenders underwrite the two types

1. Property income and debt-service capacity

Start with the property’s operating performance. Lenders generally review a rent roll, leases, collections, vacancy, concessions, operating expenses, capital expenditures and the resulting net operating income (NOI). They then test whether NOI can support the proposed debt service under the lender’s coverage standard.

For a multifamily building, unit mix, turnover, regulated or restricted rents, utility arrangements and deferred maintenance can materially change cash flow. For an office, retail or industrial property, tenant concentration, lease expirations, renewal assumptions and business-use demand may matter more. These are underwriting differences caused by the asset, not automatic rules attached to the word “commercial.”

2. Value, loan-to-value and collateral quality

An appraisal or other valuation informs the lender’s view of market value and the loan-to-value (LTV) ratio. The lender may also consider comparable sales, capitalization rates, replacement cost, physical inspections and environmental or legal issues. A lower LTV can reduce loss exposure, but the maximum acceptable ratio is program-specific.

Ask how the lender will treat renovations, lease-up, major repairs, specialized improvements or a planned sale. A value based on stabilized operations may require a feasibility analysis rather than simply using today’s income. The FDIC examination material on transactional underwriting analysis emphasizes matching the analysis to the credit’s risks and repayment plan.

3. Borrower, sponsor and guarantor strength

Commercial lenders commonly examine the borrowing entity’s financial statements, liquidity, contingent obligations, experience with comparable properties and ability to fund overruns. They may require personal or corporate guarantees, completion guarantees or other credit support. The relevant question is not whether a loan is labeled multifamily or commercial; it is what support the specific lender requires.

4. Equity and sources and uses

Prepare a complete sources-and-uses schedule showing purchase price or refinance payoff, closing costs, reserves, repairs and the borrower’s cash equity. A lender may require additional reserves for taxes, insurance, replacement items, interest carry or operating shortfalls. The required contribution changes with leverage, property condition, tenant risk, market and program.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

5. Feasibility and stress analysis

Lenders may underwrite higher vacancy, slower rent growth, increased expenses, interest-rate changes, lease rollover or a lower exit value. Construction, substantial rehabilitation and lease-up deals usually require more detailed budgets, timelines and contingency analysis than a stabilized property. Ask which assumptions are used and what happens if they are missed.

Terms you must compare on the actual offer

Neither multifamily nor CRE, by itself, guarantees a particular structure. Put competing term sheets side by side and examine:

  • Rate type and pricing: fixed or floating, index and spread where applicable, adjustment dates and any floors or caps.
  • Term, amortization and maturity: the contractual term, amortization period, balloon or maturity payment and extension options.
  • Recourse: full, limited or nonrecourse treatment, together with carve-outs for fraud, bankruptcy, environmental damage or other specified acts.
  • Prepayment: lockouts, yield maintenance, defeasance, declining penalties or open-prepayment dates.
  • Fees: origination, underwriting, appraisal, legal, inspection, servicing, extension and rate-lock charges.
  • Covenants and reporting: minimum coverage, maximum LTV, reserve requirements, cash-management controls, leasing limits and financial-reporting frequency.
  • Collateral and guarantees: mortgage liens, assignments of leases and rents, deposit accounts, additional collateral and guarantor obligations.

Regulator pages reviewed for this subject do not establish one universal rate, term, amortization, recourse standard or loan limit. Treat every such item as a question for the lender’s written commitment.

Agency multifamily channels

Agency financing is one route for eligible multifamily properties. The OCC’s multifamily resource materials describe programs associated with Fannie Mae and Freddie Mac and the lender channels through which those programs operate. In the Fannie Mae Delegated Underwriting and Servicing (DUS) model, approved lenders perform underwriting and servicing under the agency’s standards.

An agency channel does not mean automatic approval. Eligibility can depend on property type, occupancy, condition, unit configuration, borrower experience, loan size, market, affordability requirements and other program tests. The approved lender remains the practical point of contact for documentation, underwriting and servicing. Compare an agency quote with a bank portfolio proposal on reserves, rate-lock mechanics, amortization, prepayment, recourse and flexibility—not just the headline rate.

When a multifamily loan may be treated like other CRE debt

Small rental properties

A lender may have a separate small-multifamily product, a residential product or a commercial product for a smaller building. The unit count or loan amount that triggers one channel is lender-specific. Ask which credit policy applies rather than assuming the property’s size determines its classification everywhere.

Mixed-use buildings

A building with apartments and retail or office space can be analyzed as multifamily, mixed-use or another CRE subtype. The lender may examine the percentage of residential and commercial space, separate leases, business income and zoning. Obtain written confirmation of the program’s property-type eligibility before paying for third-party reports.

Construction, rehabilitation and lease-up

Loans funding land, development, construction or major rehabilitation may fall within broader CRE guidance even when the completed project will be multifamily. The repayment plan, draw controls, completion guarantees, interest reserve and takeout or permanent-financing assumptions become central. A stabilized apartment mortgage and a construction facility should not be compared as if they were interchangeable products.

  • Purchase contract or refinance statement, capitalization plan and detailed sources and uses.
  • Property valuation, inspection, environmental and physical-condition information when available.
  • Borrower and guarantor financial statements, liquidity evidence, ownership chart and relevant management experience.
  • Business plan covering repairs, renovations, lease-up, rent changes and the expected exit or refinance.

Ask each lender:

  1. How do you classify this property and which program or credit policy applies?
  2. What income and expense assumptions will you use, and what stress tests are required?
  3. What LTV, coverage, equity and reserve levels must the transaction meet?
  4. What are the rate, term, amortization, maturity, extension and prepayment provisions?
  5. Is the debt full recourse, limited recourse or nonrecourse, and what carve-outs apply?
  6. Which reports, guarantees, covenants and cash-management arrangements are conditions to closing?
  7. What events could trigger a default, cash sweep, reserve increase or refusal to extend?

Common mistakes and how to avoid them

Mistake: treating the labels as mutually exclusive

Because multifamily can sit inside CRE, asking whether a loan is “multifamily or commercial” can produce a false either-or answer. Ask instead which property subtype, regulatory category and lender program apply.

Mistake: assuming a universal multifamily advantage

There is no supported blanket rule that multifamily always receives a lower interest rate, longer term, higher leverage, less recourse or easier approval. Those outcomes depend on the transaction and market. Require the lender to state the assumptions behind any quoted benefit.

Mistake: comparing only the interest rate

A lower initial rate can be offset by a shorter maturity, larger balloon, restrictive prepayment, higher reserves, cash-management controls or recourse. Compare total structure and exit risk in the same worksheet.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Mistake: overlooking the repayment source

If the lender underwrites rent, sale proceeds or a future refinance differently from your plan, the loan may fail even when the property appears valuable. Reconcile the lender’s repayment assumptions with your operating and exit plan before signing an application.

Mistake: assuming agency eligibility

Agency programs have defined standards and approved-lender channels. A property that resembles an agency-eligible asset may still fail because of condition, occupancy, borrower qualifications, property configuration or another program test. Obtain a preliminary eligibility review.

A practical decision framework

Use this sequence when choosing among proposals:

  1. Identify the asset: document residential units, any commercial space, condition, occupancy and planned work.
  2. Map repayment: show how current NOI, reserves, sale proceeds or refinancing will pay the debt.
  3. Set the capital plan: calculate purchase or payoff, costs, repairs, reserves and cash equity.
  4. Request comparable term sheets: ask lenders to quote the same loan amount, leverage, term and amortization assumptions.
  5. Stress the exit: test vacancy, expenses, interest rates, maturity value and refinancing availability.
  6. Verify documents and covenants: have counsel review guarantees, cash management, reporting, defaults and prepayment language.

The most useful comparison is therefore not “multifamily versus commercial” in the abstract. It is whether a particular lender’s structure fits the property’s income, the borrower’s capacity and the intended hold or exit strategy.
