How Much of Your Portfolio Should Go Into One Illiquid Investment?

There is no responsible universal percentage. The right size for one illiquid investment depends on your total investable assets, existing concentrations, cash obligations, time horizon, risk tolerance, income stability and the investment’s actual exit rules. Commit only an amount you could leave invested through a prolonged hold—and potentially lose in part or in full—without disrupting essential spending, taxes, debt payments or emergency reserves.

Official guidance from the SEC, FINRA and Investor.gov discusses liquidity, diversification and suitability, but does not establish a personal allocation limit for one private company, private fund, non-traded REIT, real-estate project or similar holding. Treat the decision as a cash-access and concentration problem, not as a hunt for a standard 5%, 10% or 20% rule.

What “illiquid” means for your decision

An illiquid investment is one that may be difficult to sell quickly, at a fair price, or at all when you need the money. Liquidity is not a permanent label: it depends on the instrument’s governing documents, the existence of buyers, market conditions and any restrictions on transfers or redemptions.

Cash may be unavailable when your life requires it

A listed security can usually be sold through a market during trading hours, although its price can fall. A private placement, private fund, direct real-estate project or non-traded REIT may have no active secondary market. It might permit withdrawals only during narrow windows, impose a lockup, use a gate that limits redemptions, or require the issuer’s consent for a transfer. Even when a sale is technically possible, finding a buyer at a reasonable price can take months.

Illiquidity and volatility are different risks

An asset can be easy to sell but highly volatile, or hard to sell while its reported valuation changes slowly. Do not mistake a stable-looking statement value for readily available cash. Ask how and when the value is calculated, who determines it, and whether a sale could occur below that value.

Why one large holding can damage more than one line item

FINRA describes concentration risk as the possibility that a large share of holdings in one investment, asset class or market segment amplifies losses. Concentration can hide across several dimensions:

  • Issuer: multiple funds or accounts may ultimately own the same company.
  • Industry: a private technology company and public technology funds can decline together.
  • Geography: several properties may depend on the same city, country or currency.
  • Security type: private credit, venture equity and non-traded real estate can all be difficult to exit.
  • Economic driver: holdings tied to one interest-rate, commodity, tenant or customer trend may be correlated even when their names differ.

Adding one apparently different investment does not automatically diversify a portfolio. Look through funds, retirement accounts, employer equity and other managed accounts to identify overlapping exposures before calculating the proposed position.

Use the whole portfolio as the denominator

Size the commitment against total investable assets, not merely the brokerage account that will send the money. Include taxable accounts, retirement assets, cash earmarked for investment and concentrated positions held elsewhere. Then measure both the proposed holding and your aggregate illiquid exposure.

Separate investable assets from money with a job

Money needed for near-term spending is not a risk budget. Keep funds for emergency expenses, taxes, insurance premiums, tuition, planned purchases and debt payments in accounts that can be accessed on the relevant dates. A practical cash-flow review applies FINRA’s liquidity-risk principle: you should not depend on selling the illiquid position to meet a foreseeable obligation.

Map existing lockups and exit limits

List every holding that cannot be sold promptly or whose price could be heavily discounted in a rushed sale. Include private funds, private-company shares, partnership interests, real-estate vehicles, annuities with surrender restrictions and employer stock subject to trading windows. The new investment may be unsuitable because of this total, even if its standalone percentage looks modest.

Decision point Questions to answer Why it changes position size
Transfer and redemption rights Is there a lockup? Are redemptions allowed monthly, quarterly, annually or only at maturity? Can the manager impose gates, suspensions or in-kind distributions? A longer or less certain exit argues for a smaller commitment and a larger liquid reserve.
Secondary market Is there a functioning marketplace, or must the issuer approve a buyer? Have transfers actually occurred, and at what discounts? No reliable buyer means you should plan for a hold to the stated maturity—or longer.
Valuation How often is the asset valued? Is it priced from observable market data, appraisals, models or manager judgment? Less transparent valuations make a quoted account balance a weaker estimate of what you could realize.
Fees and expenses What management, performance, transaction, servicing and redemption fees apply? Are fees charged on committed or invested capital? Fees reduce net proceeds and can make early exit more expensive.
Leverage and obligations Can the vehicle borrow? Could investors face capital calls, guarantees, margin requirements or expenses beyond the initial contribution? Potential future payments require additional liquid capacity beyond the initial allocation.
Distributions Are payments expected, discretionary or dependent on a sale or refinancing? Can they be delayed or reinvested automatically? Do not use hoped-for distributions to fund bills unless the timing is contractually dependable.

FINRA advises investors to use offering documents or consult an investment professional to understand liquidity. A salesperson’s description is not a substitute for the governing terms.

A step-by-step way to size the commitment

  1. Calculate total investable assets. Add accounts and holdings that could reasonably be part of your long-term portfolio. Record separate totals for liquid assets and assets with meaningful sale restrictions.
  2. Reserve cash for obligations. Set aside emergency funds and money for known spending, taxes and liabilities in assets available when due. The amount is personal; no regulator’s fixed reserve formula applies to everyone.
  3. List concentration by issuer, sector and geography. Look through funds and managed accounts. Add the proposed investment to each relevant exposure, including the possibility that several holdings depend on the same property market or economic factor.
  4. Record the investment’s worst practical liquidity case. Use the longest stated lockup, redemption suspension, maturity extension or transfer process. If the documents permit no sale, model a hold through that entire period.
  5. Stress-test your cash flow. Ask whether you could meet obligations if distributions stop, the investment cannot be sold for years, a capital call arrives, or the position loses most or all of its value. This is a resilience exercise, not a forecast.
  6. Choose an amount only after those tests pass. The commitment should leave enough liquid assets and diversification for your goals. If the decision works only under an optimistic exit price or on-time distribution schedule, reduce it or do not proceed.

Compare the opportunity with alternatives on the risks that matter

Expected return alone does not answer a sizing question. Compare the proposed holding with other ways to pursue the same goal using the following decision axes.

What the SEC’s “15%” figure does—and does not—say

A 2021 report from the SEC’s Asset Management Advisory Committee discusses retail access to private investments through mutual funds. It notes that such funds may hold up to 15% of assets in illiquid investments and that they generally held considerably less. The committee recommended a diversified pool of private investments within an overall portfolio that also contains more liquid assets.

That figure describes a mutual-fund regulatory context and a committee recommendation. It is not a recommended allocation for an individual, a cap on one person’s portfolio, or a safe limit for one private deal. A single holding can create more concentration than a diversified fund with the same aggregate illiquid percentage, and an individual’s cash needs may be very different from a fund’s.

Worked example: why the same dollar amount can be suitable or excessive

Consider two hypothetical investors each offered a $50,000 private investment. Investor A has $1 million in total investable assets, no other significant lockups, stable income and no large spending need during the investment’s stated seven-year term. Investor B also has $1 million, but $300,000 is already in private funds and a partnership, $150,000 is needed for a planned tax and tuition bill, and income is uncertain.

  • Comfortable Non-Slip Grip:The ergonomic pen barrel has a soft rubberized coating for a comfortable, non-slip grip, so you won't get fatigued even after long hours of writing.

The proposed dollars are identical, yet the commitments change their portfolios differently. Investor A would add $50,000 to a largely liquid portfolio; Investor B would add to an already substantial illiquid total while reducing flexibility for known obligations. Neither fact pattern produces a universal “correct” percentage. The relevant result comes from the denominator, existing exposure, cash schedule and terms—not from the offer size alone.

Warning signs that the amount is too large

  • You would need the investment’s distributions or sale proceeds for rent, debt service, taxes, education or an emergency.
  • The commitment would use money reserved for a near-term goal or leave no accessible cash after a capital call.
  • You cannot explain the lockup, redemption gate, valuation method, leverage or fee schedule in your own words.
  • Your portfolio already has substantial exposure to the same issuer, industry, geography, property type or private-market category.
  • You are relying on a secondary sale that the documents do not promise.
  • A partial or total loss would force you to sell other assets at an unfavorable time or abandon a financial goal.
  • The decision depends on a projected return premium that is not guaranteed and is not necessary to meet your plan.

When to get a professional suitability review

FINRA specifically recommends professional consultation when a large percentage of a portfolio is in illiquid securities. Consider a qualified investment professional if you are unsure how the position interacts with other accounts, if the documents are complex, if leverage or capital calls are possible, or if the commitment would materially change your ability to meet goals. Ask the professional to review the entire balance sheet and cash-flow calendar, not just the individual offering.

CFA Institute’s suitability framework also recognizes that leverage and limited liquidity affect suitability and that diversification generally creates a more acceptable risk exposure than a portfolio consisting of a single investment. A professional cannot remove the investment’s restrictions, but can help identify concentrations and conflicts you may miss.

Monitor the position after you invest

Sizing is not a one-time exercise. Recheck the position when your income, liabilities, goals or other holdings change. Track redemption windows, capital-call notices, valuation updates, leverage, fees and distributions. If the investment becomes a larger share of your portfolio because other assets fall or because the issuer reinvests proceeds, reassess the resulting concentration. Keep liquid reserves separate so a delayed exit does not turn into a forced sale elsewhere.

Bottom line

No official source sets a personal percentage for one illiquid investment. The defensible amount is one that fits your total portfolio and goals, leaves obligations covered with accessible assets, does not create an unacceptable issuer or market concentration, and remains tolerable through a long hold, delayed distributions and a severe loss. The SEC’s 15% mutual-fund figure is context—not a target. If you cannot evaluate the exit terms or the position’s effect on your whole balance sheet, pause and obtain a suitability review before committing.
