Data-center value is created by usable, energized power that produces durable cash flow—not by a headline megawatt figure. A sound valuation converts a facility’s deliverable IT load into occupied capacity, contracted revenue, operating costs, recurring capital expenditure and free cash flow, then tests those cash flows against market yields, comparable transactions and replacement cost.
The central discipline is to define exactly what is being valued and what each megawatt represents. Announced, requested or queued power can be worth far less than commissioned, billable power, while a highly committed facility may still have lower current utilization and revenue because customers have not installed or activated all the capacity they reserved.

What a data center valuation is actually measuring
A valuation may cover an operating company, an entire campus, a single building, a development phase, an enterprise value or only the equity after debt. It may also be quoted per megawatt, but that denominator must be specified. Matchpoint Partners recommends identifying the perimeter explicitly as enterprise, site, building, commissioned megawatt, contracted megawatt and equity value.

The numerator and denominator must describe the same asset and date. Enterprise value divided by announced campus power is not comparable with equity value divided by occupied IT load. A transaction price can include land, substations, buildings, network equipment, development rights, debt assumptions or future expansion obligations. Unless those inclusions are normalized, a “price per MW” comparison is misleading.

Why a megawatt is not a product by itself
One gigawatt equals 1,000 megawatts, as Keppel DC REIT states in its 2025 annual report. That conversion is simple; the economic conversion is not. Utility power may be requested, allocated, contracted, physically delivered, transformed, backed up, cooled and made available to customer equipment at different dates and quantities.
Only the portion that can be sold and supported by infrastructure should enter a base-case cash-flow model. Future power that still depends on permits, grid work, financing, construction or customer demand is an option, not current operating capacity.
The capacity ladder: from power request to billable load
Use a capacity bridge rather than one headline number. The following labels are not interchangeable.
Recommended Free Tools
| Capacity label | What it means | Valuation treatment |
|---|---|---|
| Requested or queued | Power sought from a utility or grid connection, without firm delivery assurance. | Exclude from operating value; model only as probability-weighted option value. |
| Contracted or committed | Customer or supplier has signed an obligation or reservation, often before equipment is installed. | Value through contract terms, counterparty credit and delivery requirements; do not call it current revenue automatically. |
| Firm supply | Power rights that the utility or provider is obligated to deliver under stated conditions. | Include after checking curtailment, connection timing and pass-through terms. |
| Energized | Electrical infrastructure is live and able to deliver power to the facility. | Potential operating capacity, subject to commissioning, cooling and customer deployment. |
| Commissioned | Testing and acceptance have established that the systems can operate as designed. | Eligible for operating forecasts after deducting reserves and technical constraints. |
| Usable IT load | Power available to customer computing equipment after electrical losses, cooling, redundancy and operating limits. | Primary physical denominator for revenue and cash-flow analysis. |
| Leased or committed load | Usable capacity reserved or contracted by customers. | Analyze contract duration, ramp, termination rights and delivery capex. |
| Occupied or utilized load | Capacity actually deployed and generating billed services. | Best measure of current operating revenue, subject to the provider’s metric definition. |
Gross utility allocation therefore cannot be treated as energized IT load, and energized load cannot be treated as occupied load. A valuation should show the deductions and timing between each step.
Normalize megawatts before applying a multiple
Start with gross utility power and build a reconciliation to usable IT load. Deduct electrical conversion losses, cooling consumption, reserve capacity, redundancy requirements and any operating restrictions. Record whether the result is a design rating, a tested rating or the load currently available to tenants.

- Identify the power boundary. State whether the MW figure is at the utility meter, medium-voltage switchgear, facility bus or customer IT equipment.
- Separate design from delivery. Note the energization date, commissioning status, firm-versus-interruptible supply and any phased construction.
- Deduct non-IT requirements. Account for cooling, pumps, lighting, electrical losses, backup systems, reserve margins and seasonal constraints.
- Reconcile phases and buildings. Do not combine a live building with a permitted or planned phase unless the valuation explicitly assigns probability and timing to the later phase.
- Reconcile to contracts and billing. Match usable load to contracted, installed and billable capacity by customer and service type.
This bridge prevents a high-level “MW multiple” from rewarding power that cannot yet produce revenue or requires substantial additional capital.
Utilization and commitment answer different questions
Commitment measures capacity customers have reserved or contracted. Utilization measures what is actually deployed or billed, depending on the provider’s definition. A customer may sign for a large block months before servers arrive, so commitment can rise while current revenue lags.

GDS Holdings reported commitment rates of 93.8% in 2021, 95.5% in 2022 and 92.8% in 2023. Its corresponding utilization rates were 65.5%, 71.8% and 73.1%. GDS explains that the gap primarily reflected customers that had committed to revenue-generating services but had not yet fully used them. The 2023 figures—92.8% committed versus 73.1% utilized area in service—show why a contracted-capacity percentage is not a revenue percentage.
Utilization metrics also vary by product. Equinix reported approximately 77% cabinet utilization at March 31, 2026, defining cabinet utilization as billed cabinet space divided by total cabinet capacity. Cabinet, square-foot, kW and MW measures cannot be compared without confirming the numerator, denominator and reporting date.
Questions to ask about any utilization percentage
- Is the denominator total designed capacity, commissioned capacity, leased capacity or capacity in service?
- Does the numerator represent physical deployment, billed space, power draw or revenue-producing services?
- Is utilization measured by cabinet, rack, square foot, kW or MW?
- Are reserved but undeployed customer blocks included?
- Is the figure a period-end snapshot or an average for the period?
Build the contracted-revenue bridge
Contracted revenue should be inventoried by customer, service and delivery milestone. Include recurring colocation rent, power charges, managed services, installation or interconnection fees, contractual escalators, take-or-pay provisions, ramp rights, expansion options and any pass-through mechanism for electricity.

Switch defines total contract value as revenue contracted through the active contract term, including fixed power charges. Its weighted average lease expiry (WALE) is a revenue-weighted measure of in-place contract duration that excludes utility reimbursements. Those definitions illustrate why a reported contract-value figure cannot be compared with WALE or annual recurring revenue without reading the company’s measurement rules.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Scan for outdated or missing drivers - takes under a minute3Repair Windows errors before they cause bigger problemsContract quality matters as much as contract quantity
- Duration and WALE: Longer remaining terms can improve visibility, but a long contract with weak termination rights may still carry risk.
- Acceptance and deployment gates: Bookings should not be treated as revenue until the customer has accepted or deployed the contracted service. Matchpoint Partners specifically warns against counting bookings before those gates.
- Take-or-pay and ramp terms: Determine how much is payable before installation and how quickly the customer can reduce or defer usage.
- Power economics: Establish whether electricity is passed through at cost, marked up, fixed, indexed or absorbed by the operator.
- Credit and concentration: Review parent guarantees, deposits, payment history, tenant concentration and counterparty credit.
- Renewal and churn: Estimate renewal probability, likely downtime between tenants and the cost of reconfiguring space.
- Service-level exposure: Include credits, outage remedies and performance obligations that can reduce realized revenue.
- Delivery capital: Forecast the timing and amount of substations, generators, cooling, fit-out and network work needed to serve the contract.
How megawatts become revenue and free cash flow
The operating model should begin with energized, usable IT load and then apply occupancy and utilization. A practical sequence is:
- Calculate usable IT MW after technical deductions.
- Apply occupied or utilized MW by customer and product.
- Multiply by contracted pricing, power charges and managed-service rates, with contractual escalations.
- Add one-time installation, interconnection and other earned fees separately from recurring revenue.
- Subtract electricity, cooling, staffing, maintenance, rent, insurance, property taxes and other operating costs.
- Subtract recurring maintenance capital expenditure, working-capital investment and required reserves.
- Produce recurring EBITDA, operating cash flow, free cash flow and debt-service capacity.
The key outputs are revenue per usable MW and cash flow per usable MW—not an unqualified EBITDA-per-announced-MW figure. Electricity intensity, cooling design, power prices, pass-through rights and redundancy can make two facilities with identical IT MW produce very different margins.
Illustrative model structure
| Line item | Driver | What to verify |
|---|---|---|
| Usable IT load | Commissioned MW less losses, cooling and reserves | Meter boundary, PUE, redundancy and operating limits |
| Occupied load | Usable MW multiplied by deployed or billed utilization | Provider’s utilization definition and period |
| Recurring revenue | Occupied load × rent and power rates | Escalators, pass-throughs, take-or-pay and ramp |
| Operating costs | Energy, cooling, labor, maintenance, rent and taxes | Tariffs, efficiency, fixed costs and inflation |
| Recurring capex | Maintenance and refresh spending | Generator, UPS, cooling and network replacement cycles |
| Free cash flow | Cash earnings less capex and working capital | Timing, debt service and remaining delivery capital |
Valuation methods and when to use each
Income capitalization
For a stabilized asset, divide normalized net operating income (NOI) by a market capitalization rate. Mapletree Industrial Trust disclosed 2026 capitalization rates of 6.00%–6.50% for Asia data centers. The selected rate must match geography, asset quality, lease risk, growth, financing conditions and the NOI definition.
Discounted cash flow
A DCF forecasts lease-up, pricing, operating costs, capex and terminal value, then discounts those cash flows. Mapletree disclosed 2026 Asia data-center discount rates of 3.60%–7.75% and terminal capitalization rates of 3.90%–6.75%; its disclosed North America discount-rate range was 6.50%–10.00%. These are reported valuation assumptions for the specified regions and year, not universal industry rates.

Comparable transactions and public-company multiples
Use transaction or trading multiples only after normalizing usable or billable MW, maturity, geography, contract profile, tenant credit, remaining capex and the enterprise-versus-equity numerator. Matchpoint Partners summarizes the issue this way: “The analysis shows that a megawatt multiple becomes informative only after buyers reconcile capacity definitions, remaining capital, contract cash and asset maturity.”
Replacement cost
Estimate the cost to recreate land, buildings, electrical infrastructure, cooling, network systems and resilience. Adjust for age, obsolescence, construction inflation, permitting, lease-up time and the fact that a new facility may have better efficiency or a different power design. Replacement cost is a cross-check, not proof that a cash-flow-poor facility is worth its construction spend.
Option value for future phases
Future power, land, permits and customer demand can have value, but that value should be probability-weighted for approvals, energization timing, capex, financing and lease-up. Unsupported pipeline remains outside the base case, as Matchpoint Partners states. Present it separately as upside or option value.

Downside tests every valuation should survive
Base cases often assume timely energization, stable tariffs and successful customer deployment. Stress those assumptions independently and together.
- Energization delay: Push the in-service date and add financing, tax and contractor costs.
- Utilization shortfall: Reduce deployment or extend the ramp period while retaining fixed operating costs.
- Electricity shock: Increase tariffs and test the percentage that can be passed through contractually.
- Curtailment or outage: Model lost revenue, service credits, replacement power and reputational effects.
- Stranded capacity: Test a customer cancellation or a technology shift that makes a designed hall harder to lease.
- Retrofit requirement: Add capex and downtime for higher-density cooling, power distribution or network upgrades.
- Tenant churn: Include vacancy, decommissioning, reconfiguration and leasing commissions.
- Refinancing: Reprice debt and test covenant headroom at lower cash flow.
- Capex overrun: Increase construction cost and delay the point at which revenue begins.
Integrated scenarios should be paired with a reverse stress test: identify the combination of utilization, pricing, delay, capex and discount-rate changes that eliminates equity value or breaches debt-service requirements. Matchpoint’s framework calls for this threshold analysis rather than relying on a single optimistic forecast.
Common valuation mistakes
Quoting one universal price per MW
There is no universal benchmark because the MW denominator may mean utility, commissioned, usable, leased or billable load, while the numerator may include different land, infrastructure, debt and development rights. Always state the definition, geography, date, contract status, remaining capital and method.
The Tool Desk
Outbyte Driver Updater FREEScan for outdated or missing drivers - takes under a minuteDriver Scan →Outbyte PC Repair FREERepair Windows errors before they cause bigger problemsFix Now →Equating signed capacity with current revenue
Commitments can precede equipment deployment. The GDS commitment-utilization gap demonstrates why contracted capacity must be phased into revenue according to acceptance and deployment milestones.
Counting utility allocation as energized IT load
A utility reservation may still require substations, transformers, generators, cooling and commissioning. Keep queued and permitted capacity outside operating value until delivery is sufficiently certain.
Ignoring pass-through and counterparty terms
Two contracts with the same headline rent can have different economics if one passes electricity cost through and the other leaves tariff risk with the operator. Tenant credit, guarantees, deposits, termination rights and service-level credits belong in the cash-flow model.
Using a multiple without remaining capex
Contracted MW may require substantial customer fit-out or electrical work. Deduct that capital and its timing before comparing equity values.
A practical valuation checklist
- Have you defined the valuation perimeter and enterprise-versus-equity numerator?
- Can you reconcile gross utility MW to usable IT MW?
- Are requested, contracted, firm, energized, commissioned, leased and utilized capacity shown separately?
- Does utilization use the provider’s stated numerator and denominator?
- Are revenue, power charges, managed services and one-time fees modeled separately?
- Have you checked WALE, escalators, take-or-pay, ramp, termination and renewal terms?
- Have you reviewed tenant concentration, guarantees, deposits and credit?
- Are electricity tariffs, pass-through rights, PUE, cooling and redundancy reflected in costs?
- Have you included delivery capex, recurring capex, working capital and downtime?
- Do DCF, income capitalization, comparables and replacement cost tell a consistent story?
- Are future phases probability-weighted and unsupported pipeline excluded from the base case?
- What reverse-stress threshold would eliminate equity value?
Bottom line
Data-center valuation is a cash-flow exercise expressed through infrastructure metrics. Megawatts matter only after they are deliverable, energized, usable and connected to customers who pay under durable contracts. Commitment improves visibility but does not equal utilization; contracted revenue improves predictability but still requires analysis of duration, credit, termination, power economics and delivery capital. A defensible result reconciles normalized MW to revenue and free cash flow, applies DCF or income capitalization, cross-checks transactions and replacement cost, and keeps speculative pipeline outside the base case.
