A stronger yen can lift the dollar value of unchanged Japanese shares; a weaker yen can erase part of a gain. Dividend cash is reduced further by depositary and withholding deductions.
What a Nintendo ADR return actually measures
NTDOY is Nintendo’s American depositary receipt traded over the counter. It is not a separate operating business or a second class of Nintendo stock. Its economic result combines two moving parts:

- Nintendo’s local-share performance: the change in Nintendo’s ordinary-share price in Japan, measured in yen.
- Yen-dollar translation: the change in the exchange rate used to convert that yen value into U.S. dollars.
Fees and distribution deductions then reduce what reaches your account. A quoted NTDOY percentage gain can therefore differ from the percentage gain on Nintendo’s Tokyo-listed shares, even over the same calendar period.

How the yen-dollar exchange rate changes NTDOY
The translation formula
Before costs, the basic relationship is:
ADR value in USD ≈ (Nintendo ordinary-share price in JPY × shares represented by one DR) ÷ JPY per USD
The depositary records use a 1:4 relationship, but they present the convention differently. The core listing description says one DR represents four ordinary shares, which produces:
ADR value ≈ (ordinary-share price × 4) ÷ JPY-per-USD rate
BNY Mellon’s directory labels the ratio “DR:ORD | 4:1,” while Citi’s dividend notice calculates “ORD Rate 42.00 / 4 = ADR Rate of 10.5000000000.” That notation indicates four DRs for one ordinary share, or one-quarter of an ordinary share per DR. Because the two records use opposite-looking labels, do not infer the multiplier from a finance website’s display. For each distribution or conversion, use the ratio printed in the current depositary notice or deposit agreement. The December 2025 cash calculation specifically used the ordinary dividend divided by four.
What a weaker yen does
JPY per USD rises when the yen weakens. If Nintendo’s yen share price is unchanged, dividing by a larger exchange-rate number produces fewer dollars. A U.S. investor can therefore see a flat or negative NTDOY result even while Nintendo’s Tokyo share is unchanged or modestly higher in yen.

What a stronger yen does
JPY per USD falls when the yen strengthens. The same yen-denominated share value converts into more dollars, creating a positive currency contribution for an unhedged NTDOY holder. This gain or loss is independent of Nintendo’s earnings, valuation and dividend policy.
A simple numerical illustration
Assume a Japanese share price rises 10% in yen while the yen weakens 8% against the dollar. Using a simplified starting value of ¥10,000 and an exchange rate moving from ¥150 to ¥162 per dollar:
- Initial dollar value: ¥10,000 ÷ 150 = $66.67 for one ordinary-share unit.
- Ending yen value: ¥11,000.
- Ending dollar value: ¥11,000 ÷ 162 = $67.90.
- Dollar return: about 1.9%, before fees and spread.
The yen-share gain is 10%, but currency translation absorbs most of it. If the yen instead strengthens from ¥150 to ¥138, the same ¥11,000 becomes about $79.71, a dollar gain of roughly 19.6%.
Why your ADR return may not match a Tokyo-share return
Use five separate comparisons rather than treating the two tickers as interchangeable:
- Local return: calculate the Tokyo ordinary share’s price and dividend change in yen.
- Currency translation: apply the relevant yen-per-dollar rate on each valuation date. Intraday rates, closing rates and depositary conversion rates can differ.
- Ratio: confirm how many ordinary shares, or fractions of a share, the DR represents in the current documentation.
- Market quality: account for NTDOY’s OTC spread, trading hours and liquidity. A market order can realize a materially different price from a displayed quote.
- Investor costs: subtract depositary fees, dividend-processing charges, withholding, broker charges and any cost of converting your own base currency.
A comparison that omits any of these can label a timing or fee difference as investment performance.

How Nintendo ADR dividends are converted
Depositary notices show that the cash amount is not simply Nintendo’s Japanese dividend copied into dollars. The ordinary dividend is first mapped through the ADR ratio, then converted at a stated exchange rate, and then reduced by applicable charges and withholding.
Citi notice dated 2 December 2025
Citi reported an ordinary dividend of JPY 42 and a conversion rate of 155.2098 JPY per USD. Its notice states “ORD Rate 42.00 / 4 = ADR Rate of 10.5000000000.” The resulting gross ADR rate was $0.0676500. The notice also listed a cash-dividend fee of $0.0135300 per ADR before any applicable withholding. Net examples in the notice were lower because withholding depends on the investor’s circumstances.
Citi notice dated 30 June 2025
A separate Citi notice reported an ordinary dividend of JPY 85 and a 144.779 JPY-per-USD conversion rate. It listed a $0.0293550 cash-dividend fee and showed different example net rates for different withholding brackets. Dividend rates, exchange rates and fees are distribution-specific; a prior payment is not a reliable forecast of the next one.
Why the ADR dividend can look unusually low
Three calculations commonly cause confusion:
- Ratio adjustment: the ordinary dividend is divided or multiplied according to the DR:ordinary-share relationship, rather than treated as a one-for-one payment.
- FX conversion: the depositary uses a specified conversion rate, which may not equal the rate shown by your broker on the payment date.
- Deductions: depositary cash-dividend fees and withholding are removed before the net amount is credited.
Compare a quoted ADR yield only after matching the same ex-dividend period, ratio convention, FX date and fee treatment used for the Japanese share.
ADR fees that reduce realized returns
Depositary service fee
BNY Mellon’s current DR directory lists an annual depositary service charge of up to $0.1000 per ADS. “Up to” is a ceiling, not a promise that every holder will be charged that amount every year. The actual amount, collection date and method can depend on the deposit agreement and the broker’s notice. It may be deducted from cash, billed separately or collected through another permitted process.

Cash-dividend fee
The Citi notices demonstrate a separate charge when a dividend is processed. The December 2025 notice’s $0.0135300 fee and the June 2025 notice’s $0.0293550 fee are not universal rates for every future payment; they are the amounts shown on those particular notices. A cash-dividend fee can consume a large percentage of a small distribution.
Other costs outside the depositary fee
Your realized result can also include:
- the broker’s commission or OTC transaction charge;
- the bid-ask spread and any price impact from a thinly traded order;
- withholding tax on the dividend under the investor’s country and account type;
- foreign-exchange conversion charges if the account is not funded in U.S. dollars; and
- taxes on sales or dividends that are specific to your jurisdiction.
No single broker commission or investor tax outcome applies to everyone. Check the fee schedule and tax documents for your account.
A practical worksheet for calculating your NTDOY return
- Record the starting and ending NTDOY prices. Use executable bid or ask prices, not only a midpoint, especially for an OTC security.
- Identify the matching Tokyo-share prices. Note whether each is a closing price, an intraday price or an adjusted price including dividends.
- Write down both exchange rates. Use the same convention—JPY per USD—and record the date and time. Do not mix a depositary dividend-conversion rate with a market closing rate without labeling the difference.
- Verify the current ratio. Read the depositary notice or agreement. The BNY directory’s “DR:ORD 4:1” label and Citi’s dividend calculation show why the notation must be interpreted rather than assumed.
- Add distributions on a consistent basis. Use gross dividends for a gross-return comparison, or subtract the exact fee and withholding amounts for an investor cash-return comparison.
- Subtract investor-specific costs. Include commissions, FX charges, taxes and any annual depositary charge actually posted to your account.
- Compare like with like. State whether the result is price return, total return, pre-tax return or after-tax return, and whether it is measured in dollars or yen.

Neither route eliminates currency risk for an investor whose reporting currency is dollars. The decision is mainly about access, liquidity, total costs, tax administration and how directly you want to hold the local security.
Common mistakes and how to avoid them
Treating the ADR quote as a dollar version of one Japanese share
A DR is a contract representing a specified number or fraction of ordinary shares. Multiplying or dividing by four without reading the current ratio convention can produce a fourfold error.

Using the spot rate instead of the depositary’s dividend rate
Dividend notices use a stated conversion rate. A broker’s live FX quote may differ because of timing, spread or its own conversion process. Recalculate with the notice rate when checking the credited amount.

Comparing gross Japanese dividends with net ADR cash
A Japanese dividend quoted before deductions is not comparable with an ADR payment after the cash-dividend fee and withholding. Put both on a gross basis or both on an after-deduction basis.
Ignoring the annual fee because it is small
An annual charge of up to $0.1000 per ADS is minor for a large position but meaningful for a small holding or a year with a low dividend. Record the actual debit rather than assuming the published ceiling was charged.
Using a market order in a thin OTC market
Displayed prices can be stale or separated by a wide spread. A limit order, a check of recent trading activity and patience around overlapping market hours can reduce avoidable execution cost, although none guarantees a fill.

What can and cannot be predicted
You can model the mechanical effect of a currency move, the ratio and the fees shown in a specific notice. You cannot know in advance the next dividend amount, the next conversion rate, the exact withholding outcome or the spread you will receive. Nintendo’s investor-relations archive provides annual reports for FY2024, FY2025 and FY2026 for company-level context, while the SEC Form F-6 supplies the ADR registration framework. Neither source fixes your personal broker cost or tax result.
For a disciplined estimate, create separate lines for local-share return, FX return, dividend income, depositary charges, withholding, broker costs and execution spread. That decomposition shows whether an unexpected result came from Nintendo, the yen or the ADR wrapper.
Frequently Asked Questions
Are ADR depositary fees the same as my broker’s commission?
No. The depositary fee is charged for maintaining and administering the receipt, while a broker commission or OTC transaction fee is a separate account-level charge. A dividend-processing fee is another possible deduction.
Can a currency gain offset a fall in Nintendo’s Japanese share price?
Yes. A stronger yen raises the dollar value of each yen of Nintendo exposure and can partly or fully offset a local-share decline. The result depends on the size and timing of both moves.
