To refinance a commercial real estate development loan, arrange replacement debt that pays the existing balance and closing costs before maturity. The new lender will underwrite the property’s income, completion and lease-up status, value, remaining debt, market conditions, and the financial strength of the owner and guarantors.
Start well before the maturity date. A refinance is not automatic, and an extension from the current lender is negotiated rather than guaranteed. Build a current information package, obtain several written proposals, and keep a maturity contingency active while the new loan is being underwritten.

What a development-loan refinance actually does
A development loan is usually tied to a project that is being built, renovated, leased, or brought to stabilized operations. Refinancing replaces that interim or maturing obligation with a new facility. At closing, proceeds from the replacement loan must be sufficient to pay the existing lender’s payoff, any permitted fees, and the costs of the new transaction. If the new lender will not advance enough, the owner must supply equity, negotiate a restructuring, or pursue another source of capital.

The underwriting question is therefore two-sided: can the proposed collateral and repayment source support the new debt, and can the transaction retire the old debt on the required date? The Office of the Comptroller of the Currency describes refinance risk as “the risk that borrowers will not be able to replace existing debt at a future date under reasonable terms and prevailing market conditions.” Construction and development loans are particularly exposed because their maturity may arrive before a project has achieved the income originally projected.

1. Begin with the existing loan and its maturity date
Pull the executed promissory note, loan agreement, amendments, guarantees, budgets, reporting provisions, and the latest payoff statement. The actual documents control; commercial loans do not use one universal contract. Create a written maturity calendar that includes the legal maturity date, notice deadlines, extension-option dates, construction milestones, leasing targets, appraisal timing, and the time needed for lender approval and closing.
Items to verify in the loan documents
- Current principal balance, accrued interest, and the lender’s payoff calculation.
- Any prepayment premium, exit fee, defeasance requirement, or other charge due when the loan is repaid.
- Extension or renewal rights, the conditions for exercising them, and the notice period.
- Required debt-service, interest, tax, insurance, replacement-reserve, or construction-contingency reserves.
- Financial-reporting, leasing, construction, environmental, and other covenants.
- Guarantees, completion obligations, carve-outs, and any required guarantor liquidity or net-worth tests.
Ask the current lender for an updated payoff statement even if the balance appears obvious. Interest accrual, protective advances, reserves, legal fees, and a prepayment charge can change the amount that the new loan must cover. Treat the payoff amount and the total cost of refinancing as planning variables, not as figures to confirm at the last minute.
2. Assemble a current property and sponsor package
A lender needs evidence of what exists today, not only the original development model. Prepare a coherent data room that reconciles the property, the project budget, and the people responsible for repayment. The exact checklist varies by lender, property type, geography, and transaction structure, but the following materials address the issues commercial underwriters commonly examine.
Recommended Free Tools
Property and operating information
- Current rent roll, executed leases, amendments, concessions, expirations, options, and security deposits.
- Trailing operating statements showing collected income and actual expenses, with explanations for unusual items.
- Occupancy, collections, delinquency, leasing pipeline, tenant improvement commitments, and current marketing activity.
- Construction completion status, open punch-list items, permits, certificates of occupancy, lien information, and remaining work.
- Approved project budget, cost-to-complete report, sources and uses, change orders, contingency balance, and evidence that remaining costs can be funded.
- Property-tax status, insurance certificates, environmental reports, surveys, title materials, and other diligence requested by the lender.
Sponsor and debt information
- Existing debt schedule, payoff statement, reserve balances, and a list of other property-level or corporate obligations.
- Personal or entity financial statements for the sponsor and guarantors, including liquidity, contingent liabilities, and recent tax information when requested.
- Evidence of equity invested, additional capital available, and the ownership structure of the borrowing entity.
- A narrative explaining construction variances, leasing delays, cost overruns, disputes, and the plan to reach the intended operating profile.
Separate historical results from forecasts. Signed leases and collected rent support a different underwriting conclusion than unsigned letters of intent or absorption assumptions. Label every projection with its assumptions so the lender can test timing, expenses, concessions, and interest-rate sensitivity.

3. Understand how a lender sizes replacement debt
The new lender evaluates repayment capacity, collateral, the borrower and guarantors, and market conditions together. A property’s construction cost does not by itself establish value or borrowing capacity. Lenders generally test how much debt the current or expected cash flow can service and how much of the collateral value they are willing to finance.
Debt-service coverage
The OCC defines the debt-service coverage ratio (DSCR) as net operating income divided by annual debt service. Net operating income should reflect realistic recurring income and expenses; it is not the same as gross scheduled rent. Annual debt service depends on the proposed loan amount, interest rate, amortization, and any interest-only period. A higher DSCR provides more cash-flow cushion, while a lower result can reduce proceeds or require additional credit support. The cited supervisory guidance does not establish one universal DSCR minimum for every commercial refinance.
Loan-to-value and debt yield
Loan-to-value (LTV) compares the proposed debt with the lender’s accepted property value. It is a collateral cushion, not a promise that an owner can borrow a fixed percentage of cost or appraisal. Debt yield, when a lender uses it, relates net operating income to the loan amount and is considered alongside DSCR and LTV rather than replacing them. Requirements differ by lender, asset, sponsorship, market, and risk position, so ask each lender to state its sizing assumptions in writing.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Repair Windows errors before they cause bigger problems3Scan for outdated or missing drivers - takes under a minutePlan for a proceeds gap
Request a preliminary sizing based on current income, realistic expenses, the proposed rate structure, and the lender’s valuation approach. Compare net proceeds—not just the headline commitment—with the verified payoff, reserves, fees, and closing costs. If proceeds are short, possible responses include a sponsor equity contribution, a smaller payoff through negotiated restructuring, additional collateral or guarantees, a different lender, or a maturity extension. Decide which alternatives are feasible before the existing loan reaches its deadline.

4. Handle completion and lease-up honestly
You can ask about refinancing before a building is fully leased, but the underwriting case changes when cash flow is not yet stabilized. Show what is complete, what remains, and how the property is performing against the original schedule. A lender will scrutinize the reasonableness of development assumptions, the expected time to complete and lease the project, and whether stabilized cash flow should be sufficient to service the proposed debt.
If construction is still underway
- Provide an independent cost-to-complete view, current draw status, remaining contingencies, and the source of funds for unfinished work.
- Explain contractor, permit, lien, supply, or change-order issues and identify a responsible completion date.
- Show how interest, taxes, insurance, operating deficits, and lease-up costs will be funded until the property produces the expected income.
If construction is complete but leasing continues
- List signed leases separately from prospects, letters of intent, and broker estimates.
- Report actual collections, concessions, tenant improvements, and operating expenses rather than substituting the stabilized pro forma.
- Describe leasing velocity, remaining available space, tenant credit, expirations, and the concrete steps needed to reach stable operations.
Do not assume that every lender requires full stabilization. Some transactions can be structured around documented in-place income, reserves, guarantees, or a credible lease-up plan; others may be sized more conservatively until performance is demonstrated. The lender’s written term sheet should state how projected income is treated.
5. Know which value is being used
Construction appraisal practice distinguishes among several valuation points. They answer different questions and can produce different borrowing outcomes.

|---|---|---|
| As-is | The property in its current physical and operating condition. | Useful when the lender is relying on present collateral and current income. |
| As-complete | The prospective value once the planned construction is finished. | Relevant when remaining work is defined and completion costs and timing are credible. |
| As-stabilized | The prospective value after the property reaches the operating and leasing condition assumed by the appraisal. | May support a different sizing analysis, but depends on the assumptions, market evidence, and lender acceptance. |
The OCC handbook discusses these concepts in the context of construction lending. It does not say that every commercial refinance uses all three or that a lender must lend against the most optimistic value. Confirm the appraisal scope, effective date, permitted assumptions, and any required completion or stabilization conditions before relying on a valuation.

6. Compare written offers beyond the interest rate
Obtain proposals that identify the amount available at closing and the conditions attached to it. A lower rate is not necessarily the best outcome if it produces a large payoff shortfall, imposes restrictive cash sweeps, or leaves too little flexibility for lease-up.
| Term to compare | Questions to ask |
|---|---|
| Net proceeds | How much remains after the old loan payoff, reserves, lender fees, legal costs, appraisal, and other closing charges? |
| Rate structure | Is the rate fixed or floating, and what index, spread, floor, cap, or reset mechanics apply? |
| Debt service | What are the payments under realistic rate, vacancy, expense, and amortization assumptions? |
| Interest-only and amortization | Is an interest-only period available, when does amortization begin, and how does that affect later payments? |
| Maturity and extensions | When is the final maturity, and are extension options conditional on performance, fees, paydown, or updated underwriting? |
| Recourse and guarantees | Which obligations are full-recourse, limited-recourse, completion-related, or subject to carve-outs? |
| Reserves and escrows | What amounts must be funded for taxes, insurance, repairs, tenant improvements, leasing commissions, interest, or replacements? |
| Covenants and reporting | What DSCR, LTV, leasing, construction, financial-reporting, cash-management, or approval tests apply? |
| Prepayment | Can the loan be repaid early, and what premium, notice, or defeasance cost would apply? |
Read the commitment, exhibits, and final loan documents together. Conditions precedent, appraisal language, deposits, legal opinions, title requirements, and cash-management provisions can materially change the economics after a headline term sheet is issued.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.7. Run the refinance as a closing project
- Set the critical path. Work backward from the contractual maturity date, allowing time for lender screening, application, appraisal, environmental and title work, underwriting, committee approval, documentation, and funding.
- Pre-screen lenders. Ask whether the lender finances the property type and location, accepts a project in its current completion or lease-up stage, and can meet the required timeline.
- Submit consistent information. Give each lender the same rent roll, operating statements, budget, payoff data, sponsor financials, and leasing narrative so proposals can be compared fairly.
- Resolve diligence issues early. Address title exceptions, insurance gaps, permits, open liens, environmental findings, tenant disputes, and cost-to-complete questions before final approval.
- Stress-test the structure. Review payments under higher rates, slower leasing, lower collections, increased expenses, and a delayed stabilization date.
- Confirm conditions and closing funds. Obtain a final payoff statement, verify reserve and equity requirements, satisfy closing conditions, and coordinate releases and recording.
- Track the old loan until it is paid. Do not assume the replacement loan has closed until funds are received and the existing lender confirms payoff and release requirements.
What to do if the building is not ready by maturity
Contact the current lender early if the refinance is uncertain. Ask for its formal extension or renewal process, required financial reporting, updated appraisal or inspection, paydown, reserve funding, covenant remediation, fees, and approval timeline. Present a candid package showing current performance, remaining work, leasing progress, the proposed takeout, and the specific amount and time needed.
An extension is a negotiated credit decision, not an automatic safety net. The OCC advises banks to evaluate the risks of extensions and renewals and to act prudently with creditworthy borrowers experiencing stress; that supervisory guidance does not grant a borrower a right to an extension. Continue pursuing replacement financing while negotiating, because an extension may be shorter, more expensive, or conditional on additional equity and controls.

Why refinancing can fail
- Insufficient proceeds: Current value or income supports less debt than the payoff requires.
- Delayed completion: Remaining construction, permits, liens, or cost overruns make the project riskier than underwritten.
- Slow lease-up: Signed leases, collections, or tenant credit do not support the projected stabilized cash flow.
- Weak sponsor capacity: Liquidity, net worth, contingent liabilities, or other obligations do not satisfy the new guaranty requirements.
- Market change: Higher prevailing rates, weaker property values, reduced lender liquidity, or tighter credit standards increase debt service or reduce leverage.
- Documentation problems: Title, insurance, environmental, tax, reporting, or covenant issues prevent closing.
Identify the failure mode rather than treating “the refinance” as one problem. A valuation shortfall calls for capital or structure changes; a documentation issue may be cured; a lease-up issue may require reserves and time; and a maturity deadline may require a negotiated interim solution.
Market context and the limits of generic rules
The OCC’s October 3, 2024 refinance-risk bulletin and March 2022 Commercial Real Estate Lending handbook are supervisory materials for national banks and federal savings associations. They explain how lenders evaluate repayment, collateral, development assumptions, maturity, market liquidity, and refinance risk. They are not borrower approval manuals and do not establish a universal interest rate, LTV ceiling, DSCR floor, loan term, or current-market transaction statistic.
Terms vary with property type, location, completion status, tenant profile, sponsorship, lender policy, and prevailing conditions at the time of application. No current rate or market-wide 2026 statistic is established here. Use the lender’s dated proposal and the executed documents for the terms of a particular transaction, and obtain legal, tax, accounting, appraisal, and lending advice suited to the property and ownership structure.
Do not import residential construction-to-permanent rules
Residential agency programs sometimes describe a construction-to-permanent structure in which interim construction debt is replaced by permanent financing, potentially through one or two closings. Those residential rules do not establish commercial-property eligibility, proceeds, appraisal treatment, or terms. A commercial owner must rely on the applicable commercial lender’s underwriting and documents.
