AI data centers are financed with a layered capital stack rather than one source of money. Hyperscalers use operating cash flow and corporate bonds; specialist operators add asset-level loans secured by servers, facilities, and contracted revenue; leases provide access to buildings and equipment without an immediate purchase; and partnerships can place a project in a separately financed company. Long-term take-or-pay contracts are especially important because they give lenders predictable payments against which to underwrite debt.
The mix determines who owns the GPUs and buildings, who bears construction and utilization risk, how obligations appear on financial statements, and when refinancing is required. The following examples and framework show how the structures work in practice and what an investor, customer, or community evaluating an AI build-out should examine.

How is an AI data-center capital stack assembled?
An AI facility normally combines several layers, each matched to a different risk and repayment horizon. Cash can fund early design and some equipment, corporate debt can cover broad capital needs, and secured project debt can be tied to a particular campus and customer contract. Leases and equity fill additional gaps when an operator wants capacity faster than it can buy outright or wants to protect its credit rating.
- Operating cash flow: internally generated money used for land, construction, power systems, networking, and GPUs.
- Corporate debt: senior unsecured bonds, revolving credit, or bank loans raised by the parent company for general purposes that include capital expenditure.
- Asset-level or project debt: loans secured by identifiable servers, buildings, contracts, or a subsidiary’s assets.
- Operating and finance leases: contractual rights to use a data center, power infrastructure, or equipment in return for scheduled payments.
- Equity: retained earnings or new shares that absorb risk without creating mandatory interest payments.
- Partnerships and special-purpose vehicles (SPVs): a financial partner owns or funds a project company that builds a facility and leases capacity to the technology company.
These layers are not interchangeable. A bond backed by the parent’s entire balance sheet has different recourse and pricing from a loan secured by one subsidiary’s GPUs. A lease may not be labeled “debt,” yet its fixed payments can be just as important to cash-flow planning. Analyze all contractual obligations together.

How does operating cash flow pay for AI infrastructure?
Cash-rich cloud and software companies can fund a substantial share of construction and equipment directly from operations, avoiding interest expense and share dilution. The trade-off is that every dollar spent on a data center cannot simultaneously be used for dividends, share repurchases, acquisitions, research, or debt reduction.
Microsoft’s fiscal-2025 scale
Microsoft reported $136.2 billion of operating cash flow in fiscal 2025 (the year ended June 30, 2025). Over the same period, additions to property and equipment rose by $20.1 billion year over year. That cash generation gives a large hyperscaler significant capacity to self-fund campuses, although the disclosure does not mean every dollar of capital spending came from cash rather than financing.
What’s actually slowing this PC down?
Pick the symptom - the matching free tool is one click away.
Cash funding is most useful for early-stage work, deposits for long-lead electrical gear, and purchases that a company wants to own outright. It also provides a cushion when debt markets are expensive or when a project’s revenue timing is uncertain. Management still has to decide how much liquidity to retain for a downturn or an unexpected technology transition.
How does corporate debt finance data-center expansion?
Corporate debt raises money at the parent-company level, usually without pledging one specific building or GPU cluster. Senior unsecured bonds, term loans, and revolving facilities can then be used for general corporate purposes, including capital expenditure.
Advantages and obligations
- Advantages: a large issuer can raise substantial sums quickly, preserve existing ownership, and spread repayment across a portfolio of projects.
- Obligations: interest and principal are due even if a new campus is delayed, power is unavailable, or customer demand falls. Higher leverage can also threaten an investment-grade rating and increase future borrowing costs.
Corporate bonds generally have longer maturities than equipment loans, but they expose lenders to the entire company rather than a single revenue-producing asset. Investors therefore watch leverage, interest coverage, free cash flow after capital expenditure, and the schedule of maturities.
Oracle’s planned 2026 financing
Oracle said it expected to raise $45 billion to $50 billion of gross proceeds in 2026 to expand Oracle Cloud Infrastructure capacity for contracted customers. Its plan called for approximately half from equity and half from a one-time senior unsecured bond issuance. Because this is a forward-looking plan, the final amount and mix can change with market conditions and customer demand. The stated combination illustrates how equity can be paired with investment-grade debt to fund growth while limiting pressure on the balance sheet.

Asset-level financing is used when a lender can identify the equipment, facility, and revenue stream that will repay the loan. The borrower may be a subsidiary rather than the public parent, and the lender receives security over assets and contractual cash flows.
CoreWeave’s model
CoreWeave states that it primarily finances infrastructure through asset-level debt supported by take-or-pay customer contracts, supplemented by corporate equity and debt. This structure links borrowing to a particular deployment instead of relying solely on the parent’s unrestricted balance sheet.

On July 31, 2025, CoreWeave closed a $2.6 billion secured delayed-draw term loan led by Morgan Stanley and MUFG, with Goldman Sachs and other banks in the syndicate. The facility supported equipment and infrastructure for a long-term OpenAI agreement, was secured by substantially all assets of a subsidiary, and was priced at SOFR plus 4%. A delayed-draw feature lets the borrower take funds as equipment and construction milestones require them, reducing the cost of carrying undrawn money.
What lenders examine
- Whether GPUs, servers, power systems, and buildings have clear title and resale value.
- The term, credit quality, and termination rights of customer contracts.
- Construction progress, interconnection rights, fuel or power availability, and insurance.
- Loan-to-cost, debt-service coverage, minimum liquidity, and restrictions on additional borrowing.
- Technology risk: a rapidly depreciating accelerator may provide less collateral than its purchase price suggests.
Asset-level debt can lower the parent’s immediate funding burden, but it is not risk-free. If a customer defaults or a site cannot operate, the lender may control the pledged assets while the parent still faces reputational and contractual consequences.

A lease gives an operator the right to use a building, powered shell, or equipment in exchange for scheduled payments. It can bring capacity online faster than buying and constructing every asset, and payments can be matched to the period in which the facility generates revenue.
Operating versus finance leases
An operating lease is generally a right-to-use arrangement for a period shorter than the asset’s economic life, while a finance lease transfers more of the ownership economics and risks to the lessee. Accounting rules put many leases on the balance sheet as right-of-use assets and lease liabilities, but presentation differs by lease type and jurisdiction. Readers should not compare a company’s funded debt alone with another company’s debt plus leases.
Microsoft’s future commitments
As of June 30, 2025, Microsoft disclosed $92.7 billion of additional leases that had not yet commenced, primarily for data centers. Those leases were scheduled to begin between fiscal 2026 and fiscal 2031. The figure is a future contractual commitment, not cash already paid, and its timing matters: obligations that start later give management more time to generate revenue but also create a large pipeline of fixed payments.
Leasing can shift residual-value and construction responsibilities to a landlord or equipment owner. It can also conceal concentration: several leases with the same landlord, utility, or region may create a single-point-of-failure even when each contract appears manageable.
How do partnerships and special-purpose vehicles work?
In an SPV structure, a project company raises construction debt, owns the facility, and leases it to the technology company under a long-term agreement. The technology company obtains capacity without funding every dollar of construction itself, while the financial partner earns a return from lease payments and any residual asset value.
Reported Meta–Blue Owl Louisiana project
Secondary reporting described Blue Owl as the majority owner of an SPV that borrowed, built, and leased a Louisiana facility back to Meta. Meta characterized the arrangement as an “innovative partnership” intended to support speed and flexibility. Because the example comes from secondary reporting, the exact ownership, guarantees, lease classification, and current terms should be confirmed in Meta and Blue Owl filings before relying on it for an investment or credit decision.

Why companies choose an SPV
- Construction debt can be matched to one campus rather than the parent’s entire debt stack.
- A specialist owner may have better access to real-estate, equipment, or infrastructure financing.
- The technology company can secure a long-term site while preserving cash for GPUs and software.
- Risk is shared, but guarantees, purchase options, minimum payments, and termination fees can return much of that risk to the tenant.
SPVs do not make obligations disappear. Read guarantees, lease commitments, purchase options, and consolidation notes to determine who ultimately bears losses if the project is late or underused.
How do take-or-pay contracts support financing?
A take-or-pay contract requires a customer to pay for a committed quantity of capacity whether or not it uses every hour or GPU. That payment floor gives an infrastructure operator more predictable revenue than a purely on-demand model and can support borrowing against the contract.
CoreWeave’s contracted-revenue evidence
CoreWeave reported $60.7 billion of remaining performance obligations at December 31, 2025, up from $15.1 billion a year earlier. The company said its committed contracts generally run from one to six years and averaged approximately five years at that date. Remaining performance obligations are not cash collected or profit; they represent contracted work still to be delivered and are exposed to customer credit and performance conditions.
For lenders, a five-year commitment can align with a server-financing term. The contract may specify minimum capacity, pricing, power pass-throughs, service levels, and remedies if the customer cancels. A lender will test whether the customer can pay, whether the contract is assignable, and whether the equipment can be redeployed if the customer leaves.
Limits of take-or-pay protection
- Counterparty risk: a contract is only as strong as the customer’s ability and willingness to perform.
- Concentration risk: losing one large customer can affect a disproportionate share of revenue.
- Operational risk: power, cooling, networking, or construction failures can trigger credits or termination rights.
- Technology risk: a customer may not renew if newer accelerators deliver better economics.
What is the difference between cash, corporate debt, asset debt, leases, and partnerships?
The structures differ in cost, recourse, ownership, accounting presentation, and the risks transferred to customers or financiers.
| Funding channel | Typical collateral or recourse | Who owns the asset? | How the obligation appears | Main risk to monitor |
|---|---|---|---|---|
| Operating cash flow | No lender collateral; cash belongs to the company | Usually the technology company | Capital expenditure and lower cash balances | Opportunity cost and liquidity drain |
| Corporate bonds or loans | Parent-company credit, usually unsecured | Usually the technology company or its subsidiaries | Debt, interest expense, and maturities | Leverage, ratings, and refinancing |
| Asset-level/project debt | Specific GPUs, facilities, contracts, or subsidiary assets | Borrower or project subsidiary | Secured debt, covenants, and pledged assets | Utilization, collateral value, and contract performance |
| Operating or finance lease | Lease rights and, often, the underlying asset retained by lessor | Lessor legally owns the asset; economics vary by lease | Right-of-use asset, lease liability, and contractual payments | Fixed commitments and renewal or residual-value risk |
| SPV partnership | Project assets and lease cash flows; guarantees may apply | Financial partner or joint project company | Lease commitments, guarantees, and possible consolidation | Construction delays, control rights, and off-balance-sheet assumptions |
| Equity issuance | No repayment collateral | Shareholders collectively | New shares and possible dilution | Ownership dilution and market appetite |
Compare projects on eight questions: the cost and tenor of capital; collateral and lender recourse; ownership of land, buildings, and GPUs; whether obligations are debt, lease liabilities, or commitments; reliance on take-or-pay revenue; construction, power, and utilization risk; customer concentration; and the maturity or refinancing schedule.
Who is actually paying for the AI build-out?
No single group pays for every project. The technology company’s operating cash flow and shareholders provide first-loss capital, banks and bond investors provide repayable capital, equipment lessors provide use of assets, and customers provide contracted payments that make specialized borrowing possible.
Microsoft’s fiscal-2025 disclosures show how a hyperscaler can combine large internal cash generation with a substantial pipeline of future data-center leases. Oracle’s 2026 plan shows a deliberate blend of equity and senior unsecured bonds for capacity tied to contracted customers. CoreWeave illustrates the more asset-heavy model: multi-year customer commitments support secured borrowing, while corporate equity and debt supplement project financing.

Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. What risks can make a well-funded data center fail?
Financing reduces the time needed to build capacity, but it does not remove the underlying project risks. A facility can have committed debt and still destroy value if it cannot obtain power, attract utilization, or operate the contracted equipment profitably.
- Power and permitting: interconnection queues, transmission limits, water constraints, or local approvals can delay revenue while interest and lease costs accumulate.
- Construction and supply chain: transformer, switchgear, cooling, or accelerator delays can push a project past contractual delivery dates.
- Utilization: on-demand demand may be weaker than forecast, leaving expensive capacity idle.
- Customer concentration: a single anchor tenant can support debt but also create a large refinancing problem if it exits.
- Technology obsolescence: newer accelerators can reduce the resale value and rental price of older equipment before loans mature.
- Refinancing: a project with five-year contracts may still face debt maturities, lease resets, or equipment replacement before those contracts end.
- Accounting opacity: debt totals may exclude lease liabilities, purchase commitments, or obligations of unconsolidated SPVs.
How can you analyze an AI data-center financing package?
Read beyond the headline capacity and debt amount. A disciplined review connects the physical project to its contractual cash flows and the dates when money must be repaid.
- Map ownership: identify who owns the land, building, power equipment, servers, and network assets.
- List every obligation: add funded debt, undrawn commitments, lease liabilities, purchase commitments, guarantees, and minimum-capacity payments.
- Match cash inflows and outflows: compare contracted revenue dates with construction spending, lease commencement, interest, principal, and equipment-replacement needs.
- Test the contracts: review take-or-pay volumes, term, pricing, termination rights, credit support, assignment rights, and service-level penalties.
- Measure concentration: calculate how much revenue and collateral value depend on the largest customer, site, utility, or equipment generation.
- Stress the project: model delayed energization, lower utilization, a customer default, higher interest rates, and a faster-than-expected GPU replacement cycle.
- Check maturities: identify whether several loans, leases, or contracts expire in the same year, creating a refinancing cliff.
- Verify disclosure scope: distinguish company-wide figures from one subsidiary, one region, or one forward-looking plan, and confirm whether SPV obligations are consolidated.
The result should be a schedule of cash obligations and available repayment sources, not merely a ratio of debt to capacity. Two campuses with identical megawatt or GPU headlines can have very different risk once ownership, contracts, and maturities are included.
What does this financing mix mean for customers and communities?
Customers signing multi-year capacity agreements may receive more reliable access to GPUs, but they also accept minimum-payment commitments and the credit risk of the operator. Communities and utilities may see faster construction when a well-capitalized partner funds the project, yet power demand, water use, and infrastructure upgrades can outlast the original financing term. Contracts and permits should therefore be evaluated for outage remedies, decommissioning responsibilities, and who pays for grid or site improvements.
Frequently asked questions
Does a take-or-pay contract guarantee that an AI data center will be profitable?
No. It guarantees payment under the contract’s conditions, not a particular margin. Electricity, staffing, maintenance, financing, and replacement-accelerator costs can rise enough to erode profitability even when contracted revenue arrives.

Not necessarily. The accounting classification, residual-value risk, maintenance duties, and end-of-term purchase or return options depend on the lease terms. A reader should examine the notes for right-of-use assets and lease liabilities rather than infer treatment from a company’s total debt.
Why might a company issue equity when debt is available?
Equity absorbs losses without mandatory interest or principal payments and can help preserve an investment-grade rating. The cost is dilution: existing shareholders own a smaller percentage of future earnings and assets after new shares are issued.

What happens to financing if an AI customer cancels early?
The operator may owe debt and lease payments after the revenue disappears. A strong contract can require termination payments or allow the lender to receive assigned cash flows, but recovery still depends on the customer’s credit and whether the equipment can be redeployed.
Can project debt be cheaper than a parent-company bond?
It can be, but not automatically. A project with strong collateral and a creditworthy take-or-pay customer may price attractively, while a small or concentrated project may pay more than a diversified parent issuer and face tighter covenants.
