GST registration depends on whether your foreign business makes a taxable supply in India and falls within a compulsory-registration category. The IOR is the party that appears on the customs import entry and handles import-side responsibilities. Naming an Indian importer does not, by itself, prove that the foreign seller has no GST registration obligation.
Choose the structure only after mapping the contract, sales channel, title and risk transfers, inventory location, customs entry, and onward sale. The same commercial label can produce different GST results when those facts change.

What GST registration and an importer of record each do
GST registration answers a supply question
India’s Central Goods and Services Tax (CGST) framework asks whether a person is making a taxable supply in India and belongs to a category required to register. Section 24 lists non-resident taxable persons making taxable supplies among the compulsory-registration categories. That is not a rule that every foreign company selling to Indian customers automatically needs a GSTIN. The decisive issue is the foreign person’s actual supply and whether the statutory category applies.

1Clear out junk files and repair common Windows errors2Fix the driver behind crashes, sound loss and screen glitches3Repair Windows errors before they cause bigger problemsThe CGST Act defines a non-resident taxable person as someone who occasionally undertakes transactions involving the supply of goods, services, or both, whether as principal, agent, or otherwise, while having no fixed place of business or residence in India. A seller’s legal form or foreign address therefore does not settle the analysis. Contracts and the physical and commercial flow must be examined.

IOR status answers an import question
“Importer of record” is a commercial expression rather than a substitute GST status. Under section 46 of the Customs Act, the importer makes entry by presenting a bill of entry. Section 17 places self-assessment of imported goods on the importer, subject to customs verification. In practice, the IOR is the party identified in the import documentation and responsible for customs-facing work such as the entry, valuation information, duty payment, and responses to customs queries.
Do not rely on the acronym alone. Confirm who will be named on the bill of entry, who controls the customs filing, who pays customs duty and import IGST, who owns or takes title to the goods at each stage, and who makes the sale to the Indian customer.
Why an IOR does not automatically remove a foreign seller’s GST obligation
Import and domestic supply are separate tax events. Import IGST on goods is generally levied and collected through the Customs Tariff Act mechanism when customs duties are collected, subject to statutory exceptions. Domestic GST registration, by contrast, concerns the seller’s taxable supplies and registration category under the CGST Act.

That fact pattern is different from a foreign seller retaining title, directing inventory, setting the customer contract, and using an Indian party only to clear the shipment. Both may be described informally as “using an IOR,” but the GST analysis is not the same.

There is also no automatic input-tax-credit result. GST Portal material states that GSTR-2B can include import information received from ICEGATE, including inward supplies from Special Economic Zone units or developers. Whether anyone can claim credit depends on the identity of the importer or recipient, GST registration, customs and tax documents, and the applicable credit rules. A foreign seller should not assume that import IGST paid by another party becomes its credit.
The non-resident taxable-person rules that matter
Compulsory registration is fact-dependent
Section 24’s category is triggered for a non-resident taxable person making taxable supplies. The question is therefore two-part: does the foreign person itself make a taxable supply in India, and does it meet the statutory description of a non-resident taxable person? Occasional transactions without a fixed place of business or residence in India are the core characteristics in the Act’s definition. A regular, established operating model may require a broader review of other GST provisions and registrations rather than relying on the occasional-supply label.
Short, special registration period
Section 27 gives this registration a special duration. Registration is valid for the period stated in the application or 90 days from its effective date, whichever is earlier. Where sufficient cause is shown, the proper officer may extend the period by up to another 90 days. The period is not an open-ended substitute for assessing whether a continuing Indian operating structure needs a different compliance approach.
Recommended Free Tools
Advance deposit at application
At application, the non-resident taxable person must deposit tax in advance equal to the estimated tax liability for the period covered by the registration. That requirement affects launch cash flow. Build the estimate from the planned taxable supplies and document the assumptions; a low estimate can create operational and compliance problems, while an excessive deposit ties up funds.

Returns and portal work
A non-resident taxable person with a valid GSTIN files the applicable return, commonly GSTR-5 for this category. GST Portal guidance provides the filing path and time-limit instructions, but calendar details can change with the registration period and later notifications. Use the current portal instructions for the relevant period rather than copying a historic due date from a checklist.
Customs responsibilities when another party is the importer
Identify the legal importer, not just the service provider
An IOR service provider may prepare documents or coordinate clearance, but the party legally shown as importer remains central. Obtain the proposed bill-of-entry data before shipping: importer name and identifiers, seller and consignee, product description, classification, customs value, country of origin, and the party paying duty and import IGST.
Align title, risk, and possession
Write down when title and risk pass, where inventory is held, and who can dispose of the goods. If the Indian importer buys and owns stock before the customer order, the importer may be making the domestic sale. If the foreign seller owns inventory in India and the local party only clears or stores it, the foreign seller’s supply characterization requires closer GST advice.

Document self-assessment and corrections
Because the importer self-assesses under section 17, the commercial agreement should assign responsibility for tariff classification, valuation data, origin evidence, record retention, post-clearance queries, and any reassessment or correction. Customs responsibility should not be left to an undefined promise to “handle import.”

A practical decision framework
- Map the transaction. Name the foreign seller, Indian buyer, marketplace or agent, delivery point, warehouse, and every sale in sequence. Record title and risk at each handoff.
- Characterize the supply. Ask whether the foreign seller itself is making a taxable supply in India. Examine the customer contract, invoice issuer, payment recipient, returns policy, and who sets the commercial terms.
- Name the importer. Confirm who will present the bill of entry and self-assess under the Customs Act. Obtain written confirmation rather than relying on “IOR” in a proposal.
- Separate tax flows. Show import IGST and customs duty separately from any GST charged on a later domestic supply. Identify who receives the customs documents and who, if anyone, can evaluate input-tax credit.
- Compare operating burdens. For registration, budget GSTIN onboarding, the advance tax deposit, GSTR-5 filing, reconciliations, records, and customer-facing tax treatment. For an IOR structure, budget customs coordination, contractual controls, importer margin or fees, title and inventory controls, and data sharing.
- Test several orders. Run a sample order from purchase through import, delivery, return, refund, and replacement. A structure that works for a single shipment can fail when inventory is held locally or returns cross the border.
- Obtain local review. Have an Indian GST adviser and customs professional review the contracts, product, channel, import documents, and proposed invoices before launch.
Comparison: GST registration versus an IOR arrangement
| Issue | Foreign seller with GST registration | Indian importer/IOR structure |
|---|---|---|
| Primary legal question | Whether the foreign person makes taxable supplies in India and falls within a registration category. | Which party makes the customs entry and bears importer-side responsibilities. |
| Key statutory references | CGST Act sections 24 and 27; definition of non-resident taxable person. | Customs Act sections 46 and 17; import IGST under the Customs Tariff Act mechanism. |
| Registration duration | Application period or 90 days from effective date, whichever is earlier; possible extension up to another 90 days for sufficient cause. | No GST duration follows merely from being named IOR; any GST registration of the importer is a separate question. |
| Up-front tax cash flow | Advance deposit equal to estimated tax liability for the registration period. | Importer pays customs duty and import IGST at clearance, subject to the applicable law and documents. |
| Returns | Applicable non-resident return, commonly GSTR-5, using current GST Portal instructions. | Customs declarations and records; any GST returns depend on the importer’s own registration and supplies. |
| Inventory and title | Must be analyzed from the contracts and physical flow; registration does not decide ownership. | Importer may own goods or may clear for another party; the agreement and transaction evidence control. |
| Input-tax credit | Not automatic; depends on registration, documentation, and applicable law. | Not automatic for the foreign seller. The importer or another eligible registered person must assess credit under the relevant rules. |
| Customer experience | Foreign seller may control the invoice and tax treatment, subject to the chosen compliant model. | Indian seller or distributor may control the domestic invoice and customer relationship. |
When each structure may fit—and when it can fail
Importer buys and resells
This model can be coherent when the Indian business purchases the goods, becomes importer, owns the inventory, and sells to the customer in its own name. The contract should make the purchase and resale explicit, allocate warranty and returns, and prevent the parties from describing the same transaction inconsistently on invoices and customs documents.
Foreign seller retains the commercial sale
If the foreign seller contracts directly with the Indian customer, controls price and returns, retains title or inventory exposure, and uses the local party mainly for clearance, an IOR label does not answer whether the foreign seller is making a taxable supply in India. This is the fact pattern in which a GST review is especially important.
Marketplace or agent involvement
Marketplaces and agents can alter who contracts with the buyer, who collects money, and who is treated as principal. Preserve the platform agreement, order flow, settlement statements, and customer terms. Do not infer the tax result from the platform’s shipping option.
Local warehouse or fulfillment stock
Holding stock in India introduces additional questions about possession, replenishment, domestic transfers, and returns. A short-term import arrangement may become unsuitable once inventory is routinely stored and dispatched locally.

Launch checklist for a compliant structure
- Corporate details, authority documents, and the foreign seller’s Indian tax contacts.
- Master sale, distribution, agency, warehousing, and IOR contracts.
- Product classification, valuation, origin, licenses, and any sector-specific import controls.
- Incoterms or equivalent delivery terms, title and risk clauses, and returns procedure.
- Proposed commercial invoice, packing list, bill of entry data, and importer identifiers.
- Evidence showing who pays duty and import IGST and who receives customs documents.
- GST registration analysis, estimated tax deposit, GSTIN application plan, and GSTR-5 process if registration is required.
- Reconciliation between orders, invoices, customs entries, refunds, and credit notes.
- A change-control trigger for new warehouses, marketplaces, products, or a shift from occasional to regular sales.
Common mistakes and how to correct them
“The IOR pays import IGST, so the seller has no GST issue.”
Correction: Separate the customs import from the seller’s taxable-supply analysis. Rebuild the transaction map and identify the seller, buyer, title, and onward-sale parties.
“A foreign company cannot register in India.”
Correction: Check the non-resident taxable-person rules. The Act expressly addresses non-resident taxable persons and compulsory registration for those making taxable supplies.
“The 90-day period is a filing deadline.”
Correction: It is the initial registration-validity rule under section 27, not a universal return due date. Use the current portal instructions for filing dates.
“Whoever paid import IGST can claim it.”
Correction: Credit depends on importer or recipient identity, registration, documentation, and applicable law. Reconcile the bill of entry and GST records before treating any amount as credit.
“The contract says IOR, so customs and GST roles are settled.”
Correction: Compare the contract with the actual bill of entry, invoices, payment flows, inventory records, and customer terms. Inconsistent documents create avoidable exposure.

- On these exact contracts and delivery terms, who is making the taxable supply in India?
- Does the foreign seller meet the CGST Act definition of a non-resident taxable person for the proposed activity?
- Who should be named as importer, and who will self-assess and retain customs evidence?
- Who bears import IGST economically, and does any party have a defensible credit position?
- How should invoices, returns, replacements, and customer refunds be issued?
- What changes—local stock, a marketplace, recurring orders, or a new product—would require the analysis to be revisited?
