GST Registration for Multiple Businesses: When to Use One PAN and Separate GSTINs

For one legal person, GST registration is generally organized by PAN and State or Union territory. Different activities, products or trade names in the same state do not automatically require separate GSTINs. You may be able to list several premises under one registration, or elect separate registrations for qualifying places under section 25 and the applicable rules. A business operating through an establishment in another state generally has to examine registration in that state.

Every additional GSTIN changes the compliance picture: registrations are treated as distinct persons, supplies between them must be handled correctly, and common input-tax credit may need an appropriate allocation. The choice should follow the legal person, state, place of supply and operational facts—not a desire to split turnover or avoid registration obligations.

The basic rule: start with the legal person, PAN and state

The GST framework begins with the person liable for tax and the state or Union territory in which that person operates. The Central Board of Indirect Taxes and Customs (CBIC) FAQ describes the general position as one registration for a PAN holder in each state, with an option for separate registrations in specified circumstances. The GST Portal’s normal-taxpayer registration guide also requires PAN as part of the application.

That means a sole proprietor using several shop names in Maharashtra is not automatically several GST persons. Likewise, a company selling through different divisions in Karnataka does not receive a new GSTIN merely because each division has a different product line. The legal constitution and PAN remain the starting point.

CBIC’s FAQ uses this wording for an entity carrying on trading and manufacturing in one state: There will be only one registration per State for all activities. But, you have the option to be registered as a separate business vertical. It also answers the question about two differently named companies operated with the same PAN by stating: One PAN holder gets one registration in every state, but he has the option of getting different registrations for different business verticals. The FAQ is undated and uses terminology associated with an earlier rule formulation, so treat those sentences as orientation and confirm the current statute, rules and notifications before filing.

One GSTIN can cover several activities and premises in one state

Different activities or trade names

Separate GSTINs are not triggered solely by running manufacturing, wholesale, online sales and services under one PAN in the same state. You can generally disclose the activities and business locations in the registration application and operate them under the state registration, subject to the conditions of the tax scheme you choose.

A brand name is not a separate legal person. If “North Star Foods” and “North Star Catering” are business names of the same proprietor, the names alone do not answer the registration question. Keep invoices and records clear about the registered legal name, trade name and place from which the supply is made.

Additional places of business

The application allows a principal place of business and additional places. A warehouse, branch office or second shop in the same state may therefore be represented within the existing registration. Use the live portal labels and document requirements when adding a location; the portal guide can change as the system is updated.

Section 25(2), reproduced in CBIC’s statutory material, also permits separate registration for multiple places in a state when the prescribed conditions are met. This is an option, not a rule that every branch must have its own GSTIN. Before choosing it, compare the record-keeping, invoicing, credit and tax-scheme consequences for each location.

Why the “business vertical” wording needs care

The CBIC registration-rules page retains language about separately registering business verticals, while a CBIC-hosted statutory extract reflects a legislative change from a business-vertical formulation to multiple places, effective 1 February 2019. The page and older PDF versions are not a substitute for a current consolidated reading. If your proposed separation depends on a particular rule condition, verify the current text and any state-specific implementation before applying.

When a separate GSTIN becomes relevant

A place of business in another state or Union territory

GST registration is state-specific. The CGST Act treats an establishment in one state and an establishment in another state as establishments of distinct persons under section 25(5). A branch, office, factory or other business operation in another state can therefore require a fresh registration there when the person is liable.

Do not confuse this with merely selling to customers in another state. CBIC’s FAQ explains that a supplier operating from one state and making supplies to another may register in the state from which it supplies and pay IGST on inter-state supplies. Whether a destination-state registration is needed depends on the actual place of business, where the supply is made, the type of supply and current liability rules. Place-of-supply provisions and exceptions must be checked for the transaction rather than inferred from the customer’s address.

Separate legal entities

Companies, LLPs, partnerships, trusts and other legally constituted persons must be assessed according to their own constitution and PAN. Common owners, directors, investors or branding do not merge two companies into one GST person. Conversely, two trade names used by one proprietor do not become separate companies merely because their signage is different.

Confirm the entity’s incorporation or constitution documents, PAN and actual contracting party before deciding. The sources cited here provide the PAN-and-state framework but do not resolve every group-entity or restructuring fact pattern.

Electing separate registrations for places in one state

Separate registrations may be useful where locations operate with genuinely distinct accounting, inventory or management processes and the statutory conditions are satisfied. The choice is not purely administrative. It creates distinct-person transactions and can alter how common costs and input tax credit are handled. A business that cannot maintain location-level records may create more risk by separating registrations than by retaining one registration with additional places.

SEZ units and developers

The registration rules contain a special proviso for an SEZ unit or developer to be registered distinctly from units located outside the SEZ. Treat this as a fact-specific rule: verify the current SEZ status, registration conditions and documentation before relying on it.

What changes after you obtain another GSTIN

Registrations are distinct persons

Section 25(4) states that a person who has, or is required to have, more than one registration—whether in one state or in several states—is treated as a distinct person for the purposes of the Act. Section 25(5) separately addresses establishments in different states. The practical result is that “it is all my business” is not enough to ignore the GST treatment of a movement or service between registrations.

Inter-registration supplies need proper documents

When one registration supplies goods or services to another registration of the same legal person, plan the transaction as an inter-registration supply. The applicable tax, valuation, invoice or bill-of-supply requirement and recipient’s credit eligibility must be checked for the facts. The CBIC-hosted rules material describes conditions under which a separately registered place pays tax on supplies to another registered place and issues the relevant invoice or bill of supply.

Examples include stock moved from a registered factory to a separately registered depot, shared support supplied by a head office to branches, or a service team working for another state registration. Do not treat a book entry or internal transfer as automatically outside GST.

Common input tax credit must be allocated deliberately

Centralised expenses such as accounting, software, human resources or legal services may benefit several distinct registrations. CBIC’s sectoral FAQ explains that common services should be appropriately invoiced or distributed through the Input Service Distributor (ISD) mechanism to the distinct persons that actually used them. Keep an allocation basis and supporting records; do not claim the entire credit in whichever GSTIN received the vendor invoice if other registrations consumed the service.

Compliance and tax-scheme effects

Each GSTIN requires registration-level books, invoices, reconciliations and return work. Separate registrations can make operational reporting clearer, but they also multiply controls and create more points at which a missed invoice or incorrect credit allocation can occur. Check whether the registrations can use the same tax scheme and whether a planned separation affects eligibility; the answer can depend on the current law, turnover calculation and supply profile.

Decision framework for common situations

Situation General orientation Checks before filing
One person, several trade names or activities in one state Do not assume each name or activity needs a GSTIN; one state registration is the usual starting point. Confirm current law for the activities, tax-scheme eligibility, invoicing names and records.
One person, multiple premises in one state List a principal place and additional places, or consider a separate registration where section 25 and the rules permit it. Read the current rule conditions, maintain location records, and plan inter-registration invoices and credit.
Same PAN with establishments in different states State-specific registration is generally relevant, and the Act treats the establishments as distinct persons. Identify where the supply is made, registration liability, place-of-supply rules and current exceptions.
Different incorporated or otherwise constituted entities Analyze each legal person and PAN separately; shared ownership or branding is not decisive. Confirm constitution, PAN, contracting party and actual business operations.
SEZ unit or developer alongside non-SEZ operations The rules identify separate-registration treatment for the SEZ operation in specified circumstances. Verify current SEZ facts, documentation and the applicable registration rule.

How to choose one registration or several

  1. Identify the legal person. Write down the proprietor, company, LLP, partnership or other entity that makes the supplies. Match it to the PAN used for registration.
  2. Map every location. Mark the state or Union territory of the principal place, each additional premise and every out-of-state establishment. A customer’s state is not automatically your place of business.
  3. Classify each site. Decide whether it is only an additional place under one registration, a qualifying place for a separate registration, an establishment in another state, or an SEZ operation.
  4. Test liability and current exceptions. Verify the current CGST, SGST and IGST provisions, notifications and state-specific requirements. The official material available for this topic includes a statutory PDF updated through 31 August 2021 and an undated FAQ; neither should be used to quote a current turnover threshold without checking later amendments.
  5. Model internal transactions. List stock transfers, shared services, head-office costs, employee work and credit flows between proposed registrations. Decide how invoices, valuation and ITC allocation will be documented.
  6. Compare control burden. Estimate separate ledgers, reconciliations, return preparation, reconciliations and audit trails. Choose multiple GSTINs only when the legal or operational benefit justifies that additional control work.
  7. Apply through the current portal. Use the GST Portal’s “Apply for Registration — Normal Taxpayer” workflow, enter PAN and state details, and add additional places where appropriate. If a separate registration is selected, complete the application for the relevant state or qualifying place and retain the supporting documents.

GST Portal details and records to prepare

The official application guide describes the normal-taxpayer process and the facility to add business places. Portal labels and screens can be revised, so follow the live instructions rather than an old screenshot.

  • PAN and the legal name of the person applying.
  • State or Union territory in which the registration is sought.
  • Principal-place and additional-place information.
  • Documents supporting constitution, authorised signatory and business premises, as requested by the live application.
  • A written map of which activities, inventory and services belong to each proposed GSTIN.
  • A credit-allocation and inter-registration invoicing procedure if more than one registration will exist.

Keep the registered legal name consistent across contracts, invoices and the application. Trade names can identify a business to customers, but they should not obscure which legal person and GSTIN made the supply.

Common mistakes and how to correct them

Using a second GSTIN to split turnover

An additional registration is not a device for fragmenting one person’s turnover or bypassing compulsory-registration rules. Review the PAN, legal person, state and actual places of business first. If the only objective is to remain below a threshold, obtain current professional advice before filing.

Assuming every branch needs its own number

A same-state branch may be added as an additional place, while a separate registration may be optional where conditions are met. Gather the current rule text and compare the cost of separate records with the operational reason for separation.

Repeating an old threshold from an FAQ

The CBIC FAQ contains turnover figures, but it has no displayed publication date and those figures were not verified against current legislation for this decision. Do not quote them as current. Check amended CGST, SGST and IGST law and notifications for the taxpayer’s state, supply type and date.

Confusing a trade name with a company

Two shop names under one proprietor are not automatically two legal persons. Conversely, two incorporated companies with similar names do not become one person because management is shared. Check PAN and constitution documents.

Ignoring distinct-person credit rules

After registering separately, document stock, services and common-cost allocations between GSTINs. Use the appropriate invoice or ISD process where required and preserve the basis for the allocation.

Relying on obsolete “business vertical” language

Older CBIC material may describe separate business verticals. Because the statutory framework and rules have changed over time, confirm the current provision that supports your proposed registration instead of copying an old application explanation.

Sources and currency warning

The legal framework is set out in the CBIC-hosted CGST Act PDF, which states that it is updated through 31 August 2021, and in a CBIC-hosted statutory text. Registration procedures and rules are available on the CBIC registration-rules page. CBIC’s FAQ and sectoral FAQs provide administrative explanations, but the general FAQ does not show a publication date. Recheck amendments, notifications and state-specific facts as of the date you apply.

This is general India-focused information, not a determination for a particular taxpayer. A GST practitioner, chartered accountant or tax adviser can test the legal-person, place-of-supply, SEZ and credit-allocation facts before you choose a registration structure.
