There is no single GST payer or payment date for every joint development agreement (JDA). A typical JDA creates at least two supplies: the landowner transfers development rights or floor space index (FSI) to the developer, and the developer supplies construction service for the landowner’s agreed share of units. GST responsibility and timing depend on the parties’ status, the consideration, when rights were transferred, the project category, and the central and state notifications in force for that period.
For transactions covered by Notification 4/2018-Central Tax (Rate), the special time-of-supply trigger is generally the developer’s transfer of possession or the right in the constructed property to the development-right supplier through a conveyance deed or similar instrument. Official GST Council material describes a separate framework for development rights received by a promoter on or after 1 April 2019, using the project’s completion certificate or first occupation, whichever is earlier. Those are date-sensitive pathways, not a universal rule.

Why a JDA can involve more than one GST supply
A JDA is not automatically one taxable transaction. The agreement may exchange development rights for construction, while the developer separately sells units to outside buyers. Each supply must be identified before deciding who accounts for GST.
Development rights or FSI supplied by the landowner
The landowner may permit the developer to develop the land, use specified FSI, or market and construct a project. The legal and commercial form can be an area-sharing arrangement, a revenue-sharing arrangement, cash plus units, or a mixture. The transfer of those rights is one side of the analysis.

Construction service supplied to the landowner
In return, the developer may construct and hand over apartments, shops, or other units to the landowner. The construction service provided against development rights is a separate supply from any later sale by the landowner. Do not treat a landowner’s sale of a completed unit as if it were automatically the same supply as the developer’s construction service.
Construction supplied to independent buyers
The promoter can also supply construction service to purchasers who book units before the relevant completion milestone. Those buyer transactions have their own place-of-supply, valuation, rate, invoicing, and time-of-supply questions. A JDA does not merge the developer’s obligations to the landowner and to outside buyers.
When construction is treated as a service
Schedule II of the Central Goods and Services Tax Act treats construction of a complex, building, or civil structure intended for sale to a buyer, wholly or partly, as a supply of services when consideration is received before issuance of a completion certificate where required or before first occupation, whichever is earlier. Works contract is also treated as a composite supply of services. These classifications matter because they determine which service-supply and time-of-supply rules must be tested.

The key milestone is therefore not simply the date on which a JDA was signed. You may need the date development rights or FSI were actually transferred, the dates of bookings and payments, and the date of the completion certificate or first occupation. The operative law can differ for rights transferred in different periods.

Notification 4/2018: the possession-based timing rule
Notification 4/2018-Central Tax (Rate), issued on 25 January 2018, created a special procedure for specified registered persons supplying development rights in exchange for construction service and for construction service supplied in exchange for development rights.
What event triggers liability under this route
For a transaction within the notification’s scope, the stated time-of-supply procedure is tied to the developer transferring possession or the right in the constructed complex, building, or civil structure to the person who supplied the development rights. The transfer can be evidenced by a conveyance deed or a similar instrument, including an allotment letter where the facts and documents fit the notification.
In practical terms, the parties must identify the handover or legally effective right-transfer event and preserve the supporting instrument. A construction-completion certificate by itself does not answer the question if the notification’s possession or conveyance trigger has not occurred, and a signed JDA by itself does not establish that the taxable event has already happened.

Why this notification cannot be used as a universal answer
The notification text states that it does not apply to development rights supplied on or after 1 April 2019. That exclusion means a 2018-era explanation cannot simply be copied into a later project file. Confirm the date on which the development rights were supplied and read the notification and amendments applicable to that project.

Post-1 April 2019 promoter framework
GST Council meeting material describes a framework for development rights or FSI received by a promoter on or after 1 April 2019, and for the construction service supplied in exchange. Under that description, liability is shifted to the project’s issuance of a completion certificate or first occupation, whichever is earlier.
Why the date and notification version matter
Official Council material also notes that Notification 4/2018 had not been superseded and that notification paths could interact where rights were transferred on or after 1 April 2019. This is why a slogan such as “GST is always payable at possession” or “GST is always payable at the occupancy certificate” can be wrong. The agreement date, the actual rights-transfer date, the promoter’s status, the project category, and the notifications then in force must be reconciled.
Documents needed to place a project on the correct path
- The executed JDA and any supplemental development-rights or FSI documents.
- Evidence of when rights were transferred or made available to the developer.
- Allotment letters, conveyance deeds, possession records, and construction-handover documents.
- The completion certificate date, if one is required, and the date of first occupation.
- Evidence of the landowner’s and developer’s GST registration and whether either is acting as a promoter.
- Booking, sale, and payment dates for units sold to independent purchasers.
Who actually pays GST?
“Who pays” has two meanings: who is legally liable to pay tax to the government, and which party ultimately bears the cost under the JDA. They are not always the same. Start by identifying the supplier and recipient for each supply, then check whether the applicable rule uses forward charge or reverse charge.

Construction service supplied to the landowner
Where the developer supplies construction service in exchange for development rights, the developer is ordinarily the supplier of that service. Whether the developer charges GST to the landowner or a reverse-charge provision shifts the payment obligation depends on the specific notification, project classification, and period. The material available for this article does not establish one blanket reverse-charge result for every JDA, so the agreement should not state a universal payer without checking the operative rule.

Development rights supplied to the developer
The landowner’s transfer of development rights or FSI is the reciprocal supply. In some promoter situations, a special reverse-charge mechanism may apply to development rights received by the promoter. The existence and scope of that mechanism, including exemptions, caps, and residential-versus-commercial distinctions, must be verified against the notifications applicable to the project period.
Landowner’s later sale of its share
If the landowner independently markets or sells units, analyze those sales separately. A completed-property sale may fall outside the construction-service treatment that applies before completion certificate or first occupation, but the result depends on the precise transaction and applicable law. The developer’s tax on construction supplied under the JDA does not automatically settle the landowner’s later sale position.
How valuation is determined
Section 15 of the CGST Act generally starts with transaction value when the statutory conditions are satisfied. JDA construction-for-rights transactions can be subject to special real-estate valuation provisions, however. The taxable value may require a prescribed method rather than simply the landowner’s accounting cost or the market price of an unrelated unit.

- Mixed consideration: cash, units, FSI, or other agreed benefits combined.
Do not insert a single rate, land deduction, or valuation formula into every JDA. The applicable residential or commercial category, affordable-housing treatment where relevant, land-related deduction rules, and the notification version can change the calculation. The exact operative rate and valuation notifications must be reviewed with the project facts.

Area-sharing arrangement
The landowner receives identified apartments or other units, often described by super built-up area, carpet area, floors, or a schedule of units. The construction service is linked to delivering those units. The handover, allotment, or conveyance document becomes especially important when applying a possession-based time-of-supply rule.
Revenue-sharing arrangement
The landowner receives a percentage or amount linked to sales revenue rather than a fixed set of units. Bookings, collections, cancellations, and the timing of the developer’s sales can affect the commercial accounting. The GST analysis still requires identification of the construction service and the development-rights supply; revenue sharing does not by itself prove a particular tax result.
Why an advance ruling is not a universal precedent
A GST Council-hosted advance ruling concerning Sripriya Constructions discusses area-sharing and revenue-sharing JDAs and the promoter framework under Notification 3/2019. On the facts before that authority, the landowner transferred development rights and received ongoing construction service, with GST applied when the construction service was supplied. That conclusion illustrates how a fact pattern may be analyzed; it does not decide every JDA, every state, or every later amendment.
A practical method for determining payer and date
- Map every supply. List development rights or FSI, construction delivered to the landowner, and construction or unit sales to outside buyers as separate lines.
- Classify the project. Record whether it is residential, residential with commercial area, commercial, or another category, and whether the landowner is itself a promoter.
- Fix the rights-transfer date. Distinguish the JDA signing date from the date rights were actually supplied, vested, or made available under the documents.
- Collect milestone dates. Note bookings, advances, allotment, possession, conveyance, completion certificate, and first occupation dates.
- Test the historical rule. For rights supplied before 1 April 2019, check whether Notification 4/2018 covers the parties and supply. For rights supplied on or after that date, examine the promoter framework and its interaction with the notification text and amendments.
- Identify the liable person. For each supply, determine the supplier, recipient, registration status, and whether forward charge or reverse charge applies under the operative notification.
- Determine value and rate. Apply the period-specific valuation and rate provisions, including any prescribed real-estate formula or deduction. Do not substitute a general market value unless the governing rule permits it.
- Reconcile contracts and returns. Ensure invoices, tax clauses, books, GST returns, allotment letters, and handover documents use the same supply description and dates.
Common mistakes and how to correct them
- Using the JDA signature date as the tax date: check when development rights were actually transferred and when the construction or property right was supplied.
- Assuming the developer always pays: identify each reciprocal supply and test any reverse-charge rule separately.
- Applying Notification 4/2018 to every project: its text excludes development rights supplied on or after 1 April 2019, so later projects require a separate analysis.
- Equating occupancy with every possible trigger: completion certificate or first occupation is central to the post-2019 framework, while the 2018 procedure uses a possession or right-transfer event for covered supplies.
- Quoting one GST rate from an old agreement: rates, valuation provisions, exemptions, and land deductions can change by project category and amendment.
- Ignoring the landowner’s promoter role: a landowner that sells its own share may have separate registration, invoicing, and liability questions.
- Treating one advance ruling as a national rule: rulings are tied to their facts and jurisdictional setting.
JDA review checklist for the parties
Before allocating GST in the agreement, prepare a written schedule containing:
- the legal description of the land and development rights or FSI;
- the area, revenue, cash, or mixed consideration promised;
- the identity and GST status of each supplier and recipient;
- the project classification and the party acting as promoter;
- the rights-transfer, booking, payment, allotment, possession, conveyance, completion-certificate, and first-occupation dates;
- the notification, valuation rule, rate, exemption, and charge mechanism selected for each supply;
- which party will issue invoices, maintain evidence, fund tax initially, and bear any reassessment, interest, or penalty under the contract; and
- a process for revisiting the allocation if a notification or project milestone changes.
The contract’s tax clause should allocate economic responsibility without pretending that a private clause can override statutory liability. If the developer is legally liable but the agreement makes the landowner bear the cost, that is a commercial reimbursement arrangement; it does not change who must comply with the GST law.
What cannot be answered without project documents
No responsible answer can state a universal GST percentage, land deduction, or reverse-charge payer for all JDAs from the agreement label alone. The complete answer requires the operative central and relevant state notifications, the project’s residential or commercial classification, the parties’ promoter status, the form of consideration, and the historical dates. Where those facts are disputed, obtain a project-specific opinion from an Indian GST or real-estate tax professional and preserve the documents on which the conclusion is based.
