The earlier event controls the paragraph 5(b) test: compare the date the legally required completion certificate was issued with the date of first occupation, then use whichever occurred first. That date does not, by itself, decide whether GST is payable. The statutory exception applies only when the entire consideration for the construction transaction was received after that earlier event.
For a reliable answer, establish the correct certificate under local building law, identify the project’s first occupation, and reconstruct every payment receipt. Possession, registration, agreement signing, or a developer’s internal “completion” date cannot automatically replace those checks.

The legal rule in plain English
Paragraph 5(b) of Schedule II to the Central Goods and Services Tax Act, 2017 treats construction of a complex, building, civil structure, or part of one intended for sale to a buyer as a supply of services. It creates an exception where the entire consideration has been received after either:

and the applicable event is whichever is earlier.
In practical terms, first identify the two milestone dates, select the earlier one, and ask whether all consideration was received after that date. If any part of the consideration was received on or before the earlier milestone, the paragraph 5(b) exception is not satisfied on that wording. A date-only analysis is therefore incomplete.

How to compare the two dates
| Question | What to establish | Why it matters |
|---|---|---|
| Was a completion certificate legally required? | Check the building-control law applying to the project and the authority designated under that law. | The relevant certificate must be one issued by the legally competent authority, where such a certificate is required. |
| When was it issued? | Use the date on the issued certificate, not an application date, inspection date, internal sign-off, or promised handover date. | This is one side of the statutory comparison. |
| When did first occupation occur? | Identify the earliest actual occupation of the building or relevant project, supported by reliable records. | This is the other side of the comparison. |
| Which event happened first? | Compare the two calendar dates. | The earlier event is the cutoff for the paragraph 5(b) test. |
| When was consideration received? | Reconstruct receipts for the entire construction transaction, including instalments and other amounts treated as consideration. | The exception depends on the entire consideration being received after the cutoff. |
For example, if the completion certificate is dated 15 July and first occupation occurred on 30 June, 30 June is the relevant earlier date. If the certificate was issued first and occupation occurred later, the certificate date controls instead.
Why “first occupation” can be earlier than the certificate
First occupation and completion certification are separate facts. A building may be occupied before the formal certificate is issued, or a certificate may be issued before anyone moves in. The statute deliberately compares both and selects the earlier event, so a later certificate cannot move the cutoff forward when occupation already occurred.
Occupation should be established from project and transaction records rather than assumptions. Useful evidence may include a lawful occupancy or possession record, utility activation, society or facility-management records, handover documents, or other contemporaneous material showing when the building was first occupied. The exact evidentiary value depends on the facts and applicable local law; none of these records automatically becomes the statutory completion certificate.
What counts as the completion certificate?
The Act explains “competent authority” as the Government or an authority authorized under the law in force to issue a completion certificate. The correct document therefore depends on the state, city, development authority, municipal body, and project approvals that govern the property.
Where that authority is not required to issue a completion certificate, the explanation identifies alternative certifiers:
- a registered architect;
- a chartered engineer registered with the Institution of Engineers (India); or
- a licensed surveyor of the relevant local body, city, town, village, development, or planning authority.
This list does not tell you which professional document applies to every project. It only addresses the statutory situation in which the competent government authority is not required to issue the certificate. Confirm the local rule and retain the document actually recognized for that project.

Documents that should not be substituted automatically
- A developer’s internal completion memo or marketing announcement.
- A possession offer that does not establish first occupation or legal completion.
- An occupancy certificate when the local law uses a different legally operative document, without checking how that document functions under the local rules.
- A sale deed or registration date.
- A buyer’s move-in date when another unit or common part of the project was occupied earlier.
These records may help prove a timeline, but they do not automatically answer the statutory question. Obtain the document and legal basis applicable to the specific project.

The exception is not phrased as “the sale happened after completion” or “possession was delivered after occupation.” It refers to the entire consideration being received after the applicable earlier event.
Build a receipt schedule for the relevant buyer and unit:
- List every amount received by the registered person, with its receipt date and description.
- Mark the completion-certificate date and first-occupation date on the same timeline.
- Select the earlier milestone.
- Check whether every part of the consideration was received after that milestone.
- Investigate any advance, booking amount, instalment, adjustment, or other receipt dated on or before the milestone.
An agreement signed after occupation does not prove that the entire consideration was received after occupation. Conversely, a payment made before the agreement’s registration may still be relevant if it forms part of the consideration. The records must be examined as a transaction, not by relying on one document date.
Three timeline examples
| Completion certificate | First occupation | Receipt pattern | Paragraph 5(b) implication |
|---|---|---|---|
| 10 March | 25 March | All consideration received after 10 March | The earlier event is 10 March; the exception’s timing condition may be met, subject to the transaction facts. |
| 10 March | 25 March | Booking instalment received on 1 March; balance after 10 March | Because not all consideration was received after the earlier event, the exception is not met on the statutory wording. |
| No certificate required under local law | 25 March | All consideration received after 25 March | First occupation supplies the comparison date, subject to proving that no legally required certificate was omitted. |
These examples explain the test only; they do not determine the rate, tax invoice treatment, place-of-supply issues, or any project-specific notification condition.

Buyer
A buyer should ask the promoter for the legally relevant completion document, the recorded first-occupation date, and a statement of the payment timeline. Keep the agreement, allotment letter, demand letters, bank records, receipts, possession correspondence, and registration papers together. If GST was charged or omitted, compare the charge with the milestone and payment facts rather than assuming that possession or registration alone settles liability.

Promoter or registered person
The promoter should maintain a project-level milestone file and a unit-level receipt ledger. The file should identify the authority or professional who issued the certificate, the legal basis for that document, the first-occupation evidence, and the date each buyer’s consideration was received. Different units can have different payment histories even when they share the same project milestone.
Adviser or auditor
An adviser should test the document’s legal status, reconcile receipts to the ledger and bank account, and separate the paragraph 5(b) exception from rate, invoicing, reverse-charge, and input-tax-credit rules. A disputed or incomplete local record warrants a review under the applicable state or municipal building law.
Related promoter rules that use the same milestone
The completion-certificate or first-occupation milestone appears in other construction-service provisions, but those provisions answer different questions. Do not import their conditions into the paragraph 5(b) buyer-facing exception.

In the construction-service rate framework, an apartment booked on or before the relevant completion-certificate or first-occupation date must satisfy all three conditions described in the CGST Rules:
- Time of supply for part of the construction service occurs on or before that date.
- Consideration equal to at least one instalment is credited to the registered person’s bank account by that date.
- An allotment letter, sale agreement, or similar booking document is issued by that date.
Failure of one condition can change the booking classification for that rule. This three-part test is not a replacement for checking whether the entire consideration was received after the earlier event under Schedule II paragraph 5(b).
Input-tax-credit apportionment and final adjustments
CGST Rules material also describes project-wise input-tax-credit calculations and a milestone-linked adjustment connected with the financial year in which the completion certificate is issued or first occupation occurs. Those calculations concern promoter accounting and credit attribution. They should be performed separately from the buyer’s question of whether the paragraph 5(b) exception applies.

Unbooked apartments and development-right arrangements
CBIC construction-service materials contain separate project-specific provisions involving unbooked apartments attributable to development rights, floor-space index, or certain long-term lease amounts, including reverse-charge treatment in defined circumstances. These are distinct rule branches. Their conditions cannot be applied universally to every apartment sale, and their treatment depends on the project type, notification version, and facts.
A practical workflow for a real transaction
- Define the transaction. Identify the buyer, unit, project, registered person, agreement, and all amounts treated as consideration.
- Identify the governing building law. Determine which municipal, development, planning, or other authority regulates completion and occupation for that property.
- Obtain the completion record. Verify issuer, issue date, project or phase covered, and whether the document is the one required by local law.
- Establish first occupation. Record the earliest supported occupation date and the evidence behind it. Do not assume the buyer’s own move-in date is the project’s first occupation.
- Choose the earlier milestone. Put both dates in a signed timeline and retain the underlying records.
- Reconcile consideration. Match invoices, demands, receipts, bank credits, advances, adjustments, and refunds to the buyer and unit.
- Apply the exception test. Ask whether the entire consideration was received after the earlier date.
- Run separate rule checks. If the seller is a promoter, test booking-date conditions, project-level input-tax-credit adjustments, unbooked-unit provisions, and any applicable reverse-charge branch.
- Document uncertainty. If the certificate, occupation date, or payment allocation is disputed, state the competing facts and obtain a qualified Indian GST opinion before changing the tax position.
Common mistakes and how to correct them
Using the later event
Mistake: Treating the completion certificate as controlling even though first occupation happened earlier, or treating first occupation as controlling even though the certificate was issued earlier.
Correction: Compare both dates every time and select the earlier one.
Ignoring an advance payment
Mistake: Looking only at the final instalment or registration date.
Correction: Reconcile the complete receipt history. One earlier part of the consideration can prevent the “entire consideration after” condition from being satisfied.

Correction: Establish what the document records and compare it with project-level occupation evidence and local legal requirements.
Accepting an uncertified internal document
Mistake: Using a developer’s internal completion statement without checking the issuing authority or professional qualification.
Correction: Verify the competent-authority requirement and the statutory alternative where no government certificate is required.
Mixing buyer liability with promoter accounting
Mistake: Applying an input-tax-credit adjustment, booking definition, or reverse-charge condition as though it were the paragraph 5(b) exception.
Correction: Label each analysis by its legal question and apply its own conditions.
Applying an old rate or notification
Mistake: Quoting a historical construction rate without checking the transaction date and current notification text.
Correction: Recheck the applicable CBIC notification and project conditions for the relevant period. The milestone analysis does not establish a rate amount.
Records checklist
- Completion certificate or legally recognized alternative, including issuer and issue date.
- Local approval or building-law provision showing why that document is competent.
- Evidence of first occupation and the earliest date supported by the project records.
- Allotment letter, agreement for sale, amendments, and possession correspondence.
- Invoices, demand letters, receipts, bank statements, and ledger extracts for every payment.
- Project and unit identifiers linking each receipt to the relevant construction transaction.
- Promoter records for apartment booking, time of supply, and bank-credit conditions.
- Input-tax-credit calculations and milestone adjustments, where the seller is a promoter.
- Written explanations for disputed dates, missing documents, or payments allocated across units.
What the dates do—and do not—decide
The earlier of legally relevant completion certification and first occupation supplies the date used in the paragraph 5(b) comparison. The entire-consideration condition then determines whether the statutory exception can apply. That analysis does not, by itself, determine the tax rate, invoice timing under every rule, place of supply, eligibility for input tax credit, reverse-charge exposure, or the treatment of development rights and unbooked apartments.
Those questions require the transaction date, project structure, notification version, payment records, and the buyer’s or promoter’s role. Where the project has multiple phases, disputed occupation, or an unusual local certificate, obtain advice from a qualified Indian GST professional before filing returns, issuing a credit note, or seeking a refund.
