Foreign ownership by itself does not decide whether a U.S. LLC files Form 5472 or Form 1065. The controlling questions are how many members the LLC has, whether it made a valid federal tax-classification election, and what transactions occurred.
A domestic single-member LLC that remains disregarded for federal income tax generally uses Form 5472 attached to a pro forma Form 1120 when it has a reportable transaction with a related party, subject to exceptions. A domestic LLC with two or more members is generally a partnership and ordinarily files Form 1065, unless an exception or corporate election applies. The owner’s separate income-tax filing obligations are a different question.

The answer at a glance
| LLC facts | Default federal classification | Likely filing path |
|---|---|---|
| Domestic LLC with one member, no corporate election, foreign owner | Disregarded entity for income-tax purposes; treated as a corporation for limited section 6038A reporting | Form 5472 attached to a pro forma Form 1120 if a reportable related-party transaction occurred and no exception applies |
| Domestic LLC with at least two members, no corporate election | Partnership | Form 1065, unless the partnership filing exception applies |
| Eligible LLC that elected corporate treatment | Corporation | Use the corporation’s applicable return regime; do not use the default disregarded-entity or partnership analysis |
| Foreign partnership or another foreign-classified entity | Depends on entity status and income facts | Form 1065 may be required when the foreign partnership has effectively connected income or U.S.-source income, subject to exceptions |
This is a federal classification decision, not a nationality test. Two LLCs with foreign owners can have different filing requirements because one has one member and the other has several members, or because one elected corporate status.

Step 1: Identify the LLC’s federal classification
One member usually means disregarded status
A domestic LLC with one owner is generally disregarded as an entity separate from its owner for federal income-tax purposes. Unless it elects to be treated as a corporation, the LLC normally does not file a regular federal income-tax return of its own. Its income, deductions, gains and losses are generally reported by the owner under the rules applicable to that owner.

That income-tax treatment does not eliminate every federal filing. For a foreign-owned domestic disregarded entity, the Internal Revenue Service applies a special section 6038A information-reporting rule. For that limited purpose, the entity is treated as a corporation, which is why Form 5472 can apply even though the LLC is disregarded for ordinary income-tax reporting.
Two or more members usually means partnership status
A domestic LLC with at least two members is generally classified as a partnership unless it files Form 8832 and elects corporate treatment. The IRS states this rule in the Instructions for Form 1065 (2025): “A domestic LLC with at least two members is classified as a partnership for federal income tax purposes unless it files Form 8832 and elects to be treated as a corporation.”
Once partnership status applies, the LLC is analyzed under partnership filing rules. The fact that one or more members are foreign does not, by itself, convert the entity into a Form 5472 filer.

An eligible LLC can elect to be treated as a corporation by filing Form 8832. The election changes the starting point for the analysis. You must use the effective date and scope of the election, rather than the member-count default, to determine the entity’s return obligations for the tax year.
A corporate election can also affect information-reporting requirements, withholding, estimated-tax planning and the owner’s reporting. Do not assume that an LLC with one member remains on the disregarded-entity path after an election, or that an LLC with several members must continue filing Form 1065 after a valid corporate election.
When Form 5472 is the relevant form
The entity must be a covered foreign-owned domestic disregarded entity
For this comparison, Form 5472 is most commonly encountered when a domestic, single-member LLC is foreign-owned and remains disregarded for federal income-tax purposes. The entity is treated as a corporation only for the limited section 6038A information-reporting rules. That special treatment is not the same as becoming a corporation for all federal tax purposes.

A reportable transaction is required
The Form 5472 obligation generally arises when the covered entity has a reportable transaction with a related party. The requirement is subject to exceptions, so foreign ownership alone is not enough. The LLC must review its transactions for the year and apply the definitions and exceptions in the current Form 5472 instructions.

A disregarded LLC can have a Form 5472 filing obligation even when it has no separate entity-level income-tax return. Conversely, an LLC with a foreign owner may have no Form 5472 filing if it is not a covered disregarded entity, had no reportable transaction, or qualifies for an applicable exception.
Form 5472 is attached to a pro forma Form 1120
The filing package is Form 5472 attached to a pro forma Form 1120. The pro forma Form 1120 is an attachment vehicle for the information return; it should not be described as a full corporate income-tax return for a disregarded LLC. The Form 5472 instructions specify the limited information to enter on the pro forma return and how to submit the package.
The owner’s own income-tax return, information returns, foreign-account reporting and withholding obligations are not replaced by this package. Those obligations depend on the owner’s status, the business activity, the income and deductions, and the payments involved.
When Form 1065 is the relevant form
Domestic partnership-classified LLCs generally file
The IRS generally requires every domestic partnership to file Form 1065. A partnership-classified LLC follows that rule because its federal classification is a partnership, regardless of whether its members are U.S. persons, foreign persons or a mixture.
There is a narrow domestic partnership exception when the partnership neither receives income nor incurs expenditures treated as deductions or credits for federal income-tax purposes. The exception must be tested for the specific tax year. It is not a blanket exemption for a newly formed, inactive or foreign-owned LLC.

The return reports partnership activity, not corporate activity
Form 1065 is generally an information return that reports the partnership’s income, deductions, gains, losses and other tax items and allocates them to the partners. A partnership-classified LLC should not file Form 5472 merely because one partner is foreign. If the entity is a domestic partnership and the filing exception does not apply, Form 1065 is the starting return.
Foreign partnerships require a separate income analysis
A foreign partnership or another foreign-classified entity is not automatically treated like a domestic partnership. IRS Form 1065 instructions generally address filing by a foreign partnership that has effectively connected income or U.S.-source income, subject to exceptions. The entity’s place of formation, tax classification, U.S. business activity, income sourcing and applicable exceptions all matter.
This foreign-partnership analysis should not be substituted for the domestic LLC rules. A U.S.-formed LLC is ordinarily analyzed first under the domestic LLC classification rules, then under the return requirements associated with that classification.
How to work through the decision
- Confirm the legal entity and jurisdiction. Determine that you are analyzing a domestic LLC formed under U.S. state law, rather than a foreign partnership or another foreign entity doing business in the United States.
- Count the members for the tax year. One member generally starts the disregarded-entity analysis; two or more members generally starts the partnership analysis.
- Check for Form 8832 or another classification election. Verify whether an election was filed, its effective date and whether it applies to the year being prepared.
- For a one-member, foreign-owned LLC, test Form 5472 conditions. Confirm that the entity is a covered domestic disregarded entity, identify related-party transactions, and apply the exceptions in the current instructions.
- For a partnership-classified LLC, test the Form 1065 exception. Determine whether the partnership received any income or incurred expenditures treated as deductions or credits. If it did, the general filing rule normally applies.
- Review cross-border consequences separately. Analyze the owner’s or partners’ income-tax returns, withholding, information reporting, effectively connected income and source rules independently of the entity return.
- Use the instructions for the applicable tax year. The IRS has issued Form 5472 instructions dated 12/2024 and Form 1065 instructions for 2025; filing requirements and procedures can change for a later year.
Form 5472 filing mechanics
Prepare the information return and pro forma return together
For a covered foreign-owned domestic disregarded entity, complete Form 5472 for each reportable transaction or related-party relationship required by the instructions, then attach it to the required pro forma Form 1120. The pro forma return is part of the submission package even though the LLC is not filing a normal corporate income-tax return.
Observe the applicable deadline and extension rules
The Form 5472 instructions tie the due date to the applicable return deadline, including extensions. If more time is needed, the instructions provide for Form 7004 to request an extension. An extension postpones the filing deadline; it does not turn a missing reportable transaction into a nonreportable one or eliminate the need to assemble the supporting records.
Use the prescribed paper submission route
Under the Form 5472 instructions surfaced for this filing comparison, a foreign-owned U.S. disregarded entity cannot file Form 5472 electronically. The instructions specify a dedicated fax or mailing route and the information required on the pro forma Form 1120. Confirm the current address, fax number, signature requirements and delivery method in the instructions for the relevant tax year before sending the package.

Retain records that support the filing
Keep the ownership records, related-party agreements, invoices, bank records, capital and distribution records, payment details and calculations used to determine whether a transaction is reportable. The form is an information return, but the transaction classification still needs documentary support.

Start with the partnership’s complete-year activity
For a domestic partnership-classified LLC, gather the partnership’s income, expenses, assets, liabilities, distributions and partner information for the full tax year. The return generally reports the partnership’s activity and passes the appropriate tax items through to the partners.
Check whether the no-income/no-expenditure exception truly applies
The domestic partnership exception is limited to a partnership that neither receives income nor incurs expenditures treated as deductions or credits for federal income-tax purposes. A bank charge, professional fee, interest payment or other expenditure can affect that test. Apply the rule to the actual year’s records rather than relying on an assumption that the LLC was “inactive.”
Handle foreign partners as a separate workstream
Foreign partners can create withholding and partner-level reporting issues that do not replace Form 1065. Determine whether the partnership had effectively connected income, U.S.-source income or other cross-border items, and review the current partnership instructions for related forms and statements.

Example 1: One foreign owner, no election, related-party activity
A U.S.-formed LLC has one foreign member and did not elect corporate treatment. It is disregarded for federal income-tax purposes. During the year, it had a transaction with a related party that is reportable under the Form 5472 instructions. The entity generally prepares Form 5472 and attaches it to a pro forma Form 1120, following the prescribed submission route. The foreign owner separately determines how to report the LLC’s income and other items.

Example 2: Two foreign members, no election
A domestic LLC has two foreign members and made no corporate election. It is generally classified as a partnership. The entity normally analyzes the Form 1065 filing requirement, including the domestic partnership exception. The presence of foreign members does not move the entity to Form 5472.

Example 3: One member but a corporate election
A domestic LLC has one foreign owner but filed Form 8832 with an effective date covering the year. The disregarded-entity default no longer controls for that period. The entity must follow the corporation classification rules and determine which corporate return and information-reporting forms apply.
Example 4: Domestic LLC with no activity
A two-member domestic LLC had no income and no expenditures treated as deductions or credits. It may qualify for the domestic partnership filing exception, but the conclusion depends on the actual records and tax treatment of every item. A one-member foreign-owned LLC still must test the separate Form 5472 rules; “no profit” is not the same as “no reportable transaction.”
Common mistakes and how to correct the analysis
- Choosing a form based on the owner’s passport. Correct the mistake by determining the LLC’s member count and federal classification first.
- Assuming every foreign-owned LLC files Form 5472. Confirm that the entity is a domestic disregarded entity, that a reportable related-party transaction occurred and that no exception applies.
- Filing Form 1065 for a one-member disregarded LLC. Check whether a corporate election changed the classification. If not, evaluate the Form 5472 package instead.
- Treating the pro forma Form 1120 as a corporate income-tax return. It is the attachment vehicle for Form 5472 in this context, not evidence that the disregarded LLC became a regular corporation.
- Ignoring the owner’s separate filing duties. Form 5472 does not report every item that belongs on the owner’s return and does not replace withholding or other international reporting.
- Using an outdated filing method. Verify the current Form 5472 instructions because the submission route, required entries and extension procedures are tax-year specific.
- Skipping the partnership exception test. A partnership that had no income may still have expenditures treated as deductions or credits, which can make Form 1065 necessary.
- Confusing formation status with tax status. A state-law LLC label does not by itself determine federal treatment; elections and default classification rules do.
What the forms do not answer by themselves
Neither Form 5472 nor Form 1065, considered in isolation, resolves every U.S. tax question for a foreign-owned business. The owner or partners may have separate income-tax returns, withholding obligations, information returns, foreign-account reporting or source-of-income issues. A partnership may need to analyze effectively connected income and U.S.-source income, while a disregarded entity’s items generally flow to its owner under the owner’s applicable rules.
Similarly, filing Form 5472 does not establish that the LLC has no U.S. tax liability, and filing Form 1065 does not determine what each partner ultimately owes. These forms describe the entity’s information-reporting route; the substantive tax is determined through the owner- or partner-level rules as well.
When to obtain individualized advice
Professional review is particularly important when the LLC has changed owners, admitted or redeemed a member, made or revoked a classification election, transferred money with its foreign owner or another related party, paid expenses from a foreign account, had U.S. employees or operations, received U.S.-source income, or is uncertain whether a transaction fits a Form 5472 exception. Those facts can change both the entity filing and the owner’s separate reporting.
Give the preparer the formation documents, operating agreement, ownership changes, Form 8832 records, bank statements, related-party agreements, payment ledger and prior filings. Ask the preparer to identify the classification, the form required for the specific tax year, any exception relied upon and the owner-level returns that remain necessary.
Final checklist before filing
- Is the entity domestic, and what was its member count during the tax year?
- Was Form 8832 or another valid classification election filed, and what effective date applies?
- If the LLC is a foreign-owned domestic disregarded entity, did it have a reportable related-party transaction?
- Does a Form 5472 exception apply, or is the form required?
- If the LLC is a partnership, did it receive income or incur expenditures treated as deductions or credits?
- Are the current-year Form 5472 and Form 1065 instructions being used?
- If Form 5472 applies, is it attached to the required pro forma Form 1120 and sent through the prescribed route?
- Was Form 7004 used if an extension is needed?
- Have the owner’s or partners’ separate U.S. and international filing obligations been reviewed?
The practical rule is simple: classify first, test the transaction or partnership exception second, and only then choose the form. Foreign ownership is an important fact, but it is not the decision rule.
