A multi-cap fund must keep at least 75% of total assets in equity and equity-related instruments and at least 25% of total assets in each of large-, mid- and small-cap companies. A flexi-cap fund must keep at least 65% in equity and equity-related instruments, but has no category-level minimum for any market-cap segment.
That makes multi-cap a rule-constrained three-segment category and flexi-cap a manager-directed equity category. Neither rule predicts returns or proves that one is safer. To compare actual funds, you must examine their current portfolios, equity exposure, benchmark, costs and scheme documents.

The two categories at a glance
| Rule | Multi-cap fund | Flexi-cap fund |
|---|---|---|
| Minimum in equity and equity-related instruments | 75% of total assets | 65% of total assets |
| Large-cap minimum | 25% of total assets | No category-level minimum |
| Mid-cap minimum | 25% of total assets | No category-level minimum |
| Small-cap minimum | 25% of total assets | No category-level minimum |
| Who determines the segment mix? | The category rules require minimum exposure to all three segments; the manager decides how to allocate above those floors. | The manager can change the mix among large-, mid- and small-cap companies, subject to the scheme documents and the 65% equity floor. |
SEBI’s September 11, 2020 circular established the multi-cap floors. Its November 6, 2020 circular created flexi-cap as a separate category with a 65% equity minimum and no segment-specific minimums. These are Indian regulatory categories; current SEBI amendments and each scheme’s latest documents take precedence over a general description.

That distinction matters. Likewise, a flexi-cap scheme’s 65% test concerns total assets and includes eligible equity-related instruments.

What the minimums mean in practice
Multi-cap: three mandatory building blocks
For every ₹100 of total assets, a multi-cap scheme must allocate at least ₹25 to large-cap companies, ₹25 to mid-cap companies and ₹25 to small-cap companies. Those three floors already account for 75% of assets, satisfying the category’s minimum equity requirement when the holdings qualify as equity and equity-related instruments.
The remaining 25% is not automatically a cash allocation. The scheme may invest more in any of the three segments or use other investments allowed by its scheme documents and regulations. A manager who prefers large companies cannot reduce small-cap exposure below the 25% category floor merely because market conditions are weak.
There is no requirement that the three segments be held in equal one-third proportions. A portfolio could sit at the three 25% floors and use the balance elsewhere, or it could hold 45% in large caps, 25% in mid caps and 25% in small caps, with 5% in another permitted exposure. The rule fixes minimum building blocks, not a standard portfolio shape above those floors.

Flexi-cap: a movable market-cap mix
A flexi-cap scheme must keep at least 65% of total assets in equity and equity-related instruments, but the category does not require a minimum percentage in large-, mid- or small-cap companies. The manager can therefore tilt toward larger companies, emphasize mid- or small-cap opportunities, or alter the balance as the mandate and market view change.
The absence of segment floors does not mean the fund can ignore its own investment objective. The scheme information document (SID), portfolio disclosures and applicable regulations define what the manager may hold and how the fund handles non-equity assets. A manager may choose a predominantly large-cap portfolio, but that is an implementation decision rather than a promise created by the flexi-cap label.
Flexibility also works in both directions. A flexi-cap manager can reduce a segment after a valuation or risk assessment, but can later increase it when the stated process supports doing so. Investors therefore need to monitor the portfolio and process rather than assuming that a fund bought as “balanced” across segments will remain so.

| Flexi-cap example B | 40 | 30 | 20 | 10 | Yes; equity totals 90%. |
A multi-cap allocation with only 15% in small-cap companies would not satisfy the category rule, even if its total equity exposure were 90%. A flexi-cap allocation with 5% in small-cap companies can satisfy its category rule if total equity and equity-related exposure is at least 65% and the scheme documents permit the holdings.

Consider a second arithmetic trap: a portfolio showing 25% large caps, 25% mid caps and 25% small caps has 75% in those segments, but the remaining 25% still needs to be understood. It could be additional equity, debt, money-market instruments, cash or another permitted holding. The category table alone does not identify that residual allocation.
Why a fund’s name is not enough
Category labels describe regulatory boundaries, not a fund’s current portfolio. Two flexi-cap funds can have very different large-, mid- and small-cap weights on the same date. Two multi-cap funds must meet the same floors but can differ materially in how much they hold above those floors, how concentrated their top holdings are and how much they keep in permitted non-equity assets.
Portfolio percentages also change. A rising share price can alter market-cap weights without a trade, while subscriptions, redemptions and rebalancing can move exposures. Always attach the disclosure date to a percentage and compare funds using portfolio statements from comparable dates.
Do not infer that a fund is currently near its category minimum simply because its name appears in a comparison list. A fund can be comfortably above a floor, and its market-cap mix can drift between disclosures. The legally relevant question is whether the scheme complies with the applicable rule and its own documents, not whether its latest snapshot resembles another scheme.
How to compare two actual funds
- Verify the category and mandate. Read the latest SID and factsheet to confirm that each scheme is classified as multi-cap or flexi-cap and to understand its permitted instruments, benchmark and stated objective.
- Record the disclosure date. Note when the portfolio was published. Do not treat an old allocation as the fund’s current position.
- Map market-cap exposure. Record the disclosed large-, mid- and small-cap percentages. Check how the fund defines or reports those buckets and whether the figures are based on total assets or only the equity sleeve.
- Check total equity exposure. For a multi-cap fund, confirm at least 75% in equity and equity-related instruments. For a flexi-cap fund, confirm at least 65%. The segment percentages and the total equity percentage answer different questions.
- Identify residual assets. Review debt, money-market, cash, derivatives or other permitted holdings where disclosed. A 25% non-segment balance in a multi-cap illustration is not a promise that a fund will hold 25% cash.
- Assess concentration. Compare the largest holdings, sector weights and the share represented by the top 10 positions. Category floors do not set a universal concentration limit.
- Read the benchmark and process. Examine the benchmark, portfolio-construction method, rebalancing language and the manager or mandate details. A flexible mandate can produce very different outcomes depending on how it is implemented.
- Compare costs from current documents. Use the latest expense-ratio and other scheme disclosures. Do not copy a cost figure from an unrelated plan, an older period or a different option.
- Check the scheme’s risk disclosure. Review the mandated riskometer and the fund’s stated risks alongside the holdings. The category name alone cannot describe the portfolio’s current volatility.
Use the same date range and plan type when making the comparison. A direct plan and a regular plan may have different costs, and comparing one fund’s current disclosure with another fund’s much older statement can create a false impression of allocation or concentration differences.
Risk and return: what these rules do—and do not—tell you
Both categories are equity-oriented mutual-fund categories. AMFI notes that equity schemes can be volatile over short periods and are generally intended for investors with a higher risk appetite and a longer investment horizon. That is a general equity observation, not a forecast for either category.
AMFI also states that risk and return depend on the equity exposure a fund takes and that greater equity allocation means greater risk. The flexi-cap minimum is 65%, while the multi-cap minimum is 75%, but this difference does not establish a permanent risk ranking. A flexi-cap fund may hold substantially more than 65% in equities, and a multi-cap fund may hold more than its 75% floor. Company selection, sector concentration, valuation, liquidity, derivatives and non-equity holdings also affect outcomes.
Multi-cap’s 25% small-cap floor can create exposure that a manager could not eliminate during a small-cap downturn. The same rule also prevents the portfolio from becoming entirely dependent on large companies. Flexi-cap’s discretion can allow a manager to reduce a segment, but it also makes the result more dependent on that manager’s decisions and the scheme’s stated process.

Neither category rule is a return target, a guarantee or a substitute for a risk assessment. A higher or lower allocation floor can change the range of exposures a manager may take, but realized results still depend on the securities selected, their valuations, market conditions and the way the portfolio is managed.
When each structure may fit a decision
A multi-cap structure may suit an investor seeking enforced segment exposure
- You want the portfolio to maintain minimum exposure to large-, mid- and small-cap companies through the category rule.
- You accept that the manager cannot take the small-cap allocation below 25% of total assets, even when that segment is out of favour.
- You are prepared for equity-market volatility and can tolerate the possibility that the mandated mix will differ from your preferred allocation.
A flexi-cap structure may suit an investor seeking manager discretion
- You prefer the manager to change market-cap exposure without category-level minimums.
- You understand that the portfolio could be heavily tilted toward one segment at a given time.
- You are willing to evaluate the manager’s process, portfolio changes and concentration rather than relying on the category label.
These are decision characteristics, not personalized recommendations. Suitability depends on your objective, time horizon, ability to withstand losses and overall asset allocation.
Common misunderstandings to avoid
“Multi-cap means an equal one-third allocation”
No. The rule sets a 25% minimum for each segment, not a 33.33% target. A scheme can hold more than 25% in one segment while keeping the other two at their floors.
Do these 3 things before closing this tab:
1Scan for outdated or missing drivers - takes under a minute2Clear out junk files and repair common Windows errors3Fix the driver behind crashes, sound loss and screen glitches“Flexi-cap means the manager can hold anything”
No. The fund remains subject to its SID, SEBI regulations, permitted instruments and the 65% equity and equity-related minimum. Flexibility concerns market-cap allocation; it is not an unrestricted mandate.
“The higher minimum makes multi-cap automatically riskier”
No category rule guarantees that conclusion. Actual equity exposure, holdings, concentration and market conditions determine the portfolio’s risk.
“The category decides future returns”
No. The percentages are regulatory thresholds, not return statistics, performance targets or guarantees. Past performance and a category label cannot substitute for reviewing the current scheme.
“A single factsheet is enough”
A factsheet is useful but incomplete. Read the SID, portfolio disclosure, benchmark information, risk disclosures and current cost data before making a comparison.
“The residual allocation is always cash”
No. The amount outside the three market-cap buckets may include additional equity exposure or other investments permitted by the scheme documents and regulations. Only the dated portfolio and SID can show what it actually contains.

Using scheme documents correctly
The SID is the controlling source for a particular scheme’s objectives, permitted investments, allocation ranges and rebalancing provisions. For example, a UTI Flexi Cap Fund SID dated November 21, 2025 demonstrates why fund-level documents matter: they contain scheme-specific allocation and rebalancing language that cannot be inferred from the words “flexi-cap” alone. That example does not establish that every flexi-cap fund uses the same limits or process.
Read the document’s date and plan or option name. A regular plan and a direct plan can have different costs, and an updated SID can replace earlier wording. If the category rules or a scheme document appear inconsistent, rely on the latest official SEBI material and the current document for the scheme you are considering.
Keep the regulatory source and the scheme source separate in your notes. SEBI establishes the category-level floor; the fund’s SID explains its objective, permitted assets, allocation ranges and rebalancing approach. A scheme may disclose additional internal limits, but those do not remove the applicable SEBI minimum.

| Question | Why it matters |
|---|---|
| Is the scheme currently classified as multi-cap or flexi-cap? | Confirms which regulatory floor applies. |
| What is the portfolio date? | Prevents an old allocation from being treated as current. |
| What are large-, mid- and small-cap weights? | Shows the actual segment mix, not just the label. |
| What is total equity and equity-related exposure? | Tests the 75% multi-cap or 65% flexi-cap minimum. |
| What remains outside those buckets? | Reveals debt, cash and other permitted exposures. |
| How concentrated is the portfolio? | Highlights single-company and sector-specific risk. |
| What benchmark and process are stated? | Provides context for evaluating the manager’s decisions. |
| What costs and disclosures apply to your plan? | Ensures the comparison uses current, relevant figures. |
Regulatory dates and keeping the comparison current
The multi-cap floors come from SEBI’s September 2020 categorization action, and the flexi-cap category was introduced by SEBI in November 2020. Regulations and circulars can be amended. Before investing or switching, check the latest SEBI categorization material, the fund house’s current SID and the latest portfolio disclosure rather than relying on an archived explainer.
A February 2026 SEBI categorization PDF appeared in search results with the same headline 75%/25%-each multi-cap and 65% flexi-cap rules, but detailed legal wording should be verified in the official circulars and subsequent amendments. Treat the current regulator publication as authoritative, not a summary table copied elsewhere.
Do not treat a headline percentage as a permanent portfolio promise. It is a minimum that must be read together with the scheme’s own allocation ranges, rebalancing provisions and permitted-investment clauses.
Frequently asked questions
Can a multi-cap fund hold less than 25% in small caps temporarily?
The category rule requires at least 25% of total assets in each of the three segments. A reader should therefore check the latest official portfolio and the applicable SEBI material rather than assume that a temporary breach is permitted. The category label itself does not authorize dropping below the floor.
Can a flexi-cap fund invest 100% in large-cap companies?
There is no category-level minimum for mid- or small-cap companies, so the category rule does not require exposure to those segments. Whether a particular portfolio can be that concentrated depends on its SID, permitted instruments, regulations and the manager’s stated process.

Is 75% equity in a multi-cap fund the same as 75% across the three segments?
Not necessarily. The three 25% segment floors collectively account for 75% of total assets when the holdings qualify. The remaining assets can include more equity or other permitted investments, so you must inspect the full portfolio.
Which category is safer?
Neither label settles that question. Both are equity-oriented categories, and AMFI warns that equity schemes can be volatile over short periods. Actual holdings, equity exposure, concentration, liquidity and market conditions matter.
Should I choose a fund solely because it is flexi-cap?
No. Flexi-cap describes the absence of segment-specific category floors. Compare the fund’s dated holdings, benchmark, process, costs, risk disclosure and SID before deciding whether it fits your objective and tolerance for losses.
How often should I check allocations?
Use the latest available portfolio disclosures when comparing schemes and attach the disclosure date to every percentage. Because market movements, subscriptions, redemptions and rebalancing can change weights, an old factsheet should not be treated as a current portfolio.
Bottom line
Choose the category based on the rule you want to live with: multi-cap requires at least 25% of total assets in each of large-, mid- and small-cap companies and at least 75% in equity and equity-related instruments; flexi-cap requires at least 65% in equity and leaves market-cap allocation to the manager. Then compare the actual schemes’ dated holdings, equity exposure, residual assets, concentration, benchmark, costs and documents. The category rule is a starting point for analysis, not a prediction of performance or a substitute for suitability advice.
Frequently Asked Questions
What is the main difference between multi-cap and flexi-cap funds?
A multi-cap fund must invest at least 75% of total assets in equity and equity-related instruments, with at least 25% in each of large-, mid- and small-cap companies. A flexi-cap fund needs at least 65% in equity and has no category-level minimum for any market-cap segment.
Does a multi-cap fund have to invest one-third in each segment?
No. It must keep at least 25% of total assets in each segment. The manager can allocate more than 25% to one segment while keeping the other two at their floors.

One-click scans. No signup required.
Can a flexi-cap fund avoid small-cap stocks?
The category rule does not impose a small-cap minimum. Whether a particular scheme can avoid them depends on its SID, regulations and stated investment process.
Are flexi-cap funds automatically less risky because their equity minimum is lower?
No. A flexi-cap fund may hold well above 65% in equity. Actual holdings, concentration, liquidity, sector exposure and market conditions determine risk.
What should I compare before selecting either category?
Compare the latest dated large-, mid- and small-cap weights, total equity exposure, residual assets, concentration, benchmark, process, costs, risk disclosures and the current SID.
The Bottom Line
Multi-cap funds enforce exposure to all three market-cap segments; flexi-cap funds leave that mix to the manager. Use the category rule as a starting point, then review current scheme-level evidence.
