Fee-only vs. fee-based financial advisors: What the difference means for you

Fee-only and fee-based describe how a financial professional is compensated, not whether the advice is automatically better or conflict-free. Under CFP Board standards, a CFP® professional or firm may use “Fee-Only” only when neither receives sales-related compensation and related parties receive no such compensation connected with professional services. CFP Board treats “Fee-Based” as equivalent to “commission and fee,” meaning the professional may receive client-paid fees and sales commissions. Ask exactly who pays the adviser, what services are included, what conflicts exist and which legal capacity and conduct standard apply.

The short answer: compensation is the difference, not a guarantee of impartiality

A fee-only adviser is generally paid by the client through fees such as a fixed project charge, hourly billing or an ongoing percentage of assets managed. For CFP® professionals, CFP Board’s Fee-Only representation has a specific requirement: neither the professional nor the firm may receive sales-related compensation, and related parties may not receive that compensation in connection with professional services.

A fee-based adviser may receive client fees and compensation linked to selling financial products. CFP Board says “Fee-Based” is equivalent to “commission and fee.” That can include commissions from investment, insurance or other product providers in addition to fees paid by the client.

The label does not answer every question that determines whether an engagement is suitable. No compensation model removes every conflict. An asset-based fee can give an adviser a financial incentive to keep assets under management; an hourly arrangement can create an incentive to bill more time; and commission arrangements can create incentives connected with product selection or sales. You need to evaluate the actual services, compensation streams, conflicts, legal capacity and disclosures.

What “fee-only” means under CFP Board standards

The compensation boundary

For a CFP® professional or firm, “Fee-Only” is a defined representation under CFP Board’s standards. The professional and firm must not receive sales-related compensation, and related parties must not receive such compensation in connection with professional services. The requirement concerns how compensation is received, not simply whether the client sees an invoice.

A client-paid fee can be calculated in several ways. It may be a fixed amount for a planning engagement, an hourly charge, a recurring retainer or a percentage of assets managed. Those arrangements can all be fee-only if the CFP Board compensation conditions are met. The exact fee formula, billing schedule and services still need to be documented.

What the label does not establish

These CFP Board definitions apply to CFP® professionals and their firms. They are not a universal legal definition for every person who uses the words “financial adviser.” A person may describe a practice in a way that sounds similar while operating under a different credential, registration or regulatory framework. Confirm the individual’s credentials and the firm’s disclosures rather than relying on a marketing label.

What “fee-based” means and why the wording causes confusion

Fee-based is not the same as fee-only

Under CFP Board terminology, “Fee-Based” means “commission and fee.” A fee-based professional can receive fees from a client and sales compensation from a product provider or another source. The two revenue streams may apply to different recommendations or to the same overall relationship.

Sales compensation can take different forms. Ask whether the adviser or a related party receives product commissions, referral payments, revenue sharing or other third-party compensation. A fee schedule showing what you pay directly will not necessarily show every payment connected with a recommendation.

Why a fee-based relationship may look like a fee-only one

A fee-based adviser may charge an explicit planning or management fee, so the client sees a familiar invoice. Commissions may be triggered only when certain products are purchased. The result can look “fee-based” in casual conversation even though the adviser has more than one compensation source. Request the latest Form CRS and Form ADV brochure and ask the professional to explain every compensation category in plain language.

Fee-only and fee-based compared across the questions that matter

Question Fee-only arrangement Fee-based arrangement What you should verify
Who pays? Typically the client pays the professional or firm; a CFP® professional using the Fee-Only representation must meet CFP Board’s restrictions on sales-related compensation. The client may pay fees and the professional or a related party may also receive commissions or other sales compensation. List every payer, including product providers, referral sources and related entities.
How is compensation calculated? May be hourly, fixed, recurring or asset-based. May combine any of those fees with commissions or other transaction-linked compensation. Ask for the formula, billing frequency, negotiability and whether fees are deducted from accounts.
What services are included? Could include planning, investment management or both, subject to the engagement agreement. Could include the same services, with product or service limits that vary by firm and capacity. Identify what is included, excluded and billed separately.
What conflicts can arise? Conflicts can still arise from asset levels, billing time, investment choices or business relationships. Those conflicts can arise, plus incentives connected with commissions, product selection or sales volume. Ask for each material conflict and the specific method used to disclose and manage it.
What conduct standard applies? The label alone does not determine the standard. The label alone does not determine the standard. Ask whether the professional is acting as an investment adviser, broker-dealer or in another capacity for the service.
What record should you review? Form CRS, Form ADV brochure and credential and registration records where applicable. The same documents, plus close review of commission and third-party compensation disclosures. Check both the person and the firm, including disciplinary history.

How each compensation method can affect your costs

Asset-based fees

An asset-based fee is calculated from the value of assets managed or advised. The amount you pay can therefore change as the account value changes, even if the adviser performs the same tasks. The arrangement may align the adviser’s revenue with the size of the account, but it also creates an incentive to keep assets under management. Ask whether advice on assets held elsewhere is available and whether those assets are included in the calculation.

Find out whether the fee covers financial planning, portfolio monitoring, trading, tax coordination or meetings, or whether any of those services cost extra. Confirm how often the fee is charged and whether it is automatically deducted from the account.

Hourly fees

Hourly billing charges for time spent on the engagement. It can suit a client who needs targeted advice rather than ongoing management. The potential conflict is different: an adviser may have an incentive to spend more billable time. Ask for an estimate or scope, the billing increment, who may bill time and whether research, email or follow-up calls count.

Fixed or retainer fees

A fixed fee can cover a defined plan or a recurring set of services. The critical issue is scope. Ask what events trigger a new charge, how often the plan is updated, whether implementation help is included and what happens if you end the engagement early. A recurring retainer may continue even during a period when you do not request a meeting, so the agreement should state the ongoing deliverables.

Commissions and transaction-linked compensation

A commission is generally connected to a product sale or transaction. The client may pay it directly, through a spread or embedded product charge, or indirectly through the product provider. Ask which products generate compensation, whether different products pay different amounts and whether the professional can recommend products outside the firm’s approved range.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Wrap fees and other charges

A wrap fee can combine investment management and transaction services into one charge, but it does not necessarily include every account or product expense. The SEC identifies direct fees such as commissions, ongoing asset-based fees, fixed fees and wrap fees, along with indirect or additional costs such as custody, account maintenance, transaction and product-level charges. Request a complete cost explanation rather than comparing one headline percentage or dollar figure.

Why “fee-only” does not mean conflict-free

CFP Board guidance states: “There is no business model or compensation method that eliminates Conflicts of Interest.” That warning applies even when a professional receives no commissions.

  • An adviser paid a percentage of assets may have an incentive to retain assets under management rather than suggest paying down debt, buying an annuity or using assets for another purpose.
  • An hourly adviser may have an incentive to spend additional time on a project.
  • A fixed-fee adviser may have incentives tied to the scope of the engagement or the services offered.
  • A firm may have business relationships, referral arrangements or proprietary products that affect recommendations.

The relevant question is not whether a conflict exists in the abstract. Ask what the conflict is, how significant it could be, how it is disclosed and what process the firm uses to manage it.

Services, product limits and professional capacity

Planning and investment management are different services

One adviser may prepare a financial plan without managing investments. Another may manage a portfolio but provide limited planning. A third may offer insurance or securities transactions in addition to planning. Fee status does not tell you which of these services you receive.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Write down the decisions you need help with: cash-flow planning, retirement projections, tax-sensitive investing, insurance, estate coordination, portfolio management or a one-time second opinion. Then ask which items are included and which require another professional or an additional fee.

Product and service restrictions

Investor.gov cautions that financial planners may have limits on the services they can provide or products they can recommend. Ask whether recommendations are restricted to a narrow product range, a particular platform or products distributed by an affiliated company. A limitation is not automatically improper, but you should know about it before relying on the advice.

Capacity and conduct standard

The same individual can act in different capacities for different services. Ask whether the professional is acting as an investment adviser, broker-dealer or in another role for the specific service you are considering. The applicable standard of conduct and disclosure obligations depend on that relationship, not merely on whether the business uses “fee-only” or “fee-based” in its name.

For CFP® professionals, CFP Board’s Code and Standards says: “At all times when providing Financial Advice to a Client, a CFP® professional must act as a fiduciary, and therefore, act in the best interests of the Client.” That statement applies to a CFP® professional providing financial advice to a client; it does not turn every person using the term financial adviser into a CFP® professional.

Documents that let you verify the claims

Form CRS or relationship summary

Form CRS describes the services offered, fees and costs, conflicts, standard of conduct and disciplinary information for retail relationships. Read the sections explaining direct charges, ongoing asset-based fees, fixed fees, wrap fees, commissions and indirect costs. Look for third-party payments tied to recommendations or sales, as well as explanations of how conflicts are addressed.

Form ADV Part 2 brochure

The Form ADV brochure provides more detail about an investment adviser’s business. Check the advisory services, fee schedule, whether fees are negotiable, billing method and frequency, other expenses, conflicts, strategies and risks, and disciplinary disclosures. Compare the brochure with the verbal proposal and the contract. If the documents describe services or fees differently, ask which terms control.

Investor.gov adviser check

Use Investor.gov to check both the individual and the firm. Confirm registration information and review available disciplinary history. Checking only the business name can miss information recorded under the individual professional, while checking only the individual can miss firm-level disclosures.

Credential verification

If a professional claims CFP® certification or another designation, verify it with the organization that issues the credential. Confirm the exact name, current status and any public disciplinary information. A designation can indicate education or ethical requirements, but it does not replace review of fees, services and conflicts.

Questions to ask before signing an engagement

Ask the questions below in a meeting and request written answers that match the disclosure documents:

  1. “How are you and your firm paid for the services you will provide me?”
  2. “Do you or a related party receive commissions, referral payments, revenue sharing or other compensation from a product provider or third party?”
  3. “What services are included in the fee, and what is outside the engagement?”
  4. “How are fees calculated, when are they charged, and what other costs will I pay directly or indirectly?”
  5. “What conflicts arise from your compensation, and how do you disclose and manage each one?”
  6. “In what capacity are you acting for this service, and what standard of conduct applies?”
  7. “Can I have the latest Form CRS and Form ADV brochure, including the fee schedule and conflict disclosures?”
  8. “Are there limits on the products or services you can recommend?”
  9. “How can I verify your registration, credentials and disciplinary history?”

The SEC specifically recommends asking how a professional is paid, whether recommendations are limited to a narrow number of products or services and requesting current Form ADV materials. Those questions are useful whether the proposed relationship is fee-only, fee-based or a combination of services.

How to compare two proposals without being misled by labels

Step 1: Put the services side by side

Write each firm’s deliverables in one column: planning meetings, investment management, monitoring, implementation, tax or estate coordination, reporting and access between meetings. Mark each item as included, separately billed or unavailable. A lower fee for fewer services is not an apples-to-apples saving.

Step 2: Map every payment

For each proposal, record who pays, the fee formula, billing date, account deduction method, commissions, referral payments, revenue sharing and product-level expenses. Include costs charged by custodians, funds, insurance contracts or other providers. If a firm cannot explain a charge, treat the proposal as incomplete.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Step 3: Identify incentives

Ask what could increase the adviser’s compensation: a larger account, more hours, a transaction, a particular product or a referral. Then ask what controls apply. Look for concrete procedures rather than a general assurance that the firm “always acts in your best interest.”

  • Comfortable Non-Slip Grip:The ergonomic pen barrel has a soft rubberized coating for a comfortable, non-slip grip, so you won't get fatigued even after long hours of writing.

Step 4: Confirm capacity and documents

Match the person and firm to their registration records. Read Form CRS and Form ADV, verify credentials and reconcile the documents with the proposed contract. Confirm which standard of conduct applies to each service, especially when one relationship includes both advice and transactions.

Step 5: Evaluate fit, not just price

Consider whether you need a one-time plan, continuing portfolio management, product implementation or a combination. A fee structure can be reasonable for one need and inefficient for another. The right comparison is the total cost of the services you will actually use, the limitations you can accept and the conflicts you understand.

Common mistakes and how to avoid them

Assuming fee-only means no conflicts

Fee-only removes certain sales-compensation arrangements under the CFP Board representation, but it does not remove incentives tied to asset levels, hours, scope or business relationships. Read the conflict section and ask follow-up questions.

Comparing only the advertised rate

A headline advisory fee may exclude custody, account maintenance, transaction, product or other indirect costs. Ask for the total categories of charges and how each is collected.

Taking “fee-based” to mean “fee-only plus optional commissions” without details

Fee-based can involve commissions or other sales compensation. Ask which products produce compensation, who receives it and whether amounts vary by product.

Reviewing only the adviser and not the firm

Disclosures and disciplinary information can appear at both levels. Check the individual and the firm, then compare the records with the entity named in your contract.

Ignoring product restrictions

An adviser may be unable or unwilling to recommend products outside a limited platform or affiliated range. Ask about restrictions before transferring accounts or ending an existing relationship.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Confusing a credential with a service promise

A credential can be verified, but it does not tell you whether the professional provides ongoing management, hourly planning, insurance advice or another service. Confirm the actual engagement.

When each arrangement may fit

A fee-only engagement may fit when

  • You want a transparent client-paid fee and do not want recommendations tied to sales commissions.
  • You need planning or investment management and are prepared to examine asset-based, hourly or fixed-fee incentives.
  • You value a defined scope and are willing to compare ongoing account costs with the services delivered.

A fee-based engagement may fit when

  • You want advice and implementation of products in one relationship and understand the associated commissions and other compensation.
  • You need services that a particular professional can provide only in a brokerage or insurance capacity.
  • You are comfortable comparing product availability, compensation differences and conflicts disclosed in the documents.

These are evaluation contexts, not guarantees. The quality and suitability of a relationship depend on the professional, the services, the costs, your circumstances and the protections that apply to the specific engagement.

Bottom line for choosing an adviser

Start with the compensation map, not the label. Fee-only and fee-based describe important differences in who may pay the professional and how compensation is earned, but neither label supplies a complete answer about cost, conflicts, services or legal duty. Ask for the service scope and all direct and indirect charges, identify the adviser’s capacity and conduct standard, read Form CRS and Form ADV, and verify both the person and firm through Investor.gov. Then choose the arrangement whose costs, limitations and incentives you can understand and accept.
