Fee-only vs. commission-based financial advisors: how to compare costs and conflicts

Neither “fee-only” nor “commission-based” automatically tells you what advice will cost or whether it is suitable. Compare the complete dollar cost, the services you receive, the capacity in which the professional is acting, and every incentive attached to products, transactions, referrals, or account size. Read the adviser’s Form CRS and Form ADV Part 2A, then ask for a personalized dollar example before you open an account.

What is the difference between fee-only and commission-based advice?

A fee-only relationship generally pays the professional through fees charged to you, such as an asset-based percentage, a flat planning fee, or an hourly charge. A commission-based relationship generally pays the professional when you buy or sell a product or transaction that generates sales compensation. Some professionals receive both types of compensation, and a person may act in more than one regulatory capacity.

These labels are useful starting points, not a complete price list or legal description of a relationship. Ask how the specific individual and firm are paid, including indirect compensation. The same professional may provide one service as an investment adviser and another as a broker-dealer. A dual registrant can have multiple capacities, standards, services, and conflicts depending on the recommendation.

Why the label alone is insufficient

  • An asset-based fee can be accompanied by fund expenses, custody charges, trading costs, or other account expenses.
  • A commission can vary by product, fund family, share class, transaction size, or account type.
  • A “fee-only” adviser may charge different fees for planning, investment management, or special projects.
  • A “commission-based” professional may also charge account, planning, or advisory fees.
  • A wrap program may bundle many trading costs into one asset-based fee while excluding other expenses and charging a higher asset-based rate than a typical advisory fee.

How do I compare fee-only vs. commission-based financial advisors?

Compare competing proposals on six dimensions rather than ranking the compensation label.

Comparison What to examine Questions to ask
Total expected cost Advisory, planning, hourly, transaction, sales, fund, custody, and indirect costs What will I pay in dollars during the first year and in a typical later year?
Services and scope Planning, portfolio management, execution, monitoring, meetings, and exclusions What is included, how often will we meet, and what triggers an additional charge?
Capacity and standard Whether the professional is acting as an investment adviser, broker-dealer, or both for this service Which capacity applies to this recommendation?
Compensation incentives Payments linked to assets, products, transactions, referrals, share classes, or proprietary offerings Does your compensation change if I choose a different product or account?
Conflict response How an incentive could affect advice and what controls address it What is the conflict in my case, and how do you manage it?
Record and credentials Firm and individual registration, disciplinary history, and role of each contact Where can I review current disclosures and reportable events?

What fees will I pay, including fund expenses and commissions?

Build a total-cost inventory before comparing percentages. The Securities and Exchange Commission (SEC) identifies several categories that can affect your outcome, and the effect of some costs depends on how long you hold an investment.

Fees paid directly to the professional

  • Asset-based fees: A percentage of assets in a managed account, usually assessed periodically and deducted from the account or billed to you.
  • Flat or project fees: A stated amount for a financial plan, tax-oriented analysis, retirement projection, or other engagement.
  • Hourly fees: Charges based on time spent, sometimes with a minimum or estimate.
  • Account or platform fees: Charges for an advisory program, technology, or account administration.

Ask whether the fee is negotiable, how the balance used for the calculation is determined, whether deposits and withdrawals change the amount, and the exact billing frequency. Form ADV Part 2A should describe the schedule, negotiability, billing method, billing frequency, and other expenses.

Commissions and transaction charges

In a transaction-based relationship, the professional or an affiliated firm may receive sales compensation when you buy or sell a security, insurance product, annuity, or other investment. The amount can differ by product, share class, transaction, or account type. Separate commissions from other transaction charges, such as brokerage or exchange fees, and ask whether the professional receives a percentage, a flat amount, or a combination.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Fund and product expenses

Investment products can deduct expenses from their assets before returns reach you. Mutual-fund share classes may have different expense structures and sales charges. SEC guidance discusses 12b-1 fees and revenue sharing because payments can influence a recommended fund family or share class when multiple classes of the same fund are available. Ask for the product’s expense ratio, sales charge, redemption charge, and any ongoing distribution or service payment, and ask who receives each payment.

Indirect and account-level costs

Some compensation does not appear as a line item on your adviser’s invoice. Potential examples include revenue sharing, referral payments, payments from custodians or product providers, proprietary-product economics, payment for order flow, and cash-sweep arrangements. Ask whether any of these apply to your account and how they are reflected in the recommendation.

Wrap-fee programs

A wrap fee generally combines an asset-based advisory charge with most transaction costs. “Wrap” does not mean every cost is included. Programs can have higher asset-based fees than a typical advisory fee and may exclude expenses such as fund charges, certain transactions, or special services. Compare the list of included and excluded services with your expected trading activity; a bundled fee can be economical for frequent trading but expensive for a buy-and-hold account, depending on the program’s schedule.

How does my advisor get paid, and could that affect the recommendation?

Compensation creates an incentive whenever the professional’s pay changes with your choice. That does not prove the recommendation is unsuitable, but it gives you a reason to ask for specifics.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Common incentive patterns

  • Asset retention: An asset-based fee grows with the assets kept in the managed account. Ask how the adviser handles advice to pay down debt, hold cash elsewhere, use a workplace plan, or withdraw money.
  • Product selection: A commission or revenue-sharing arrangement can favor products that pay more, an affiliated product, or a particular fund family.
  • Share-class selection: Different classes of the same mutual fund can pay different distribution or service fees.
  • Trading frequency: Transaction compensation can create an incentive to recommend more purchases or sales than a fee-only arrangement would.
  • Account type: Compensation may vary between brokerage, advisory, retirement, or other account types.
  • Referrals and affiliates: A firm may receive a payment for sending you to another provider or for using an affiliated service.

A practical conflict question

Ask the professional to connect the incentive to your situation: “What is the main conflict in this recommendation, how could it affect what you suggest, and what do you do to reduce that effect?” A useful answer identifies who pays whom, the amount or calculation method, when the payment occurs, and whether the payment changes if you choose another product or service. A vague statement that “conflicts may exist” does not explain the incentive you need to evaluate.

Is this person acting as an investment adviser, broker-dealer, or both?

The applicable conduct standard and disclosures depend on the capacity in which the professional is acting. Ask about the capacity for the specific service—not only the firm’s overall brand or registration.

Investment-adviser capacity

When acting as an investment adviser, the professional provides advisory services under an advisory relationship and discloses services, fees, conflicts, strategies, and business practices in Form ADV materials. Confirm whether the engagement is ongoing portfolio management, a one-time plan, or another limited service.

Broker-dealer capacity

When acting as a broker-dealer, the professional may provide transaction-based recommendations and receive sales compensation. Ask which products and transactions are available, how compensation is calculated, and whether the account has additional fees.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Dual capacity

A dual registrant may switch capacities during the relationship. The same individual could recommend a transaction as a broker-dealer and manage assets under an advisory agreement. Request a written explanation of which capacity applies to each proposed account, service, and recommendation, and what standard and fee schedule accompany it.

Which documents should I read?

Form CRS (relationship summary)

Form CRS is a concise summary of relationship types, services, principal fees and costs, conflicts, applicable standards, disciplinary history, and where to find additional information. Read the sections that describe what the firm does, what it costs, and how conflicts could affect recommendations. SEC staff has cautioned that descriptions should explain how fees are assessed and billed rather than using vague phrases.

Form ADV Part 2A brochure

The adviser brochure provides more detail than Form CRS. Review the consistent headings covering advisory services, fees and compensation, whether fees are negotiable, billing method and frequency, other fees, conflicts, investment strategies and risks, disciplinary information, and brokerage practices. Compare the brochure with the proposal and account agreement; ask about any difference.

Investor.gov/CRS and individual records

Use Investor.gov/CRS to research the firm and financial professional. Check the specific person who will advise you, not just the firm. Confirm registration, current relationship documents, role, and reportable disciplinary history. Services, compensation, and disclosures can change, so use the most recent documents available.

What should I ask an advisor about conflicts of interest?

Give every adviser the same questions and request answers in dollars where possible.

  1. “If I invest $10,000, how much goes to fees and costs, and how much is invested for me?”
  2. “What do I pay you directly, and what compensation could you or an affiliate receive from products, transactions, referrals, custodians, or other providers?”
  3. “Are fees negotiable? How often are they assessed, and are they deducted from the account or billed?”
  4. “What services and monitoring are included, and which costs are not included?”
  5. “Are you acting as an investment adviser, broker-dealer, or both for this recommendation?”
  6. “Could your compensation change based on the product, share class, account type, transaction, or amount of assets I keep with you?”
  7. “What are the main conflicts in my case, how could they affect the recommendation, and how do you address them?”
  8. “Do you or the professional have reportable disciplinary history, and where can I review it?”

“Help me understand how these fees and costs might affect my investments. If I give you $10,000 to invest, how much will go to fees and costs, and how much will be invested for me?”

How to calculate a comparable cost before signing

Ask each adviser for a first-year estimate and a typical-year estimate using the same hypothetical account value, contributions, withdrawals, products, and trading activity. Keep one-time charges separate from recurring charges.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Step 1: Define the account and activity

  • Starting balance and expected contributions or withdrawals
  • Account type and custody arrangement
  • Expected number and size of trades
  • Products or fund classes under consideration
  • Services requested and meeting frequency

Step 2: List every cost

Record the advisory or planning fee, commissions, transaction charges, product expenses, custody and account fees, and disclosed indirect compensation. Note whether each charge is one-time, recurring, percentage-based, or activity-based.

Step 3: Convert percentages to dollars

For illustration only, a 1% annual asset-based fee on a constant $100,000 balance would be $1,000 for that year before considering market movement, deposits, withdrawals, or other costs. Your adviser’s billing method may use average daily, beginning, ending, or another balance, so use the stated method rather than assuming this example applies.

Step 4: Compare the service received

A lower fee may buy a narrower service, while a higher fee may include planning, monitoring, and implementation. Put the scope beside the dollar estimate so you do not compare a one-time plan with ongoing management as if they were identical.

Step 5: Test alternative choices

Ask how the cost changes if you use a different share class, hold fewer assets in the account, trade less often, choose another account type, or decline an optional service. A compensation difference that appears small on one transaction can recur for years.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

When can an asset-based fee create a conflict?

An asset-based fee depends on assets in the managed account. That structure can make advice about where to hold money financially significant to the adviser. Ask how the professional handles a recommendation to pay down high-interest debt, keep emergency savings outside the managed account, contribute to a workplace retirement plan, or withdraw assets for a purchase. The existence of this incentive is not proof of wrongdoing; the relevant question is whether the adviser explains it and applies a process that puts your objectives first under the applicable standard.

What did the SEC identify about adviser fees and incentives?

In an examinations announcement updated June 9, 2026, SEC staff said it reviewed economic incentives to recommend products, services, or account types, the adequacy of fee and expense disclosures, and whether firms accurately calculated and charged fees according to their disclosures. That makes it sensible to reconcile the written schedule with the amount proposed for your account and, after opening the account, with the charges that actually appear on statements.

SEC materials also emphasize that total cost can include indirect arrangements such as payment for order flow and cash-sweep economics, and that the effect of a cost can depend on your investment horizon. Do not treat a single quoted percentage as the complete price.

How should I choose between competing proposals?

Choose a fee-only arrangement when the scope and incentives fit

A fee-only proposal may be easier to model when the adviser clearly states the recurring or project fee and does not receive product commissions. It can still involve fund expenses, account charges, or incentives related to assets retained. Confirm the full schedule and whether the service covers implementation, monitoring, and advice on assets outside the managed account.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Choose a commission-based arrangement only with product-level clarity

A commission-based proposal can be appropriate when you need a specific transaction or product and understand the sales compensation. Require a written explanation of the commission, alternative products considered, ongoing expenses, and any affiliated or revenue-sharing payments. Ask what happens if you hold the product without additional transactions.

Compare a dual-capacity proposal service by service

If one professional offers both models, request separate illustrations for each capacity. Compare not only the initial charge but also recurring expenses, monitoring, exit or redemption costs, and the standard that applies to each recommendation.

Warning signs that require follow-up

  • The adviser will not provide Form CRS or Form ADV Part 2A before you commit.
  • The fee is described only as “competitive” or “low” without a schedule or dollar example.
  • The proposal says conflicts may exist but does not identify who pays the firm or how compensation changes.
  • The professional cannot state whether the recommendation is made as an investment adviser, broker-dealer, or both.
  • A wrap fee is presented as all-inclusive even though the agreement excludes fund, custody, or special transaction costs.
  • The recommended share class or product is not compared with available alternatives.
  • The fee calculation in the agreement does not match the explanation or the first statement.
  • Questions about withdrawals, debt repayment, or outside assets are dismissed because they reduce assets under management.

A repeatable comparison checklist

  1. Collect the current Form CRS, Form ADV Part 2A, advisory agreement, brokerage agreement, and product disclosures for every finalist.
  2. Mark the capacity—investment adviser, broker-dealer, or both—for each service.
  3. Build a first-year and typical-year cost estimate using identical assumptions.
  4. List direct and indirect compensation, including product, referral, custodian, and affiliate payments.
  5. Identify which services are included, excluded, optional, or billed separately.
  6. Ask the eight questions above and save the written answers.
  7. Check the firm and individual on Investor.gov/CRS and review disciplinary disclosures.
  8. After opening the account, compare statements with the promised fee schedule and ask about any unexplained charge.

Bottom line

Use “fee-only” and “commission-based” as prompts for questions, not as verdicts. The sound comparison is the total expected cost for your account, the exact service and regulatory capacity, and the incentives created by each payment. A clear dollar estimate, current Form CRS, detailed Form ADV brochure, and specific conflict explanation give you a more reliable basis for choosing than a compensation label alone.
