EMS Companies vs. Semiconductor Manufacturers: How Their Business Models Differ

EMS companies and semiconductor manufacturers occupy different points in the electronics value chain. An electronics manufacturing services (EMS) provider is paid to build circuit assemblies or complete systems for an original equipment manufacturer (OEM), usually under contract. A semiconductor company creates chip designs and intellectual property, fabricates wafers, sells fabrication capacity, or combines those activities. A fabless chip company outsources wafer production to a foundry; an EMS provider assembles components that may include those chips into a usable electronic product.

The distinction matters when you read a company’s revenue, costs, assets, inventory and risk. The same demand for a finished device can create sales for a chip designer, a wafer foundry, an EMS assembler and an OEM, but each business is paid for a different job.

What does an EMS company do?

It manufactures to another company’s specification

An EMS company provides outsourced electronics production. Its customer is commonly an OEM that owns the product concept, engineering requirements, brand and route to market. The EMS provider purchases or receives components, mounts them on bare printed circuit boards (PCBs), connects the components, tests the assembly and may integrate the result into a larger system.

IPC’s description of the industry shows how contract electronics manufacturers developed beyond basic board assembly toward turnkey manufacturing and system-build services. In a turnkey arrangement, the EMS provider may manage component sourcing, production planning, assembly, testing, logistics and other steps defined in the customer’s program. In a system build, the work can extend from a populated board to a complete electronic unit.

Its output is an assembly or finished electronic system

The physical output is usually a printed circuit assembly (PCBA): a bare PCB populated with components and electrically connected. Depending on the contract, the output can also be a tested subassembly, enclosure-level product or complete system ready for the OEM’s distribution channel. The EMS company is not generally selling the individual processor, memory device or power-management chip as its own intellectual property. It is building a product that uses those parts.

It can be an extension of an OEM’s factory

Some OEMs retain internal manufacturing, while others outsource some or all production. An EMS provider fills that outsourced role. The commercial relationship can cover a single production step or a broad program, but the central promise is the same: manufacture to the customer’s design, quality requirements, schedule and forecast.

What does a semiconductor manufacturer do?

Semiconductor is a business category, not one operating model

“Semiconductor manufacturer” can describe several types of company. The important questions are who owns the chip design, who controls wafer fabrication and whether the company sells devices, intellectual property, fabrication capacity or a combination.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Fabless semiconductor companies

A fabless company develops chip architecture, circuit design, verification, software support and related intellectual property but outsources physical wafer fabrication to a foundry. It may also outsource packaging or testing. Its differentiator is the design and IP portfolio rather than ownership of a wafer plant.

Foundries

A foundry provides wafer-fabrication services for customers’ semiconductor designs. The foundry operates the manufacturing process, supplies process technology and schedules production capacity. It may produce chips for many fabless customers without owning the end product’s brand or system design.

Integrated design-and-manufacturing companies

Some semiconductor companies combine chip design with owned manufacturing assets. They may design devices, run fabrication plants and handle some packaging or testing themselves. Their mix of internal production and external suppliers varies by product, process generation and capacity conditions. It is therefore inaccurate to treat every semiconductor company as either a pure fabless designer or a pure foundry.

Where the two businesses sit in the electronics value chain

A simplified chain looks like this:

  1. Chip design: a semiconductor design company develops the device and its IP.
  2. Wafer fabrication: a foundry or an integrated semiconductor company creates the silicon wafers containing many chip dies.
  3. Packaging and testing: the dies are packaged and tested so they can be used as components.
  4. Electronics assembly: an EMS provider mounts chips and other parts onto PCBs and may build a complete system.
  5. OEM product and market: the OEM integrates the assembly into a branded product and sells it to customers.

The chain is not always linear. A semiconductor company may perform several of the first three steps, an OEM may assemble products internally, and an EMS provider may buy components on the customer’s behalf. Nevertheless, EMS work is downstream electronics assembly, while semiconductor work concerns the devices and manufacturing processes that supply those assemblies.

EMS versus semiconductor manufacturers: the business model side by side

Dimension EMS company Semiconductor company
Customer need Contract manufacturing and electronics assembly for an OEM program; the scope can include turnkey or system-build work. Chip design and IP, wafer-fabrication services, semiconductor devices, or an integrated combination of design and manufacturing.
Typical output Printed circuit assemblies and, under broader contracts, tested subassemblies or completed electronic systems. Semiconductor devices, chip designs and IP, or wafer-fabrication capacity for customers’ designs.
Outsourcing boundary The EMS provider is itself the outsourced manufacturing partner for an OEM, although some OEMs keep production in-house. A fabless company outsources fabrication to a foundry; a foundry supplies fabrication; an integrated company may keep design and manufacturing together.
Primary ownership question Who owns the product specification and brand? Usually the OEM, while the EMS provider owns its production capability and processes. Who owns the chip design and who controls the fabrication assets? The answers distinguish fabless, foundry and integrated models.
Operational exposure highlighted by IPC materials Direct labor, direct materials, overhead, selling and administrative expense, inventory days, revenue per employee, cash-to-cash cycle time and capacity utilization. The cited semiconductor taxonomy establishes the fabless-versus-foundry distinction but does not provide a comparable set of company-level cost or capital figures.

How an EMS company makes money

Revenue follows production programs

EMS revenue is tied to the number of units built, the services included and the price agreed with the OEM. A simple board-assembly contract may charge for assembly labor and production services while components are purchased under a customer-approved bill of materials. A turnkey program can place more procurement and logistics responsibility with the EMS provider, increasing the value of material flowing through its books as well as the operational responsibility.

Contract terms determine how much of the reported revenue represents the EMS provider’s own conversion work and how much reflects purchased components. That is why revenue alone is a poor way to compare two EMS companies with different sourcing arrangements.

Labor, materials and overhead are central cost categories

IPC’s EMS statistical programs track direct labor, direct materials, overhead, selling and administrative expense, inventory, cash-to-cash performance and capacity utilization. These categories describe the practical economics of assembly: employees and equipment convert components into tested products, while factories must be supplied, scheduled and kept productive.

Direct materials can dominate the value of a finished assembly even when the EMS provider adds a smaller conversion charge. Labor costs depend on the process, automation level, product complexity and location. Overhead includes the facility, production equipment, engineering support, quality systems, utilities and other costs needed to keep a plant operating. An EMS company must manage all three without missing the OEM’s delivery window.

Capacity utilization affects the result

Factory costs are incurred whether a line is fully loaded or not. When customer orders fill available lines, fixed overhead is spread across more units; when forecasts fall short, the same facility and support costs are carried by fewer units. Utilization therefore matters even when the contract price is unchanged. The effect varies with automation, labor mix, plant design and the terms of each customer program, so it does not justify a universal claim that EMS companies always have high or low margins.

Working capital is part of the service

Component purchases, production timing, customer payment terms and finished-goods policies determine how much cash is tied up. Inventory days and the cash-to-cash cycle time are among the measures IPC identifies for EMS operations. A provider that buys parts well before production may protect the schedule but hold more inventory; a provider that waits for firm orders may reduce stock but face shortages or longer lead times. The contract can allocate some of this exposure to the OEM, which is another reason to read the terms rather than infer economics from the company label.

How semiconductor companies make money

Fabless economics center on design and access to manufacturing

A fabless company invests in architecture, design tools, verification, software and product support, then pays a foundry and other partners to turn the design into sellable devices. Its revenue comes from semiconductor products or related licensing arrangements, not from assembling the customer’s complete electronic system. The company’s commercial leverage can come from differentiated IP, performance, power efficiency, software compatibility or a design win in a high-volume product.

Foundry economics center on process technology and wafer capacity

A foundry sells manufacturing capacity and process capability to chip designers. Its operating decisions include which process technologies to offer, how to schedule customer wafers, how to maintain yield and how to keep expensive fabrication equipment productive. The foundry does not need to own the end-market brand to earn revenue; it is paid for producing wafers to customer specifications.

Integrated companies combine both exposures

An integrated semiconductor company can capture design value and manufacturing value within one organization, but it also carries the operating responsibilities associated with both. It may still use outside foundries, packaging providers or material suppliers when that is economical or when internal capacity is constrained. The label “integrated” describes the combination of activities, not a guarantee that every step is performed internally.

Assets, intellectual property and supplier dependence

EMS assets are production-oriented

An EMS plant typically relies on surface-mount assembly lines, inspection and test equipment, material-handling systems, production software, quality infrastructure and trained operators or technicians. The assets support repeatable conversion of components into assemblies. The customer’s product design usually remains the foundation of the work, while the EMS provider’s value lies in execution, process control, procurement and scale.

Semiconductor assets can be design- or fabrication-oriented

A fabless company’s essential assets include engineering teams, design databases, verification capability, software and protected IP. A foundry or integrated manufacturer adds wafer-fabrication facilities, process-development expertise and production equipment. These asset profiles are fundamentally different from an assembly plant, even though both ultimately supply the electronics industry.

Outsourcing changes who carries the dependency

Fabless companies depend on foundries for wafer starts, process availability and manufacturing quality. EMS companies depend on component suppliers, logistics providers and OEM forecasts. A semiconductor foundry may serve many designers, while an EMS plant may serve several OEM programs. Concentration, substitute suppliers, qualification requirements and contract commitments determine the practical risk in each relationship.

Demand, inventory and capacity risks are not the same

EMS risk follows product schedules and component availability

An EMS provider can be affected by an OEM’s forecast error, a component shortage, a sudden engineering change or a cancellation after materials have been ordered. Its response may involve rescheduling lines, reallocating labor, negotiating excess inventory or adjusting procurement. The company is exposed to the timing and mix of many customer programs, not merely to the selling price of one chip.

Semiconductor risk follows design cycles and wafer capacity

A fabless company may face the cost of developing a design that does not win a socket, while a foundry must manage process transitions, yield learning and demand for scarce capacity. An integrated company carries a combination of design, manufacturing and market-cycle exposures. These risks can move on different schedules from the final-product assembly cycle.

Do not infer a universal risk ranking

Neither model is automatically safer, more profitable or more capital-intensive in every period. Product mix, technology generation, customer concentration, contract terms, utilization, inventory policy and the business cycle all matter. The available IPC material does not establish a comparable EMS-versus-semiconductor dataset for margins, valuation multiples or capital expenditure, so those conclusions require company-specific filings and a defined time period.

What the dated EMS figures actually show

IPC reported that European EMS PCBA production revenue reached €57.3 billion in 2023 in an announcement dated March 6, 2024. The figure came from a survey conducted by in4ma and sponsored by IPC Electronics Europe. The same announcement reported just over 254,000 European EMS employees in 2023, an increase of approximately 14,000 employees, or 5.9%, from the prior year. Data came from 306 legal entities.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Those figures describe a regional EMS PCBA survey. They are not global EMS revenue and cannot be compared directly with semiconductor-industry revenue, which would involve different activities, geographies, years and measurement definitions.

IPC also reported that participating North American EMS companies recorded 10.5% year-over-year sales growth in 2017. The sample contained 86 companies in IPC’s statistical program, and industrial electronics represented 37% of aggregate sales among those participants. These are historical sample results, not a current North American market estimate and not evidence of a semiconductor growth rate.

How to classify a company from its filings

Company names can be misleading. Use the following sequence when analyzing a business:

  1. Identify the paying customer. Is the company serving OEM production programs, chip designers, device customers or other manufacturers?
  2. Read the segment description. Look for PCBA, system build, turnkey manufacturing, wafer fabrication, semiconductor devices, design IP, packaging or testing.
  3. Locate the design rights. Determine whether the company owns the product or chip design, manufactures to someone else’s design, or licenses technology.
  4. Check manufacturing ownership. Distinguish owned assembly plants, owned wafer fabs, outsourced fabrication and third-party packaging or testing.
  5. Examine the revenue basis. Ask whether revenue is driven by units assembled, components passed through, wafers processed, devices sold, licenses or a combination.
  6. Review operating indicators appropriate to the model. For EMS, examine labor, materials, inventory days, cash-to-cash timing and utilization. For semiconductor companies, separate design activity, wafer output, process capacity and product revenue rather than mixing them.
  7. Map concentration and commitments. Note major customers, qualified suppliers, long-term capacity agreements, purchase obligations and exposure to a single product or process.
  8. Compare periods on a like-for-like basis. Keep geography, fiscal year, sample size, segment definition and revenue measure consistent.

Common mistakes in comparing the two models

Mistake: calling every electronics manufacturer a semiconductor manufacturer

Mounting a processor onto a PCB does not make an EMS provider a chip manufacturer. The provider is assembling a product that contains semiconductor components.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Mistake: treating “semiconductor manufacturer” as a synonym for foundry

A fabless designer is a semiconductor company but does not operate a wafer foundry. An integrated company may design and manufacture devices, while a foundry manufactures for other designers. The filing should determine which activities are present.

Mistake: comparing revenue without checking what is included

An EMS provider may report component purchases within sales under a turnkey contract. A semiconductor company’s revenue may reflect devices, wafers, licensing or several segments. A larger reported number does not automatically indicate greater value creation or better economics.

Mistake: assuming outsourcing eliminates risk

Outsourcing moves responsibility; it does not remove it. Fabless companies still depend on foundry capacity and yield. EMS companies still depend on component supply, customer forecasts and production execution. The contract determines who bears particular costs when conditions change.

Mistake: importing a statistic outside its scope

The European EMS figures from 2023 and the North American sample from 2017 answer specific questions about defined groups. They should not be presented as worldwide semiconductor data or as a current forecast for either industry.

Which model matters for a financial reader?

For a personal-finance reader evaluating an employer, industry exposure or a public company, the useful question is not which label sounds stronger. Ask how the business converts demand into cash:

  • Contract structure: Who sets specifications, prices, forecasts and payment terms?
  • Value added: Is the company paid for assembly execution, chip IP, wafer capacity, device performance or a blend?
  • Asset commitment: Are the critical assets assembly lines, design teams, wafer fabs or a combination?
  • Working capital: Who owns inventory, who funds components or wafers and how quickly are receivables collected?
  • Capacity discipline: What happens when demand falls below available production capacity or rises above it?
  • Supplier dependence: Can the company qualify alternatives, or is it tied to a particular process, component or fabrication partner?
  • Customer concentration: Would one OEM, chip customer or end market materially change results?
  • Technology and product cycle: Does revenue depend on a stable assembly program, a successful chip design, a process transition or a short product window?

Applying the same questions to both companies creates a fair comparison without pretending that an assembly service and a semiconductor design or fabrication business have identical economics.

The practical distinction

An EMS company sells manufacturing execution to an OEM. It turns components into tested boards or systems and manages the labor, materials, overhead, inventory and capacity required to deliver the customer’s product. A semiconductor company sells the chips, the designs behind them, the fabrication service that produces them, or an integrated combination.

They can be partners, suppliers and customers within the same electronics supply chain, but they are not interchangeable business models. Classifying the customer, output, IP ownership, manufacturing assets and outsourcing boundary is the fastest way to understand which business you are actually analyzing.
