Antonio Neri was not removed as Hewlett Packard Enterprise’s CEO. A CRN report published April 17, 2025, citing Semafor and a source close to the matter, said activist investor Elliott Investment Management was pushing HPE’s board to consider replacing him. The dispute later shifted into a cooperation agreement, new board oversight, and an Elliott-linked director—while Neri remained CEO as of August 16, 2026.
What was originally reported?
CRN reported that Elliott had asked HPE’s board for discussions about a possible leadership change and was pushing for Neri’s removal. The report attributed the claim primarily to Semafor and a source described as close to the matter.

Elliott declined to comment to CRN. HPE said it maintained an ongoing dialogue with shareholders but did not confirm that Elliott had demanded a CEO change.

The available reporting did not establish that Elliott had publicly filed a proxy fight, announced a successor candidate, or issued a public demand for Neri’s removal. The precise distinction matters: the CEO challenge was reported, but not publicly confirmed by Elliott or HPE at the time.
Why Neri’s leadership mattered to HPE investors
Neri became HPE’s president and CEO on February 1, 2018, succeeding Meg Whitman. HPE’s 2018 earnings transcript described him as a longtime company executive who started in HP’s customer-service operation and was selected internally as Whitman’s successor.
His tenure became associated with a broad shift in HPE’s business model:
- HPE GreenLake: a consumption-based approach intended to move infrastructure beyond one-time hardware sales toward recurring services revenue.
- Edge-to-cloud strategy: an effort to connect computing, data, networking, and cloud management across customer environments.
- AI and high-performance computing: investments in infrastructure and services for increasingly demanding workloads, including HPE Private Cloud AI.
- Networking: continued emphasis on Aruba and the acquisition of Juniper Networks.
- Channel-led distribution: reliance on resellers, solution providers, and service partners to deliver and manage HPE technology.
For an activist investor, a transformation can create both an opportunity and a test. Elliott’s involvement appears to have centered on the familiar activist questions: whether HPE was creating value quickly enough, whether operations and capital allocation could improve, and whether leadership was accountable for execution. The public record does not provide a complete, detailed Elliott investment thesis, so stronger claims about its private financial arguments would be speculative.
Why HPE partners defended Neri
CRN quoted HPE partners who urged the company not to rush into replacing Neri. Their comments represented channel perspectives—not independent financial validation—but they highlighted risks that can be overlooked in a short-term leadership debate.
GreenLake had changed partner economics
Partners said GreenLake pushed them toward recurring, consumption-based services and led some to reorganize their businesses around the model. A CEO change could preserve the strategy, accelerate it, or disrupt customer and partner commitments during a multiyear transition.

AI and HPC were strategic bets
Partners credited Neri with investing in high-performance computing and AI infrastructure. Those investments could benefit HPE if demand translated into profitable growth, but AI-related revenue alone does not prove that every part of the transformation—including recurring-revenue economics—was successful.

Networking expanded HPE’s strategic options
Partners pointed to Aruba and the Juniper acquisition as important assets. HPE’s networking ambitions also created integration and execution risks, particularly as the company sought to combine businesses while delivering promised synergies.
Neri had strong channel relationships
Several partners described Neri as unusually engaged with resellers and solution providers, citing enablement, training, marketing support, and partner programs. That support can matter financially because channel confidence affects implementation capacity, customer retention, and the speed at which new offerings reach the market.
The partners’ position was narrower than blanket opposition to Elliott: they argued against ignoring HPE’s transformation or replacing the CEO without considering its longer-term effects.
July 2025: the CEO fight became a board-level compromise
On July 16, 2025, HPE and Elliott entered a SEC-filed cooperation agreement. HPE appointed technology executive Robert “Bob” Calderoni to its board and made him chair of a newly created Strategy Committee.

HPE described the committee as a way to review its businesses and identify additional strategic and operational opportunities to create shareholder value. Elliott said it saw “substantial value ahead” and supported the committee’s work.

The agreement gave Elliott the ability to appoint an Elliott employee to HPE’s board, subject to the agreement’s terms. In return, Elliott accepted restrictions that included standstill, voting, information-sharing, and non-disparagement provisions. The agreement was initially scheduled to remain in effect until the first anniversary, with possible extension if an Elliott employee remained on the board.
This was not a routine director appointment and it was not an Elliott takeover. It was a negotiated governance arrangement: Elliott gained a formal channel to influence strategy, while HPE avoided an immediate public fight over management.
June 2026: Elliott gained a board seat
HPE appointed Elliott partner Christopher “Chris” Hsu to its board effective June 1, 2026. According to HPE’s announcement, Hsu joined the Strategy Committee and the Finance & Investment Committee.

HPE identified Hsu as Elliott’s head of portfolio operations and co-lead of private equity. He also had prior executive experience at Micro Focus and in technology operations related to HPE.
A June 1 SEC filing disclosed that HPE and Elliott had amended their cooperation agreement on May 29, 2026. The amendment allowed the board to have up to 14 directors immediately after the 2026 annual meeting and until the 2027 annual meeting.
Hsu’s appointment gave Elliott meaningful access and influence, but it did not give the firm authority to remove Neri by itself. CEO succession remains a matter for HPE’s board under applicable governance procedures.

HPE’s fiscal 2026 second-quarter release, covering the quarter ended April 30, 2026, described the period as a record quarter and said the company was two years ahead of its fiscal 2028 long-term financial plan. HPE attributed the performance to demand, networking, AI infrastructure, operational discipline, and cost synergies connected with Juniper.

- Fiscal 2026 third-quarter revenue of $11.5 billion to $12.1 billion.
- Fiscal 2026 full-year revenue growth of 29% to 33%.
- Networking revenue growth of 72% to 75%.
These figures were company guidance, not realized results, and should not be confused with audited outcomes. Strong AI or networking growth also does not by itself establish that GreenLake’s recurring economics, margins, cash flow, or shareholder returns met every objective.
On June 25, 2026, Semafor reported that HPE’s improved operating and market performance had apparently eased the immediate confrontation. Semafor cited a 40% year-over-year revenue surge, results above profit expectations, and progress toward HPE’s long-term targets. It also quoted Hsu saying Elliott was “encouraged by the meaningful progress HPE has made on the execution of its strategy.” Those assessments should be understood as Semafor’s reporting and attributed comments, not proof that every dispute between HPE and Elliott had ended.
What remains unresolved
The cooperation agreement changed the form of the conflict, but it did not necessarily eliminate the underlying questions. Investors and partners still have reason to watch:
- Juniper integration: whether HPE can achieve expected synergies without creating excessive operational complexity.
- Profitability and cash flow: whether rapid AI and networking growth produces durable returns rather than only higher revenue.
- GreenLake economics: whether consumption-based offerings deliver attractive recurring revenue, margins, retention, and partner returns over time.
- Capital allocation: whether HPE balances acquisitions, investment, debt, shareholder returns, and operational discipline effectively.
- Leadership flexibility: whether Elliott’s board presence leads to further changes if performance or execution weakens.
HPE’s 2026 proxy materials identified Neri as both a director and CEO. Therefore, as of August 16, 2026, the verified position was that Neri remained in charge while Elliott had obtained board representation and committee access.
