Donating to a University Foundation vs. the University: What’s the Difference?

Short answer: A university and its affiliated foundation can be separate legal entities even though a foundation gift is intended to benefit the university. The university is the academic or public institution; the foundation commonly raises private gifts, manages endowments, and transfers or disburses money under its agreement with the university. Which name belongs on your check, whether the gift is restricted, what fees apply, and how the money is administered are institution-specific. Use the university’s current giving instructions and verify the exact legal recipient before you donate.

University and foundation: the basic distinction

A university is the institution that provides education, research, student services and, in many cases, public programs. A university foundation is usually an affiliated nonprofit created to raise and administer private support for that institution. The foundation may receive gifts, invest endowment assets, issue grants to university programs and keep records for donors.

The two organizations may have different boards, tax-exempt registrations, bank accounts and financial statements. A foundation is not automatically the university’s operating account, and a donation made through it may be held or invested before money reaches a campus department. The legal relationship is defined by the institutions’ organizing documents and agreements, not by the word “foundation” in the name.

Millersville University, for example, describes its foundation as managing endowment funds and assisting with private fundraising under a memorandum of understanding. That is an illustration of one structure, not a rule for every school. See Millersville’s Foundation FAQs for that institution’s explanation.

Question University Affiliated foundation
What is it? The academic or public institution. A separate affiliated organization that commonly raises and administers private gifts.
Who may be the legal recipient? The university itself, if its giving instructions and tax status permit. The foundation, if it is the named payee and a qualified charitable organization.
Where can money go? It may be credited directly to a university account or designated fund. It may be held, invested, transferred or disbursed for a university purpose under gift terms and an affiliation agreement.
How are restrictions handled? Under university gift policies and the donor agreement. Under the foundation’s gift-acceptance and disbursement procedures, often in coordination with the university.
What fees apply? Not stated generally; check the institution’s policy. Not stated generally; check the foundation’s policy and the gift agreement.

Why a foundation may receive a gift intended for the university

Foundations are often set up to accept gifts in forms that are easier to invest, administer or report than a university department can manage. They may maintain endowment accounts, process donor agreements, issue tax receipts and coordinate scholarships or program grants. The university benefits because the foundation’s legal and administrative framework is designed for philanthropy.

The University of Hawai‘i Foundation defines a gift as an irrevocable, voluntary charitable contribution for the benefit of the University of Hawai‘i system, made without tangible compensation or contractual requirements. That definition distinguishes a charitable gift from a purchase, grant contract or service agreement; it does not mean that every foundation uses identical language. Read the foundation’s terms at the University of Hawai‘i Foundation FAQ.

A foundation gift also does not guarantee that every dollar immediately enters the university’s unrestricted budget. The gift instrument may specify an endowment, scholarship, building, faculty position, research project or other purpose. The foundation and university then follow the stated purpose, applicable law and their internal procedures.

Which entity should you pay?

Follow the selected university’s current instructions rather than choosing based on the name alone. A university may direct donors to its foundation for online gifts, checks, securities or planned gifts, while accepting certain payments directly. The correct payee is the entity named in the school’s instructions for the particular fund and payment method.

The University of Washington, for example, tells check donors to make checks payable to the University of Washington Foundation and to identify the desired fund or program. That instruction applies to UW; it is not a universal requirement. Its current directions appear in UW’s giving FAQ.

Questions to ask the advancement or gift-accounting office

  • What is the precise legal name of the recipient for this gift?
  • Is that recipient a qualified organization for federal charitable-contribution purposes?
  • Should the check, wire, stock transfer or online payment name the foundation or the university?
  • Will the gift be unrestricted, or must I select a named fund?
  • Are there minimum amounts, approval requirements or prohibited purposes?
  • Will an administrative assessment, investment fee or other charge be deducted?
  • What acknowledgment will I receive, and which entity will issue it?

Unrestricted and restricted gifts

Unrestricted gifts

An unrestricted gift can be used for the institution’s general priorities, subject to the recipient’s policies. Flexibility lets university leaders respond to changing enrollment, emergencies or program needs. If you want broad discretion, ask whether the school’s “where needed most” fund is truly unrestricted or instead limited to a particular division.

Restricted gifts

A restricted gift names a purpose, fund, department, student group, geographic campus or other permitted use. The restriction should be written clearly in the gift agreement or accompanying designation. A vague instruction in a memo or online comment may not create the enforceable restriction you expect, so obtain written confirmation for a significant contribution.

The University of Minnesota says its foundation reviews disbursement requests for consistency with the donor’s stated purpose and that the university and foundation share stewardship responsibilities. Its gift-management policy illustrates why donor intent matters after the check is deposited, not just when the gift is solicited.

If the original purpose changes

A program can close, a scholarship can become impractical or a building project can be completed. A restricted gift is governed by its agreement, applicable law and institutional policy. The university or foundation may have a formal process to seek a donor’s consent, apply a legally permitted alternative purpose or obtain court or regulatory relief. Ask what happens to an unspent balance before signing a long-term restriction, especially for an endowment.

How the money is administered

Administration depends on the gift type. A current-use gift may be transferred to a university account soon after processing. An endowed gift is invested and usually supports future distributions under a spending policy. A foundation may also pool investments, pay grants to the university, or hold assets until conditions in the agreement are met.

Ask for the timeline from receipt to use, the investment or spending policy for endowed funds, and the reports available to donors. A foundation’s annual report may describe total assets and grants without showing your individual fund, while a stewardship report may provide balances, awards or program updates. Neither report changes the written purpose of your gift.

Fees and assessments: an important difference to check

Administrative and investment charges vary by institution and by gift type. They may be paid from unrestricted funds, deducted from a current-use gift or charged to an endowment’s assets. Do not assume that routing a donation through a foundation is free or that a direct university gift has no overhead.

The University of Washington reports a 5 percent assessment on select current-use gifts greater than $1,000 and less than $5 million, and an annual 0.9–1 percent fee on the five-year rolling average market value of endowed gifts. Those are UW-specific figures stated in its giving FAQ, accessed in 2026; they are not representative rates for other universities. Confirm current rates and whether they apply to your fund at UW’s FAQ or with the institution before donating.

Cost issue What to verify
Current-use assessment Percentage, dollar thresholds, eligible funds and whether the charge is deducted before program use.
Endowment investment fee Rate, calculation method, valuation period and whether it is taken from principal, earnings or both.
Gift-processing fee Whether credit-card or other payment costs are passed through to the gift.
Legal or stewardship costs Whether unusual gifts require appraisal, environmental review, legal work or separate charges.

Tax deductibility: the recipient’s status matters

Federal tax treatment turns on the qualified status of the named recipient and the facts of the payment, not on whether its name contains “university” or “foundation.” IRS Publication 526 (2025) defines a charitable contribution as a voluntary donation to or for the use of a qualified organization, made without receiving or expecting anything of equal value. It lists most nonprofit educational organizations, including colleges, and government entities when the donation is used solely for public purposes. Read the rules at IRS Publication 526.

Before claiming a deduction, verify the precise legal entity in the IRS Tax Exempt Organization Search or ask the organization for its legal name and status. An affiliated fundraising foundation is not automatically a “private foundation” under tax law; those are different concepts. Conversely, a university’s public status does not eliminate the need to document the gift.

Individuals generally must itemize on Schedule A to claim a federal charitable-contribution deduction. Deduction limits, carryforwards, noncash valuation rules and state treatment depend on the donor, property and tax year. A gift that provides something of value in return is generally deductible only to the extent the payment exceeds that value. Records you should keep

For a cash contribution, retain a bank record or a receipt, letter or email showing the qualified organization, the contribution date and the amount. Keep the online confirmation and the fund designation if you selected a restricted purpose.

For a contribution of $250 or more, the IRS generally requires a contemporaneous written acknowledgment from the organization to claim a deduction. The acknowledgment should state the amount of cash, describe noncash property when relevant, and say whether you received goods or services in return. Publication 526 explains exceptions and quid-pro-quo rules; see the IRS guidance.

  • Save the solicitation, pledge form and signed gift agreement.
  • Match the acknowledgment to the legal payee named on your payment record.
  • Record the date funds left your account, which may differ from the date a foundation posts them.
  • For securities or property, retain transfer confirmations and qualified appraisals when required.
  • Keep records for the period your tax adviser recommends under federal and state rules.

A practical donation process

  1. Choose the outcome. Decide whether you want general support, a current-use program, an endowed fund, a scholarship or another specific purpose.
  2. Find the official giving page. Use the university or foundation website, not an old appeal, and check the page’s current date or contact information.
  3. Confirm the legal payee. Ask which entity should receive your payment and whether it is a qualified organization for your intended tax claim.
  4. Read the restrictions. Review minimums, eligible expenses, spending rules, donor-recognition terms and the process if the purpose becomes impossible.
  5. Ask about fees. Obtain the current-use assessment, endowment fee and payment-processing terms in writing for a substantial gift.
  6. Submit the gift exactly as instructed. Put the fund name or code on the check memo, electronic form or transfer instructions; do not rely on a separate email that could be separated from the payment.
  7. Obtain written confirmation. Keep the receipt, acknowledgment and any executed agreement with your tax records.
  8. Monitor stewardship. For a restricted or endowed gift, request the reporting schedule and contact the advancement office if the report does not match your agreement.

Examples of how the choice works

You want broad support for a public university

The university may advertise a general fund but instruct donors to pay its affiliated foundation. If the foundation is the named qualified recipient and the gift is unrestricted, paying the foundation follows the school’s process even though the money supports university priorities.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

You want to fund a nursing scholarship

Select the named scholarship fund and ask whether the restriction covers only tuition, whether awards can be renewed, and what happens if the program is discontinued. Obtain the fund name in writing so your designation is not confused with a similarly named account.

You are making an endowed gift

Request the minimum principal, spending formula, investment policy, annual fee and expected reporting. An endowment can support students for decades, but its principal may not be available for the immediate project you have in mind.

You are donating appreciated securities

Confirm the receiving entity’s brokerage instructions, valuation date and acknowledgment process before initiating the transfer. The tax treatment of property gifts has additional rules, so coordinate with your tax adviser rather than relying on a generic online receipt.

Common mistakes and how to fix them

Sending the check to the wrong name

A bank may process a check even when the payee does not match the school’s fund instructions, delaying credit or creating a return. Contact gift accounting before mailing; if the check has already been sent, provide the check number, amount, date and intended fund.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Assuming “for the university” means direct university ownership

Read the gift agreement to see whether the foundation holds, invests or grants the money. Ask who controls disbursements and what reporting you will receive.

Assuming every foundation gift is deductible

Verify the exact legal recipient and keep the required records. A charitable-sounding name is not proof of qualified status, and benefits received can reduce the deductible amount.

Leaving the purpose ambiguous

Use the institution’s fund name and written restriction. If you want flexibility, choose an unrestricted fund rather than adding informal conditions that staff cannot administer.

Ignoring fees

Ask for the current schedule before signing a pledge. A percentage assessment can materially change the amount available to a program or the long-term value of an endowment.

Questions to resolve before you click Donate

  • What exact entity will appear on my receipt?
  • Is that entity listed as qualified for federal charitable contributions?
  • What percentage of my gift, if any, is assessed for administration or investment?
  • When will the program receive funds, and who can authorize a transfer?
  • What written language creates my restriction?
  • What happens if the named program ends or cannot use the money?
  • What acknowledgment will I receive for tax purposes?

There is no universally superior payee. A direct university gift can be appropriate when the university solicits and can legally accept it; a foundation gift can be the required or more practical route when the school uses its affiliate for fundraising and endowment administration. The reliable choice is the one that matches the university’s current instructions, your intended purpose and the documented status and terms of the named recipient.
