Honda and Nissan explored combining their businesses, but they did not merge. The companies ended their integration talks on February 13, 2025, and said they would continue a strategic partnership focused on intelligent and electrified vehicles. The proposed deal changed from a jointly governed holding company to a structure with Honda as parent and Nissan as subsidiary—a shift that became central to the negotiations.
What happened to the Honda–Nissan merger proposal?
On December 23, 2024, Honda and Nissan signed a memorandum of understanding (MOU) to consider business integration through a joint holding company. An MOU to consider a deal is not a completed merger or a binding announcement that one will happen. Mitsubishi Motors separately signed an MOU to consider possible participation. Honda’s December 23 announcement described the proposal as a way to explore synergies across internal-combustion, hybrid, plug-in hybrid and electric vehicles.

On February 13, 2025, the companies agreed to terminate the MOU and discontinue consideration of integration. Their joint termination statement said the strategic partnership would continue, but that is not the same as a merger: the companies did not combine into one business under this proposal.

The original concept was a joint holding company. During discussions, Honda proposed a different arrangement: Honda would become the parent company, with Nissan as its subsidiary through a share exchange. That would have given Honda control rather than placing the companies under a jointly governed holding company, according to the termination statement.

The two structures differed in governance, not just in name. A joint holding company was the initial framework; the later proposal put Honda above Nissan in the corporate hierarchy. Neither structure was implemented.
Why did the talks end?
The companies said they had discussed market conditions, the objectives of integration, and the management strategy and structure that might follow it. In their joint statement, they said they ended the discussions to prioritize quick decision-making and execution of management measures in a volatile market environment as electrification advanced. That is the companies’ stated rationale; it does not establish that the EV transition alone caused the talks to fail.

Contemporaneous reporting from The Associated Press added the executives’ perspectives. Nissan CEO Makoto Uchida said the shift toward making Nissan a Honda subsidiary would not realize Nissan’s potential and that he could not accept it. Honda CEO Toshihiro Mibe said he was “really disappointed” and that Honda had proposed a stock swap to speed decision-making. These remarks were reported by AP on February 13, 2025, and reflect the executives’ accounts of the negotiations. Read AP’s account of the talks’ end.

Electrification was part of the strategic context, not proof that a deal would have produced a particular result for drivers. The initial announcement described potential cooperation across combustion-engine, hybrid, plug-in hybrid and electric models. When the companies ended negotiations, they referred more broadly to a volatile market entering electrification and to the need for speed in management decisions.

After the integration plan ended, the companies said they would continue a strategic partnership in the era of intelligent and electrified vehicles. AP reported that potential cooperation included EVs and smart-car technologies such as autonomous driving. The announcements support continued cooperation, not a claim that any specific joint vehicle, technology, cost saving or release schedule was guaranteed. Reuters’ report on the disagreements and continuing technology cooperation provides additional context.
What the proposal did—and did not—mean for consumers
There was no completed merger for car buyers to evaluate. The public statements describe intended strategic scope and governance discussions, but do not establish that the proposed integration would have lowered vehicle prices, improved products, protected jobs, or accelerated EV launches. Consumers should treat the continuing partnership as distinct from a combined company and avoid assuming that it guarantees a particular product or customer benefit.

AP reported that Nissan earned 5.1 billion yen in April–December 2024, compared with 325 billion yen in the same period a year earlier, and projected an 80 billion yen loss for the fiscal year ending March 2025.
