A delisting by itself usually does not let you claim a U.S. federal capital loss. Delisting only describes where, or whether, a security trades. You generally claim the loss when you sell or exchange the shares, validly abandon them, or establish that they became completely worthless during the tax year. A completely worthless security is treated as if you sold it on the last day of that tax year.

The decisive question is not whether your ticker disappeared or your brokerage account shows a zero value. It is whether you can support a tax disposition and show that no value, distribution, or enforceable right remained. The rules below are the federal framework; state taxes, retirement accounts, corporate ownership, dealer inventories, affiliated-company rules, and bankruptcy distributions can produce different results.

Delisting is a market event, not automatically a tax event

An exchange can remove a company from listing because it no longer meets listing standards, enters financial distress, fails to file reports, completes a transaction, or for other administrative reasons. Afterward, shares may trade on an over-the-counter market, remain subject to a merger or liquidation, or retain a claim in bankruptcy. In some cases the security becomes difficult to sell but still has legal or economic value.

Federal income-tax treatment focuses on a disposition or a complete loss of value, not on the listing venue. A delisting notice can be important evidence, but it does not by itself prove that every shareholder’s interest is worthless. The same is true of a trading suspension, a zero quote, a broker’s $0 account value, or a brokerage notation that says “worthless.” Those facts may support your position, but the underlying corporate and legal facts determine whether the security actually became completely worthless or was abandoned.

Situation What it establishes What it does not establish by itself
Exchange delisting The security no longer meets that exchange’s listing or trading conditions. That the shares have no remaining value or that a deductible tax disposition occurred.
Trading suspension or zero quotation Trading may be unavailable or market data may show no current bid. That all liquidation, merger, bankruptcy, or settlement rights are gone.
Over-the-counter trading The security may still be transferable or saleable outside the former exchange. That a loss is fixed before an actual sale or proof of complete worthlessness.
Bankruptcy filing The issuer is in a court-supervised restructuring or liquidation process. That shareholders will receive nothing; distributions can remain possible.
Broker “worthless” notation The broker has made an administrative or operational classification. That the tax requirements for worthlessness or abandonment have been met.

When shares are completely worthless

Internal Revenue Service Publication 550 (2025) states: “Stocks, stock rights, and bonds (other than those held for sale by a securities dealer) that became completely worthless during the tax year are treated as though they were sold on the last day of the tax year.” This deemed sale is the federal mechanism that turns a total loss into a capital-loss transaction even when no buyer or settlement occurred.

What “completely worthless” requires

Complete worthlessness means the security has no value and no realistic prospect of receiving value. The conclusion should be based on objective facts, such as a completed liquidation with no shareholder distribution, cancellation of the shares, or a final bankruptcy outcome that leaves equity with no recovery. A temporary inability to trade, a very low price, or an issuer’s financial trouble is not enough if a distribution, reorganization, conversion, or other right remains possible.

There is no single event listed in the federal materials that automatically proves worthlessness in every case. You must evaluate the issuer’s final status and retain documents showing why no value remained during the year you claim. If the issuer later pays a distribution, the timing and character of the earlier claim can become a serious issue, so do not treat an unresolved bankruptcy or merger as final merely because the ticker stopped trading.

Evidence that can support the tax year

  • The exchange’s delisting or cancellation notice, with its effective date.
  • Issuer, trustee, transfer-agent, or court notices describing liquidation, cancellation, or the absence of shareholder distributions.
  • A bankruptcy plan, final order, or liquidation report showing that equity receives nothing.
  • Brokerage statements showing the position, dates, and any later removal of the security.
  • Corporate-action records, tender or conversion documents, and correspondence confirming that no proceeds or replacement security was received.
  • Your contemporaneous notes explaining why the evidence established no remaining value at year-end.

No single broker statement substitutes for the underlying facts. Preserve the records even if the broker removes the position from your account, because the IRS may ask why you selected that year.

Which tax year contains a worthless-security loss?

The deemed sale occurs on the last day of the tax year in which the security became completely worthless. If the final liquidation and cancellation occurred in 2025, the transaction is reported on the 2025 return as a sale dated the last day of 2025, even though the exchange delisting or bankruptcy filing may have happened earlier.

Choosing the year requires a defensible timeline. A delisting in December does not necessarily establish worthlessness in December, and a bankruptcy filing in one year may be followed by a distribution in a later year. Use the date on which the evidence shows that all value and rights ended, not the first date on which the shares became difficult to trade.

Short-term or long-term classification

The holding period determines whether the deemed sale produces a short-term or long-term capital loss. Under the Publication 550 rule, the deemed sale date is the last day of the year of complete worthlessness. Compare that date with your acquisition date: a holding period of one year or less is short-term; more than one year is long-term.

For shares bought at different times, identify each tax lot and its basis and acquisition date. Do not combine lots merely because they carry the same ticker. A broker’s consolidated statement may not show every lot after a corporate action, so reconstruct missing information from confirmations, statements, reinvestment records, and prior returns.

Abandonment: a separate way to realize the loss

Abandonment is different from waiting for an issuer to become worthless. The IRS says: “To abandon a security, you must permanently surrender and relinquish all rights in the security and receive no consideration in exchange for it.” Treasury regulation 26 CFR §1.165-5 treats a qualifying abandoned capital-asset security as a loss from sale or exchange on the last day of the taxable year, subject to the regulation’s conditions. The cited rule and Publication 550 expressly include qualifying abandoned securities for transactions after March 12, 2008.

What a valid abandonment involves

  1. Permanent surrender: You give up every ownership right, including rights to sell, vote, receive distributions, or participate in a reorganization.
  2. No consideration: You receive nothing in money, property, debt relief, replacement securities, or another benefit in return.
  3. Clear action and records: Your written instruction, transfer document, or other evidence shows an intentional and irrevocable relinquishment.
  4. No continuing claim: You do not retain the shares or a right that could produce value later.

Simply keeping delisted shares in an account is the opposite of a documented surrender. An account value of $0, an inability to place an order, or a broker’s administrative removal may reflect recordkeeping rather than your permanent relinquishment. Ask the broker what action, if any, actually transferred or cancelled your rights, and retain the response.

Publication 550 cautions that “All the facts and circumstances determine whether the transaction is properly characterized as an abandonment or other type of transaction, such as an actual sale or exchange, contribution to capital, dividend, or gift.” If you receive anything, or if the issuer or broker takes an action that looks like a sale, exchange, contribution, or corporate distribution, classify the transaction on those facts rather than labeling it abandonment.

An actual sale or exchange may be simpler

If the shares can still be sold, selling them for any amount generally fixes the disposition on the trade date and produces proceeds that can be compared with basis. A sale through an over-the-counter market, a tender offer, a merger exchange, or a liquidation distribution may be an actual sale or exchange rather than a worthless-security claim. Keep the contract note, settlement statement, and corporate-action terms.

A nominal sale can have practical complications. The transaction must be genuine, the buyer must acquire the interest, and the proceeds and fees must be documented. Do not assume that transferring shares to another account, gifting them, or contributing them to a company creates the same result as a sale. Those transactions can have different tax rules and may not produce a deductible capital loss.

How to report a worthless or abandoned security

The IRS taxpayer FAQ directs taxpayers to report a worthless-security loss on the appropriate part of Form 8949 and carry the result to Schedule D. Use the procedure below for a federal individual return, while checking the instructions for the specific tax year.

  1. Identify the tax year. For complete worthlessness, use the year in which the security became totally worthless; enter the deemed sale date as the last day of that year. For abandonment, use the year in which you permanently surrendered the rights under the applicable facts.
  2. Determine the tax lot and basis. Use reliable acquisition records, including purchase confirmations, reinvested-dividend records, stock splits, mergers, and prior basis adjustments. If basis is uncertain, resolve the records before filing rather than inserting an unsupported figure.
  3. Choose Form 8949, Part I or Part II. Part I is for short-term transactions; Part II is for long-term transactions. Enter the security description, acquisition date, disposition date, proceeds, cost or other basis, and the adjustment code and amount required by the current form instructions for a transaction without a broker-reported Form 1099-B.
  4. Report the result on Schedule D. Transfer the totals from Form 8949 to the appropriate short-term or long-term section of Schedule D, then follow that year’s Schedule D instructions to combine gains and losses.
  5. Attach an explanatory statement when useful. Describe that the entry is a worthless-security deemed sale or a qualifying abandonment, identify the evidence and dates, and explain why no Form 1099-B was issued. Keep, rather than mail, supporting documents unless the form instructions request an attachment.
  6. Retain the file. Keep statements, notices, court or liquidation records, broker correspondence, basis calculations, and the filed forms for the period required for tax records.

If your broker does issue a Form 1099-B, reconcile its proceeds, dates, and basis with your records. A broker may not report a worthless-security deemed sale, and its “worthless” notation may not contain the tax date or classification you need. You remain responsible for a complete and accurate Form 8949 and Schedule D entry.

What if you missed the year of worthlessness?

Publication 550 says that if you did not claim the loss on the original return, you may file Form 1040-X for the year the security became worthless. The special limitation period is within seven years from the date the original return for that year was due, or two years from the date you paid the tax, whichever is later. This rule concerns the federal amendment period for the missed worthless-security loss; it does not move the loss to a more convenient tax year.

Before amending, assemble the evidence that establishes the year of complete worthlessness, recalculate the short-term or long-term classification, and include the corrected Form 8949 and Schedule D schedules required for that year’s return. State amendment deadlines can differ, and an amended federal return does not automatically amend a state return.

How the loss can be used

Capital losses first offset capital gains under the applicable Schedule D rules. If total losses exceed total gains, only the annual amount allowed against ordinary income may be used in that year, and the remaining net capital loss carries forward under the current rules. Because the limitation, ordering rules, and forms can change, use the instructions for the return year involved rather than relying on a prior year’s calculation.

A worthless-security loss is a capital loss, not a bad-debt deduction. The IRS taxpayer FAQ states: “If you own securities, including stocks, and they become totally worthless, you have a capital loss but not a deduction for bad debt.” The character matters when you combine the loss with other capital transactions and when you calculate carryforwards.

Decision framework for a delisted position

  1. Check for continuing value. Search issuer, court, trustee, and transfer-agent notices for pending distributions, conversion rights, merger consideration, or an over-the-counter market.
  2. Check for a completed disposition. If you sold, exchanged, tendered, or received liquidation proceeds, report that actual transaction using its date and proceeds.
  3. Consider abandonment only if intentional. Confirm that you permanently surrendered every right and received no consideration, and obtain documentation of the surrender.
  4. If no disposition occurred, test complete worthlessness. Establish the date and objective evidence showing that no value or distribution remained during the claimed year.
  5. Determine the lot and holding period. Separate short-term and long-term lots and document basis.
  6. File or amend the correct return. Use Form 8949 and Schedule D for the proper year; use Form 1040-X if a qualifying loss was omitted from the original return.

Common mistakes and how to avoid them

  • Claiming the delisting date automatically: A delisting may precede a liquidation, reorganization, or later distribution. Identify when value actually ended.
  • Treating a $0 quote as proof: No quoted bid is not the same as no legal or economic value. Review corporate and bankruptcy records.
  • Relying only on the broker’s notation: Administrative removal does not establish your tax facts. Preserve independent notices and correspondence.
  • Using the wrong tax year: Worthless securities are deemed sold on the last day of the year they became completely worthless, not necessarily the delisting year.
  • Misclassifying the holding period: Use the acquisition date for each tax lot and the deemed sale date for the loss.
  • Calling a transfer an abandonment: A gift, contribution, sale, exchange, or transaction for consideration can have a different character.
  • Inventing basis or proceeds: Reconstruct records and explain a missing Form 1099-B instead of guessing.
  • Ignoring later recoveries: A later distribution can signal that the security was not completely worthless when claimed. Obtain professional advice before filing when a recovery remains possible.

Limits of this federal framework

This treatment addresses individual U.S. federal income tax. State income-tax conformity is not uniform. Retirement accounts generally follow different tax rules because gains and losses inside the account are not reported like transactions in a taxable brokerage account. Corporate holders, securities dealers holding inventory, affiliated-company transactions, and securities involved in bankruptcy or complex reorganizations can also require specialized analysis. Current IRS forms and instructions control for the filing year, and a qualified tax professional can evaluate facts that are not resolved by a delisting notice.

Frequently Asked Questions

Does a delisted stock automatically create a deductible capital loss?

No. Delisting is evidence that trading status changed, but a federal capital loss generally requires a sale or exchange, a qualifying abandonment, or proof that the security became completely worthless.

What date do I use for a completely worthless security?

Use the last day of the tax year in which the security became completely worthless, because IRS Publication 550 treats it as sold on that date.

Can I claim a loss if my broker removed the shares and shows a zero value?

Not solely for that reason. Obtain evidence that the shares were cancelled or liquidated with no possible distribution, or document a qualifying permanent abandonment.

How do I fix a missed worthless-stock loss?

File Form 1040-X for the year the security became worthless, observing the special period stated in Publication 550: seven years from the original return due date or two years from tax payment, whichever is later.
