A data-center IPO is not an automatic bet on artificial-intelligence growth. It is an infrastructure and customer-credit investment whose returns depend on securing power, financing construction until facilities produce cash, keeping anchor tenants solvent, and earning enough from AI workloads to cover unusually expensive electrical and cooling systems. A company can announce large megawatts of future capacity while still facing years of spending, permitting, energization and utilization risk.
The most useful analysis tests four linked failure modes: power arrives late or costs more than contracts allow the operator to recover; debt and equipment commitments consume liquidity before revenue ramps; a few customers delay, renegotiate or abandon leases; and AI demand, pricing or customer economics fail to justify high-density infrastructure.

Why AI demand is not the same as investable cash flow
Data-center operators sell capacity, power, connectivity and operating services. Their income statements improve only after a site is permitted, connected to the grid, built, energized, accepted by a customer and used at a profitable rate. A forecast based on AI demand can therefore be directionally right while equity returns are poor if the spending arrives first and utilization arrives later.
The Tool Desk
Outbyte PC Repair FREERepair Windows errors before they cause bigger problemsFix Now →Outbyte Driver Updater FREEFix the driver behind crashes, sound loss and screen glitchesFind Drivers →Investors should separate four milestones:
- Power secured: The utility, transmission system and site can deliver the required load under an enforceable arrangement.
- Capacity built: Buildings, substations, generators, cooling and network systems are completed within budget.
- Capacity contracted: A customer has a binding obligation, not merely a memorandum, reservation or forecast.
- Capacity producing cash: The customer is paying, using the capacity and covering the operator’s power, maintenance, financing and overhead costs.
An IPO valuation that treats contracted megawatts as current earnings skips the timing and execution risk between those milestones.

Power economics: the first and least portable risk
Why location matters
Electricity is a scarce, location-specific input. A campus cannot simply buy more power from a cheaper market if its transmission connection, permits or utility territory cannot deliver it. Grid-interconnection queues, substation work, transmission upgrades, environmental approvals, community opposition and local permitting can all postpone energization. NVIDIA’s July 2026 filing warns that power constraints, government action or regulation, permitting delays and community opposition may delay, restrict or prevent data-center development or operation.
Applied Digital’s 2026 Form 10-K says its operations require significant electrical power and that demand will continue to grow as its campuses begin operating. That growth increases both the opportunity and the exposure: every additional megawatt requires a reliable path from generation to the customer’s racks.
Break the power bill into its real components
Do not compare operators using a single headline electricity price. Request a bridge from wholesale energy to delivered cost that includes:
Recommended Free Tools
- Energy charge: The market or contract price for consumed kilowatt-hours.
- Utility tariff and demand charges: Fixed and peak-load fees that can rise even when energy consumption is stable.
- Transmission and interconnection: Network upgrades, line charges and one-time connection costs allocated to the project.
- Backup generation: Fuel, maintenance, testing and emissions-compliance costs for generators or other resilience systems.
- Cooling and water: Power consumed by chillers, pumps and high-density liquid-cooling equipment, plus water and treatment expenses where applicable.
- Regulatory and extraordinary charges: Applied Digital identifies carbon-related rules, grid-modernization charges, extreme-weather surcharges and geopolitical events as potential drivers of delivered-electricity costs.
IREN likewise reports that electricity-cost fluctuations and increases, inflation, tariffs and the capital-intensive expansion of AI Cloud Services can raise operating expenses. A customer contract is protective only if it specifies which of these costs can be passed through and how quickly.

Questions about power contracts
- Is the operator paying a fixed price, an index-linked price or a utility tariff that can change?
- Are demand, transmission, interconnection and extraordinary regulatory charges reimbursable?
- Does the customer pay for reserved power even when its servers are idle, or only for actual consumption?
- Who bears a delay if the utility cannot energize the site on the promised date?
- Are escalation caps, minimum-take commitments, deposits or letters of credit in place?
Equinix says access to power limits expansion and that AI-oriented facilities require substantially more power and cooling per cabinet. That means a site with adequate capacity for conventional colocation may need expensive retrofits before it can host AI hardware.
Construction, debt and the period before revenue
Why leverage magnifies schedule risk
Data-center development is capital-intensive and usually front-loaded. Land, design, substations, transformers, generators, switchgear, cooling systems and specialized equipment must be purchased before a tenant begins paying. Interest accrues while those assets are under construction, and a delayed energization date extends the period with outflows but little or no operating cash.
NiSource reported $16,213.5 million of consolidated indebtedness at December 31, 2025 in its 2025 Form 10-K and warned that additional long-term debt or equity could be needed for generation and transmission assets supporting data-center contracts. The figure is a company-wide disclosure, not a measure of any particular IPO’s leverage; it illustrates the scale that power-related infrastructure can add to a balance sheet.
Equinix warns that it commits substantial resources before securing customers and that acquisition and debt-financing interest expense can reduce profitability. Core Scientific identifies debt service and the funding of capital requirements as factors affecting liquidity. Those disclosures point to the same analytical question: how long can the company fund construction if a customer or utility slips?

Build a debt-and-liquidity map
For each issuer, list every obligation rather than relying on a debt-to-EBITDA headline:
| Item | What to examine | Why it can hurt an IPO investor |
|---|---|---|
| Maturities | Principal due in each year and refinancing options | A large maturity before projects generate cash can force dilution, asset sales or expensive refinancing. |
| Interest exposure | Fixed versus floating rates, hedges and rate-reset dates | Higher rates raise cash interest before utilization reaches plan. |
| Security and covenants | Secured liens, borrowing-base tests, minimum liquidity and restricted payments | A covenant breach can limit new borrowing or give lenders control over assets. |
| Capex commitments | Signed equipment orders, cancellation penalties and remaining construction budget | Cash may be committed even if a tenant delays or a project is redesigned. |
| Liquidity | Cash, revolver availability, restricted cash and expected operating inflows | Reported cash may not be available for construction or debt service. |
| Time to cash | Months from spending to energized, accepted and billable capacity | Longer gaps increase carrying costs and the chance of a funding shortfall. |
Also test cost overruns and delay penalties. A project can be fully leased and still destroy value if transformers, cooling equipment or transmission work arrive late and the operator must pay contractors, interest and taxes without receiving rent.
Customers, contracts and concentration
Megawatts are not automatically contracted revenue
Reported backlog should be classified by legal strength. Ask whether each megawatt is covered by a binding lease, a take-or-pay commitment, a cancellable reservation, a letter of intent or management’s estimate. Review termination rights, construction conditions, force-majeure language, security deposits, parent guarantees, remedies for delay and the customer’s ability to reduce capacity.
Do these 3 things before closing this tab:
1Scan for outdated or missing drivers - takes under a minute2Clear out junk files and repair common Windows errors3Fix the driver behind crashes, sound loss and screen glitchesCore Scientific’s Q2 2026 Form 10-Q illustrates both the upside and the concentration risk. The company reported approximately 530 MW anchored by a 15-year AMD agreement across five sites, announced July 28, 2026, within a relationship that could support up to 2.5 GW of leasable capacity. A long tenor can support financing, but the economics still depend on construction, power availability, AMD’s continued funding and the enforceability of the agreement. The potential 2.5 GW is not the same as 2.5 GW already energized and revenue-producing.

Core Scientific states that its results, liquidity and cash flows are affected by its ability to execute and scale its high-density-computing business, retain its existing colocation customer, complete contracted capacity on schedule and within budget, manage customer concentration and the financial health of its primary customer, absorb power costs and availability, and service debt while funding capital requirements. Those are operating dependencies, not merely legal boilerplate.
Concentration can turn one customer decision into a financing event
Calculate the percentage of committed revenue, gross margin and future power demand represented by the largest customer. Then model a delayed start, a 25% capacity reduction, a renegotiated price and a complete default separately. A customer can remain solvent yet still defer deployment because its own AI products are not earning enough to justify new infrastructure.
New Era warns that hyperscalers may build and own their own energy and data-center infrastructure, reducing demand for third-party platforms. It also warns that consolidation in the AI sector can increase tenant concentration. Self-build is therefore a structural risk even when near-term demand is strong: the addressable market for independent operators may shrink as the largest buyers internalize power and facilities.
AI demand, pricing and the possibility of overbuild
Why demand forecasts can fail
AI workloads need high power density, advanced cooling and efficient resource utilization. A 2026 risk disclosure from a China-based operator says AI adoption may increase demand but gives no assurance that customers’ AI investments will earn expected returns. If model providers, enterprises or cloud platforms cannot monetize their workloads, they may delay orders, seek lower prices or default on commitments.

NVIDIA’s July 2026 filing similarly notes that future demand depends partly on whether customers and partners can generate revenue and sustain infrastructure investment. More efficient models can reduce the amount of compute needed for a given task; falling prices for compute can then weaken the operator’s ability to recover the cost of a high-density build.
IREN describes a transition from bitcoin mining toward AI Cloud Services, with higher costs and competition for customers, sites, power, equipment, personnel and capital. A transition strategy can create a temporary mismatch: legacy assets may produce less cash while the new AI capacity is still under construction and uncontracted.
Signals that a market may be overbuilt
- Management emphasizes potential or pipeline megawatts rather than energized, billable capacity.
- Utilization assumptions rise faster than signed customer commitments.
- Pricing is forecast to remain high despite rapid hardware efficiency gains or new competing supply.
- Projects rely on one hyperscaler, one region or one utility connection.
- Construction starts before power, permits, customer security and equipment delivery are all documented.
- Customers are themselves unprofitable, highly leveraged or dependent on continued external funding.
Utilization is a useful reality check. Equinix reported approximately 78% cabinet utilization as of June 30, 2025. That figure applies to Equinix’s reported cabinet base and date; it is not a universal target for AI campuses, which may have different density, redundancy and ramp characteristics.

How to compare two data-center IPOs
Use the same definitions and time horizon for both companies. A comparison that mixes contracted and speculative megawatts, or current utilization with post-construction projections, can make the riskier issuer appear cheaper.
| Comparison axis | Evidence to request | Interpretation |
|---|---|---|
| Contracted versus speculative MW | Signed capacity by site, customer and start date | Speculative MW requires funding and demand before it becomes revenue. |
| Tenor and termination | Lease length, take-or-pay terms, cancellation fees and conditions precedent | Long tenor helps only when obligations are enforceable and secured. |
| Customer concentration | Share of revenue, backlog and power demand by customer and geography | Concentration raises the impact of one delay, default or self-build decision. |
| Power economics | Source, delivered price, escalation, demand charges and pass-through rights | Low headline energy prices can hide transmission, cooling or regulatory costs. |
| Interconnection and permits | Queue position, executed utility agreements, permits and energization milestones | A power reservation without a deliverable connection is not operating capacity. |
| Construction schedule and budget | Remaining capex, contingencies, equipment orders and delay remedies | Underfunded or optimistic schedules create liquidity risk. |
| Leverage and liquidity | Maturities, floating-rate debt, covenant headroom, cash and revolver availability | Near-term refinancing needs can overwhelm attractive long-term demand. |
| Utilization and density | Current billable utilization, rack density, cooling design and ramp assumptions | High-density capability matters only if customers pay for it. |
| Downside sensitivity | Effects of delayed energization, lower AI utilization, higher power cost and customer default | The stronger IPO is the one that remains solvent under realistic delays, not just the one with the largest pipeline. |
A practical downside case
Build a four-step stress case before assigning a valuation. First, delay energization by six to twelve months while construction interest and committed equipment costs continue. Second, increase delivered power cost and remove any amount the contract does not explicitly pass through. Third, reduce utilization and pricing as an anchor customer delays deployment or negotiates a lower rate. Fourth, assume the company must refinance a maturity at a higher rate while funding the remaining buildout.
Track the effects on cash, interest coverage, covenant headroom, required equity and the date when each project becomes cash-generative. A project that remains profitable on a site-level basis may still create shareholder losses if corporate debt comes due first or if the operator must issue heavily discounted equity.
Questions to answer before buying shares
- How many megawatts are energized and billing today, and how many are only planned?
- What percentage of backlog is take-or-pay, secured by a deposit or guaranteed by a creditworthy parent?
- Who pays for energy, demand charges, transmission, cooling and extraordinary utility costs?
- What happens financially if the largest customer starts six months late, takes less capacity or terminates?
- Which projects still need permits, interconnection work, transformers or other long-lead equipment?
- What debt matures before the next major campus reaches expected utilization?
- How much floating-rate debt is exposed to higher interest rates?
- Can the facilities serve non-AI customers if AI demand or pricing weakens?
- Could the largest prospective tenants build their own power and data-center infrastructure?
- What level of utilization and compute pricing is required to cover power, cooling, operating costs and debt service?
Bottom line for IPO investors
The investable question is not whether AI will use more data centers. It is whether this operator can convert scarce power into contracted, cash-producing capacity before debt and construction commitments consume its liquidity. Favor issuers that show deliverable interconnections, transparent delivered-power costs, enforceable and diversified contracts, realistic construction budgets, manageable maturities and enough flexibility to serve customers beyond one AI cycle. Treat large pipeline megawatts, long-dated promises and industry-wide demand forecasts as scenarios until they are backed by power, permits, funding and paying utilization.
