Start with the filing, not the AI story. A data-center IPO is investable only when its prospectus supports a credible path from power and permits to energized capacity, paying tenants and cash flow. Separate operating megawatts from planned megawatts, verify grid and water access, test tenant credit and concentration, model construction and financing needs, and value the shares on conservative stabilized cash flow. If the base case fails after delayed energization, higher power costs or additional dilution, pass on the offering.
What a retail investor is actually buying
“Data center” can describe very different securities. Before reading growth projections, identify the legal and economic structure offered in the registration statement and final prospectus (S-1 and 424B4 for a U.S. IPO).
As an Amazon Associate I earn from qualifying purchases.
- Operating company: The issuer owns or operates facilities and reports revenue, expenses, capital expenditure and debt directly.
- Real estate investment trust (REIT): The structure may emphasize rental income and distributions, but tax rules, leverage and operating subsidiaries affect the economics.
- Externally managed vehicle: An outside sponsor or manager may select assets, provide services and charge fees. Review conflicts, termination rights, incentive fees and related-party transactions.
- Blind pool: The company has substantial discretion to acquire assets after the IPO. You are underwriting management’s allocation skill and fee structure before the portfolio is known.
A Blackstone Digital Infrastructure Trust Inc. prospectus warns about no operating history, blind-pool exposure, broad discretion over proceeds and dependence on its manager. Those risks apply to any similarly structured offering, not just that issuer. Read the “Prospectus Summary,” “Risk Factors,” “Use of Proceeds,” “Management,” “Certain Relationships and Related Transactions,” “Description of Capital Stock,” and financial statements before relying on an investor presentation.

Calculate dilution under the basic share count and again after options, restricted stock, warrants, convertible instruments and earn-outs. Identify sponsor promote, management equity, acquisition fees, asset-management fees and internalization payments. A low initial price can still be expensive if the fully diluted share count is materially higher than the number shown in the offering headline.
Build a capacity ledger before accepting the growth story
Every megawatt figure should be labeled. “Operating” means capacity already in service; “energized” means power is available at the site; “contracted” means a customer or utility agreement exists; “permitted” means approvals are in hand; “planned” means management intends to build it. These categories are not interchangeable.
| Capacity label | Evidence to request | Investor interpretation |
|---|---|---|
| Operating | Facility list, commissioned date, usable IT load and historical utilization | Closest to current revenue, but verify that the figure is IT load rather than total facility power. |
| Energized | Utility confirmation, substation status and energization date | Power can be delivered; it does not prove a tenant is ready or paying. |
| Contracted | Executed lease, take-or-pay terms, security deposit or parent guarantee | More credible than a sales pipeline, subject to counterparty credit and conditions precedent. |
| Permitted | Planning, environmental and building approvals | Legal permission to build does not ensure financing, equipment or grid capacity. |
| Planned | Board-approved plan, site control and a milestone schedule | Speculative until permits, interconnection, funding and customer commitments are obtained. |
Put the ledger in a spreadsheet by site. For each location, show usable megawatts, status, expected energization date, tenant, contracted revenue, construction spend to date and remaining spend. Do not add planned megawatts to operating megawatts when calculating current scale. Tie each forecast year to a specific commissioning milestone and lease start date.

Test whether AI demand becomes cash flow
AI-cloud demand is an assumption, not a contract. IREN warns that demand for AI cloud services may not develop or persist as anticipated. Ask management to identify which capacity is supported by signed leases or take-or-pay commitments, which is under negotiation and which depends on a future customer market. Review termination rights, ramp schedules, minimum usage, renewal options, pricing escalators and the date rent begins.
Check customer credit, not just customer logos. A financially weak intermediary, special-purpose vehicle or concentrated start-up customer can create more default risk than a diversified tenant base. Match contracted revenue to the customer’s obligation period and to the date the facility is expected to be energized. If a lease is contingent on power delivery, construction completion or financing, model the contingency explicitly.

Prove power, grid access and reliability
Electricity is often the binding constraint on data-center expansion. Blackstone’s 2026 prospectus says the ability to lease space can be constrained by obtaining sufficient electrical power and water. Applied Digital and Equinix filings likewise identify electricity availability, cost, timing and reliability as material risks.
- Request the utility record. Look for a utility letter, executed service agreement, interconnection study, queue position, required upgrades and the party responsible for transmission or substation costs.
- Separate contracted from energized power. A reservation or contract for future megawatts is not the same as electricity flowing to the site. Record the expected in-service date and every dependency.
- Read the tariff assumptions. Identify demand charges, energy charges, capacity charges, curtailment provisions, renewable requirements and pass-through rights. Compare the assumptions with historical and forward scenarios in your model.
- Check backup arrangements. Review generator capacity, fuel storage, maintenance obligations, redundancy design, testing and any restrictions on runtime or emissions.
- Review outage history and resilience. Ask for site-level outage data, service-level commitments, planned transmission work and severe-weather protections. Reliability affects both tenant retention and operating cost.
Equinix states that power costs can remain volatile and unpredictable and could materially affect expansion, forecasting, results and financial condition. Treat a fixed power-price assumption as a scenario, not a fact, unless the filing describes a hedge or contractual pass-through and its duration.

Check cooling, water and local constraints
High-density computing changes the physical requirements of a facility. Determine whether the design uses air cooling, direct-to-chip liquid cooling, immersion or a hybrid system; what rack densities it supports; and whether the design can be retrofitted as GPU generations change.
- Identify the water source, withdrawal volume, discharge destination and treatment obligations.
- Check drought exposure, seasonal restrictions and competing municipal or industrial demand.
- Determine whether the utility, landlord or tenant pays for water, treatment, expansion and emergency supply.
- Review permits and community conditions for water use, noise, heat rejection, generators and construction.
- Compare the facility’s power-usage effectiveness (PUE) definition and measurement period. Do not compare a design target with a reported operating result.
Water and electrical constraints can prevent leasing even when a building shell exists. A site with cheap land but no permitted water or cooling path may be less valuable than a smaller site that can be energized and operated reliably.
Analyze tenants, leases and concentration
Find the top-tenants table and reconcile it to revenue, accounts receivable and contracted backlog. Calculate each major customer’s share of current revenue and committed revenue, then map lease expirations by year.

Lease quality questions
- Is the agreement a binding lease, a service contract, a reservation or a nonbinding memorandum?
- What are the term, renewal options, termination rights, ramp schedule, deposits and parent guarantees?
- Who pays power, taxes, maintenance, network connectivity and replacement equipment?
- Are rents fixed, indexed, usage-based or subject to power-cost pass-through?
- What happens if the tenant’s equipment arrives late or the facility misses an energization milestone?
Concentration deserves a stress case even when customers are investment grade. The loss, delay or renegotiation of one hyperscaler or AI customer can leave specialized capacity idle. Compare tenant concentration with lease duration and the cost of reconfiguring the space for another customer.

Data centers require continuing spending beyond the initial building. IREN says it expects substantial capital expenditures to acquire, maintain and upgrade hardware, construct facilities and grow, and warns it may be unable to raise the additional capital needed to meet those objectives.
Build a site-level sources-and-uses model. Include land, shell construction, electrical and mechanical systems, generators, substations, transmission and interconnection charges, networking, tenant improvements, hardware, permitting, professional fees, contingencies and working capital. Divide total project cost by usable IT megawatts, but preserve the assumptions: a powered shell and a fully fitted, liquid-cooled AI hall are not equivalent units.
Financing checks
- List debt balances, maturities, floating-rate exposure, covenants, collateral and undrawn commitments.
- Model interest expense at higher rates and after refinancing at market terms.
- Test cash-flow coverage before distributions, maintenance capex and growth capex.
- Estimate the equity required if construction costs rise or customer payments are delayed.
- Recalculate per-share value after each plausible equity raise, including the effect of sponsor or employee issuance.
Repeated external financing can transfer growth economics from existing shareholders to new capital providers. A company can add megawatts while per-share cash flow declines if dilution and interest costs grow faster than operating profit.
Assess technology flexibility and obsolescence
Ask whether the physical and electrical design can accommodate changing rack densities, GPU generations, liquid cooling, networking and bandwidth. A facility optimized for one generation of equipment may require expensive retrofits or lose tenants when requirements change.

Read depreciation lives, replacement schedules and residual-value assumptions. Compare the expected useful life of power and cooling infrastructure with the faster replacement cycle of servers and accelerators. Determine whether tenants own the hardware, whether the issuer finances it, and who bears failure, upgrade and obsolescence risk.
Review permits, climate, security and community exposure
For every site, verify zoning, building, environmental and water approvals, emissions limits, generator permits and transmission rights. Record open conditions, appeal periods and the responsible party. A permit that can be revoked, appealed or conditioned is not equivalent to an unconditional authorization.
IREN identifies construction, climate, weather and disaster risks. Review flood, wildfire, heat, storm and seismic exposure; insurance limits and deductibles; business-interruption coverage; and recovery-time commitments. Evaluate physical security, cybersecurity controls, incident history and tenant obligations for shared networks and building systems.
Grid cost recovery is another community risk. Ceres has highlighted the possibility that costs associated with data-center growth could be shifted to other electricity customers. Check whether regulators or utilities can change tariffs, impose upgrades or limit new load, and model the effect on both timing and operating cost.

| Axis | What to place side by side | Decision question |
|---|---|---|
| Scale | Operating, energized, contracted, permitted and planned megawatts | How much capacity can produce revenue now? |
| Power | Utility status, queue position, energization date, tariff and reliability | Can the site receive affordable, dependable electricity on schedule? |
| Cooling and water | Cooling design, PUE basis, water source, permits and drought exposure | Can the facility support target rack density without unacceptable constraints? |
| Customers | Tenant concentration, lease duration, credit support and expiration ladder | What happens if the largest customer delays, defaults or does not renew? |
| Revenue quality | Contracted rent, take-or-pay provisions, reservations and speculative pipeline | How much forecast revenue is legally committed? |
| Capital intensity | Construction cost per usable megawatt, remaining capex and replacement needs | Can the balance sheet fund completion and upkeep? |
| Funding | Debt maturities, rates, covenants, cash coverage and dilution | Will growth require repeated external financing? |
| Governance | Sponsor fees, related-party transactions, voting rights and manager removal | Are incentives aligned with outside shareholders? |
| Execution | Permits, interconnection milestones, construction progress and delivery dates | What specific event could delay cash flow? |
| Valuation | Offer price against stabilized cash flow under identical scenarios | Is the price justified without assuming perfect AI growth? |
Value the IPO with downside cases
Start with stabilized cash flow, not headline megawatts. Build a base case from signed contracts, realistic energization dates, occupancy or utilization, power costs, operating expenses, maintenance capex, interest and taxes. Then run separate cases for:
- Six- to twelve-month energization delays or a phased commissioning schedule.
- Lower utilization because AI demand ramps slowly or a tenant cancels.
- Tenant default, lease restructuring or a nonrenewal at expiration.
- Higher energy, water, transmission and cooling costs without full pass-through.
- Construction overruns, equipment shortages and higher replacement spending.
- Refinancing at higher rates and an equity raise at a lower share price.
- Slower AI adoption or a shift toward a different cooling, networking or chip configuration.
For each case, calculate revenue, operating cash flow, free cash flow after maintenance capex, debt-service coverage, ending cash and per-share value. Do not assign value to planned capacity until the model includes the capital and timing required to energize it. Compare the IPO price with the downside value as well as the base case; a high-growth case is not a margin of safety.
A practical prospectus workflow
- Download the latest filing. Use the registration statement and final prospectus, then check for amendments and updated financial statements.
- Mark every capacity number. Label it operating, energized, contracted, permitted or planned and record the date and definition.
- Extract contractual evidence. Build a schedule of leases, take-or-pay commitments, deposits, guarantees, conditions and expirations.
- Trace power and water. Match each site to utility, interconnection, tariff, cooling, water and permit documents.
- Reconcile the model. Tie capacity, rent, power expense, capex, debt and share count to the audited financial statements and offering tables.
- Run sensitivities. Change timing, utilization, power cost, capex, rates, tenant outcomes and dilution one at a time and together.
- Write a decision memo. State the evidence-supported base case, the failure points, the per-share downside and the price at which the required return is met.
Red flags that warrant a pause
- Management combines planned or permitted megawatts with operating capacity in the headline metric.
- Power is described as “secured” without a utility agreement, interconnection status or energization date.
- Revenue forecasts depend on unnamed customers, unsigned reservations or a single prospective tenant.
- Water, cooling or emissions permits are still contingent while the financial model assumes full utilization.
- Construction cost per megawatt is presented without equipment, interconnection, tenant-improvement or replacement assumptions.
- Debt maturities arrive before facilities are expected to generate contracted cash flow.
- Related-party fees, sponsor control or a blind-pool mandate limit shareholder oversight.
- The valuation requires uninterrupted AI demand, falling power prices and no dilution simultaneously.
Set a personal decision rule
Buy only when the filing-supported base case meets your required return after conservative assumptions for power, tenants, financing and execution. Require documentary evidence for the capacity that supports today’s valuation, assign no value to uncontracted future megawatts until funding and permits are credible, and size the position for the possibility that a specialized facility takes longer to re-lease than a conventional property.
The central question is not whether AI computing will grow. It is whether this issuer can convert that demand into energized, permitted capacity, durable contracts and per-share cash flow without repeatedly diluting owners. If the answer depends on several unverified milestones, the IPO is speculation rather than due diligence.
