Do not paste a commercial loan application into an AI tool until you have classified the information, confirmed the tool is approved for that specific use, and checked what the vendor can retain or do with it. Loan files can contain nonpublic personal information (NPI), including details from applications and information obtained from third parties. For brokers working with a GLBA-covered financial institution, privacy, disclosure, and information-security obligations can affect how that data is handled. A general-purpose AI feature is not automatically appropriate for borrower records just because it is convenient; the right decision depends on the data, the task, the vendor’s controls, and the lender’s requirements.
Why does AI use raise a privacy issue in commercial lending?
AI tools can summarize files, extract figures, draft correspondence, or help organize information. To do that, a tool may receive the prompt and uploaded documents, process them through a model or other service, and retain some information for a period of time. The privacy question is therefore not only whether the answer is useful. It is also who receives the borrower’s information, for what purpose, under what safeguards, and for how long.

Commercial loan documents can include names and contact information, tax returns, bank statements, credit reports, guarantor details, and demographic information. Some of those records may be supplied by the borrower; others may come from a third party. FTC guidance explains that NPI can arise from applications or third-party sources and that covered financial institutions must explain information-sharing practices and safeguard sensitive information. The FTC’s Safeguards Rule describes an information-security program with administrative, technical, and physical safeguards for customer information.
Not every business that calls itself a loan broker necessarily has the same legal status or obligations. GLBA requirements depend on whether an organization is a covered financial institution and on the applicable rules and relationships. A broker should confirm its own obligations with counsel and the lender or other financial institution whose information it handles, rather than assume either that GLBA never applies or that every broker is subject to identical requirements.

What should a broker check before uploading a loan file?
Use a documented review before any borrower information enters an AI workflow. The review should connect the exact information being used to a defined business purpose and to controls that can be verified.
- Inventory and minimize the information. Identify the fields and documents the task actually needs. A short, redacted excerpt may be enough to extract a covenant date or summarize a section; a complete application is rarely justified merely to produce a general summary. Remove names, contact details, account identifiers, tax data, guarantor information, and other NPI when those fields are not needed. Consider whether details left in the prompt could still identify the borrower.
- Define the permitted use. Record the task, the people authorized to use the tool, and the relevant borrower or lender workflow. Establish whether the vendor may retain prompts, responses, or files, and whether any information can be used for model training, service improvement, or another purpose. A tool approved for drafting a generic checklist is not necessarily approved for reviewing a live borrower’s records.
- Vet the vendor and its subprocessors. Ask how the service processes information, where processing occurs, which subprocessors receive data, what safeguards are in place, and what evidence supports the service’s reliability. NCUA third-party due-diligence guidance identifies questions of this kind; GAO’s 2025 report, GAO-25-107197, reviews AI benefits, risks, and federal oversight in financial services. The brokerage should assess the answers against the sensitivity of its files and the risk of the specific workflow.
- Verify security controls. Assess encryption in transit and at rest, multifactor authentication (MFA) for privileged or direct access, least-privilege permissions, activity logging, incident response, and tested recovery. The FTC’s Safeguards FAQ addresses encryption and MFA. Interagency information-security guidelines call for a risk-based security program that is tested and updated, not a one-time checklist kept on file.
- Set retention and disposal rules. Decide how long uploaded files, prompts, and outputs are needed for the documented business purpose. Establish a way to securely delete working material when that need ends, while coordinating any required recordkeeping with the lender and applicable rules. Safeguards guidance addresses proper disposal of consumer information, including information about applicants and guarantors.
- Keep a qualified human in the loop. Assign someone with appropriate lending knowledge to check facts, calculations, citations, and any output that could affect eligibility or an adverse-action decision. The reviewer should also check whether confidential information was handled appropriately. NCUA guidance emphasizes ongoing monitoring and mitigation; FINRA’s 2024 notice summary highlights accuracy, privacy, bias, security, supervision, and governance among AI concerns.
- Document approval and monitor changes. Keep a record of the risk assessment, accountable owner, authorized use cases, user training, incidents, vendor changes, and periodic reviews. Revisit approval if the tool adds a feature, changes its data terms, uses a new subprocessor, or changes where information is processed. NCUA due-diligence expectations and GAO’s discussion of oversight support treating review as an ongoing responsibility.
How should a broker compare AI tools for lender documents?
Compare controls and contractual commitments, not just the quality of a demonstration. The following questions translate privacy, security, AI-risk, and supervision concerns into a procurement review; the answers depend on the particular product and contract.
| Review area | Questions to ask | Evidence to request |
|---|---|---|
| Collection and model use | What data does the service collect? Can prompts, files, or outputs be used for model training or other purposes? Can the setting be changed by a user or administrator? | Written data-use terms and configuration details that apply to the brokerage’s account and intended workflow. |
| Security and access | Is information encrypted in transit and at rest? Is MFA available for privileged or direct access? Can permissions be limited and activity logged? | Security documentation, access-control details, and relevant audit or assurance evidence. |
| Retention and deletion | How long are uploads, prompts, and outputs retained? Can the organization control retention and verify deletion? | Retention schedule, deletion process, and contract language covering termination and return or disposal. |
| Subprocessors and location | Which subprocessors receive information, and where is it processed? How will the broker learn about changes? | Current subprocessor information, processing-location details, and a change-notification process. |
| Contract and oversight | Does the contract restrict use to the approved purpose, protect confidentiality, support examination or audit needs, and require timely breach notice? | Executed terms that address confidentiality, purpose limitation, approved subprocessors, incident cooperation, audit evidence, and data disposal. |
| Output quality and review | What kinds of errors can occur in the intended task? Can users check source documents and correct results before use? | A documented testing and human-review workflow tied to the task, plus a way to report and monitor errors. |
| Fair-lending impact | Could the workflow affect eligibility, pricing, or other credit decisions, or touch information connected to a covered small-business application? | Workflow mapping, lender approval, and controls for applicable fair-lending, privacy, and recordkeeping responsibilities. |
| Integration and cost | Where does information move in connected systems? What are the full costs of access, implementation, oversight, and continued review? | A data-flow description and a total-cost estimate for the approved use, including control and administration needs. |
If a vendor cannot clearly explain data use, retention, subprocessors, access controls, or deletion, treat that uncertainty as a risk to resolve before uploading borrower material. A useful feature or polished output does not substitute for evidence that the workflow is appropriate.

What should the contract require?
Contract terms should make the vendor’s handling of loan information consistent with the approved purpose and the institution’s safeguards. Interagency guidance says financial institutions should require service providers with access to customer information to protect it and dispose of it properly. Review the actual agreement and applicable service terms; a sales assurance is not a substitute for binding terms.
- Confidentiality and purpose limitation: restrict access and use to the contracted service and approved task.
- No unapproved training or reuse: state whether prompts, uploads, and outputs may be used to train models or improve services, and prohibit any use that has not been expressly approved.
- Subprocessor controls: identify permitted subprocessors and require notice or approval for changes, as appropriate to the relationship and risk.
- Security and incident cooperation: require safeguards, prompt breach notification, investigation support, and cooperation with the broker and lender.
- Retention, return, and deletion: define retention periods and require return or secure disposal when information is no longer needed or the engagement ends.
- Oversight evidence: provide appropriate audit or assurance evidence and cooperate with lender examinations or other legitimate oversight requirements.
Make sure the terms cover each relevant data type and service component, including any connected storage, document-processing feature, or model endpoint. If the vendor’s standard terms reserve broad rights to retain or reuse information, do not assume a privacy setting or informal promise overrides those terms; obtain an approved contractual resolution or use a different workflow.
How do GLBA safeguards and small-business lending rules affect the decision?
GLBA and its implementing rules are not a blanket ban on AI, but they do make information handling and safeguards central for covered institutions. FTC materials say covered financial institutions must explain information-sharing practices and maintain safeguards. Regulation P limits disclosure, reuse, and redisclosure of NPI; the exact application depends on the institution, information, and circumstances. A broker should establish with the lender and counsel whether a proposed vendor transfer is permitted and what notices, restrictions, or safeguards apply.

Security responsibilities are broader than choosing encryption. The interagency guidelines state that each financial institution must identify and evaluate risks to customer information, develop and implement a mitigation plan, test it, and update it when necessary. That is why vendor review should include permissions, logs, incident response, recovery, retention, and oversight—not merely whether a product advertises secure processing.
For covered small-business credit applications, map AI workflows to the lender’s Regulation B section 1071 responsibilities. The CFPB describes the rule’s enforcement and community-development purposes and its implementation materials list January 1, 2028 as a compliance date, subject to applicable litigation or amendment. Requirements and dates can change, so confirm the current status with the lender and counsel before relying on a timeline. The broker’s practical role is to avoid creating uncontrolled data flows, preserve required records as directed, and support the lender’s safeguards around demographic data and privacy.
How can brokers use AI more safely in practice?
A lower-risk workflow uses the least sensitive information that can accomplish a defined task, keeps the tool within an approved environment, and requires a person to verify consequential results. The following sequence turns that principle into an operational process.

- Choose the task before choosing the file. Write down what the tool is expected to do, such as extract dates from a document or draft a neutral summary. Do not upload the whole loan package first and decide later what information was necessary.
- Check approval and terms. Confirm that the organization has approved the specific service and use case, and that the contract and account settings address retention, model training, subprocessors, and security.
- Prepare a minimized input. Remove irrelevant documents and fields. Where feasible, redact direct identifiers and account details, while remembering that removing a name alone may not prevent identification from context.
- Use controlled access. Limit the workflow to authorized staff with appropriate permissions. Preserve the logs needed for oversight without unnecessarily creating additional copies of sensitive files.
- Review the result against its source. Check extracted values, calculations, citations, and statements against the underlying document. Correct errors before using an output in a lender communication, file, or decision process.
- Store and dispose deliberately. Keep any output only where it belongs under the approved recordkeeping process, and securely delete temporary working material when its business need ends.
- Escalate exceptions. Stop and consult the accountable owner if the tool exposes data to an unapproved recipient, produces an unexplained result, changes its terms, or generates content that could affect a credit outcome.
What are common mistakes when using AI with loan files?
Most avoidable failures arise when a team treats an AI prompt as informal, overlooks the full data path, or assumes that a good answer proves a safe process.
- Uploading an entire application for convenience: this can disclose far more NPI than a narrow task requires.
- Assuming “not used for training” means “not retained”: training, retention, service improvement, and access by subprocessors are separate questions that need separate answers.
- Relying on redaction without considering context: a borrower may remain identifiable from a combination of transaction details, locations, dates, or unusual circumstances.
- Treating vendor security language as proof: ask for controls and evidence relevant to the actual service, account, and workflow.
- Letting an AI answer become a credit fact without verification: a plausible summary can still omit a condition, misread a figure, or cite the wrong source.
- Failing to revisit approval: changes in features, terms, subprocessors, or data flows can invalidate an earlier risk assessment.
Frequently Asked Questions
Does GLBA prohibit a broker from using AI on a loan file?
No blanket prohibition is established by the cited GLBA materials. The practical question is whether the broker and relevant lender may disclose the particular information to the particular provider for the stated purpose, and whether required privacy and safeguards controls are in place.
Does a borrower’s permission by itself make an AI upload safe?
Permission does not establish that the vendor’s retention, reuse, security, or subcontracting practices are acceptable, nor does it replace lender policy or applicable legal requirements. Treat consent as one part of the analysis, not as a substitute for vendor review and an approved workflow.

Can an AI-generated loan summary replace the original application documents?
A summary is a working aid, not a substitute for the underlying records needed to verify facts or meet the lender’s recordkeeping process. Keep the authoritative documents in the approved file system and check material summaries against them.
Who should approve an AI tool used by a loan broker?
Approval should come through the organization’s designated risk or compliance process and, where lender information or workflows are involved, should include the lender’s requirements. The file owner, security or privacy lead, and legal counsel may need to contribute based on the tool’s access and the task’s effect on credit decisions.
