Negotiate a cloud-GPU agreement as an operational exit plan, not just a price sheet. Put a named GPU SKU and region on the order, define outage and capacity metrics, make service credits automatic and meaningful, require export of every workload artifact, and secure a paid transition window before signing. Also control suspension, prepaid commitments, data retrieval, deletion, liability, and which document wins when terms conflict.
Why a GPU contract needs more than a generic cloud SLA
GPU workloads fail in ways a basic availability percentage can hide. A control plane may answer requests while your specified accelerator is unavailable, provisioning may fail repeatedly, or a job may run far below expected throughput because of hardware degradation. A contract that promises only “service availability” can leave each of those events outside the remedy.

Attach a schedule identifying the exact GPU SKU or instance type, region or availability zone, software image, and capacity quantity. State whether the commitment is on-demand, reserved, or a minimum-capacity purchase. Define the measurement window (monthly calendar month, rolling 30 days, or another period), the monitoring source, the incident clock, and the evidence both parties may use. Require the provider to retain logs and incident records long enough for a claim and audit.
Make uptime and capacity measurable
Separate the service conditions
Use separate definitions rather than one blended uptime number:

- Availability: the control plane accepts authenticated requests and assigned GPUs are reachable.
- Provisioning success: a valid request for the contracted SKU and region results in usable capacity within a stated time.
- Performance degradation: the GPU, interconnect, storage path, or driver operates below an agreed threshold for a defined interval.
- Capacity shortfall: the provider cannot supply the quantity reserved in the order, even though other capacity exists.
- Maintenance: planned and emergency work, with different notice and maximum-duration rules.
For each condition, specify how downtime starts and ends, whether partial-region failures count, and whether a replacement host must preserve GPU type and memory. Include a service-credit claim deadline, required evidence, and a response time for disputed measurements.
Negotiate exclusions instead of accepting boilerplate
List excluded events narrowly and require notice where the provider can control the event. The published NVIDIA SLA excludes customer devices and software, public-internet and telecommunications problems, force majeure, customer actions, and planned or unplanned maintenance. Those categories are negotiation points: define what qualifies, cap the duration of maintenance exclusions, and do not let a provider label a capacity failure as a customer-side event without technical evidence.
The current EC2 SLA illustrates a common structure: credits are calculated as a percentage of the affected monthly bill. That formula is useful only when “affected” is clear. Specify whether it means the entire GPU commitment, only failed instances, or all dependent services needed to run the workload. Require the provider to identify the affected billing lines in its incident report.
Set an evidence and claim process
Allow your monitoring records, provider telemetry, and ticket timestamps to establish an incident. The contract should require an incident number, start and end times, affected resources, root-cause summary, and mitigation steps. Make credits automatic when provider telemetry confirms the threshold; do not make a customer discover an outage months later and file a discretionary request.

Design service credits as a real remedy
A credit is not compensation if it cannot be applied to the commitment that failed. Ask for progressive tiers, cumulative treatment of separate incidents, and coverage for reserved GPU capacity as well as usage charges. A severe or repeated failure should trigger rights beyond credits, such as termination for cause, a refund of unused prepaid amounts, or reimbursement of agreed transition costs.

State whether credits can offset future invoices, reserved installments, or only variable usage. Prohibit unilateral expiration before the next contract anniversary, and allow unused credits to be applied against termination charges or refunded when the provider is in chronic breach. Credits should be cumulative across incidents unless the agreed tier expressly says otherwise.
Write portability as an operational schedule
“You may export your data” is not a migration plan. Attach a portability schedule that names every artifact and a usable format. At minimum, cover:

- Datasets, object metadata, encryption metadata, and retention labels.
- Model checkpoints, optimizer state, tokenizers, experiment records, and random seeds.
- Container images, package lockfiles, drivers, CUDA or equivalent runtime versions, and custom kernels.
- Infrastructure definitions, orchestration manifests, networking rules, secrets references, and environment variables.
- Job logs, metrics, traces, audit records, quotas, and billing data needed to reproduce a run.
- IAM users, groups, roles, policy mappings, service accounts, and ownership metadata in a documented mapping.
- API schemas, endpoint behavior, rate limits, and compatibility information for managed training or inference services.
Specify whether exports are delivered as standard archives, open table formats, container registries, machine-readable JSON, or another documented format. Require checksums, encryption in transit, and a manifest so you can verify completeness. Define a test export before production use and a recurring export for long-running projects.

Control egress and provider assistance
Price the exit in advance. Set an egress-price cap or a waiver for an agreed transition window, identify free transfer paths, and state who pays for physical media or expedited transfer if needed. Include a paid transition-assistance period with named tasks: exporting checkpoints, recreating images, translating infrastructure definitions, mapping IAM, and validating a test run on the destination platform. Assistance should have response-time targets and rates fixed in the order.
Google Cloud service terms incorporate interoperability and export concepts, but the specific formats, interfaces, and fees for your workload still belong in the order. Do not rely on a general statement that a service is portable; list the exact APIs and versions you will receive.
Protect termination, suspension, and prepaid commitments
Termination rights to request
Ask for termination for convenience on written notice, with a defined minimum term only where the discount genuinely depends on it. Add termination for cause after a cure period, immediate termination for insolvency or a material security breach, and a chronic-failure trigger tied to missed uptime or capacity thresholds. The remedy should include a pro-rata refund or credit for unused prepaid commitments when the provider is at fault.

Limit suspension
Suspension should be limited to defined triggers such as nonpayment, security abuse, or legal compulsion. Require advance notice and a cure period, except for a narrowly defined emergency. During suspension, preserve read-only access to retrieve data and checkpoints, and prohibit deletion while a payment dispute is being resolved. State that a provider cannot suspend unrelated projects because one invoice is disputed.
Build a transition and retrieval window
Require a transition period long enough to complete checkpoint exports and validation. Oracle’s cloud services agreement promises that content remains available for retrieval for at least 60 days after an order’s Services Period ends. Treat 60 days as a floor to evaluate, not an automatic fit: high-volume datasets or regulated records may need 90 days or more. Specify that retrieval remains available after termination, subject to payment of undisputed amounts and a process for contesting disputed invoices.
AWS customer terms condition retrieval of content on payment of all amounts due. Negotiate an exception that preserves access to your data while you contest a good-faith invoice, with escrow or other security if necessary. After the retrieval window, require secure deletion, deletion of replicas and backups on a stated schedule, and a written certificate. Preserve confidentiality, deletion, audit, intellectual-property, indemnity, liability, and dispute provisions after termination.

Allocate liability and control conflicting documents
Cloud agreements often disclaim consequential losses and cap aggregate liability at fees paid in the preceding 12 months. AWS customer terms also state, “THE SERVICES AND AWS CONTENT ARE PROVIDED ‘AS IS.’” For a business-critical training run, negotiate carve-outs or separate caps for confidentiality breaches, data loss caused by provider negligence, security incidents, intellectual-property infringement, and willful misconduct. If the provider will not increase the cap, obtain specific service credits, restoration obligations, and insurance evidence.
State an order of precedence: negotiated order terms first, then the SLA, then the master agreement, then website terms and documentation. Require advance notice for posted changes and a right to reject material changes during a committed term. Google Cloud service-specific terms can be incorporated through documentation, fee pages, consoles, and orders; identify the exact version incorporated on your signature date.
Confirm governing law, venue, tax treatment, audit rights, confidentiality duration, subprocessors, security standards, and data-location commitments. Make sure a web page cannot silently override a negotiated schedule.

A practical negotiation sequence
- Inventory the workload. Record GPU type, region, capacity, data volume, checkpoint frequency, dependencies, recovery point objective, and recovery time objective.
- Draft the SLA schedule. Add availability, provisioning, degradation, capacity, maintenance, measurement, exclusions, incident evidence, and credit tiers.
- Run a portability exercise. Export a representative dataset, checkpoint, image, logs, and IAM map; verify that another environment can restore a test job.
- Price the exit. Obtain written egress rates, caps, transition-assistance rates, retrieval duration, and deletion timing.
- Reconcile economics. Map prepaid and reserved commitments to refund, credit, and termination scenarios, including provider breach.
- Resolve document conflicts. Mark the controlling order, SLA version, incorporated web pages, governing law, liability cap, and survival clauses.
- Obtain operational sign-off. Have engineering, security, finance, and legal approve the schedule; retain a copy of every incorporated term at signature.
Common failure modes and fixes
- “99.9% uptime” but no GPU definition: add SKU, region, provisioning and capacity metrics.
- Credits require a manual claim: make telemetry-triggered credits automatic and set a short dispute process.
- Checkpoints export but IAM and images do not: list every artifact and format in the portability schedule.
- Prepaid capacity is non-refundable: add pro-rata treatment for provider breach and chronic failure.
- Termination means immediate deletion: require a transition window, retrieval period, and deletion certificate.
- A web page changes the deal: establish document precedence and notice for modifications.
- One disputed invoice causes a total lockout: require partial payment, continued read-only retrieval, and no suspension of unrelated workloads.
