Use a regular sell limit order when your priority is receiving at least a chosen minimum price while the continuous market is open. A Limit-on-Close (LOC) order combines an auction-only instruction with a price floor, but it can go unfilled. No order type guarantees both an exact official close and execution at your preferred price.
The important first step is clarifying what “pre-close limit order” means. A regular limit order trades in the continuous order book and can execute before the close. An LOC order is a different, auction-only order that is eligible for the closing cross only if the auction price meets its limit.

Choose the order by the outcome you need
“Better” depends on whether price, timing, or participation in the official close matters most. The following decision table applies to a sell exit; for a buy order, the price direction reverses.

|---|---|---|---|
| Match the exchange’s official closing print | Market-on-Close (MOC), where available | Joins the closing auction without a stated price limit. | The auction price is unknown in advance and may be below your preferred level. |
| Target the close but require a minimum sale price | Limit-on-Close (LOC) | Joins the closing auction only when the closing price is at or above your sell limit. | No execution if the auction price is below the limit; cutoffs are strict. |
| Sell only at or above a chosen price while the market is open | Regular sell limit order | Rests in the continuous book and can execute whenever displayed or hidden liquidity reaches your limit. | It may fill before the close, fill partially, or remain unexecuted. |
For a sell order, “at or better” means an execution price equal to or higher than the limit. For a buy order, it means a price equal to or lower than the limit. Confusing that direction is a common source of unintended orders.

What a regular limit order does
Continuous-market instruction
A regular sell limit order specifies the lowest price you will accept. If you enter a $50 limit, the order can execute at $50 or higher while it is active. It does not reserve a place specifically in the closing auction. If another trader is willing to buy at your price at 1:15 p.m., your order can execute then, long before the 4 p.m. close.
The U.S. Securities and Exchange Commission (SEC) explains that limit orders do not guarantee execution. The market can touch your limit without filling you if available quantity is insufficient, if another order has priority, or if your order is inactive because of its time-in-force or venue restrictions.
What happens before the close
- Full fill: the entire quantity sells and the order is complete.
- Partial fill: only available shares execute; the remainder stays active under the order’s time-in-force.
- No fill: the order remains in the book until it expires, is canceled, or reaches a later session if you selected a multi-session instruction.
- Price movement away: the market can close below your limit without any execution.
A regular limit can therefore protect your minimum price but cannot ensure that you exit at the official close. It also exposes you to the possibility of being out of the position earlier than intended.

A separate auction-only order type
An LOC order is not simply a regular limit submitted shortly before 4 p.m. Nasdaq defines an LOC as executable only in the Closing Cross and only when the cross price is equal to or better than the entered limit. For a sell, that means the cross must be at or above your limit.
During the continuous session, an LOC generally does not trade. It is held for the closing mechanism, subject to the exchange’s acceptance, modification, and cancellation rules. If the closing price does not satisfy the limit, the order may receive no execution at all.
LOC versus MOC
An MOC order seeks execution in the closing auction without a price cap. It is the purer choice when matching the official closing print is more important than controlling the price. An LOC adds a floor for a sell (or a ceiling for a buy), trading away execution certainty when that price condition is not met.

Neither order lets you specify the exact closing price in advance. The auction determines that price from eligible buy and sell interest. Your instruction only states whether you will participate and, for an LOC, the price boundary you will accept.

Aggregation of buy and sell interest
The closing auction brings together orders that are eligible for the close and calculates a single clearing price intended to maximize executable volume while following the venue’s priority rules. The resulting print becomes the exchange’s official closing price for that security and session.
Before the close, NYSE publishes information such as paired shares, unpaired shares, imbalance direction, and an indicative clearing price. These values can change rapidly as participants enter, cancel, or modify orders. An indicative price is not a guarantee of the final print.
NYSE timing example
The NYSE 2024 fact sheet lists 3:50 p.m. Eastern as the normal entry cutoff for MOC and LOC orders, followed by imbalance information and a closing process that begins at 4:00 p.m. Eastern. This is an exchange-specific example, not a universal deadline. A broker may stop accepting or modifying orders earlier, and other venues use different schedules.
Always identify the exchange, time zone, order type, and time-in-force when documenting an instruction. “Before the close” is not precise enough: 3:49 p.m. Eastern on NYSE may be acceptable while the same clock time on another venue, or at a particular broker, may be rejected.
What happens to an unfilled order
SEC description of on-close orders
The SEC’s 2017 Investor Bulletin, Understanding Order Types, states: “On Close A market or limit order that must be executed at the closing price. Any balance not executed as part of the closing trade is canceled.” The quotation describes the general concept; the exact handling of a particular LOC, MOC, or residual quantity is governed by the exchange rule and your broker’s implementation.

Regular limit after 4 p.m.
A regular limit order does not automatically become a closing-auction order. If it is still active at the end of its session, its fate depends on its time-in-force:
- Day: the unfilled balance normally expires at the end of that trading day.
- Good-till-canceled: the balance can remain for later sessions, subject to the broker’s maximum duration and any corporate-action or risk controls.
- Immediate-or-cancel or fill-or-kill: any quantity that fails the instruction’s immediate execution condition is canceled.
Read the confirmation screen and final status rather than assuming an order carried forward. Brokers can use different labels for the same underlying time-in-force.
LOC residuals and post-close mechanisms
Some venues provide a post-close process for certain unfilled LOC orders. Nasdaq rules describe an Extended Trading Close path for eligible unfilled LOC orders when the official closing price is at or within the order’s limit. Eligibility, timing, and participation are rule-specific, and a broker may not offer the feature even when the exchange does. Check the current Nasdaq rule set and your broker’s order-ticket disclosure before relying on it.
A practical decision sequence
- Define the target. Decide whether you need the official closing print, a minimum sale price, or simply an exit before a stated deadline.
- Identify the venue. Confirm whether the security will close on NYSE, Nasdaq, or another market and note the applicable time zone.
- Check available order types. Your broker may offer MOC, LOC, both, or neither. “Limit at close” can be a broker label rather than the exchange’s formal name.
- Verify the cutoff. Check the broker’s acceptance, cancellation, and modification deadlines, not only the exchange’s published cutoff.
- Choose the price condition. For a sell LOC, set the lowest acceptable price. For a regular sell limit, set the lowest price at which you are willing to trade during the continuous session.
- Choose quantity and time-in-force. Confirm whether partial fills are permitted and what happens to any balance.
- Review the warning text. Look for statements about auction eligibility, possible early execution, residual cancellation, and extended-close participation.
- Monitor status. After submission, verify that the order is accepted, not rejected, and still active. After the close, check the execution report and any canceled quantity.
Examples that show the trade-offs
Example 1: You need the official close
You own 1,000 shares and must value or transfer the position using the exchange’s official closing print. You do not set a minimum price. An MOC instruction is designed for that objective, provided your broker accepts it before the venue cutoff. The final price is whatever the auction establishes, not a quote you saw earlier in the day.
Example 2: You need a $50 minimum but can sell earlier
You are willing to sell at $50 or higher and do not care whether the fill occurs at 11 a.m. or 3:58 p.m. A regular sell limit at $50 keeps the order in the continuous market. It can execute at $50.20 before the close, partially execute, or never fill if buying interest stays below $50.
Example 3: You need the close and refuse below $50
An LOC at $50 expresses the two conditions together: participate in the closing auction, but sell only if its price is at least $50. If the auction prints at $50.10, the order can execute. If it prints at $49.95, the order condition fails and the shares may remain unsold, subject to any venue-specific post-close process.

Example 4: A regular limit entered at 3:55 p.m.
You enter a regular sell limit at 3:55 p.m. expecting the close. Unless your broker explicitly converts it to an auction order, it remains a continuous-market order. It might execute before 4 p.m., miss the close entirely, or be rejected if the session or broker cutoff has passed. Entering it late does not make it an LOC.

Price certainty versus execution certainty
Why no order can guarantee both
A price floor and a guaranteed closing execution can conflict. If the auction price is below your sell limit, honoring the limit requires refusing the trade. If you insist on trading in the auction regardless of price, you must use an instruction without that floor, such as an MOC where offered. The choice is therefore a priority decision, not a search for a universally superior order.
Partial fills and liquidity
A large order can be only partly matched. In the continuous book, displayed depth, hidden liquidity, queue priority, and rapid cancellations affect the result. In the auction, paired and unpaired quantities show whether all eligible interest can match, but those figures can change before the final print. Do not treat an indicative imbalance as a promise of a fill.
Volatility near the close
News, index rebalancing, fund flows, and traders adjusting positions can move the indicative and final auction prices. A regular limit protects your stated minimum but may leave you exposed to the next session if it does not execute. An MOC maximizes the chance of participating in the close but accepts the auction’s final price. An LOC sits between those outcomes.
Common mistakes and how to correct them
Mistake: treating “limit at close” as a normal limit
Correction: open the broker’s order-type explanation and determine whether the instruction is a regular limit, LOC, or a broker-specific synthetic order. Confirm where and when it can execute.
Mistake: assuming the exchange cutoff is the broker cutoff
Correction: use the earlier of the broker’s stated deadline and the exchange deadline. Leave time for authentication, order review, and transmission delays.

Mistake: believing a limit that touched must have filled
Correction: inspect the execution report. A quoted price may represent only a small quantity, may have been displayed on another venue, or may have been unavailable to your order because of queue priority.
Mistake: forgetting the sell-side direction
Correction: write the condition in words before entering it: “I will sell at $50 or higher.” If the ticket’s limit field does not match that sentence, stop and correct it.
Mistake: assuming an unfilled LOC will carry into tomorrow
Correction: check whether the residual is canceled, eligible for an extended close, or rejected. On-close orders commonly have special cancellation treatment, and the answer varies by venue and broker.

How to document the order for an investment policy or trade log
Record the security, side, quantity, venue, order type, limit price, time-in-force, submission time with time zone, broker cutoff, and final status. For an auction order, also record the published cutoff and whether you intended MOC, LOC, or an extended-close feature. This information makes it possible to distinguish an intentional non-fill from an entry error or a broker rejection.
If the trade supports a valuation, tax, fiduciary, or corporate process, retain the broker confirmation and the exchange’s official closing-price record required by that process. The official close is a venue-defined figure; a last-trade quote from a data screen may not be the same value.
Questions to answer before pressing Submit
- Do I need the official closing print, or only a minimum acceptable price?
- Could I accept an execution earlier in the day?
- For this sell order, is my limit the lowest price I will accept?
- What are the exact exchange and broker cutoffs in the correct time zone?
- Can the order partially fill?
- What happens to any unfilled balance at the close?
- Does the broker support an exchange-specific extended-close mechanism?
- Where will I see the final execution, cancellation, or rejection status?
Bottom line
Choose MOC when participation in the official close is the overriding objective and you accept the auction price. Choose LOC when you want that closing-auction participation but will not sell below a stated minimum. Choose a regular sell limit when the minimum price matters more than the timing and you are willing for the order to execute early, partially, or not at all. Exchange rules, cutoffs, and broker labels can change, so verify the current terms for the specific security and venue immediately before submitting the order.
