Sometimes, but not simply because the company works in artificial intelligence. In the United States, a private AI company may sell pre-IPO securities only through a registered offering or a valid exemption from Securities and Exchange Commission (SEC) registration. Accredited investors can access many private placements. Other retail investors may qualify through Regulation Crowdfunding, Regulation A, Rule 504, or the limited non-accredited-investor allocation allowed by Rule 506(b). Each route sets different eligibility, disclosure, investment, advertising and resale rules, and an advertised IPO date does not make the shares public or liquid.
What does it mean to buy a private AI company before an IPO?
You are buying a security issued by a company that is not listed on a public exchange. The security might be common stock, preferred stock, a membership interest or another instrument described in the offering documents. Until a public listing or another permitted sale occurs, there may be no continuous market, quoted price or reliable way to sell.

The controlling question is not whether the issuer calls itself an AI company. It is whether the issuer has registered the sale with the SEC or can rely on a specific exemption. Investor.gov summarizes the federal rule this way: “Under the federal securities laws, a company may not offer or sell securities unless the offering has been registered with the SEC or an exemption from registration is available.”
This article covers the U.S. federal framework. Your state of residence, the issuer’s charter, transfer-agent procedures, tax position and the terms of the particular offering can change the result. The existence of a future IPO is never proof that an offering is open, lawful or transferable.

Do I need to be an accredited investor?
No. Accredited status is the gateway to many private placements, but it is not the only possible route for a retail investor. Your eligibility depends on the exemption named in the offering documents.
Individual accredited-investor tests
Under the SEC bulletin updated September 21, 2026, an individual generally qualifies through one of these principal tests:
Free tools Windows power users keep installed
One-click scans. No signup required.
- Income exceeding $200,000 in each of the two prior years, with a reasonable expectation of reaching that level in the current year.
- Joint income with a spouse or spousal equivalent exceeding $300,000 in each of the two prior years, with a reasonable expectation of reaching that level in the current year.
- Net worth exceeding $1 million, excluding the value of the primary residence.
- Certain professional credentials or other categories recognized by the securities rules.
An issuer may ask for documents or use another reasonable verification method. Simply checking an “accredited investor” box is not enough for a Rule 506(c) sale. The SEC states that self-certification alone, without other knowledge of the investor’s financial circumstances or sophistication, does not satisfy the verification requirement.
Which exemptions can let regular investors buy pre-IPO securities?
The following routes are the main federal exemptions relevant to an individual investor. They are not interchangeable: a company must satisfy the conditions of the particular exemption it claims.
| Route | Who may invest | Advertising | Federal offering limit |
|---|---|---|---|
| Rule 506(b) | Unlimited accredited investors; no more than 35 non-accredited investors in any 90-calendar-day period. Non-accredited purchasers must be financially sophisticated or use a qualifying purchaser representative. | Generally no general solicitation. | No aggregate dollar cap stated in the cited SEC summary. |
| Rule 506(c) | Accredited investors only. | General solicitation, including internet advertising, is permitted. | No aggregate dollar cap stated in the cited SEC summary. |
| Rule 504 | Any number and type of investor, if the issuer and offering qualify. | Depends on the applicable state and federal conditions. | Up to $10 million in a 12-month period. |
| Regulation Crowdfunding | Non-accredited investors may participate subject to income-and-net-worth-based investment limits; accredited investors are not subject to those limits under the cited SEC interpretation. | Offers are conducted online through the permitted intermediary structure. | Up to $5 million, according to the SEC’s exemption summary. |
| Regulation A | Can be accessible to retail investors when the issuer qualifies and completes the required filing and disclosure process. | Public-offering communications are possible after the applicable qualification requirements are met. | Up to $75 million under the SEC’s exemption summary. |
Dollar ceilings describe the issuer’s offering, not the amount any one person may invest. A portal or issuer can impose stricter limits, reject an investor or require additional suitability information.
How does Rule 506(b) work for a private AI offering?
Rule 506(b) is a common private-placement route. It permits an unlimited number of accredited investors, but no more than 35 non-accredited investors during any 90-calendar-day period.

A non-accredited purchaser must be financially sophisticated enough to evaluate the investment, or use a qualifying purchaser representative. The issuer also has information obligations for non-accredited purchasers. Because general solicitation is generally prohibited, a social-media advertisement claiming to be a 506(b) offering is a warning sign unless the communication fits a permitted relationship or another exemption.
Ask for the private-placement memorandum, subscription agreement and the issuer’s explanation of how it counted non-accredited purchasers during the relevant 90-day period. A company’s statement that “anyone can invest” does not override the rule’s cap or sophistication conditions.
How does Rule 506(c) differ?
Rule 506(c) permits broad advertising, including online promotion, but every purchaser must be accredited. The issuer must take reasonable steps to verify that status; a self-certification checkbox by itself is insufficient.
Verification can involve financial or professional documentation selected by the issuer’s process. Read the verification instructions before sending sensitive records, confirm that the entity requesting them is the issuer or its authorized intermediary, and make sure the documents identify the same legal entity named in the offering.
Can a non-accredited investor use Rule 504?
Potentially. Rule 504 allows a qualifying issuer to offer up to $10 million in a 12-month period to any number and type of investor. The issuer must still satisfy the rule’s conditions and applicable state requirements.
Rule 504 securities are generally restricted unless additional conditions are met. Therefore, being allowed to purchase does not mean you can immediately resell. Review the legend on the security, any shareholder agreement and the issuer’s transfer procedures before investing.

How does Regulation Crowdfunding work?
Regulation Crowdfunding is the most clearly retail-oriented federal route. A qualifying company sells securities online through a registered broker-dealer or funding portal. The SEC exemption summary lists a $5 million offering limit.
Non-accredited investors face investment limits calculated from income and net worth. Those limits apply across their Regulation Crowdfunding investments during the applicable period, so do not evaluate a new deal in isolation from other crowdfunding purchases. The cited SEC interpretation does not apply those limits to accredited investors.
Being a Regulation Crowdfunding investor is different from being a shareholder in a publicly listed company. The securities generally cannot be resold during the first year, except for specified transfers such as a transfer to the issuer, an accredited investor or certain family-related recipients. A platform account therefore does not create a public-market exit.
What is Regulation A and when can it reach retail investors?
Regulation A is a public-offering exemption rather than a conventional private placement. A qualifying issuer can offer securities to retail investors after completing the required SEC filing and disclosure process. The SEC’s exemption summary states a $75 million offering limit.
Read the offering circular and the qualification information, not just a presentation deck. Regulation A can provide more standardized disclosure than an informal private placement, but it still does not guarantee a trading market, a successful business or an eventual IPO.
How should I evaluate a “pre-IPO AI shares” offer?
Use the following sequence before transferring money or personal documents.

- Identify the legal issuer. Obtain the exact corporate name, jurisdiction and security being sold. Confirm that the name matches the subscription agreement, payment instructions and ownership records.
- Locate the exemption. The offering documents should identify Rule 506(b), Rule 506(c), Rule 504, Regulation Crowdfunding, Regulation A or another specific legal basis. “Pre-IPO” is a marketing description, not an exemption.
- Check your eligibility. Determine whether you meet an accredited-investor test, a Rule 506(b) sophistication requirement or the income-and-net-worth limits for Regulation Crowdfunding. Do not assume that a financial adviser’s involvement changes your status.
- Review the disclosure package. Look for the issuer’s business description, capitalization, use of proceeds, material risks, financial information and the rights attached to the security. Non-accredited investors in certain offerings receive specified issuer information; the exact package depends on the exemption.
- Verify the intermediary. Regulation Crowdfunding requires a registered broker-dealer or funding portal. Confirm the intermediary’s identity and that payments go through the channel described in the official offering materials, not a personal account or an unrelated wallet.
- Calculate the real commitment. Include platform charges, transfer fees and the possibility that your entire investment could be lost. Compare the amount with your emergency savings and other high-risk holdings.
- Read transfer restrictions. Find the resale legend, lock-up language, issuer consent requirements and any right of first refusal. Ask who maintains the ownership records and how a permitted transfer is requested.
- Independently verify the IPO claim. A projected listing date, a celebrity endorsement or a social-media message is not evidence that the issuer has filed for an IPO or that a market will exist. Treat the investment as potentially illiquid indefinitely.
What are the biggest risks?
Total loss and business failure
Investor.gov warns that private placements can involve total-loss risk. An AI company may run out of capital, fail to commercialize its technology, lose key personnel or face competition before it ever reaches an IPO.
Illiquidity
Private securities can be restricted, difficult to price and difficult to sell. Even if the company grows, a buyer may not exist when you need cash. A one-year Regulation Crowdfunding resale restriction is only the minimum federal constraint; the issuer’s documents can impose additional limits.
Limited information
Private offerings generally provide less disclosure than registered public companies. Forecasts, demonstrations and a large customer-pipeline claim do not substitute for verified financial statements or a clear capitalization table.
Dilution and unequal rights
Future fundraising can dilute an early holder. Preferred investors may have liquidation preferences, voting rights or conversion terms that put common holders behind them. Read the rights attached to your exact security rather than assuming “shares” all carry the same economics.

What can change the answer for a particular investor?
The federal exemptions are only part of the analysis. State securities laws can add notice, registration or suitability requirements. Your residence can affect which offerings are available. The issuer’s charter may restrict transfers, and a transfer agent may require specific documentation. Tax treatment depends on the instrument, your jurisdiction and your circumstances; obtain professional advice before relying on a projected after-tax return.

The cited SEC materials establish the federal framework, not the existence of a current offering by any particular AI company. Before treating an opportunity as available, obtain the issuer’s current offering document and check the rules that apply where you live.
Frequently Asked Questions
Can someone outside the United States buy these shares?
This framework addresses U.S. federal exemptions. A non-U.S. resident may face the laws of the issuer’s country, the investor’s country and any U.S. state connection, so eligibility cannot be determined from the AI company’s marketing page alone.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Fix the driver behind crashes, sound loss and screen glitches3Repair Windows errors before they cause bigger problemsDoes a financial adviser make a non-accredited investor eligible for a private placement?
No. Eligibility comes from the exemption and the investor’s own circumstances. An adviser may help evaluate risk or act as a purchaser representative where permitted, but that role does not convert the client into an accredited investor.
What if an issuer accepts more than 35 non-accredited buyers in a Rule 506(b) deal?
That fact would raise a serious compliance question because the rule permits no more than 35 non-accredited investors in a 90-calendar-day period. Ask the issuer which exemption it is relying on and request an explanation before investing.
Is a Regulation A offering the same as buying stock on an exchange?
No. Regulation A can make an offering available to retail investors after qualification, but exchange trading is a separate matter. Until an actual market exists, you may still have difficulty finding a buyer or obtaining a reliable price.
