Boeing’s board divides its most consequential oversight work among three distinct committees. The Aerospace Safety Committee focuses on the safety of aerospace products and operations; the Audit Committee oversees financial reporting, internal controls, auditors and broad compliance risks; and the Compensation Committee sets executive pay, including incentives designed to reflect performance, safety and risk.
They are separate committees, not interchangeable panels. Their most important connection is the safety-to-compensation link: the Aerospace Safety and Compensation committees identify safety metrics together and consider safety performance when annual incentives are decided. For investors and employees, that structure shows where Boeing’s board expects information to come from, who challenges management and how oversight can affect executive rewards.

Boeing states that “The Aerospace Safety Committee assists the Board in the oversight of the safe design, development, certification, production, maintenance and operations of our aerospace products and services.” That mandate covers the product life cycle rather than one aircraft program or one factory.

Information the committee reviews
The committee’s recurring work gives it several ways to test whether management’s safety systems are working:
- Speak Up submissions: reports raised through Boeing’s internal channel are reviewed as part of the committee’s safety oversight.
- FAA airworthiness directives: regulatory instructions concerning continued airworthiness are part of the committee’s regular information flow.
- FAA type and production certificates: the committee reviews these certification matters, which relate respectively to the approved design and the approved production system.
- Significant FAA communications: important correspondence or interactions with the regulator are brought into the oversight process.
- Safety events: incidents and other significant events are reviewed by the board committee.
- Safety policies and the Safety Management System: the committee examines the policies and management framework Boeing uses to identify, control and escalate safety risks.
- The Boeing ODA Ombudsperson program: this program is specifically included in the committee’s review responsibilities.
How it connects to management and pay
The committee’s role is oversight for the board. It receives information from the parts of Boeing responsible for safety and engineering, evaluates the company’s safety policies and systems, and brings safety considerations into the board’s broader governance process. It also consults the Compensation Committee on safety metrics and executive performance evaluations. That consultation is the mechanism through which safety information can influence annual incentive decisions without turning the safety committee into the body that sets pay.
What the committee is not
The Aerospace Safety Committee is not the same as the FAA and does not issue airworthiness directives or certificates. Its job is to oversee Boeing’s management of safety and to review regulatory and operational information. The FAA remains the external regulator; Boeing’s committee is a board-level oversight body.
What Boeing’s Audit Committee oversees
Boeing describes the Audit Committee as “the representative of the Board for general oversight of Boeing’s financial accounting and reporting, systems of internal control, audit process, and compliance standards.” In practical terms, it is the board’s principal financial-control and assurance committee.
Financial reporting and internal controls
The committee oversees the integrity of Boeing’s financial accounting and reporting and the company’s internal control over financial reporting. Those controls are the procedures that support reliable books and records, authorized transactions, appropriate accounting judgments and accurate public filings. The committee does not prepare the financial statements; it oversees the systems and people responsible for producing and checking them.

Authority over the independent auditor
A key safeguard is the committee’s direct authority over the independent registered public accounting firm. It appoints, compensates, retains and oversees that firm. This structure places the auditor’s relationship with Boeing under the board committee rather than solely under company management, while preserving the auditor’s independent role.
Broader risk and compliance remit
The Audit Committee’s work extends beyond quarterly numbers. Its risk responsibilities include:
- enterprise risk;
- cybersecurity;
- artificial-intelligence matters;

Performance and long-term pay
Boeing’s disclosed approach uses performance-based and long-term stock-based components. Performance awards connect compensation to defined results for a particular period. Long-term stock-based awards are intended to align executives with longer-term shareholder outcomes and the company’s sustained performance. The committee also evaluates individual executive performance rather than relying only on companywide results.

The Compensation Committee consults the Aerospace Safety Committee on safety-related metrics. The two committees jointly identify safety metrics and consider safety performance in annual incentive decisions. This is the practical bridge between operational oversight and executive pay: safety outcomes can affect the incentive assessment rather than being treated as a matter entirely separate from compensation.
Clawbacks and risk controls
The committee applies clawback and other controls intended to discourage undue risk-taking. A clawback can require repayment or forfeiture of compensation under specified circumstances. The existence of these controls does not mean every safety or financial problem automatically triggers repayment; the applicable compensation terms and circumstances determine whether a recovery is available.
What the 2026 proxy says about the CEO pay mix
Boeing’s 2026 proxy reports that approximately 93% of the CEO’s 2025 target pay was variable. “Target pay” is the value assigned when compensation is established, not a guarantee that the executive will receive that amount. “Variable” means the amount depends on performance conditions, stock-based value or both. The figure therefore illustrates the intended pay mix, not the executive’s final realized compensation.

The Audit Committee operates on a parallel track. It does not set safety metrics or executive pay, but its oversight of financial controls, enterprise risk, cybersecurity, legal matters, ethics and compliance can affect the information available to the full board when it evaluates company performance and management risk.
In short, the safety committee asks whether Boeing’s products and processes are being managed safely; the audit committee asks whether financial, control and compliance information is reliable; and the compensation committee asks how executives should be rewarded in light of performance and risk.

Boeing’s 2025 proxy, which describes 2024 activities, provides a concrete example of how the committee structure operated during a crisis period. It says the Aerospace Safety Committee oversaw management’s response to the January 2024 737-9 door-plug accident and updates to the Safety & Quality Plan.
The same proxy says the Audit Committee monitored financial controls, auditor performance, enterprise risk and compliance matters. Those activities show the distinction between the committees during the same period: safety oversight addressed the operational response and safety-plan changes, while audit oversight addressed the reliability of controls, assurance and risk information.

The historical disclosure is useful for understanding responsibilities, but it should not be read as a current membership list or a promise that future committees will handle an event identically. Current committee composition and agendas must be checked in the latest filings.

How investors can verify current committee responsibilities
Committee assignments are time-sensitive. To check the position for a particular reporting year, use the documents in this order:
- Latest DEF 14A proxy statement: read the committee reports and the section describing board committees and their activities. Boeing’s 2026 proxy was filed in 2026 and describes 2025 activities.
- Committee charters on Boeing’s corporate-governance page: the charter is the formal statement of each committee’s authority, duties and reporting relationship.
- SEC board materials: these list directors and committee memberships as of the stated date. The cited materials list the board and memberships as of February 23, 2026.
When comparing years, check the date on every document. A director can join or leave a committee, a charter can be amended, and a committee can change the emphasis of its annual work without changing its formal name.

Safety risk is a governance and compensation issue
The safety-to-pay link means investors should read safety disclosures together with the executive-compensation discussion. A safety metric can influence annual incentives, while the committee structure shows which directors are expected to challenge management on safety information.
Financial confidence depends on more than the auditor’s opinion
The Audit Committee’s remit covers the controls and risk processes surrounding financial reporting, not just the final audit opinion. Its oversight of cybersecurity, artificial intelligence, legal, ethics and compliance matters is relevant because those risks can affect operations, disclosures and future financial results.
Committee oversight is not a guarantee
A committee can review information, question management and set or oversee controls, but its existence does not eliminate operational, financial or regulatory risk. The useful question for an investor is whether disclosures show a clear reporting path, measurable follow-up and consequences when performance or controls fall short.
