Steven M. Mollenkopf is the independent board chair and Robert K. (Kelly) Ortberg is president and chief executive officer, keeping the chair and CEO jobs separate. The latest reset began in March 2024, when Larry Kellner said he would not seek re-election as chair and Boeing announced that Mollenkopf would succeed him.
What changed after the 737 MAX crisis
Boeing’s board refreshment accelerated after the company’s 737 MAX safety crisis and the leadership changes that followed. In March 2024, chair Larry Kellner announced he would not stand for re-election. The board selected Steve Mollenkopf, a former technology-company chief executive and Boeing director, as independent chair. At the same time, Boeing said CEO Dave Calhoun intended to leave at the end of 2024.

The succession process continued with the appointment of Robert Ortberg as CEO. The board also added directors with airline-operating and investment-management experience. Boeing’s 2025 announcement describing Bradley D. Tilden’s election said Tilden was the board’s 12th member and the 10th new director added since 2019.
Who is on Boeing’s board now?
The roster below reflects Boeing’s SEC filing dated Feb. 23, 2026. Roles and committee assignments are those listed for that board.

The two newest additions
Mortimer “Tim” Buckley
Tim Buckley, formerly chair and CEO of Vanguard, was elected to Boeing’s board effective Jan. 1, 2025. His background adds senior investment-management experience to a board overseeing a major industrial company, including capital allocation, risk oversight and investor communication.
Bradley D. Tilden
Boeing elected Bradley D. Tilden on Dec. 3, 2025. Tilden previously led Alaska Air Group as chair, president and CEO. Boeing chair Steve Mollenkopf said Tilden brought “a distinct customer perspective, proven leadership in the airline industry, and more than three decades of aviation experience.” Tilden joined the Aerospace Safety and Finance committees, giving the board an airline-customer viewpoint in its formal safety and financial oversight work.

Why Boeing added new directors
The board’s stated purpose is governance improvement, not a guaranteed operating result. Boeing’s 2026 proxy says directors oversaw senior-management succession planning, reviewed board composition and qualifications, continued board refreshment through Tilden’s election and conducted annual evaluations of the full board, every committee and each director.
- Succession: The 2024 chair and CEO announcements started a planned leadership transition rather than leaving both roles unresolved.
- Safety oversight: Aerospace Safety is a standing committee, chaired by David L. Joyce; Tilden also serves on it.
- Customer perspective: Tilden’s airline leadership supplies experience from an aircraft customer and operator’s viewpoint.
- Investor and capital perspective: Buckley’s Vanguard background and Tilden’s Finance Committee assignment broaden financial oversight.
- Board renewal: Boeing says 10 new directors have been added since 2019, while retaining experienced members for continuity.
Chair versus CEO: how the structure works
Mollenkopf is an independent chair, while Ortberg runs Boeing as CEO and serves as a director. Separating the posts allows the chair to lead the board’s oversight and agenda while the CEO manages day-to-day operations. It also gives the board a distinct channel for evaluating management, succession and risk.
Rank #3
This structure does not by itself prove that safety, quality or financial performance has improved. Boeing’s official materials describe the oversight process and intended governance benefits, but do not provide a causal statistic showing that board refreshment produced a particular business outcome.
What shareholders voted on in 2026
Boeing’s 2026 proxy presented 12 director nominees for election through the 2027 annual meeting. That shareholder vote was the formal checkpoint for confirming the full slate, including the refreshed membership and the board’s leadership arrangement.
Rank #4
How to interpret the changes
For investors and employees, the meaningful change is the combination of leadership succession, a separate independent chair and a board with more recent airline and investment experience. Committee assignments show where oversight is concentrated: Aerospace Safety for product and operational risk, Audit for financial reporting, Finance for capital matters, Compensation for executive pay and Governance & Public Policy for board structure and public-policy issues.

The roster is a snapshot, not a promise that no further changes will occur. Director elections, resignations and committee reassignments can change the composition after the Feb. 23, 2026 filing date, so readers should check Boeing’s latest proxy or SEC filing when making a current governance assessment.
