A bank should create one controlled matter file for every policy issue it discusses with a regulator, legislator, trade association, law-enforcement body, or other public official. The file should show the issue and purpose, everyone involved, what the bank said, the evidence and approvals behind its position, what happened afterward, and any examination, subpoena, investigation, or litigation hold. There is no single U.S. federal retention period for all policy-engagement correspondence. Classify each record by the activity it evidences, apply the longest applicable legal or business period, and suspend routine destruction whenever a hold or preservation request applies.
What a complete policy-engagement file proves
A final comment letter or meeting invitation is not enough to reconstruct a bank’s policy activity. Examiners, counsel, auditors, and management may need to determine why the bank engaged, who authorized the position, which products or controls could be affected, and whether commitments were completed. Open a separate matter or file for each policy issue, even when several issues involve the same agency or trade group.

Identify the matter and its purpose
- Use a clear issue name and a short statement of the policy, rule, supervisory question, legislative proposal, or enforcement concern.
- State the purpose of the engagement: for example, submitting a comment, requesting clarification, explaining an operational impact, supporting a trade-association position, or responding to an official request.
- Record the affected legal entities, business lines, products, controls, customers, and geographic jurisdictions.
- Assign a matter owner and a unique identifier so related records can be found without relying on individual employees’ mailboxes.
Capture when, where, and how the contact occurred
For every interaction, record the date, time when material, channel, and location. Include meetings, phone calls, video conferences, written submissions, informal conversations at a conference, letters, secure portals, and messages exchanged through a trade association. Preserve the invitation or request when it explains the purpose or scope. A calendar entry alone rarely captures the substance of a policy discussion.

Preserve the bank’s position and its support
State the bank’s position in the file, not merely in a document that may later be difficult to locate. Link the position to factual, economic, operational, and legal support. Preserve analyses, data extracts, policy versions, product-impact assessments, risk opinions, and legal memoranda subject to the bank’s privilege and access rules. Mark superseded versions rather than deleting them when they explain how the position changed.
Keep drafts, final submissions, and meeting records
- Retain drafts and the final comment letter, testimony, briefing paper, talking points, or response.
- Keep agendas, minutes, call notes, question-and-answer logs, attendance records, and correspondence.
- Record commitments, decisions, owners, due dates, and follow-up evidence.
- Preserve approvals and delegated-authority evidence, including the person or committee that approved the final position and the date of approval.
- Link every referenced policy, procedure, control, or product document to the version in effect at the time.
Add examination, enforcement, and hold context
The index should include any examination request, subpoena, investigation number, enforcement matter, threatened or filed litigation, or regulator preservation request connected to the issue. Record when the matter was placed on hold, which custodians were notified, what systems were searched, and when the hold was released. A later request for records should be answerable from the file’s index without guessing which business unit owns the evidence.
How to build and maintain the file
- Open the matter at the first substantive contact. Create the identifier, issue description, purpose, owner, entities, and expected regulators or officials before the engagement expands.
- Apply a classification. Decide whether a record is evidence of BSA/AML activity, a law-enforcement account-maintenance request, a consumer-finance disclosure or action, a mortgage transaction, corporate governance, lobbying disclosure, tax activity, or another category. One document can have more than one classification.
- Capture records as they are created. Save original messages, attachments, notes, approval records, and submitted versions in the controlled repository. Do not rely on a personal mailbox, chat history, or a paper folder as the sole copy.
- Verify metadata. Preserve creator, approver, creation date, approval date, submission date, source system, version, and any relevant access or export history.
- Record outcomes and follow-up. Enter the agency response, legislative result, trade-group decision, implementation commitment, control change, and completion evidence. If no response arrives, record that status and the date checked.
- Assign the retention trigger. The clock may start at filing, account closure, record creation, request expiry, disclosure or action, consummation, final disposition, or another event specified by the applicable rule.
- Check for holds before disposition. Compliance, legal, or records staff should confirm that no examination, subpoena, investigation, enforcement matter, litigation, or preservation request blocks deletion.
- Dispose under an approved schedule. Document the disposition date, authority, scope, and system affected. If the record is retained longer for governance or business reasons, record that period separately from the legal minimum.
Federal retention periods that can affect policy-engagement records
The following periods are federal baselines for particular record classes, not a universal schedule for every policy or lobbying file. The bank must map each document to the rule that actually covers its content and use the longest applicable period.
| Record class | Legal trigger and minimum period | Hold or extension rule | Typical owner and access |
|---|---|---|---|
| BSA/AML records | Most BSA records: at least five years. Customer-identification information is generally five years after account closure; verification methods and discrepancy resolutions are generally five years after the record is made. | A Treasury order, law-enforcement investigation, or another applicable requirement can require longer retention. | BSA/AML or compliance records staff; restrict access to personnel with a need to know and maintain retrieval controls. |
| Law-enforcement account-maintenance correspondence | FinCEN says the BSA does not require retention of this type of correspondence, but recommends keeping documentation at least five years after the request expires. The initial request should not exceed six months and may be renewed. | Keep the written request, stated purpose, duration, and every renewal. A hold or investigation overrides the recommendation’s end date. | BSA/AML compliance with legal and law-enforcement liaison access; preserve the linkage to the account or matter. |
| SAR and supporting documentation | Five years from filing for a copy of the SAR and the original or business-record equivalent of supporting documentation. | Keep longer when a hold, investigation, or other legal requirement applies. Do not destroy supporting records merely because a related policy file is closed. | Restricted SAR-access group; maintain the engagement record separately when necessary for confidentiality while preserving a secure linkage and hold status. |
| Regulation E evidence | At least two years from the required disclosure or action under current 12 CFR § 1005.13. | After notice of an investigation or enforcement proceeding, retain related records until final disposition unless an earlier period is ordered. | Consumer-compliance owner; access should reflect complaint, dispute, and investigation sensitivity. |
| Regulation Z evidence | Generally two years under current 12 CFR § 1026.25. Specified mortgage records have three-year or five-year periods; completed closing disclosures can require five years after consummation under the cited provision. | Agencies may require longer. A mortgage-specific period controls over the general two-year floor for covered records. | Mortgage compliance and records staff; preserve the transaction and policy context together when the engagement concerns a specific disclosure or loan process. |
These are minimums for the covered evidence. They do not authorize destruction when a contract, state law, charter rule, tax requirement, corporate-record schedule, internal governance policy, or legal hold requires a longer period. A policy discussion can also produce records in several categories; classify each item rather than assigning the whole folder the shortest period.

Why five years is common—but not universal
Many banks use five years as a prominent BSA-related floor because the Federal Financial Institutions Examination Council’s BSA/AML Manual says most BSA records are kept at least five years. Its Appendix P explains that records may be maintained as originals, microfilm, electronic records, copies, or reproductions, provided they remain accessible within a reasonable period. The same appendix recognizes that a Treasury order or law-enforcement investigation can extend the period.
Five years therefore works as a useful default for records that evidence BSA activity, but it is not a federal rule dedicated to lobbying or general policy correspondence. A comment letter about a capital rule, a meeting about a consumer disclosure, and a request from law enforcement can have different triggers and different confidentiality requirements. The retention schedule should show the legal basis and trigger for each class instead of labeling every policy file “five years.”
Special handling for FinCEN requests and SAR-related material
Account-maintenance requests
When an authorized law-enforcement request concerns account maintenance, obtain and preserve the written request. Record its stated purpose, start date, expiration date, scope, and any renewal. FinCEN recommends retention for at least five years after the request expires even though the Bank Secrecy Act does not impose a recordkeeping requirement for this correspondence. The request’s initial duration should not exceed six months; renewals should be retained with the original.
SAR records
FinCEN requires a financial institution to retain a copy of a Suspicious Activity Report and the original or business-record equivalent of supporting documentation for five years from filing. A policy-engagement file may refer to the issue that led to a control change or regulator discussion without containing the SAR itself. Use role-based access and a secure cross-reference when separating the engagement record protects SAR confidentiality. The cross-reference should still show the filing date, retention trigger, and any hold.

Electronic records, retrieval, and auditability
Electronic storage is acceptable when it accurately preserves the evidence and allows prompt retrieval. Keep native files when metadata, comments, formulas, or message headers matter, and retain a rendered or otherwise readable version when that helps reviewers. A reproduction should preserve the substance, attachments, dates, authorship, approvals, and relationships among documents.
- Searchable index: include matter ID, issue, entities, participants, record class, trigger date, retention end date, hold status, owner, and access classification.
- Immutable or controlled versions: prevent silent overwriting of approved submissions and record later amendments as new versions.
- Audit trail: log changes, exports, access to restricted material, and disposition approvals.
- Integrity checks: use documented controls that detect missing attachments, altered files, broken links, or failed migrations.
- Retrieval testing: periodically confirm that authorized staff can find and open records within a reasonable period, including records migrated from retired systems.
Do not treat a screenshot, printout, or PDF as automatically sufficient if the original contains material metadata or searchable content. Conversely, do not retain redundant copies forever merely because they exist in several systems; identify the authoritative copy and document defensible disposition of duplicates.
Legal holds and preservation requests override routine destruction
Trigger a legal or regulatory hold when a file relates to an examination, subpoena, investigation, enforcement matter, threatened or filed litigation, or a regulator’s preservation request. The hold should suspend automated deletion and scheduled disposition for the relevant custodians, systems, and date ranges.

- Notify custodians and obtain acknowledgement; include employees who participated through personal devices or collaboration tools used for bank business.
- Preserve native and rendered copies where material, including attachments, message headers, calendars, notes, and version history.
- Record collection steps, exceptions, access restrictions, and any system that could not be searched.
- Review the hold periodically and document release only after counsel or the authorized control function confirms that preservation is no longer required.
A routine five-year deletion date cannot end a record’s life while a hold is active. If a hold begins after a scheduled disposition run, investigate whether any relevant records were deleted and escalate the result under the bank’s incident and legal procedures.

Confidentiality and access design
Policy files often combine public submissions with sensitive supervisory, customer, or law-enforcement information. Apply role-based access by record type and matter, not merely by department. A broad policy team may need the final comment letter, while SAR content, account details, legal advice, or investigative requests require a narrower group. Preserve an access log and review permissions when employees change roles or leave.
Label privilege and confidentiality accurately. A label does not create privilege, and removing a label does not make restricted information public. Store privileged legal advice with appropriate controls while retaining enough non-privileged matter metadata to prove the decision and approval path.
Common failure modes and fixes
Keeping only the final letter
Failure: The bank can show what it submitted but not who approved it, which facts supported it, or how commitments were implemented.
Fix: Require the matter checklist to include participants, drafts, evidence, approvals, meeting notes, outcomes, and follow-up owners.

Applying one blanket period
Failure: Every policy file is marked “five years,” causing premature destruction of mortgage evidence or unnecessary retention of unrelated material.
Fix: Classify each record, identify its trigger, and retain it for the longest applicable period.

Starting the clock at the wrong event
Failure: Staff count from the meeting date when the rule counts from SAR filing, request expiry, disclosure or action, account closure, or mortgage consummation.
Fix: Store the trigger event and date as required fields and have compliance validate unusual classifications.
Ignoring state and charter obligations
Failure: A federal schedule is treated as complete even though a state-chartered bank, state lobbying law, tax rule, employment rule, corporate-governance requirement, or jurisdiction-specific disclosure law adds duties.
Fix: Map the federal baseline to every charter, state, product, and jurisdiction in which the bank operates, with counsel’s sign-off.
Deleting during an investigation
Failure: Automated deletion continues after a subpoena, examination, investigation, or threatened lawsuit is known.
Fix: Connect the matter repository to hold alerts, suspend disposition immediately, notify custodians, and document release.
Making records inaccessible
Failure: Files technically exist but cannot be opened after a system migration, or no one can identify the authoritative version.
Fix: Preserve usable formats, metadata, indexes, and retrieval tests; document migrations and duplicate disposition.
How to set the bank’s schedule
Separate three concepts in the schedule: the legal minimum, the bank’s chosen business or governance period, and any hold or extension. For each record class, name the owner, confidentiality level, trigger, minimum period, review date, approved extensions, and retrieval standard. A longer internal period may be sensible when a policy issue has a long product life, repeated examinations, or continuing implementation commitments, but it should be intentional and documented.
Before adopting the schedule, obtain counsel’s mapping of state lobbying-disclosure, corporate-record, tax, charter, and product-specific requirements. The federal authorities described here do not establish one dedicated rule for bank lobbying or general policy-engagement correspondence. The defensible approach is a documented classification decision, not an unsupported universal number.
Practical pre-disposition checklist
- Is the matter’s purpose, issue, affected product or control, and owner recorded?
- Are all internal and external participants, recipients, dates, channels, and locations identified?
- Are drafts, final submissions, agendas, notes, correspondence, support, approvals, commitments, and follow-up evidence complete?
- Are policy versions and related examination, subpoena, investigation, or litigation references linked?
- Has each record been classified with the correct trigger and longest applicable period?
- Have federal, state, charter, tax, governance, contract, and jurisdiction-specific requirements been checked?
- Is any hold or preservation request active, pending, or reasonably foreseeable?
- Can an authorized reviewer retrieve and open the records, including native files and attachments, within a reasonable period?
- Has disposition been approved and logged, with duplicates and failed deletions investigated?
The result should be a searchable, access-controlled history of the bank’s policy decision—not merely a box of correspondence. That record lets the bank demonstrate purpose, participants, content, approvals, outcome, and context while applying retention periods that match the law and the actual risk.
