Usually, yes—unless a startup can prove a stable GPU baseline for the entire contract term. A one- or three-year commitment can lower the unit price and protect access to scarce accelerators, but the bill continues when utilization falls, a model changes, funding slips or a newer GPU becomes the practical standard. The safer default is to commit only the measured, high-confidence baseline and keep burst training, experiments and uncertain growth on flexible capacity.
What a long-term GPU commitment actually buys
A committed-capacity deal combines two separate promises that are often confused:
As an Amazon Associate I earn from qualifying purchases.
- Pricing: a lower effective rate than on-demand usage when the contracted resources are consumed.
- Capacity: a provider’s promise to make a specified amount of GPU supply available under stated conditions.
A discount does not cancel utilization risk. Google Cloud’s resource-based commitments require one- or three-year terms. Google says most GPU types can receive discounts of up to 55% (2026), but the commitment cannot be canceled after purchase. It also says customers are billed monthly throughout the term whether or not the resources are used.

Capacity protection is a different product from a price commitment. AWS EC2 Capacity Blocks for ML are scheduled GPU reservations designed to provide reliable access without a long-term capital commitment; AWS says a block can include up to 512 NVIDIA H100 GPUs. OpenAI Guaranteed Capacity offers one- to three-year discounted commitments and advises customers to size them to forecast demand, product expansion and multi-year adoption plans. These products illustrate the trade-off: a startup may pay more per GPU for flexibility, or accept a fixed obligation to obtain lower pricing and stronger access assurances.

The five tests a founder should apply
Evaluate every proposal on the same five axes. A low quoted rate is attractive only if it survives all five.
| Test | Question to answer | Evidence to collect |
|---|---|---|
| Utilization certainty | What GPU hours are highly likely to be used every month? | Metered usage by workload, with a conservative forecast and confidence band |
| Cash and runway exposure | Can the company pay the minimum bill if growth is flat or funding is delayed? | Monthly committed charge, cash runway after payment, and downside budget |
| Technology refresh risk | Will the contracted GPU remain suitable as models, frameworks and memory requirements change? | Benchmark assumptions, refresh terms and an equivalent-capacity substitution clause |
| Portability | How quickly could workloads move to another provider or region? | Container images, infrastructure definitions, egress estimates and revalidation work |
| Capacity and service assurance | What exactly is guaranteed, and what remedy applies when it is not delivered? | GPU type, cluster size, start date, networking, storage, maintenance windows and usable credits |
When the financial risk becomes dangerous
Fixed bills can turn a discount into stranded spend
Suppose a startup commits to a monthly GPU minimum and then uses only half of it. The unused half is not a temporary overage; it is a payment for capacity that produced no revenue or training progress. The break-even calculation must include the commitment’s minimum charge, expected utilization, data-transfer costs, storage, orchestration and engineering time. Compare that total with the cost of buying only the hours actually consumed on a flexible plan.
Run at least three cases before signing:
- Base case: the current workload grows according to the operating plan.
- Flat case: customer acquisition and model demand remain at today’s level.
- Downside case: a launch slips, a major customer churns or a funding round takes longer than expected.
The commitment should remain payable in the downside case without cutting essential staff, security or customer support. An AI infrastructure provider’s SEC filing identifies limited supplier availability, above-market binding purchase commitments, technology shifts and customer non-renewal as causes of underutilized capacity, stranded assets, lower margins and impairment charges. Those are not theoretical accounting issues for a startup: they can shorten runway precisely when negotiating leverage is weakest.

Separate always-on demand from experiments
Do not average every GPU hour into one forecast. Separate production inference, scheduled retraining, large training runs, evaluation, research experiments and idle development environments. Production inference may form a dependable baseline; experiments and new-model training usually do not. Commit only the portion that remains necessary across the flat and downside cases. Keep the rest on on-demand, spot or short-duration capacity products.
One-year versus three-year terms
| Choice | What the published terms show | Best fit | Main exposure |
|---|---|---|---|
| One-year commitment | Google Cloud offers a one-year resource-based term; OpenAI Guaranteed Capacity lists one-year options with discounts. | A measured baseline with reasonable visibility but meaningful product or funding uncertainty | Unused capacity and hardware changes can still leave many months of payments |
| Three-year commitment | Google Cloud and OpenAI list three-year options; Google says its commitment cannot be canceled and is billed monthly regardless of use. | A mature workload, strong runway and contract protections that cover refresh and exit risks | Forecast error, model changes and lock-in compound over a long period |
| Scheduled capacity block | AWS EC2 Capacity Blocks for ML provide scheduled access without a long-term capital commitment and support up to 512 NVIDIA H100 GPUs. | A known training window or temporary capacity shortage | The reservation solves a date-specific need, not a recurring baseline |
| Flexible usage | On-demand or spot capacity has no multi-year minimum and is recommended for uncertain or spiky demand. | Experiments, early product-market fit and volatile workloads | Higher unit prices or less predictable availability |
A three-year term is not automatically irrational. It becomes defensible when the company has a repeatable workload, customers or internal budgets that support the payment, and written rights to adjust the hardware and capacity. Without those conditions, the extra discount is compensation for transferring forecast risk from the provider to the startup.
Hardware and software obsolescence
AI systems can change faster than cloud contracts. A new accelerator may deliver materially better performance per dollar, memory capacity or software support. A model architecture may also make the reserved configuration unsuitable. The OECD reports that interconnected AI hardware and software can create lock-in around a particular GPU, while cloud providers may secure long-term exclusive chip-supply agreements. Its analysis also links data-portability barriers and variable cloud consumption with difficulty anticipating long-term expenditure.

Before accepting a specific GPU, test the workload on at least one alternative generation or provider where practical. Record throughput, memory use, interconnect requirements, checkpoint format and framework versions. Then ask for a clause allowing one of the following:
Quick wins for a faster PC:
Fix the driver behind crashes, sound loss and screen glitchesFind Drivers →Clear out junk files and repair common Windows errorsFree Scan →- Substitution with a newer generation that provides equal or better agreed performance at the same effective commitment.
- A proportional reduction when the provider cannot supply the contracted model.
- Migration to another region or service without resetting the term.
- Early termination or a transfer of the remaining obligation if the hardware is discontinued or materially degraded.
Do not accept “equivalent GPU” as an undefined phrase. Define equivalence using measurable throughput, memory, interconnect bandwidth, availability and benchmark conditions relevant to your workload.
Portability and vendor lock-in checks
AWS’s vendor-lock-in guidance says long-term contracts should be offered as a customer choice and should generally include a compensating feature such as reduced pricing or a commitment to improve service functionality or performance. It identifies mandatory commitments as the central problem. Apply that standard in negotiations: the longer the term, the more valuable the protections must be.

Technical portability checklist
- Package training and inference code in portable containers and pin dependencies.
- Keep infrastructure definitions, deployment scripts and secrets-management procedures under your control.
- Use open checkpoint and dataset formats where possible; document any provider-specific conversion.
- Measure data-egress volume, transfer time and fees for a representative migration.
- Test a small workload in a second provider or region, including identity, networking, logging and monitoring.
- Estimate software revalidation, retraining and engineering hours, not just the GPU price.
Commercial portability checklist
- Request region flexibility and the right to move committed capacity among listed regions.
- Seek assignment or transfer rights if the company is acquired, restructures or sells a product line.
- Define a termination right for a material funding event, product discontinuation, regulatory restriction or sustained provider failure.
- Ensure discounts and credits can apply across the provider’s relevant services rather than only one future order.
What an enforceable capacity and SLA promise should contain
An uptime percentage alone does not guarantee that the GPUs needed for a training run will start on time. Require the contract or service-level agreement to identify:
- The exact GPU model, quantity, topology and minimum memory.
- The delivery or start date, reservation window and permitted maintenance periods.
- Networking, storage throughput, image availability, drivers and orchestration support.
- Replacement timing when hardware fails and the process for escalating a capacity shortfall.
- Credits or refunds tied to the specific failure, with a remedy that has value during the current term.
NVIDIA’s Cloud Services SLA uses service-specific capacity and availability definitions. It also says certain credits may be used only toward a future DGX Cloud order. That limitation matters: a credit that cannot reduce today’s cash bill may not protect runway. Ask whether remedies are cash, transferable credits or discounts on future orders, and cap neither the remedy nor the provider’s obligation so narrowly that a missed training window has no practical consequence.

- Export usage history. Pull at least several months of GPU-hours by project, model, region and GPU type. Separate idle allocation from actual compute.
- Classify demand. Label each workload production, committed customer work, planned training, experiment or optional research.
- Set confidence bands. Mark the minimum that remains necessary in the downside case, the expected case and the upside case. Only the minimum should be a candidate for a long-term commitment.
- Model ramp timing. If demand will grow, negotiate monthly or quarterly capacity steps rather than paying the final level from day one.
- Price the exit. Add egress, retraining, revalidation, engineering labor and customer-impact risk to the cost of leaving.
- Set a review trigger. Re-run the model after every major model release, GPU generation, funding milestone, acquisition or material customer loss.
Keep the forecast auditable. A finance lead should be able to trace every committed GPU to a workload, customer obligation or internal service-level requirement. If a unit cannot be mapped, it belongs in flexible capacity until evidence improves.

Contract terms worth negotiating
- Ramp schedule: start below the eventual target and add capacity as usage is demonstrated.
- Downgrade and right-size windows: permit reductions at scheduled checkpoints instead of an all-or-nothing obligation.
- Transfer and assignment: allow movement among accounts, regions, products or a successor company.
- Hardware refresh: provide newer or equivalent accelerators without restarting the term or increasing the minimum.
- Region substitution: preserve service when a local cluster is constrained.
- Termination: define objective events for funding failure, product change, prolonged capacity shortfall or regulatory prohibition.
- SLA remedies: specify service-level measurements, response times and credits usable across services or as cash offsets.
- Data exit: document export formats, notice periods, egress pricing and deletion procedures.
Have counsel review whether the commercial summary matches the order form, service-specific terms and any capacity schedule. A sales presentation cannot replace an enforceable remedy.
A practical decision rule
Choose flexible capacity when utilization is uncertain, demand is spiky, the startup is pre-product-market fit or the next model may change the hardware requirement. Consider a one-year or similarly flexible commitment when measured baseline usage is stable, the downside case remains affordable and the provider grants ramp, refresh and portability rights. Consider a multi-year term only when forecast confidence, financing runway and service protections are all strong; a discount by itself is not sufficient.
Review the decision at each major model, GPU-generation and funding milestone. The right commitment is a moving operating decision, not a permanent declaration that the current architecture will remain unchanged.
