Alternatives to Refinancing a Commercial Real Estate Development Loan

If your commercial real estate development loan is maturing and a new loan is not available, you are not limited to one outcome. Depending on the project, documents, lender and jurisdiction, you can ask the existing lender for more time or a workout, seek additional capital, move from construction financing to bridge financing, add an equity partner, sell the project, or negotiate an orderly resolution such as a deed in lieu. None is automatic: a lender does not have to extend, modify, advance more money or approve a loan assumption. The practical objective is to present a credible repayment plan before maturity, supported by current project and borrower information.

The guidance discussed here is primarily U.S.-focused. Your executed loan documents, project facts, lender analysis, property location and advice from qualified counsel control the result.

Start before the maturity date

Delay reduces your choices. Contact the lender as soon as a refinance appears uncertain and ask what information it needs to evaluate an extension, restructuring, additional credit, a construction-to-bridge transition or a sale. A lender can often evaluate a proposal more constructively while the loan is performing than after a missed payment or covenant default.

  • Current leasing, sales and absorption evidence, including executed contracts, signed leases, deposits and realistic assumptions for unsold or unleased space.
  • Updated operating projections, debt-service capacity and a downside case.
  • Sponsor financial statements, liquidity, contingent liabilities and guarantor capacity.
  • Current valuation information and the proposed payoff source, such as operating cash flow, sale proceeds or a later takeout loan.
  • A written request identifying the relief sought, the requested term and the milestones that will be achieved during that period.

Ask the lender in writing what conditions it would require: new equity, reserves, reporting, inspections, guarantees, fees, updated valuation, covenants or a specific repayment date. A proposal that identifies both the money needed and the credible exit is more useful than a request for a generic “extension.”

Potential paths when refinancing is unavailable

Path When it may fit Issues to examine
Extend or renew with the current lender The project is viable but needs more time to finish, lease, sell or stabilize. Extension tests, fees, reserves, additional equity, guarantees, covenants, maturity and a realistic payoff source. The extension period should match the construction and absorption schedule.
Restructure existing debt Current payments or maturity do not fit the borrower’s reasonable repayment ability. Revised amortization, payment deferral, concessions, collateral, guaranties, reporting and whether the modified plan is sustainable.
Request additional credit More money can complete construction or improve repayment prospects. Updated budget, remaining costs, contingency, lien priority, borrower contribution and demonstrated exit. Recognition of this workout form is not a commitment to lend.
Transition to bridge financing Construction is complete or nearly complete, but lease-up, sales or other stabilization remains. Completion status, absorption assumptions, bridge term, reserves and a takeout plan whose timing reflects the stabilization period.
Add an equity partner or joint venture The project needs sponsor capital or a stronger funding plan. Equity amount and timing, preferred return, distribution waterfall, governance, dilution, control, guarantees and lender consent.
Sell the asset or project A sale is more credible than continued ownership or new financing. Net sale proceeds, payoff amount, timing, buyer diligence, transfer restrictions and lender consent. Assumption of the existing loan is not assured.
Negotiate a deed in lieu or prepare for foreclosure No viable repayment or restructuring plan can be produced. Legal, guaranty, title, tax and deficiency consequences, all of which depend on the transaction and jurisdiction.

1. Request an extension or renewal

An extension keeps the existing facility in place while the project reaches a defined milestone. It can fit a development that is physically complete but needs additional leasing time, or one with a short, documented construction delay. The interagency workout policy and public problem-loan guidance from the Office of the Comptroller of the Currency (OCC) recognize renewing or extending loan terms as a possible workout approach.

What to propose

Ask for a specific maturity date tied to a schedule: for example, completion by a stated month, lease-up targets, a planned sale process or a takeout-loan application. Explain what happens if a milestone is missed. The OCC’s construction guidance says extension options should align with expected construction time and projected absorption; an arbitrary short extension may simply create another maturity problem.

Terms that can change the economics

  • Extension or renewal fees and higher interest margins.
  • Interest, tax, insurance and operating reserves.
  • New equity contributions or a requirement to fund cost overruns first.
  • Updated completion guarantees, payment guarantees or other recourse.
  • More frequent financial, construction and leasing reports.
  • Cash-management controls, covenants or restrictions on distributions.
  • A mandatory sale, refinancing or principal-paydown milestone.

Do not treat an extension as free time. Calculate the added interest, carrying costs and reserves and test whether the project can still repay principal at the new date.

2. Restructure the existing debt

A restructuring changes payment or other loan terms when the existing schedule no longer fits the borrower’s reasonable repayment ability. The interagency policy recognizes restructuring with or without concessions, and OCC guidance lists restructuring among possible responses to a problem loan.

Structures to evaluate

  • Longer amortization or a revised principal schedule.
  • Temporary payment deferral while construction or lease-up proceeds.
  • Interest-only payments for a defined period, followed by a sustainable amortization.
  • Capitalizing permitted amounts, subject to the documents and lender approval.
  • Additional collateral, guaranties or reporting in exchange for more time.

Build the proposal from cash flow rather than from the amount of payment relief desired. Show monthly sources and uses, the date operating income begins, the amount of debt service the property can support and how the remaining principal will be paid. A concession that merely postpones an unworkable balance is not a solution.

3. Ask for additional credit to finish or protect repayment

More credit can be appropriate when a defined funding gap prevents completion, opening, lease-up or sale and the completed project has a credible repayment source. Regulators identify additional credit intended to improve repayment prospects as a workout option, but that recognition does not require the bank to lend more.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Make the funding gap verifiable

Provide a line-by-line cost-to-complete schedule, independent construction information, contingency, unpaid invoices, lien releases and the sponsor’s required contribution. Distinguish hard costs, soft costs, interest carry and contingency. Explain why the requested amount is sufficient and what event will release the lender’s exposure.

Check priority and downside risk

Additional advances may raise intercreditor, lien-priority or guaranty issues. Confirm how new money ranks, whether existing collateral documents cover it and whether any subordinate lender or investor must consent. Model a slower lease-up, lower sale price and cost overrun; reserve-funded interest can make a loan appear current while leaving principal repayment uncertain.

4. Transition construction financing to bridge financing

When physical construction is complete or close to complete but the property has not stabilized, ask whether the construction facility can transition to a bridge structure. OCC Comptroller’s Handbook guidance recognizes construction-to-bridge arrangements for the stabilization period.

Conditions that make the request credible

  • Construction completion is documented, with open items and retainage quantified.
  • Certificates, permits, inspections and operating requirements are identified.
  • Lease-up or sales assumptions are supported by actual market evidence and executed agreements.
  • The bridge term and extension options cover the realistic absorption period.
  • Interest and operating reserves are sized for the bridge term.
  • A takeout plan identifies the likely permanent lender, sale or other payoff source.

A bridge loan is not a permanent refinance by another name. Its shorter term, reserve requirements and maturity risk make the stabilization schedule central to the credit decision.

5. Bring in an equity partner or joint venture

New equity can fund completion, replenish reserves or improve the project’s capital position without adding senior debt. The Federal Reserve’s February 2026 examination manual notes that larger projects may obtain equity from partners or joint ventures and that a bank assesses the likelihood of raising the needed equity.

Economic and control terms

Negotiate the amount and timing of each contribution, any preferred return, the distribution waterfall, losses, future capital calls, reporting and exit rights. Determine who controls budgets, leasing, a sale and major contracts. New equity can dilute the original sponsor, change governance or require guarantees. Those terms are project-specific; the cited regulatory materials do not prescribe a standard split.

Lender approvals

Review transfer, ownership-change, pledge, guaranty and financial-covenant provisions before signing. The lender may require approval of the investor, revised organizational documents, a new completion plan or an intercreditor agreement. Price the transaction after legal, accounting and closing costs, not just the headline equity amount.

6. Sell the property or project

A sale can repay the loan when a buyer’s price and timing are more credible than a new financing or continued hold. Calculate expected net proceeds after commissions, taxes, closing costs, unpaid project obligations and the lender’s payoff amount. Compare that figure with the debt balance and any required reserve release.

Do not assume the buyer can take the loan

The loan documents and due-on-sale clause govern a transfer. The U.S. statutory framework permits enforcement of a contractual due-on-sale clause and encourages, but does not require, permitting certain assumptions. Commercial loans are therefore not freely assumable by default. Obtain lender consent before representing that a buyer can assume the debt.

Plan the sale process early

  • Confirm the lender’s consent, payoff-statement and release requirements.
  • Set a marketing and diligence timetable that fits the maturity date.
  • Address title, permits, construction completion, leases, service contracts and environmental matters.
  • Use a realistic price range and sensitivity analysis rather than a best-case valuation.
  • Ask whether the lender will agree to a short extension while a signed contract closes.

7. Consider a deed in lieu or foreclosure discussions only when the plan is not viable

If the project cannot produce a credible repayment, sale or restructuring plan, the lender may evaluate remedies or a negotiated resolution. OCC guidance lists foreclosure among possible workout outcomes, but the consequences are highly jurisdiction- and document-specific.

A deed in lieu may involve title transfer, releases, guaranty claims, tax consequences, environmental obligations, junior liens and potential deficiency exposure. Foreclosure can affect control, timing, credit, tenants and other creditors. Obtain advice from counsel who can review the loan, guarantees, title and local law before signing anything or surrendering possession.

How to compare the alternatives

Use one cash-flow model and one written comparison. Score each path against the following questions:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  1. Time: Does the requested period match realistic construction, lease-up, sales and absorption milestones?
  2. Cash: How much sponsor or investor money is required immediately, and can it actually be funded?
  3. Debt burden: What are the total interest, fees, reserves, amortization and final principal due?
  4. Repayment: Is the exit operating cash flow, a sale, a takeout loan or another source, and what supports it?
  5. Downside: What happens if costs rise, leasing slows, prices fall or the exit is delayed?
  6. Control: Will the plan change ownership, governance, distributions or guarantor obligations?
  7. Consents and priority: Are lender, investor, intercreditor, lien, transfer or regulatory approvals required?
  8. Execution: Can the transaction close before maturity, and what legal, valuation, placement and closing costs apply?

Regulators focus on borrower financial strength and future project prospects. A plan that relies only on continued interest reserves, without a credible source for principal, should be treated as incomplete.

Questions to take to the lender

  • Would you evaluate an extension, renewal, restructuring, additional advance or construction-to-bridge conversion?
  • What completion, leasing, sales, valuation and reporting evidence is required?
  • How much new equity must be funded, and when?
  • What fees, reserves, rate changes, guarantees and covenants would apply?
  • Will you consent to a partner, joint venture, sale or loan assumption?
  • What payoff amount and release conditions would apply to a sale?
  • What events would trigger default, cash sweeps, enforcement or a shortened maturity?
  • What is the lender’s preferred exit, and what milestones must be met to reach it?

Common mistakes

  • Waiting until the maturity date to disclose a funding or lease-up problem.
  • Using an optimistic appraisal or absorption forecast without signed evidence.
  • Requesting an extension without identifying the exact repayment event.
  • Ignoring new equity dilution, guarantees, fees and control rights.
  • Assuming that a buyer can take over the loan without lender consent.
  • Paying interest from reserves and treating that as proof that principal is safe.
  • Signing a modification, equity agreement or deed-in-lieu document without deal-specific legal and tax advice.

When to involve advisers

Commercial real estate workout counsel can interpret defaults, waivers, guarantees, collateral, transfer restrictions and release language. A capital adviser can help compare debt, bridge, equity and sale execution, but verify any provider’s qualifications, fees and conflicts before engagement. Your accountant, valuation professional, construction consultant and leasing advisers may each be needed to substantiate the assumptions the lender will underwrite.

The right path is the one that aligns the project’s actual completion and stabilization timetable with a fundable capital plan and a credible principal payoff. If no such plan exists, early, informed negotiations generally preserve more options than allowing a maturity default to occur without a proposal.
