Intel appointed former ASML CEO Eric Meurice and Microchip Technology veteran Steve Sanghi as independent directors on December 5, 2024. Both appointments took effect immediately. Their backgrounds aligned with Intel’s stated priorities in semiconductor manufacturing, Intel Foundry, operating efficiency and profitability—but board appointments alone do not guarantee progress on those challenges.
What Intel announced
In a December 5, 2024 announcement from Santa Clara, Intel said Meurice and Sanghi had joined its board as independent directors, effective immediately. The announcement came from Frank D. Yeary, then Intel’s interim executive chair. Intel said the directors would bring technical and executive experience to its oversight as it worked across its Intel Products and Intel Foundry businesses, with a focus on execution, efficiency and profitability. Intel’s announcement provides the company’s stated rationale and biographical details.
The appointments were additions to the board, not executive jobs at Intel. Their importance was the experience they could bring to board-level strategy and oversight during a demanding business transformation.

Eric Meurice: experience in lithography and manufacturing
Meurice was ASML’s president and CEO from 2004 through 2013. ASML makes the lithography systems used to pattern semiconductor chips, making its technology and relationships with chipmakers central to advanced manufacturing. Intel’s release said ASML’s market value grew fivefold during Meurice’s tenure; that is Intel’s characterization of his record.

Intel also credited Meurice with helping establish ASML’s Customer Co-Investment Program, through which Intel and other companies invested in research and development for next-generation lithography, including extreme ultraviolet (EUV). That experience gave him a perspective on the equipment ecosystem, long development timelines and collaboration between chipmakers and suppliers—all relevant to Intel’s manufacturing ambitions.
His career also included leadership roles at Intel, ITT Semiconductors and Dell, as well as serving as executive vice president of Thomson’s TV division. His prior Intel experience meant he was not unfamiliar with the company, even as Intel designated him an independent director.
Meurice’s expertise could inform board scrutiny of manufacturing strategy and process-technology investment. It did not give him operational authority over Intel’s factories or technology roadmap, nor does it establish that Intel would meet manufacturing milestones or improve yields.

Steve Sanghi: a long operating record at Microchip
At the time of Intel’s announcement, Sanghi was chairman of Microchip Technology and had recently agreed to serve as the company’s interim CEO and president. He had led Microchip as CEO from 1991 to 2021. Before Microchip, he was vice president of operations at Waferscale Integration and held management roles at Intel.
Intel said Microchip recorded 121 consecutive quarters of profitability during Sanghi’s leadership and that its market value increased from approximately $10 million to approximately $44 billion over his 30-year tenure. Those figures are claims in Intel’s announcement, not measures of Intel’s own performance. They help explain the appeal of Sanghi’s record in sustained operations, manufacturing, business development and profitability discipline.
That experience was relevant to Intel’s efficiency and financial goals, but Microchip is not a direct operating template for Intel. Intel works at a much larger scale and spans CPUs, data-center products, manufacturing technology and a contract-foundry business. Its product mix and capital demands differ substantially from Microchip’s. Sanghi’s record offered an experienced operator’s perspective, not a ready-made solution to Intel’s distinct problems.

Why the two appointments complemented each other
The pair brought different, potentially useful perspectives to the board:

This is a mapping of their experience to Intel’s publicly stated priorities, not evidence that either director resolved those issues. Intel did not say the appointments were made solely in response to any one event, and its announcement did not link them to a CEO succession decision.
What “independent director” means—and what it does not
Intel described both appointees as independent directors, placing them in a non-management board oversight role rather than making them Intel operating executives. Independence is a formal governance classification; it does not mean a director has never had business or professional connections to the company. Both men had held roles at Intel earlier in their careers.

That history is relevant background, but by itself it does not negate Intel’s independence designation. Nor should the designation be read as proof that no industry relationships or potential conflicts could ever require review. Those questions depend on the relevant governance rules and disclosures; the appointment announcement alone is not enough to make a broader conflict-of-interest claim.

Yes. Intel’s 2026 proxy materials list Meurice and Sanghi as independent directors who joined in 2024. The materials identify Meurice as a former ASML CEO and a member of the Audit & Finance Committee, and identify him as a financial expert in the board materials. Sanghi is listed on the Compensation Committee.
The proxy also discusses the board’s treatment of Sanghi’s outside public-company CEO commitments. It says the board waived a numerical limit related to public-company CEOs, citing his semiconductor experience, concentrated commitments, attendance, preparation and engagement. That is the company’s governance explanation, not an independent assessment of his time allocation.

The 2026 proxy establishes their status as reflected in those materials; board service can change, so it should not be treated as a timeless roster. Their later listing also does not mean the December 2024 appointment and any subsequent shareholder vote were the same event.
The significance—and limits—of the refresh
Meurice added experience rooted in advanced lithography and the manufacturing ecosystem; Sanghi added a long record of semiconductor-company operations and profitability. Both brought prior Intel familiarity while serving as independent directors. That mix fit the oversight needs Intel described for its Products and Foundry businesses.
It is a credible board-refresh rationale, not proof of a turnaround. Whether Intel improves manufacturing execution, profitability or shareholder value depends on decisions and results beyond the credentials of two directors.
