Why Alphabet Created XXVI Holdings—and How It Completed Google’s 2015 Reorganization

XXVI Holdings Inc. was an internal holding company created by Alphabet in 2017—not a new publicly traded company or a spin-off of Google. The restructuring completed legal work begun when Google formed Alphabet in 2015. Google Inc. became Google LLC, while Alphabet remained the public parent and ultimate controller.

The short answer

Alphabet created XXVI Holdings as an intermediate company beneath Alphabet during a follow-on restructuring in 2017. The purpose was to organize Google and Alphabet’s other businesses under a cleaner legal ownership structure.

The move did not separate Google from Alphabet. It did not give public shareholders XXVI stock, change Alphabet’s ultimate control, or create an independent Google. Google remained Alphabet’s principal operating business, and Alphabet remained the issuer of the publicly traded GOOG and GOOGL shares.

Alphabet’s 2017 annual-report materials list both Google LLC and XXVI Holdings among its subsidiaries. Later SEC filings also continue to show XXVI in Alphabet-related ownership disclosures.

2015 versus 2017: the important distinction

Alphabet was not first created in 2017. The parent-company reorganization happened in 2015:

  • August 10, 2015: Google announced the creation of Alphabet.
  • October 2, 2015: The legal reorganization took effect. Alphabet became the parent of Google, and Google became a wholly owned subsidiary.
  • September 1–4, 2017: Alphabet’s creation of XXVI Holdings was reported publicly.
  • November 1, 2017: A related internal restructuring was consummated, according to an SEC filing.

Alphabet’s 2015 Form 10-K describes the original reorganization and confirms that Alphabet owned all outstanding Google stock after October 2, 2015.

What XXVI Holdings was

XXVI was a corporate holding entity, not a consumer brand, operating division, or separate investment available to the public. “XXVI” is the Roman numeral for 26, referring to the 26 letters in the alphabet.

In simplified terms, the post-restructuring ownership chain looked like this:

This is an explanatory diagram rather than a complete legal chart. SEC ownership disclosures describe Alphabet as XXVI’s controlling stockholder and show XXVI and Alphabet Holdings LLC in relevant ownership chains. The exact relationships among individual subsidiaries can change over time.

Why Alphabet used another holding company

The 2015 reorganization established Alphabet as Google’s public parent, but some businesses remained legally connected to Google rather than being organized in a consistent group structure beneath Alphabet.

The 2017 restructuring provided an intermediate entity through which Alphabet could organize Google and other businesses and investment entities. Contemporaneous reporting described the arrangement as placing businesses associated with Alphabet’s “Other Bets,” including examples such as Waymo and DeepMind, into a more comparable legal framework. That description should not be read as a complete list of every entity affected or as a statement that each business had the same exact ownership relationship.

Alphabet said the restructuring was intended to make the corporate structure more efficient, economical, and transparent. In practical terms, it clarified ownership lines and separated the legal identities of businesses without making them independent companies.

Why Google became Google LLC

As part of the follow-on restructuring, Google Inc. was converted into Google LLC. This changed Google’s legal form from a corporation to a limited liability company, but it did not turn Google into an independent business.

Google LLC remained wholly owned within Alphabet’s corporate group and continued to contain Alphabet’s central internet, advertising, consumer, and cloud operations. The available evidence supports the legal conversion and organizational rationale; it does not establish that the change was made for a specific tax purpose or to avoid regulation.

What happened to shareholders?

Public shareholders did not receive separate XXVI shares. The relevant share conversion occurred in 2015, when Google shareholders’ shares automatically converted into equivalent Alphabet shares as part of the original reorganization.

  • Alphabet remained the publicly traded parent.
  • GOOG and GOOGL remained Alphabet securities.
  • XXVI was not separately listed.
  • Google’s operations remained inside Alphabet’s consolidated group.

In other words, the 2017 restructuring changed the legal architecture beneath Alphabet, not the public ownership instrument held by investors.

What changed for reporting and transparency?

Alphabet remained the public reporting company and continued to report Google as its principal business. Google LLC did not disappear from Alphabet’s financial statements simply because it became a private subsidiary.

However, Google LLC no longer had the same direct public-company disclosure status as Google Inc. had before the 2015 reorganization. Contemporaneous analysis noted that a wholly owned private subsidiary generally does not face the same standalone reporting obligations as a public company. That is a narrower point than saying Alphabet stopped disclosing Google’s financial performance: Alphabet continued to report consolidated results.

The structure therefore involved a trade-off. It could make ownership and administration clearer while reducing the amount of reporting Google LLC would have to make as a separate legal entity.

What did not happen

The creation of XXVI was not a spin-off.

  • Google was not sold to XXVI or to outside investors.
  • Google was not independently listed on a stock exchange.
  • Alphabet did not surrender control of Google.
  • XXVI was not a new product, consumer service, or public investment vehicle.
  • The restructuring did not automatically mean that employees or customers moved to a new Google brand.

Alphabet said the changes would not alter ultimate shareholder control, operations, management, or personnel. That is the company’s stated position; it does not mean that a legal restructuring can have no administrative or reporting consequences.

Was XXVI created to avoid antitrust or privacy scrutiny?

The restructuring was announced during a period of substantial scrutiny of Google and Alphabet businesses, including European competition investigations and criticism involving DeepMind’s NHS data-sharing arrangements.

That timing explains why some observers questioned the structure. But the available evidence does not establish that XXVI was created to evade antitrust enforcement, isolate specific liabilities, avoid privacy rules, or conceal financial information. Alphabet characterized the change as the legal implementation of the structure announced in 2015.

Separate legal entities can provide organizational separation, but they do not automatically create operational independence or eliminate the parent company’s regulatory responsibilities.

Does XXVI still exist?

XXVI continues to appear in Alphabet-related ownership disclosures, including a SEC filing from January 2026. That supports the conclusion that it remained a legally relevant entity in the corporate ownership chain.

It does not, by itself, provide a complete current subsidiary chart or prove that every relationship created in 2017 remains unchanged. Alphabet’s businesses, acquisitions, subsidiaries, and internal ownership arrangements can change over time.

Bottom line

XXVI Holdings was Alphabet’s 2017 legal follow-up to the 2015 creation of Alphabet. It served as an internal intermediate holding company while Google Inc. became Google LLC and Alphabet organized its businesses under a more consistent structure.

For investors, the essential point is simple: Alphabet remained the public parent, Google remained under Alphabet’s control, and no separate XXVI investment was created for shareholders.
