Signal is operated by Signal Messenger, LLC, whose parent is the nonprofit Signal Technology Foundation. It is not personally owned by Brian Acton, Meta, WhatsApp, Elon Musk, or conventional private investors.
The short answer
Signal has a foundation-plus-LLC structure rather than the ordinary shareholder model used by most technology companies:

- Signal Technology Foundation: The U.S. 501(c)(3) nonprofit parent.
- Signal Messenger, LLC: The operating entity associated with developing and running the service. It is also listed as the developer of Signal in the U.S. App Store.
- Signal app: The consumer messaging service used by individuals.
So “who owns Signal?” is best answered by distinguishing legal ownership, operations, governance, funding, software licensing, and personal ownership. A nonprofit does not have private shareholders who own equity in the same way shareholders own a conventional startup.

What is Signal Technology Foundation?
Signal Technology Foundation is a U.S. 501(c)(3) nonprofit created in 2018. Signal says the foundation was formed as the parent of Signal Messenger to support and expand secure, privacy-preserving communication. Its stated mission involves protecting free expression and enabling secure global communication through open-source technology.
The foundation is not merely a charitable label attached to a normal investor-owned app. Its parent relationship is the central feature of Signal’s ownership model. The foundation’s long-term purpose also extends beyond operating one messenger: it has described an ambition to support other privacy-preserving projects.
Signal announced the foundation on February 21, 2018. The announcement identified Moxie Marlinspike and Brian Acton as co-founders of the foundation.

The history of the Signal project and the history of the Signal Foundation are related but not identical.
Signal Messenger originated in 2012, with Moxie Marlinspike as the central technical founder of the original project. Brian Acton joined the effort during the foundation era. Marlinspike and Acton then launched the Signal Foundation in 2018.
That distinction matters: being a founder does not automatically mean retaining personal ownership. In particular, founders of a nonprofit do not receive a personal shareholder stake simply because they helped establish it.
Does Brian Acton own Signal?
No—not in the normal acquisition or shareholder sense.

Acton co-founded WhatsApp and later co-founded the Signal Foundation. In 2018, he provided the foundation’s initial $50 million in funding and was identified as its executive chairman. Signal’s original announcement described the money as initial funding for the nonprofit, not as a purchase of Signal.
Signal later referred to Acton’s early support as including an initial loan. Because Signal’s historical descriptions use different terminology, it would be inaccurate to automatically characterize the $50 million as equity, a conventional commercial investment, or a simple donation without further documentation.
Funding, lending, serving as an executive, and owning a nonprofit are legally different concepts. Acton was a major early funder and founder, but that does not make him Signal’s personal owner.
Is Signal owned by Meta or WhatsApp?
No. Brian Acton previously co-founded WhatsApp, which Facebook—now Meta—later acquired. Acton left Facebook before establishing the Signal Foundation.

Signal was established separately, with a nonprofit structure designed to avoid the advertising- and surveillance-based incentives associated with many consumer technology businesses.
Is Signal a nonprofit or a company?
It is both, but the two terms refer to different entities.
Signal Technology Foundation is the nonprofit parent. Signal Messenger, LLC is the operating entity. The existence of an LLC does not mean Signal is a conventional venture-backed startup owned by investors. An LLC can be used to handle operational, contractual, employment, app-store, and service-related responsibilities under a nonprofit parent.

The U.S. App Store lists Signal Messenger, LLC as Signal’s developer. Signal’s store terms also name Signal Messenger, LLC for the store service, but those terms should not be treated by themselves as a complete corporate-ownership document.

Who controls Signal?
Control comes through the foundation’s nonprofit governance structure rather than through private shareholders seeking an equity return.
The foundation has a board of directors and officers. Its public leadership page lists current directors and identifies Meredith Whittaker as Signal’s president and a board member. Because leadership and board roles can change, any such list should be understood as current only as of the date it is checked.
Brian Acton’s founder and early-funder status does not by itself give him permanent control. The people running Signal may change, but the ownership structure is designed around the nonprofit foundation rather than personal equity ownership.
How does Signal make money?
Signal is more accurately described as funded than monetized in the usual advertising sense.
Signal says it has no ads or trackers and does not use a surveillance-based business model. It says development is supported by grants and donations. Its donation page lists payment methods including cards, PayPal, bank transfers, cryptocurrency, stock, and donor-advised funds. Donations help pay for servers, bandwidth, and ongoing development.
Signal’s financial explainer estimated that operating the service would require approximately $50 million annually by 2025. That was an estimate published in 2023—not a verified 2026 operating-cost figure.

The nonprofit model does not mean Signal has been funded only by small individual donations. It has also disclosed grants and significant early support from Acton.
Is Signal free to use?
Yes. Signal says the core messenger is free and supported by grants and donations. Donating is optional and is not presented as a requirement for ordinary messaging access.

Signal is difficult to “buy” in the way someone might acquire a conventional private messaging company, but it would be too broad to say that every possible legal restructuring is impossible.
A conventional acquisition usually involves shareholders selling equity. A nonprofit has no private shareholders who can sell a personal ownership stake for an acquisition payout. Its assets are dedicated to its charitable mission and subject to nonprofit-law restrictions.
A future merger, asset transfer, restructuring, or dissolution could raise substantial legal and governance questions. It should not be described as an ordinary technology-company sale, and no individual founder can simply sell Signal as personal property.

Does open source mean nobody owns Signal’s code?
No. Open source means software is made available under license terms; it does not mean the code is public domain or ownerless.
Signal states that its open-source software is available under the AGPLv3 license. Others may be able to use or modify applicable code under those terms. However, code licensing and trademark ownership are separate matters.
Signal Technology Foundation says it owns Signal’s brand assets. A technically related project can be a fork without being the official Signal service. The Signal brand guidance restricts uses that falsely suggest official ownership, endorsement, or affiliation. Signal’s contributor license agreement also explains how contributed software is treated in relation to Signal Messenger.
The Signal Protocol is likewise technology that other projects can adopt or adapt; using the protocol does not mean another service owns or operates the Signal app.
What Signal’s ownership structure means for privacy
The nonprofit structure is relevant because it can reduce the conventional pressure to maximize advertising revenue, user tracking, or investor returns. Signal publicly emphasizes donations, grants, open-source technology, and keeping user data out of a surveillance-based business model.
But nonprofit status is not a guarantee that every future technical or organizational decision will be perfect. Privacy depends on the service’s implementation, policies, governance, funding, security practices, and how users operate their devices.
The practical takeaway is narrower and more defensible: Signal’s stated ownership and funding structure avoids ordinary private-equity ownership and advertising incentives. That is a governance and incentive safeguard—not proof that users should stop evaluating the app’s current policies and technology.

The nonprofit Signal Technology Foundation is the parent organization, while Signal Messenger, LLC operates and develops the Signal service. Brian Acton helped create and fund Signal, but he does not personally own the app. Meta, WhatsApp, and Elon Musk do not own it either.
Signal remains free to use and says it relies on grants and donations rather than advertising, trackers, or surveillance-based monetization.
