No—Verizon and T-Mobile did not jointly buy UScellular. T-Mobile acquired substantially all of UScellular’s wireless business on August 1, 2025. Verizon later bought selected UScellular spectrum licenses, and AT&T bought another group of licenses. The former UScellular parent retained its towers and infrastructure assets and now operates as Array Digital Infrastructure, Inc.
The short answer
The headline “Verizon and T-Mobile buying out US Cellular network” is shorthand that gets the deal wrong. The assets were divided:
- T-Mobile: UScellular’s wireless customers, customer relationships, network operations, stores, sales and distribution, customer care, and selected spectrum.
- Verizon: selected Cellular/850 MHz, AWS, and PCS spectrum licenses—not UScellular’s customers or entire network.
- AT&T: selected Lower 700 MHz and 3.45 GHz spectrum licenses.
- Array Digital Infrastructure: the former UScellular company’s tower and infrastructure business, including approximately 4,400 owned towers.
T-Mobile also obtained long-term access to many towers, but leasing tower space is not the same as buying the towers.

What each company acquired
T-Mobile bought the wireless business
T-Mobile’s transaction included substantially all of UScellular’s wireless operations, including its subscribers, customer relationships, retail stores, sales channels, customer-care operations, and network operations. The transaction excluded UScellular’s owned towers.

T-Mobile also acquired approximately 30% of UScellular’s spectrum portfolio. The relevant holdings included spectrum in bands such as 600 MHz and 2.5 GHz, along with selected 700 MHz, AWS, PCS, and other licenses.
The deal was announced on May 24, 2024, with an announced value of approximately $4.4 billion including cash and assumed debt. It closed on August 1, 2025, for approximately $4.3 billion after adjustments. T-Mobile’s 2025 Form 10-K says the acquired UScellular Wireless Business became wholly owned by T-Mobile at closing.
Verizon bought licenses, not the carrier
Verizon agreed to buy selected UScellular spectrum separately. The transaction covered portions of Cellular/850 MHz, AWS, and PCS spectrum in various markets. It was valued at $1 billion and closed on June 1, 2026, according to Array’s closing announcement.
That means Verizon did not acquire UScellular’s customer accounts, retail stores, customer-care operation, or complete network. Spectrum is the licensed radio-frequency capacity carriers use to connect phones to their networks. Verizon can use the licenses to increase capacity or improve coverage in the applicable markets, but the customer-visible effect depends on deployment decisions and local engineering. It does not automatically transfer former UScellular customers to Verizon.

AT&T bought another spectrum package
AT&T separately acquired selected Lower 700 MHz and 3.45 GHz licenses. That transaction closed on January 13, 2026, for approximately $1.018 billion, subject to purchase-price adjustments.
So the overall transaction was a portfolio split—not three carriers taking over one unified UScellular network.
Why the towers matter
Array retained approximately 4,400 owned towers and other infrastructure-related assets. The company changed its name from UScellular to Array Digital Infrastructure, Inc. after the T-Mobile wireless-business sale.

It also extended tenancy at approximately 600 towers where it was already a tenant. Those arrangements give T-Mobile access to tower sites without transferring ownership of all those structures to T-Mobile.

This distinction matters financially and operationally:
- Tower ownership: Array owns the infrastructure and can lease space to wireless carriers.
- Tower tenancy: T-Mobile rents access to many sites for its equipment.
- Spectrum ownership: T-Mobile, Verizon, and AT&T received different groups of licenses.
- Wireless-business ownership: T-Mobile owns the acquired customer and operating business.

What happened to UScellular customers?
UScellular customers were part of the wireless-business sale to T-Mobile. However, ownership and technical migration are different issues. Moving customers can involve billing systems, SIM or eSIM arrangements, supported network bands, plans, roaming, and network technology.
Former customers should not assume that everyone has the same experience or timetable. The practical questions are:

The wireless business is owned by T-Mobile, but migration can occur in stages.
- Is the existing plan still available? Do not rely on general online claims. Check the customer notice and applicable plan terms.
- Will the phone work? Compatibility depends on the exact model, supported bands, SIM or eSIM status, and whether the device is unlocked. T-Mobile provides bring-your-own-device information.
- Will coverage improve? It may improve in locations where T-Mobile’s network is stronger, but coverage varies by address, building, device, congestion, and roaming arrangements.
- Will roaming change? Roaming access can change as systems and network arrangements are integrated.
- Does the customer need to act? Follow direct communications from T-Mobile or the former UScellular service channel. Do not replace a SIM, change a plan, or buy a phone solely because of a headline.
Rural customers should check the exact address on current carrier coverage maps and, when possible, compare local user reports. Coverage maps are predictions, not guarantees.

What this means for Verizon and T-Mobile customers
For T-Mobile customers
T-Mobile gained customers, spectrum, and long-term access to additional tower sites. The potential benefit is a larger customer base and more spectrum and infrastructure to integrate into its network. The trade-off is integration complexity, including network modernization, retail and information-technology work, billing and back-office integration, and customer migration.
For Verizon customers
Verizon’s acquisition is relevant mainly because additional spectrum can support capacity and coverage in the affected markets. It does not mean Verizon acquired all UScellular towers or that former UScellular customers were automatically moved to Verizon. Any benefit depends on when and where Verizon deploys the licenses.
For people choosing a carrier
Compare carriers using current coverage at the addresses that matter, device compatibility, plan terms, taxes and fees, roaming, and customer support. Do not choose a carrier on the assumption that Verizon bought the former UScellular network. T-Mobile, Verizon, AT&T, and prepaid or MVNO providers can be reasonable choices depending on local coverage and budget; current prices and promotions vary by state, line count, autopay, financing, and eligibility.

The FCC reviewed the transfer of licenses and authorizations. The T-Mobile proceeding covered the wireless operations, customers, selected spectrum, and related transition arrangements. Verizon and AT&T’s spectrum assignments were handled in separate proceedings.

The Department of Justice also examined the potential effect of eliminating UScellular as an independent facilities-based wireless competitor, consumer effects, and additional concentration of wireless spectrum before closing its investigation of the T-Mobile transaction. Regulatory approval of these transactions did not create a joint Verizon–T-Mobile acquisition.
The competitive trade-off is straightforward: a larger national carrier may be able to use spectrum and infrastructure more efficiently, but consumers lose UScellular as an independent carrier and may face fewer choices in some markets. Better service is possible, but it is not guaranteed for every former UScellular customer.
Common misconceptions
- “Verizon and T-Mobile bought UScellular together.” No. T-Mobile bought the wireless business; Verizon and AT&T separately bought spectrum.
- “Verizon bought UScellular’s network.” No. Verizon bought selected licenses, not the customer operation, stores, or complete tower portfolio.
- “T-Mobile bought every UScellular tower.” No. Array retained approximately 4,400 owned towers, while T-Mobile leased access to many sites.
- “UScellular disappeared completely.” The wireless carrier business was sold, but the former parent continued as Array Digital Infrastructure.
- “Every customer must immediately change plans.” There is no universal rule that supports that claim. Treatment depends on migration status, device, plan, and direct customer communications.
- “The deal closed in 2024.” The T-Mobile agreement was announced in 2024; that transaction closed on August 1, 2025.
Bottom line
T-Mobile bought UScellular’s wireless business and selected spectrum. Verizon later bought a different block of selected spectrum, and AT&T bought another block. Array Digital Infrastructure kept the towers and infrastructure business. For former UScellular customers, the important next step is to follow the specific migration, device, billing, and plan instructions they receive—not to assume that Verizon acquired the network or that every customer must switch immediately.
