TikTok’s U.S. business now sits inside TikTok USDS Joint Venture LLC, finalized on January 22, 2026. U.S. and global investors collectively own 80.1%, while ByteDance retains a 19.9% stake. Oracle, Silver Lake, and MGX each own 15% and serve as the venture’s three managing investors.
That means Oracle did not buy TikTok outright, ByteDance did not completely exit, and the arrangement concerns TikTok’s U.S. operations—not the global TikTok business.

What was actually sold or reorganized?
This was a restructuring of TikTok’s U.S. business and related U.S. data-security operations. It was not a sale of every TikTok operation worldwide.
The new joint venture was created to allow TikTok to continue operating in the United States while addressing the divestiture requirements associated with the Protecting Americans from Foreign Adversary Controlled Applications Act. The law, signed in April 2024, required ByteDance to divest TikTok or face restrictions in the U.S. The Associated Press has outlined the law and its background.
So the most accurate description is that TikTok’s U.S. operations were placed into a new joint venture. Saying “Oracle bought TikTok” is incorrect because Oracle owns 15%, not 100%.
Why ByteDance’s 19.9% matters
ByteDance retained a minority economic interest rather than leaving the arrangement entirely. The 19.9% figure is significant because the U.S. divestiture framework focused on removing TikTok from qualifying foreign-adversary control, with the deal structured just below the 20% threshold repeatedly cited in reporting.
However, a stake below 20% does not automatically mean that ByteDance has no influence. Ownership is only one part of the analysis. Contractual rights, licensing arrangements, board representation, technology relationships, and operational responsibilities can also matter.

That is why two statements can both be accurate:
- ByteDance is no longer the majority owner of TikTok’s U.S. venture.
- ByteDance still has a meaningful economic interest and may retain relationships with the venture that are relevant to its practical independence.
Who are the three managing investors?
Oracle
Oracle is a U.S. cloud-computing and enterprise-software company. Its role is particularly relevant to the venture’s infrastructure and data-security arrangements, although a 15% ownership stake does not make Oracle TikTok’s sole owner.
Silver Lake
Silver Lake is a technology-focused private-equity firm and one of the venture’s managing investors. It holds 15%.

MGX
MGX is an Abu Dhabi-based investment firm backed by sovereign-wealth interests. It also holds 15%.
Together, Oracle, Silver Lake, and MGX hold 45%. They do not account for all of the 80.1% owned by investors.
Who owns the remaining 35.1%?
The disclosed figures establish that other U.S. and global investors collectively hold 35.1%. The public information supporting this ownership chart does not provide a complete, authoritative breakdown of every holder in that group.

Earlier proposals and negotiation-stage reports mentioned different investor combinations and percentages. Those preliminary arrangements should not be treated as the final cap table. Unless final transaction documents or an official company disclosure identify the investors, it is more accurate to describe them collectively than to publish an unconfirmed list of names.
Ownership is not the same as control
The central question is not only who owns shares. It is also who controls the functions that raised U.S. security concerns.

Reporting on the arrangement described ByteDance as retaining ownership while the U.S. venture assumed control of important U.S. data, content, and algorithm functions. Those descriptions should be understood as reported deal terms, not proof that every technical relationship between the companies has disappeared.
What happened to the board?
Earlier reporting described a seven-member board with six U.S. members and one member selected by ByteDance. That was reported as a governance term during the negotiation period, so it should not be treated as a complete substitute for the final corporate documents.
Even if that board structure remains accurate, one ByteDance-selected seat would not by itself prove either total independence or continuing control. Board rights are only one part of a company’s governance and technology arrangements.

What changed for users?
The immediate practical result was continuity: TikTok could continue operating in the United States rather than being forced offline under the divestiture-or-ban framework. Reports on the closing described the app as continuing under the new structure.
Users should not assume that the deal automatically created a new app, instantly replaced the recommendation system, or visibly changed everyone’s feed. Changes to data security, governance, moderation, and recommendation technology may occur over time, but those are separate implementation questions.
What it could mean for creators and advertisers
For creators and advertisers, the most immediate benefit is continued access to TikTok’s U.S. audience. The longer-term issues are operational:
- How U.S. user data is hosted, accessed, and secured.
- Which organization sets and enforces moderation policies.
- How recommendation technology is managed and updated.
- Whether privacy notices, contracts, advertising systems, or compliance processes change.
- How the U.S. venture interacts with ByteDance’s global technology stack.
These are reasonable areas to monitor, not confirmed changes to every creator or advertising account.

How much is TikTok’s U.S. business worth?
A March 2026 report said an Oracle filing valued its 15% stake at approximately $2 billion. Dividing that reported value by Oracle’s 15% ownership produces a simple implied equity value:

$2 billion ÷ 0.15 ≈ $13.3 billion
That is an estimate, not a disclosed purchase price or necessarily the venture’s official enterprise valuation. The calculation may not reflect preferred securities, debt, different classes of interests, valuation discounts, or side agreements.
The reported Oracle filing valuation therefore supports an implied estimate of roughly $13.3 billion, but it should not be presented as proof that TikTok U.S. was sold for exactly that amount.
How the deal developed
- August 2020: The U.S. government began its modern effort to force a sale or restructuring of TikTok’s U.S. operations.
- April 2024: President Joe Biden signed legislation requiring ByteDance to divest TikTok or face U.S. restrictions.
- September 2025: U.S. and Chinese officials reached a framework for an ownership arrangement, while significant details remained unsettled.
- January 22, 2026: ByteDance announced the establishment of TikTok USDS Joint Venture LLC.
- January 23, 2026: Reports described the arrangement as closed or finalized, allowing TikTok to continue operating in the U.S.
- February 28, 2026: Oracle reported a 15% ownership interest in the venture.
- March 2026: Reporting put the value of Oracle’s stake at approximately $2 billion.
The timeline matters because proposed ownership structures circulated before closing. The percentages in the table above are the finalized figures described in the supplied reporting, not earlier negotiation-stage proposals.

The arrangement allowed TikTok to remain available in the United States, but it does not make future scrutiny impossible. Questions remain about how the promised separation works in practice, how technology and data access are governed, and whether the structure will face further litigation or regulatory review.
Reports also described U.S.–China negotiations and approval surrounding the arrangement. That should not be interpreted as public confirmation of every technical detail in the final agreements. Similarly, a finalized ownership chart does not by itself settle the broader question of practical influence.
