TikTok finalized its U.S. restructuring on January 22, 2026, creating TikTok USDS Joint Venture LLC to operate TikTok and related services in the United States. The new venture is 80.1% owned by parties other than ByteDance, but ByteDance retains a 19.9% stake. The deal is designed to keep TikTok available in the U.S.; it does not amount to a sale of TikTok worldwide, and questions remain about the algorithm and how independent the U.S. operation will be in practice.
The deal in brief

The venture’s stated scope includes TikTok, CapCut, and other U.S.-focused apps and websites. This is a U.S.-focused joint venture, not a transfer of TikTok’s global parent company or worldwide business. Silver Lake’s announcement describes the entity and its responsibilities.

Oracle, Silver Lake, and MGX together hold 45%. All owners other than ByteDance together hold 80.1%. The figures were reported by Reuters; ByteDance’s retained stake and the venture’s establishment were also described in Silver Lake’s announcement.

That number matters, but it is not a complete measure of influence: voting rights, board powers, contracts, access to technology, and the ability to make operational decisions can matter alongside the percentage on the cap table. Nor is it accurate to say ByteDance has no ownership in the U.S. venture.

Ownership is not the same as control
The venture describes itself as an independent entity with a seven-member board whose members are mostly American. Its announced remit covers U.S. data security, content moderation, software assurance, and protection of the recommendation system. Oracle is expected to serve as a trusted security and technology partner.
Those arrangements address different kinds of control, and they should not be collapsed into one claim:

- Economic ownership: Who holds equity in the venture. ByteDance owns 19.9%; other investors own the balance.
- Governance: Who appoints directors and makes strategic decisions. The announced board has seven members and a majority-American composition.
- Operations: Who oversees U.S. data security, moderation, and software assurance under the new structure.
- Technology: Who can access, maintain, change, test, and deploy the recommendation system and related code.
A majority stake held outside ByteDance and a majority-American board are important structural changes. On their own, however, they do not prove that ByteDance has no practical influence or that the U.S. venture is technically independent. Public announcements establish the intended structure more clearly than they settle every contractual and technical detail.

The algorithm is the most consequential unresolved issue
The company says the U.S. venture will secure and oversee the recommendation algorithm, which is to be retrained, tested, and updated using U.S. user data, according to Associated Press reporting. But reports also describe continued use or licensing of ByteDance-developed recommendation technology. The precise intellectual-property and control terms have not been fully established in public accounts.

That distinction matters because the U.S. law is concerned not just with who owns the app, but also with prohibited cooperation involving a content-recommendation algorithm controlled by a foreign-adversary-controlled company. AP’s explainer details why licensing and continued technical involvement raise compliance questions.
The practical test is therefore broader than whether the algorithm is described as “secured” or “retrained.” It includes who can train and validate it, who can modify its code or inputs, who approves deployment, and whether the U.S. team can operate it without ByteDance’s assistance. The available information supports describing U.S. oversight and planned retraining; it does not establish that the algorithm was wholly sold, rebuilt from scratch, or made independent in every operational sense.

What changes for U.S. user data and the app?
The venture says it will place U.S. data security under a dedicated U.S. organization and an Oracle-backed security framework, alongside algorithm security, moderation, and software-assurance responsibilities. These are stated safeguards, not a guarantee that unauthorized access is impossible.
Several distinctions help make sense of those assurances. Data storage is not the same as data access; hosting on U.S. infrastructure does not by itself establish who can reach the data. Security audits and software controls can reduce certain risks, but they do not prove that every risk has been eliminated. And the physical location of servers is not, on its own, proof of corporate or legal control over data. The available announcements do not justify a blanket claim that all U.S. TikTok data is exclusively stored in the United States or inaccessible to every party outside the venture.

The transaction was structured to let TikTok continue operating in the U.S., rather than to require an immediate, visible redesign of the app. That does not guarantee the experience or infrastructure will remain unchanged: changes to recommendation systems, moderation, advertising, or technical connections could follow, but the deal announcement alone does not establish what users will notice.
Does the deal end the U.S. ban threat?
It removes the immediate shutdown threat under the announced arrangement: the venture was established to meet the U.S. divestiture requirement and allow the service to keep operating. The underlying dispute began with U.S. national-security concerns about ByteDance’s ownership, access to American user data, and potential influence over recommendations. Congress enacted a 2024 law requiring divestiture or a ban, and the Supreme Court upheld the law, according to Reuters’ account.
“Immediate threat removed” is not the same as “permanently resolved.” Regulators or courts could still examine whether the transaction qualifies under the statute, whether ByteDance’s retained stake or contractual rights create prohibited influence, whether algorithm licensing amounts to prohibited cooperation, and whether the venture’s governance works as promised. The long-term outcome depends on compliance and enforcement, not only on the announcement of a closing.
Why the deal was politically significant
This was not a routine acquisition. It followed years of legislation, litigation, deadline extensions, and negotiation involving the U.S. government, the Chinese government, ByteDance, and prospective investors. The ownership structure reflects an attempt to reconcile two competing goals: reducing U.S. national-security concerns while preserving a service used by people and businesses in the country. Because TikTok’s technology and global operations are interconnected, formal separation does not automatically resolve every question about data, software, or influence.
What remains to be demonstrated
- The detailed contractual rights attached to ByteDance’s 19.9% stake and the other investors’ holdings.
- How the algorithm’s licensing, intellectual property, training, testing, modification, and deployment will work in practice.
- What independent verification and enforcement mechanisms will assess compliance with the announced safeguards.
- Whether the governance and operational separation will withstand legal or political scrutiny.
- Whether users will see changes to recommendations, moderation, advertising, or the app’s technical infrastructure.
Earlier proposals and preliminary reports should not be confused with the final structure: the announced deal names MGX among the three 15% managing investors. Axios reported an earlier proposal; the final investor description is in Silver Lake’s announcement.
