T-Mobile completed its acquisition of substantially all of UScellular’s wireless operations on August 1, 2025. The transaction transferred more than four million UScellular customers, most stores, operating assets and specified spectrum to T-Mobile—but it did not transfer the entire UScellular corporate entity.
For customers, the practical takeaway is straightforward: service was not supposed to end when the deal closed, and most devices were expected to keep working during a phased transition. However, plans, billing, roaming, store support and device compatibility can change as individual accounts move into T-Mobile’s systems.
The short version
- T-Mobile bought substantially all of UScellular’s wireless business on August 1, 2025.
- The transaction was valued at approximately $4.3 billion after adjustments, including $2.6 billion in cash and about $1.7 billion in assumed debt.

What T-Mobile actually acquired
T-Mobile acquired the wireless operations that served UScellular’s regional customer base. That included wireless customers, substantial operating assets, most retail stores and specified spectrum licenses and holdings. T-Mobile also completed separate wireless-asset transactions in Iowa worth approximately $175 million.
The deal was not a purchase of every asset owned by UScellular’s parent. UScellular’s remaining infrastructure business became Array Digital Infrastructure. Array retained approximately 4,400 owned towers, significant spectrum holdings and other infrastructure-related interests. It can continue leasing tower space and managing infrastructure assets.

That distinction matters financially and operationally. Saying “T-Mobile bought UScellular” is useful shorthand, but “T-Mobile acquired UScellular’s wireless operations” is more accurate.
When did the acquisition close?
The transaction officially closed on August 1, 2025. An associated debt exchange involving approximately $1.7 billion was expected to close on August 5, 2025, according to T-Mobile’s closing announcement.
This is therefore a completed transaction, not a newly announced takeover. Its continuing effects are the migration of customers, accounts and network operations, along with the competitive changes in markets where UScellular had been an independent provider.

How many customers were affected?
T-Mobile described the transaction as affecting more than four million UScellular customers, including business customers. The FCC separately described UScellular as having approximately 4.4 million retail connections across 21 states. Those figures are related but should not be treated as perfectly interchangeable: companies and regulators can use different definitions for customers, connections, prepaid lines, broadband accounts and business accounts.
T-Mobile’s later reporting broke acquired accounts into separate categories: approximately 3.287 million postpaid phone customers, 390,000 other postpaid customers—including 141,000 5G broadband customers—and 349,000 prepaid customers. These reported categories should not automatically be added to the headline customer figure without accounting for the company’s reporting definitions and reconciliations.
The scale is nevertheless clear: this was a major regional-to-national-carrier migration, particularly for customers in rural and smaller markets.
What happened to UScellular customers?
Customers did not generally need to cancel service or change plans simply because the acquisition closed. The transition was intended to be phased. Existing service and devices were expected to continue working while T-Mobile expanded network access and integrated customer and billing systems.

UScellular customers were expected to gain broader access to T-Mobile’s network through reciprocal roaming, followed by deeper network and systems integration. The official customer-information page provides account-specific transition guidance.
The UScellular brand was also expected to transition gradually. Some customers may continue to encounter UScellular-branded support or stores during the changeover, while other interactions may move to T-Mobile care or T-Mobile retail locations.
Will customers have to change plans?
Not every customer had to switch plans immediately at closing. The official transition material described opportunities to move to T-Mobile plans as products and systems became integrated, but the timing and requirements can vary by account.
Former UScellular customers should distinguish three separate issues:

- Account migration: T-Mobile may eventually move your billing, account-management or support experience into its systems.
- Plan replacement: A legacy UScellular plan may eventually need to be replaced, or you may receive an offer to select a T-Mobile plan. The exact treatment depends on the account, plan, device and migration stage.
Do not assume a plan is either permanently protected or automatically being cancelled. Read the notice attached to your account and compare the full terms before accepting a change.
What to check before accepting a new plan
A lower advertised monthly price does not necessarily mean a cheaper overall service. Compare:
- Monthly service charges, taxes and fees.
- Autopay requirements and paper-billing charges.
- Device installment balances and promotional credits.
- Hotspot data and speed limits.
- International roaming and calling terms.
- Video-streaming quality and other included benefits.
- Insurance, upgrade and trade-in conditions.
- Whether a discount applies to every line or only selected lines.
Business, government, prepaid, multi-line, bundled and specialized accounts may follow different migration processes. The same advice applies to home broadband equipment, connected devices and enterprise hardware: confirm the treatment of the specific account rather than relying on a consumer-phone announcement.

Will your phone still work?
Nearly all existing UScellular customer devices were expected to continue working on T-Mobile’s network, but “nearly all” is not the same as “every device indefinitely.” Possible exceptions include older phones without the necessary T-Mobile LTE or 5G bands, carrier-locked devices, legacy-network hardware, unsupported tablets or hotspots, and specialized business equipment.

A migration may also require a new SIM, eSIM activation, firmware update or network reset. Before buying a replacement phone, check the exact model and your account’s instructions. Also verify whether an existing device-financing balance or promotional credit will transfer.
Could coverage improve?
Potentially, but the result is location-specific. T-Mobile’s stated rationale was that UScellular customers could move beyond limited roaming and gain broader access to T-Mobile’s nationwide network. T-Mobile customers could also benefit from enhanced coverage in former UScellular areas.
That does not guarantee faster speeds or stronger indoor coverage at every address. Real-world performance depends on the device’s supported bands, local spectrum, tower capacity, backhaul, terrain, building materials, congestion and the timing of local network integration. A phone may show a different network indicator without producing a meaningful improvement—or may work better outdoors than indoors.
Test service in the places that matter most: your home, workplace, school, regular travel routes and areas where you previously depended on UScellular roaming. Nationwide coverage maps are useful starting points, not guarantees of performance at your address.

T-Mobile acquired most UScellular stores as part of the wireless transaction, and the UScellular brand was scheduled to transition in phases. Store names, retail procedures and support channels may therefore change over time.
Do not assume every former UScellular location has already become a T-Mobile store. Check the local store listing or the customer notice associated with your account before making a trip.
The rural home-internet angle
T-Mobile said the expanded footprint would eventually make hundreds of thousands of additional households in the former UScellular territory eligible for T-Mobile Home Internet. Eligibility still has to be checked by address.
Fixed wireless can be useful where fiber or cable is unavailable, but performance depends heavily on signal quality, tower capacity and congestion. It may be a poor fit for households that need highly consistent low latency, large upload capacity or guaranteed business-grade service. Compare it with fiber, cable, DSL, satellite and other fixed-wireless options available locally.
Why T-Mobile wanted the deal
The acquisition gave T-Mobile additional customers, spectrum, retail locations, rural-market presence and potential network efficiencies. It also expanded the pool of households that may qualify for T-Mobile’s fixed-wireless broadband service.
T-Mobile later increased its expected long-term annual run-rate synergy target from approximately $1.0 billion to $1.2 billion, consisting of approximately $950 million in operating-expense synergies and $250 million in capital-expenditure synergies. Those are T-Mobile’s projections, not independently verified savings or a promise that customers will see lower prices.

Consumers may benefit from a larger network footprint, broader rural coverage options and more access to T-Mobile’s wireless and broadband products. Some former UScellular customers may receive a better experience once network and account integration is complete.
The trade-off is that affected markets lose an independent wireless network operator. That can reduce regional choice and may, over time, affect promotions, customer-service options or pricing pressure. Those are competition concerns—not proof that prices will rise or that service will worsen.
The FCC’s materials describe UScellular as having approximately 4.4 million retail connections across 21 states, which helps explain why the competitive impact is especially relevant in certain regional and rural markets rather than uniformly across the country.

What former UScellular customers should do now
- Review account notices. Use the official UScellular-to-T-Mobile support information and any message attached to your account.
- Do not cancel prematurely. The acquisition itself was not a reason to cancel service or replace a working phone immediately.
- Check device compatibility. Confirm that your exact phone, tablet, hotspot or connected device supports the relevant T-Mobile network bands and is unlocked when necessary.
- Document your current plan. Save your bill, device balance, promotional credits, roaming terms and grandfathered benefits before accepting a migration offer.
- Compare the replacement plan carefully. Use T-Mobile’s current plan page, but rely on the account-specific offer for final pricing and eligibility.
- Test important locations. Coverage at home and along your normal routes matters more than a national marketing claim.
- Check home-internet eligibility separately. An expanded footprint does not guarantee service at every address.
- Compare alternatives if the new terms do not work. Verizon, AT&T and lower-cost providers such as Visible, Cricket, Metro by T-Mobile and US Mobile may be worth checking, subject to local coverage, device compatibility and current pricing.
Can you switch to another carrier?
Yes. The acquisition does not generally require you to remain with T-Mobile. Before switching, check whether your phone is unlocked, whether device payments or promotional credits must be paid off, and whether your preferred alternative works well at your address.
Compare total cost—not just the headline rate—including taxes, fees, hotspot allowances, international service, data priority, customer support and store access. A dual-SIM arrangement may also make sense for people who need redundancy in rural areas or while traveling.

Most devices were expected to continue working, but compatibility is not universal. Older, locked or specialized devices may require a SIM or eSIM change, an update or replacement. Check the exact model and your account notice.
Will my bill automatically increase?
