Surreal Holdings LLC sued Amazon Web Services Inc. (AWS) in federal court on August 15, 2024, alleging that AWS failed to pay for a virtual-reality demonstration shown for Emirates at the 2023 Dubai Airshow and then improperly ended a broader software-services relationship. GeekWire reported that Surreal was seeking more than $1.27 million. The publicly indexed court record confirms the filing and early procedural steps, but the sources available here do not establish a settlement, judgment, trial verdict, or later final disposition.

The lawsuit involves two connected but distinct disputes: payment and scope for the Emirates/Dubai Airshow demonstration, and AWS’s alleged termination of the wider contractual relationship. The complaint is Surreal’s account, not a court finding.
What was the Emirates VR experience?
The project was a virtual-reality demonstration displayed at the Emirates booth during the November 2023 Dubai Airshow. GeekWire described a video in which aviation and travel vlogger Sam Chui tried a virtual cabin-crew experience through a VR headset. Chui was not a party to the case.

Public visibility does not by itself decide whether Surreal was authorized to disclose technical or commercial information, use customer trademarks, or publicize the work under the contract.

Surreal’s allegations about the demo and payment
According to the complaint, AWS and Emirates asked Surreal to produce a Dubai Airshow demonstration after the parties had begun work under an existing services relationship. Surreal alleges that the event work expanded beyond the master-services agreement, the June 2023 work order and later amendments.
- Surreal says it delivered the demonstration.
- It alleges AWS and Emirates used or accepted the work.
- It says neither AWS nor its customer paid Surreal or a vendor for that work.
- The complaint says AWS characterized the demonstration as a “partner effort” and took the position that payment should have been arranged in advance.
Those points remain allegations. Whether the written documents required a signed change order, whether the work was accepted under the contract’s procedures, and which entity was responsible for payment are issues the case would have to resolve.
How the broader AWS–Surreal agreement allegedly developed
The June 2023 work order
The complaint says AWS and Surreal signed a work order on June 8, 2023. It identifies the AWS contracting entity as Amazon Web Services EMEA SARL–Dubai Branch and Emirates as the end customer. The named defendant in the federal case, however, is Amazon Web Services Inc.; the distinction could matter to contract and jurisdiction analysis.

Surreal says license and support charges were tied in part to software usage and could reach $200,000 per month. The work order allegedly contemplated an initial five-year period and set conditions and deadlines under which AWS could reject a deliverable.

Changes and amendments
Surreal alleges that AWS repeatedly changed requirements, expanded the project and improperly rejected deliverables. It says a first amendment in October 2023 addressed additional VR functionality and that a second amendment in February 2024 incorporated some expanded work while extending milestone deadlines.
The complaint characterizes the Airshow demonstration as work redirected or added during that evolving relationship. The available sources do not establish AWS’s interpretation of the amendments or whether a written change-order requirement controlled the disputed work.
The alleged May 2024 termination
Surreal says AWS terminated the master-services agreement and work order effective May 9, 2024, invoking a “cause” provision. Surreal alleges that the contract required both a material breach and an opportunity to cure, and that AWS provided neither. Whether the notice satisfied the contract and whether Surreal was in breach are unresolved legal and factual questions.

Why website publicity and logos became important
GeekWire’s account of the complaint says AWS relied partly on Surreal’s promotion of the Emirates project on its website when ending the broader relationship. AWS also allegedly objected to Surreal displaying AWS and Emirates logos in a site footer.

Surreal argued that the footer did not identify confidential work and that the Airshow demonstration had already been publicly visible. That argument addresses only part of the issue:
- A public demonstration may show that the existence of a project was visible.
- It does not automatically authorize disclosure of source code, designs, customer data or other protected details.
- Permission to display a project is separate from permission to use AWS or Emirates trademarks.
- A disclosure authorized by an event participant may not settle whether Surreal independently had publicity rights under its contract.
The sources do not reproduce the full confidentiality, publicity or trademark language, and AWS’s legal interpretation has not been publicly set out in the cited reporting.

The $1.27 million figure may contain different components, such as unpaid work, contract damages, interest or other relief; the accessible materials do not establish the precise composition of the operative amended claim. Projected five-year revenue is not automatically recoverable, and unjust-enrichment damages can raise overlap concerns with contract damages. None of these figures represents money a court ordered AWS to pay.

Breach of contract
Surreal alleges that AWS failed to pay for work and improperly rejected or withheld payment for deliverables, including the Airshow effort, and that AWS terminated the agreements contrary to their “cause” and cure requirements.

Good faith and fair dealing
The complaint alleges that AWS exercised contractual discretion—such as changing requirements, evaluating deliverables or terminating the relationship—in a manner that violated the implied duty of good faith and fair dealing.
Quasi-contract and unjust enrichment
Surreal says AWS retained the benefit of the Dubai Airshow demonstration without paying for it. This theory is distinct from proving an enforceable payment obligation, although recovery under overlapping theories is not automatically cumulative.
The docket classifies the matter as a diversity-based contract dispute. Classification does not predict whether any claim will succeed.

- October 2023: The complaint says the first amendment was signed and work shifted toward the Dubai Airshow demonstration.

What AWS and Emirates have said
GeekWire reported in 2024 that AWS did not comment on the lawsuit. Emirates, which was not named as a defendant, did not respond to the publication’s inquiry. Those nonresponses are not admissions, and they do not establish either company’s position on the allegations.
What remains unresolved
- Whether the Airshow demonstration was inside the written scope, added by amendment or outside the agreements.
- Whether a signed change order was required before AWS had to pay for expanded work.
- Whether AWS accepted deliverables or issued timely, contractually sufficient rejections.
- Whether the May 9 termination satisfied the contractual cause and cure provisions.
- Whether Surreal had written authorization to promote the project or display AWS and Emirates logos.
- Whether public exposure of the demonstration affected confidentiality without resolving trademark or authorization questions.
- What portion of the claimed $1.27 million, if any, is legally recoverable, and whether projected future fees can be proved.
- Whether the case settled, was dismissed or proceeded after the indexed 2025 entries.
Contract lessons for software vendors and enterprise buyers
This lawsuit illustrates why event-driven software work needs unusually explicit paperwork, without deciding the merits of Surreal’s claims.
- Use written change orders: Define who can approve urgent event work, the price, acceptance criteria and the contracting entity.
- Separate publicity rights from confidentiality: State whether a vendor may name the customer, display logos, publish screenshots or use event footage.
- Set acceptance deadlines: Specify how and when a customer must reject a deliverable and what happens if it does not.
- Address customer-funded projects: Identify whether AWS, the end customer or another affiliate owes payment for third-party work.
- Define termination and cure: Spell out what constitutes cause, the notice required and the opportunity to remedy a breach.
- Keep damages measurable: Distinguish fees for completed work from contingent usage revenue and long-term projections.
The Bottom Line
Surreal’s lawsuit alleges that AWS used or accepted an Emirates VR demonstration without paying for expanded work and then terminated a larger agreement without the required cure process. The filing, early service activity and a later amendment order are documented; liability, damages and the case’s ultimate outcome are not established by the cited record.
