Microsoft reported total compensation of $49,858,280 for CEO Satya Nadella for the fiscal year ended June 30, 2021. That was up from $44,321,788 the previous year, but it was not a $50 million salary or necessarily $50 million in cash received. Nadella’s salary remained $2.5 million; most of the increase came from stock awards and incentive compensation.
The figure comes from Microsoft’s 2021 proxy statement and reflects a historical compensation snapshot reported in October 2021—not Nadella’s current annual pay. Later proxy filings reported $54,946,310 for fiscal 2022 and $48,512,537 for fiscal 2023.
Where Nadella’s fiscal 2021 compensation came from
Microsoft’s Securities and Exchange Commission filings report compensation using the Summary Compensation Table. For fiscal 2021, the components added up as follows:

Compared with fiscal 2020, reported total compensation increased by $5,536,492, or about 12.5%. Salary did not change. Stock-award value rose by about $2.32 million, while non-equity incentive compensation increased by about $3.22 million.

Why “nearly $50 million” does not mean $50 million in cash
The $33,036,030 stock-award figure is generally the accounting value assigned to awards on their grant date. It is not necessarily the value of shares when they vest, and it is not the amount Nadella sold or deposited into a bank account.
Grant-date value: The accounting value assigned when the award is made.
Vested value: The market value when shares become owned, which may be higher or lower than the grant-date value.
Realized value: The value when shares are sold, before taxes and transaction effects.
Microsoft’s proxy separately discloses award vesting and realized-value information. Stock prices can change substantially between grant, vesting, and sale. The total compensation number also does not represent Nadella’s net worth, his total Microsoft holdings, or his annual salary.
Why Microsoft’s board increased the reported total
Microsoft said it enhanced its compensation approach for fiscal 2021 after shareholder feedback. The revised approach placed greater weight on financial and operational performance in determining stock awards and cash incentives.

That explanation is the board’s rationale, not an independent audit of Nadella’s performance. The board’s evaluation credited his leadership across three broad categories:

The remaining compensation formula also reflected financial and operational performance. Microsoft said the changes were intended to connect executive pay more closely to those results, rather than simply raising Nadella’s fixed salary.
What Microsoft achieved during fiscal 2021
The board’s assessment took place during the COVID-19 pandemic, when enterprise customers were accelerating cloud adoption and digital work. According to Microsoft’s fiscal 2021 annual report and the board’s proxy discussion:
- Microsoft revenue grew 18% year over year.
- Office 365 Commercial revenue grew 22%.
- Teams reached nearly 250 million monthly active users.
- The security business exceeded $10 billion in revenue.
- LinkedIn annual revenue exceeded $10 billion.
- Microsoft highlighted Azure, Teams, Microsoft Viva, cybersecurity products, gaming, and preparations for Windows 11.
Microsoft also said nearly 600,000 organizations used its security offerings across Azure and Microsoft 365. These were company-wide results produced by many employees, products, customers, executives, and market conditions. The board attributed leadership credit to Nadella, but the results should not be read as solely his individual achievement.

How the pay compared with a typical Microsoft employee
Microsoft reported median annual total compensation of $176,858 for its employees and a CEO-to-median-employee total-compensation ratio of 282 to 1.

This was a median, not an average. Microsoft calculated the comparison using salary or wages, bonuses and cash incentives, and the value of stock awards. It excluded approximately 3,430 employees who joined through acquisitions during fiscal 2021 when selecting the median employee.
The ratio is therefore specific to Microsoft’s SEC methodology. Comparisons between companies can be misleading because employers differ in workforce geography, use of contractors, employee mix, acquisition treatment, and stock-award practices. The ratio also compares a CEO’s reported total compensation with the compensation of one statistically selected median employee; it does not mean every employee earned the same amount.

No. His base salary stayed at $2.5 million in fiscal 2021, unchanged from fiscal 2020. What increased was variable compensation: the reported value of stock awards and performance-based incentive pay.

Board-approved is not the same as shareholder-approved
Microsoft’s compensation committee and board determined the executive compensation package. Shareholders had governance rights, including advisory voting on executive compensation, but they did not individually approve each component of Nadella’s package.
Microsoft said shareholder feedback influenced the revised compensation approach. That is different from saying shareholders directly awarded Nadella the money.
Later filings put the number in context
Executive compensation can change significantly from year to year because stock grants, incentive targets, share prices, and performance outcomes vary. Microsoft later reported Nadella’s total compensation as $54,946,310 for fiscal 2022 and $48,512,537 for fiscal 2023 in its 2023 proxy statement.

Those figures reinforce the key distinction: the $49.86 million number describes one completed Microsoft fiscal year ending June 30, 2021. It is not a permanent annual rate and should not be presented as Nadella’s current compensation in 2026.
The bottom line
Microsoft reported nearly $50 million in total fiscal 2021 compensation for Satya Nadella, up about 12.5% from the prior year. The increase came primarily from stock awards valued at grant and higher incentive compensation—not from a salary increase. Microsoft’s board linked the package to strong company results and its own assessment of Nadella’s leadership, while the fairness of that link remains a matter of executive-pay and governance judgment.
