PTCL and Telenor expected their Pakistan transaction to close in the first half of 2025, but it did not. Pakistan’s Competition Commission approved the acquisition with conditions on October 1, 2025, and PTCL and Telenor confirmed completion on December 31, 2025. The completed acquisition transferred ownership; it did not instantly merge Telenor Pakistan with Ufone.
What the deal covered
Telenor agreed in December 2023 to sell 100% of Telenor Pakistan’s telecom operations to Pakistan Telecommunication Company Limited (PTCL), part of e&. At announcement, Telenor put the business’s value at approximately NOK 5.3 billion on a cash- and debt-free basis. In its completion announcement, Telenor reported a closing valuation of approximately NOK 5.4 billion, subject to final adjustments. It also said it had received about NOK 0.9 billion in cash flow from Telenor Pakistan between announcement and completion. Telenor’s completion notice gives the transaction figures and confirms the sale.
PTCL’s closing announcement covered both Telenor Pakistan and Orion Towers, a separate tower-infrastructure business. That matters because the transaction involved more than a transfer of the mobile operator alone; ownership of infrastructure assets can also shape how networks are operated and integrated. PTCL’s announcement describes the completed acquisition.
Why the first-half 2025 timetable slipped
“First half of 2025” was an expected closing window, not a guaranteed deadline. PTCL’s 2024 results announcement and Telenor’s fourth-quarter 2024 report both described that target as subject to regulatory approvals and customary closing conditions. Telenor’s 2024 annual report said material uncertainties remained around regulatory approvals and other conditions; at December 31, 2024, it therefore had not classified Telenor Pakistan as held for sale. That accounting treatment was a signal that completion was not yet sufficiently certain under the relevant reporting criteria—not a sign that the company had stopped operating.

The public record supports a broad explanation: the transaction still needed regulatory clearance and had to satisfy other closing conditions. It does not establish that one regulator alone caused the delay or provide a complete public timeline for every approval and closing step. The companies’ original timetable and Telenor’s year-end assessment are documented in the PTCL results announcement, Telenor Q4 2024 report and Telenor 2024 annual report.
Approval and completion were separate milestones
On October 1, 2025, the Competition Commission of Pakistan (CCP) approved PTCL’s acquisition of Telenor Pakistan and Orion Towers subject to conditions. Its review considered market structure, concentration, expected efficiencies and possible competition risks. The conditions were intended to preserve competition, support nondiscriminatory access and ensure that efficiencies benefit consumers. Approval with conditions was not the same as an unconditional endorsement or a completed transfer. The CCP’s release outlines its decision and rationale.

The transaction itself was completed on December 31, 2025—around six months after the first-half target had ended. Both PTCL and Telenor confirmed the completion date. The timeline is therefore: agreement announced December 14, 2023; first-half 2025 expected closing; conditional CCP approval October 1, 2025; completion December 31, 2025.

PTCL said Telenor Pakistan and Orion Towers became wholly owned subsidiaries on completion. Telenor Pakistan initially continued as a separate legal entity. PTCL described a future integration of Telenor Pakistan with PTML, the company behind Ufone 4G, into a merged entity, subject to further regulatory approvals. Ownership transfer and operational integration are distinct steps: completion alone does not mean the brands, networks, licences, billing systems or customer accounts were combined.

For customers, that distinction is practical. The closing announcement does not establish an immediate requirement to change SIMs, accounts or plans, nor does it promise that service, coverage or prices changed on closing day. Customers should rely on direct company notices for any later changes to branding, plans, billing or network arrangements.
What the deal could mean for customers and the market
A combined operator could have greater scale to use infrastructure and spectrum, coordinate networks and invest in coverage. PTCL has described improved nationwide coverage, operational efficiency and competitiveness as objectives of the planned integration. Those are intended benefits, not evidence that they have already been achieved.

Consolidation also raises a countervailing concern: fewer major mobile operators can weaken pressure to compete on price, service quality and innovation. Whether scale improves customer outcomes depends on implementation, competition between providers, regulatory oversight and whether efficiencies are passed through to consumers. The CCP’s conditions reflect that trade-off; the deal cannot be labelled definitively pro-consumer or anticompetitive based on the acquisition alone.

Why Telenor sold
Telenor has described the disposal as part of wider portfolio simplification and a focus on its Nordic businesses. Its decision to sell should not be presented as proof that Telenor Pakistan had failed: Telenor reported positive operating performance in Pakistan in 2024 while the transaction was pending. A parent company’s strategic choice to exit a market and the operating performance of the local business are separate questions. Telenor’s 2025 annual report materials place the completed sale in the context of its portfolio changes.
