Pakistan’s telecom regulator approved the regulatory process for combining Telenor Pakistan with Ufone’s operating company, PTML, subject to extensive conditions on competition, pricing, interconnection, accounting, branding and investment. The Islamabad High Court later sanctioned the merger scheme on July 14, 2026.
That does not necessarily mean every Telenor customer, SIM, app, billing system or network site has already been migrated. PTCL’s acquisition of Telenor Pakistan, PTA’s regulatory approvals, the court-sanctioned corporate merger and eventual operational integration are separate steps.
What exactly did PTA approve?
The transaction involves several companies and approvals:

- PTML—Pak Telecom Mobile Limited—is PTCL’s subsidiary operating under the Ufone brand.
- Telenor Pakistan is the mobile operator being amalgamated into PTML.
- Orion Towers is a separate tower-infrastructure company acquired alongside Telenor Pakistan.
- MergedCo is the regulatory term for the combined mobile entity.
PTCL completed its acquisition of Telenor Pakistan and Orion Towers on December 31, 2025, according to its press release. That acquisition placed the companies under PTCL ownership, but it did not by itself complete the legal merger of Telenor Pakistan and PTML.

PTA subsequently approved the proposed amalgamation of PTML and Telenor Pakistan, subject to PTCL’s unconditional acceptance of the conditions. PTCL’s March 19, 2026 Pakistan Stock Exchange disclosure identifies that date for the approval. The Pakistan Economic Survey 2025–26 refers to the conditional approval as having been granted on March 18, so the dates should be attributed rather than treated as an unexplained contradiction.
On April 2, 2026, PTA issued a further no-objection certificate covering the consolidation and transfer of Telenor’s licences and the amalgamation, according to a subsequent PTCL disclosure.
Finally, the Islamabad High Court sanctioned the merger scheme on July 14, 2026. The court found the scheme legally compliant and not contrary to the public interest, and directed the required implementation steps, including submission of the certified order to the Securities and Exchange Commission of Pakistan (SECP). Its order means Telenor Pakistan’s assets, rights, liabilities and obligations are to transfer to PTML upon completion of the merger process, after which Telenor Pakistan is to be dissolved without a separate winding-up proceeding. The court report is available through Associated Press of Pakistan.

What are the “strict conditions”?
Separate legal and accounting treatment
PTCL and the merged mobile company must remain separate legal entities for regulatory purposes and maintain separate, detailed accounts for their business units.
This is intended to make it easier for regulators to identify whether costs, revenues, network resources or internal transactions are being shifted between businesses in a way that disadvantages competitors or hides anti-competitive pricing.
No cross-subsidisation or predatory pricing
PTCL and MergedCo are prohibited from cross-subsidising one another. PTCL may not use upstream revenues to subsidise downstream services or price below competitive levels for the purpose of excluding rivals.
In practical terms, profits from businesses such as wholesale bandwidth, fixed-line services, international connectivity or infrastructure cannot simply be used to underprice mobile or other downstream services in an exclusionary way.

Non-discriminatory interconnection
PTCL and MergedCo may not discriminate among licensed telecom operators when providing local or international interconnection. They also may not give preferential treatment to affiliates or subsidiaries.

Interconnection is the technical and commercial framework that allows networks to exchange calls and traffic. The restriction matters because competitors must be able to connect to customers served by PTCL or MergedCo on non-discriminatory terms.
The CCP also required existing and future Reference Interconnect Offers to be submitted to PTA for approval. A Reference Interconnect Offer is not a consumer mobile tariff; it is a regulated framework under which licensed operators obtain interconnection services.
Controls on wholesale pricing
PTCL must seek PTA approval for wholesale pricing structures covering services such as:

- IP bandwidth;
- long-distance and international services;
- domestic leased lines; and
- telecom infrastructure services.
The controls apply to services supplied to other PTA licensees as well as associated companies, including MergedCo.
No exclusive bandwidth arrangements
PTCL cannot enter into direct or indirect exclusive arrangements that prevent other licensees from purchasing bandwidth from PTCL to serve their own customers.
This condition addresses PTCL’s position in fixed-line, backbone and wholesale infrastructure. It is designed to prevent the enlarged group from blocking or weakening competitors’ access to important inputs.
Branding requires approval
PTCL, PTML/MergedCo and the relevant parties may not introduce or modify brand names without prior written PTA approval.
This does not establish that the Telenor brand disappeared immediately. It means significant branding changes require regulatory approval. The condition alone does not answer whether Telenor will remain a customer-facing brand, whether Ufone branding will expand, or whether both brands will coexist during a transition.

Spectrum and investment obligations
The merged company must participate in upcoming spectrum auctions to improve coverage and address capacity constraints.
The Pakistan Economic Survey 2025–26 separately reports that PTA held a 5G spectrum auction on March 10, 2026, with 480 MHz awarded across major bands, including 180 MHz reported as awarded to Ufone. The auction should not be confused with the merger approval itself: the merger conditions required participation in spectrum auctions, but they did not automatically award all relevant spectrum or prove that 5G benefits are already available nationwide.
Consumer protection and service quality
The CCP’s conditions require continued compliance with service-quality standards, innovation policies and PTA tariff approvals. The parties must also substantiate claimed efficiencies and demonstrate that benefits reach consumers through better services, pricing or infrastructure investment.

Independent monitoring and possible divestiture
The CCP required an independent third-party reviewer to monitor compliance, audit transactions and submit quarterly reports for five years. It also reserved the right to require divestiture of assets or business segments if future violations occur.
The divestiture power is a possible enforcement remedy, not a current order to sell assets. The published material reviewed for this article does not identify the appointed reviewer or establish that later compliance reports have been issued.
What does this mean for Telenor and Ufone customers?
Customers should distinguish between the legal status of the companies and the service they experience on their phones.
Potential benefits identified by the regulators include more efficient spectrum use, broader coverage, improved capacity, faster network investment, better product offerings and greater ability to deploy 5G. These remain potential benefits. The available approvals do not establish that nationwide coverage, speeds, prices or customer service have already improved.

The integration may also create practical risks, including billing or app migration problems, changes to customer records, temporary service disruption, retail and franchise consolidation, or changes to network configuration. None of these is a confirmed outcome, but they are issues customers should monitor.
The regulatory and court documents reviewed do not definitively answer several operational questions:
- Will Telenor remain a customer-facing brand?
- Will customers need replacement SIM cards?
- Will existing mobile numbers, balances, packages, subscriptions and loyalty benefits transfer automatically?
- Will the MyTelenor and Ufone apps be combined?
- Will package names, tariffs, roaming arrangements or international services change?
- Which network will customers use after technical integration?
- Will existing complaints channels, franchises and service centres remain available?
- What remedy will apply if a migration causes an outage or billing error?
Customers should rely on formal notices from PTA, Ufone or Telenor before changing SIMs, accepting new terms or assuming that a package has transferred. Court approval of the merger scheme does not itself prove that every network, billing, app, SIM or subscriber database has been integrated nationwide.
What it means for competitors
Competitors will be watching access and pricing, not only the enlarged operator’s number of mobile subscribers.
The PTCL group may have interests across mobile access, fixed-line infrastructure, wholesale bandwidth, international and long-distance services, leased lines, towers and interconnection. That combination makes the conditions on access particularly important.
Competitors should be able to obtain interconnection, bandwidth and infrastructure services on terms that are not discriminatory and are not designed to favour MergedCo. The safeguards on Reference Interconnect Offers, wholesale-price approval, exclusive bandwidth arrangements, related-party transactions and predatory pricing are intended to address that concern.
The existence of these protections is not the same as proof that they are being followed. Their practical value will depend on reporting, audits, complaints procedures and enforcement by PTA and CCP.
Why regulators imposed safeguards
The transaction combines a major mobile business with PTCL’s fixed-line, wholesale and infrastructure position. That can create efficiencies, but it can also give the enlarged group more influence over inputs that competitors need.

Separate accounts help regulators trace internal transactions. Interconnection rules protect network access. Wholesale-price controls address the risk that an affiliated mobile business could receive preferential terms. The ban on exclusive bandwidth arrangements is intended to keep competitors from being denied access to essential connectivity.
These rules do not mean PTCL and MergedCo must operate as if they have no relationship. Group companies may share infrastructure or services under approved, non-discriminatory arrangements. Nor does separate regulatory accounting mean customers will necessarily have separate experiences. It is a transparency and competition safeguard, not a complete ban on commercial cooperation.
What happens next?
The court-sanctioned scheme still requires implementation through the relevant corporate, regulatory and financial procedures, including SECP filings and compliance with the conditions imposed by PTA and CCP.

Operational integration may involve network planning, spectrum refarming, core-network migration, billing and subscriber-database integration, roaming configuration, app changes, retail restructuring, employee transfers and tower or site rationalisation. The available sources do not confirm that all of those steps have been completed.
The most meaningful indicators for customers and investors will therefore be:
- formal announcements about brand and SIM policy;
- clear customer notices about packages, balances and complaints;
- evidence of network and billing-system stability;
- published service-quality and investment results;
- transparent wholesale and interconnection arrangements; and
- the independent reviewer’s compliance reporting.
Bottom line
PTA approved the regulatory transfer and amalgamation process for Telenor Pakistan and Ufone’s operating company under strict competition, pricing, accounting, interconnection, branding and investment conditions. PTCL had already completed the acquisition of Telenor Pakistan and Orion Towers, and the Islamabad High Court sanctioned the merger scheme on July 14, 2026.
The transaction is therefore legally and regulatorily advanced, but “approved merger” should not be read as proof that every Telenor customer, SIM, app, tower and network system has already become part of one fully integrated Ufone operation. The eventual effect on prices, coverage, service quality and competition will depend on implementation and enforcement.
