OpenAI’s proposed $500 billion employee share sale began as early-stage talks reported on August 5, 2025. By October, the transaction was reported as completed: current and former employees sold about $6.6 billion in existing shares to investors, at a price implying a $500 billion company valuation. That was a private secondary sale—not $6.6 billion of new operating cash for OpenAI. SoftBank later documented a separate OpenAI investment at a $730 billion pre-money valuation in April 2026.
What was reported in August 2025?
On August 5, Reuters reported that OpenAI was in early discussions about allowing current and former employees to sell shares at a valuation of approximately $500 billion. The report relied on an anonymous person familiar with the matter, so the sale was a proposal at that point, not a completed transaction. Existing investors, including Thrive Capital, were reported as interested in buying shares. The proposed sale involved several billion dollars of stock, though the exact amount was not settled in that initial report. Reuters’ report, republished by Kelo, said OpenAI declined to comment.
The talks followed a separate SoftBank-led primary financing round. Contemporary reporting described that round as targeting roughly $40 billion and a valuation near $300 billion. SoftBank’s formal materials described a $260 billion pre-money valuation for the first closing; a pre-money valuation is measured before the new investment is added, so it is not necessarily inconsistent with a higher headline or post-money figure.

In a secondary sale, existing shareholders sell shares they already own. In a primary financing, the company issues new shares and receives the proceeds. That distinction determines where the money goes.

OpenAI’s employee transaction was reported as secondary. The $500 billion figure described the implied value of the whole company based on the share transaction, not the amount of money invested in it. The sale could set a reference price for private shares, but it did not create a continuously traded public-market price.
What was actually completed?
The proposed employee sale was later reported as completed in October 2025. Bloomberg Law and the Associated Press reported that current and former employees sold approximately $6.6 billion of shares to investors, implying a valuation of about $500 billion. Reported buyers included Thrive Capital, SoftBank Group, Dragoneer Investment Group and Abu Dhabi’s MGX, among others. Bloomberg Law’s account and the Associated Press report describe the completed transaction.

The sale’s reported size changed between planning and closing. The Information reported that the planned offering was expanded to approximately $10.3 billion; that was the amount reportedly offered, not the amount ultimately sold. The completed sale was reported at about $6.6 billion. The Information’s report on the expanded offering covers the earlier figure.

Why offer employees a chance to sell?
Private-company equity can be valuable on paper but difficult to turn into cash. A limited sale can offer eligible employees liquidity without waiting for an IPO or acquisition, and may help a company retain and recruit people when competing for sought-after AI talent. It also gives participating investors a way to increase their exposure to OpenAI.

Reuters’ August report linked the discussions to competition for AI talent and the possibility of a future IPO. It did not announce an IPO date or promise that one would happen. Providing a private liquidity opportunity can ease pressure to list immediately, but it is not the same as making shares available to the public.

The $500 billion valuation belongs to the October 2025 secondary transaction, not to OpenAI’s newest reported financing valuation. SoftBank’s 2025 shareholder materials document the earlier pre-money figure, while its 2026 shareholder materials identify the later $730 billion pre-money valuation. These are reported transaction valuations, not public-market prices, and the pre-money qualifier matters when comparing them with other figures.

What the sale meant for employees
A private share sale can provide cash and let an employee diversify away from a large stake tied to one employer. But a reported company-wide deal does not mean every employee could sell every share. Access may depend on eligibility, vesting, transfer restrictions and the transaction’s terms; current and former employees may not have identical rules.
- Selling: provides liquidity and reduces concentration in one private company, but gives up any future gains on the shares sold and may create tax consequences.
- Holding: preserves potential upside, but leaves the holder exposed to company, financing and valuation risks while the shares remain illiquid.
- Pricing: a transaction’s implied valuation does not guarantee that all holders can sell at the same price or on the same terms. Preferred shares and common shares may carry different rights.
Anyone weighing a private-share sale should review the offer documents and consult a qualified tax adviser about their own circumstances. A reported valuation is not a personal estimate of what an employee’s particular shares are worth.

How OpenAI’s restructuring fits in
The employee sale and OpenAI’s restructuring were separate developments, though both formed part of the company’s broader capital strategy. On October 28, 2025, OpenAI said its nonprofit became the OpenAI Foundation and its for-profit arm became OpenAI Group PBC, a public benefit corporation. The Foundation retained control and held a 26% equity stake that OpenAI valued at approximately $130 billion at the time. OpenAI’s structure explanation sets out the company’s account of the change.
A PBC can pursue commercial activity while formally incorporating a public-benefit purpose. The restructuring addressed governance and financing constraints, but it did not make OpenAI publicly traded. Shares remained private, and a confidential IPO filing—reported by the Associated Press in June 2026—would not itself mean that an offering had launched or that public investors could buy shares. The AP report on the confidential filing did not establish a completed IPO.
What the $500 billion figure does—and does not—show
The October sale established a high-profile private-market reference point based on a limited transaction. Private-company valuations can depend on the share class, negotiated terms, investor rights and the number of shares changing hands; they are not directly equivalent to a public company’s market capitalization. A later financing can also set a different price.

For employees, investors and readers tracking the company, the essential distinction is between an implied valuation and cash raised by the company. The employee sale transferred existing shares; OpenAI’s later $730 billion pre-money figure came from a separate investment disclosed by SoftBank in 2026.
