Microsoft’s OpenAI investment produced multibillion-dollar accounting gains during fiscal 2026, but that does not mean OpenAI generated billions of dollars in cash for Microsoft in its fourth quarter. The largest investment gain identified in Microsoft’s Q4 earnings material—$3.2 billion—came from Anthropic. The distinction matters: investment-accounting gains can lift reported earnings without being recurring revenue or cash proceeds.
What Microsoft reported in fiscal Q4 2026
Microsoft’s fiscal fourth quarter ended June 30, 2026, and results were reported July 29. The quarter is fiscal Q4 2026, not the October–December calendar quarter. Microsoft reported approximately $90 billion in revenue, $35.8 billion in net income, and diluted GAAP earnings per share of $4.81. Microsoft Cloud revenue was about $59.3 billion, and Azure’s annual revenue exceeded $100 billion. For fiscal 2026, revenue was approximately $331.8 billion. The company returned approximately $10.2 billion to shareholders through dividends and share repurchases during Q4. These figures are reported in Microsoft’s FY2026 Form 10-K and the Q4 earnings release copy.
Q4’s largest disclosed investment gain was from Anthropic
The Q4 earnings material identifies a $3.2 billion gain from Microsoft’s investment in Anthropic—not OpenAI. That should not be described as an OpenAI windfall. The material also prompted secondary discussion of a smaller OpenAI-related Q4 gain, roughly $480 million, but that exact amount is not independently established here from Microsoft’s final annual filing and should not be treated as a verified figure.

There is a separate, substantiated multibillion-dollar OpenAI figure for the year to date: Microsoft’s Form 10-Q for the nine months ended March 31, 2026, reported $5.9 billion of net gains from OpenAI investments, primarily related to a gain from dilution following OpenAI’s recapitalization. That cumulative figure is not the same as a Q4 gain. Microsoft’s March 2026 Form 10-Q describes the accounting and the first-nine-month result.

How OpenAI investment accounting affects Microsoft earnings
Microsoft accounts for its OpenAI investment using the equity method. In broad terms, Microsoft records its share of the investee’s results in its own other income or expense, rather than treating that amount as Azure sales or product revenue. OpenAI-related losses can therefore reduce Microsoft’s reported net income; gains can raise it.
Microsoft says it uses the hypothetical liquidation at book value method, or HLBV, to calculate equity-method income or loss because liquidation rights and priorities do not match the simple ownership percentage. The number is thus not necessarily a direct multiplication of OpenAI’s profit or loss by Microsoft’s stake. A gain recorded this way can affect GAAP net income and EPS without Microsoft selling shares or receiving an equivalent amount of cash.

Why the recapitalization produced a large gain
After OpenAI’s 2025 recapitalization, Microsoft said its investment in OpenAI Group PBC was valued at approximately $135 billion and represented roughly 27% on an as-converted diluted basis, including employees, investors, and the OpenAI Foundation. Before accounting for OpenAI’s recent funding rounds, Microsoft’s as-converted stake in the for-profit entity had been approximately 32.5%. A lower ownership percentage does not automatically mean a lower dollar value: the underlying company’s value and capitalization can change at the same time. In this case, Microsoft’s filings attributed much of the reported gain to the dilution associated with the recapitalization. It was an investment-accounting effect, not operating revenue and not proof that Microsoft had received $5.9 billion in cash.

OpenAI’s business value to Microsoft is broader than its stake
The equity investment is only one channel in the relationship. OpenAI can also generate business for Microsoft through Azure infrastructure consumption, Azure OpenAI Service demand, model access and product integrations, and contractual revenue sharing. Those channels should not be collapsed into one “OpenAI payoff” figure: an investment gain, cloud sale, revenue-share payment, and AI-product sale are different kinds of income.
Microsoft’s AI business also extends beyond OpenAI. It sells AI capabilities through Azure, Microsoft 365 Copilot, GitHub Copilot, Dynamics, security products, and agents; it works with third-party models and develops its own. In fiscal Q3 2026, Microsoft reported Microsoft Cloud revenue of $54.5 billion, up 29%; Azure and other cloud services revenue growth of 40%; and an AI business annual revenue run rate above $37 billion, up 123% year over year. What changed in the partnership
The revised agreement preserves a major commercial relationship while giving both companies more room to work with others. Microsoft’s announcement extended its model and product intellectual-property rights through 2032 and retained Azure API exclusivity for OpenAI API products, subject to the revised terms. OpenAI committed to purchase an incremental $250 billion of Azure services. That is a commitment to buy services, not $250 billion of revenue already recognized by Microsoft.
At the same time, Microsoft lost its right of first refusal to be OpenAI’s compute provider. OpenAI can work with third parties on some products and use other cloud providers for certain non-API products. Microsoft can pursue artificial general intelligence independently or with third parties. Revenue sharing remains subject to the revised agreement’s conditions; Microsoft said payments would continue through 2030, subject to a cap. Why Microsoft shows adjusted results as well as GAAP results
Microsoft presents non-GAAP measures that exclude the impact of OpenAI investment effects to help readers compare operating performance when equity-method gains and losses are unusually large or volatile. Those adjusted figures are supplemental, not a replacement for GAAP results. GAAP net income remains the reported measure, while the adjusted presentation can help investors assess trends in the businesses that sell cloud and software products.
The quarter-to-quarter record shows why the distinction matters. Microsoft’s filings and earnings releases said OpenAI-related investment losses reduced net income by approximately $3.1 billion in FY2026 Q1; OpenAI-related gains increased net income by approximately $7.6 billion in Q2; and investment losses reduced net income by $14 million in Q3. In Q3, the prior-year comparison included a $583 million net-income reduction and $0.08 EPS reduction. The figures are reported in the FY2026 Q1 filing reference, FY2026 Q2 release, and FY2026 Q3 release. The precise Q4 OpenAI investment result should be taken from the final annual filing rather than inferred from the Anthropic gain or the earlier cumulative totals.
