Microsoft faces UK collective claim over alleged Windows Server cloud overcharging

Microsoft has not been found guilty of predatory pricing. The company is facing a UK collective antitrust action alleging that it made Windows Server more expensive to license on rival cloud platforms—including Amazon Web Services, Google Cloud and Alibaba Cloud—than on Microsoft Azure.

The Competition Appeal Tribunal certified the case on April 21, 2026, allowing it to proceed on an opt-out basis. The judgment records estimated aggregate damages of more than £1.7 billion, but that figure is a claim—not a debt Microsoft has been ordered to pay.

What Microsoft is accused of doing

The claim brought by Dr Maria Luisa Stasi concerns the licensing of Windows Server, Microsoft’s server operating system, when it is used on cloud infrastructure.

According to the claim summary, Microsoft’s Service Provider License Agreements, or SPLAs, allegedly imposed higher licensing or relicensing costs when Windows Server was operated on rival clouds than when comparable workloads ran on Azure. The claimant says that structure disadvantages customers choosing a non-Microsoft cloud and can make rival platforms more expensive.

The allegation is not simply that Windows Server costs more everywhere outside Azure. The relevant comparison depends on the customer, licensing route, product rights, provider, time period and whether the arrangements being compared are economically equivalent.

Why this is a competition-law case

The proposed proceedings allege breaches of section 18 of the UK Competition Act 1998, which prohibits abuse of a dominant position, and Article 102 of the Treaty on the Functioning of the European Union.

Competition law does not automatically ban discounts or different prices. The legal question is whether a dominant company used its licensing terms to exclude or disadvantage rivals, distort competition, impose unfair conditions, or otherwise abuse market power.

Microsoft could argue that Azure-specific pricing reflects technical integration, support, security, compliance or other commercial efficiencies. The claimant’s position is that the difference functions as a penalty for using rival infrastructure. The tribunal will ultimately have to decide which explanation is supported by the evidence.

Is this really a predatory-pricing case?

“Predatory pricing” is useful headline shorthand, but it should not be treated as an established legal finding.

Classic predatory pricing generally involves selling below an appropriate measure of cost to drive out competitors, followed by a possibility of recovering those losses. The Stasi proceedings, as described in the tribunal materials, focus more specifically on allegedly discriminatory or exclusionary licensing terms and overcharging connected with cloud use.

The accurate description is therefore that the case alleges anticompetitive licensing and overcharging. The tribunal has not ruled that Microsoft engaged in predatory pricing or breached competition law.

Which organizations may be affected?

The proposed class concerns UK-domiciled organizations that obtained Windows Server licenses through specified providers. The original coverage identified organizations using AWS, Google Cloud Platform and Alibaba Cloud.

This is a UK collective action, not a US-style nationwide class action. Eligibility depends on the operative class definition and tribunal orders. A business should not assume that it qualifies merely because it has used Windows Server or one of those cloud brands.

Potentially relevant questions include:

  • Whether the organization is domiciled in the UK.
  • Whether it obtained Windows Server rights through the licensing arrangements covered by the claim.
  • Whether licenses were purchased directly, through a reseller or through a managed-service provider.
  • Whether the organization used a rival cloud, Azure, a hybrid environment or multiple providers.
  • Whether its arrangements involved SPLA, license-included pricing, bring-your-own-license rights or another model.

The formal documents filed with the Competition Appeal Tribunal take precedence over simplified descriptions on claimant websites.

What the tribunal decided

On April 21, 2026, the tribunal granted a collective proceedings order. That certification decision means the proposed case met the threshold to proceed collectively and can continue on an opt-out basis.

The tribunal’s decision does not mean that Microsoft has lost the underlying dispute. It does not establish that Microsoft’s prices were unlawful, determine which organizations suffered loss, or set compensation.

What certification does

  • Allows the collective action to proceed.
  • Provides the procedural framework for the group claim.
  • Moves the dispute toward substantive adjudication.

What certification does not do

  • Find Microsoft liable.
  • Prove predatory pricing.
  • Guarantee compensation.
  • Settle the final damages figure.

Specialist legal reporting published on May 20, 2026 said Microsoft had lost a bid to appeal the certification decision. The underlying liability questions nevertheless remain unresolved.

How large is the claim?

The original December 2024 report described the action as seeking more than £1 billion. The tribunal’s April 2026 judgment records estimated aggregate damages of more than £1.7 billion. Later media coverage has used figures of about £2.1 billion, or roughly $2.8 billion.

These figures reflect changing estimates and should not be confused with an award. Any eventual recovery would depend on liability, class membership, causation, the amount of any overcharge and the tribunal’s damages assessment. Litigation funding, legal fees and other deductions could also affect distributions if the claim succeeds.

Why the licensing mechanism matters

A licensing differential can affect cloud competition through a chain of commercial decisions:

  1. A business chooses where to run its workloads.
  2. It needs rights to use Windows Server for those workloads.
  3. Microsoft’s licensing terms determine whether those rights are included, separately purchased or subject to additional costs.
  4. If the Windows component is higher on a rival cloud, that provider’s total cost of ownership may rise.
  5. The claimant says the resulting difference can steer customers toward Azure and weaken competition.

The economic comparison is more complicated than comparing two published virtual-machine prices. Cloud providers may differ in discounts, reserved commitments, support, software assurance, portability rights, dedicated infrastructure and license-included or bring-your-own-license models. A higher Windows-related charge does not automatically prove that a customer suffered the same amount as an alleged wholesale overcharge.

Timeline of the case

  • December 3, 2024: The collective proceedings claim was filed at the Competition Appeal Tribunal and reported as seeking more than £1 billion.
  • January 2, 2025: The tribunal published a summary of the claim.
  • June 10, 2025: A planned case-management conference was vacated by consent.
  • December 2025: The tribunal held the collective proceedings order hearing.
  • April 21, 2026: The tribunal certified the action on an opt-out basis.
  • May 20, 2026: Specialist legal reporting said Microsoft lost its attempt to appeal certification.
  • August 18, 2026: The case remained live and was proceeding toward trial, with no final liability ruling or damages award.

Microsoft’s position

The original December 2024 report said Microsoft declined to comment at the time. Later coverage reported that Microsoft characterized the action as opportunistic and argued that the relevant licensing practices had been addressed or rebutted in other regulatory contexts.

Those reports should not be treated as a substitute for Microsoft’s latest formal pleadings. The company’s defenses may include arguments that Azure pricing reflects legitimate efficiencies, that rival-cloud licensing arrangements are not comparable, that alternative licensing routes were available, or that the alleged conduct did not cause legally recoverable loss.

What businesses should do now

Organizations that believe they may fall within the certified class should review the formal tribunal documents and consider qualified legal advice. They should also preserve records that could establish both eligibility and financial impact, including:

  • Cloud invoices and virtual-machine billing records.
  • License-included and bring-your-own-license arrangements.
  • Software assurance and portability documentation.
  • Records showing where workloads ran and when they moved between providers.
  • Internal calculations comparing cloud costs and licensing charges.

Businesses outside the UK should not assume they can participate. Similarly, registering details with a claimant-side information website is not necessarily the same as filing a court document or establishing legal eligibility. The claimant-side FAQ and the tribunal’s orders may provide practical information, but the formal class definition controls.

How this fits into wider Microsoft cloud disputes

The action is part of a broader dispute over Microsoft’s cloud licensing practices. Microsoft has also faced complaints, regulatory scrutiny and separate private litigation involving cloud providers, software resale and licensing. Those matters should not be merged with the Stasi proceedings: a regulatory inquiry, settlement or complaint in another jurisdiction does not prove the allegations in this UK claim.

The importance of the case extends beyond the potential damages. It tests whether a major software supplier can use control over a widely deployed operating system to influence where customers run workloads. A ruling for the claimant could affect licensing negotiations, multicloud economics and the way regulators assess software terms that favor a vendor’s own infrastructure. A ruling for Microsoft could reinforce the ability of software suppliers to offer differentiated terms for their own cloud services.

The bottom line

Microsoft is facing a certified UK collective claim alleging that Windows Server licensing made rival clouds more expensive than Azure. The case has advanced beyond the filing stage, but certification is not a finding of wrongdoing. Microsoft’s liability, the existence and size of any overcharge, and any compensation remain to be decided at the substantive stage.
