To leave a cloud provider safely, end the contract and move the workloads as two separate projects. Review every agreement for notice, renewal, and minimum-spend terms; get a written account of what you still owe; arrange any available exit or data-transfer program before exporting; and test the replacement environment before closing accounts. Deleting resources can stop some usage charges, but it does not necessarily cancel commitments, reseller terms, reservations, or marketplace purchases.
This guide covers the contract, cost, and migration steps. It is general information, not legal advice: your contract, provider entity, location, services, and negotiated amendments control.
First identify what you are trying to end
“The cloud contract” may be a stack of separate arrangements. Closing a cloud account, canceling a support plan, terminating a master agreement, and ending a spending commitment are not necessarily the same act. A company might shut down its AWS account yet still owe under a Savings Plan, Reserved Instance, enterprise discount, marketplace purchase, or reseller agreement.

Collect signed agreements, amendments, pricing addenda, support and security terms, data-processing addenda, marketplace offers, reseller documents, renewal notices, invoices, credits, and relevant written sales promises. Search them for “Term,” “Renewal,” “Termination,” “Minimum commitment,” “Committed spend,” “Shortfall,” “Cure period,” “Transition assistance,” “Data retrieval,” “Deletion,” “Suspension,” “Survival,” “Refund,” “Export,” and “Governing law.” Preserve copies before access changes.

Confirm who your counterparty is and who controls the account. If a reseller bills you or owns the billing relationship, check its contract as well as the cloud provider’s terms. Send notices to each party the agreements require.
Choose an exit route
1. Ordinary termination or non-renewal
This is usually the most predictable route. Give notice in the specified form and to the specified address or portal, observe the notice period, pay charges through the effective date, migrate, then close or reduce the account. A non-renewal notice usually prevents a future renewal; it does not necessarily end the current term early.
Do not assume an email to a sales representative is valid notice. Check whether the contract requires notice to a legal address, account portal, or named contact, and retain proof of delivery and the provider’s acknowledgment.

2. Termination for cause
Contracts may permit termination for material breach after written notice and a chance to cure. Depending on the agreement, potential grounds could include a qualifying security or privacy failure, repeated service-level failures, unlawful processing, or failure to provide contracted services. An outage, slow support, or disappointing performance does not automatically create a termination right. Check the exact threshold, notice procedure, cure period, and evidence requirements.
Keep incident reports, support tickets, SLA calculations, notices, and provider responses. If a breach is material or the agreement is valuable, ask counsel to review the record before sending a cause-based termination notice.
3. Negotiate an early release
If you are inside a fixed term or committed-spend period, a negotiated settlement may be more practical than trying to force an exit. Establish the balance first, then propose a defined migration timetable and ask for a written release. Possible trades include a negotiated termination payment, continued payment during migration, reduced egress charges, conversion of unused commitment to another service, transfer to an affiliate or buyer, or giving up unused credits in exchange for release.

A settlement should say exactly which obligations it resolves: remaining spend, minimum monthly fees, reservations, support, marketplace charges, taxes, transfer fees, early-termination amounts, and claims arising before settlement. Do not rely on an oral assurance or assume that a billing status marked “canceled” settles the underlying debt.
Calculate the full cost before deciding when to leave
Ask the provider or reseller for a written statement showing the original commitment, amount consumed, remaining amount, eligible services, expiry date, cancellation or transfer options, projected shortfall, and ongoing reservation or plan charges. Also ask whether credits expire or are forfeited at termination.
For example, Microsoft describes its Azure Consumption Commitment (MACC) as a contractual commitment to a specified level of Azure spending over a defined period. Its tracking documentation shows commitment details and status for eligible customers; a status such as canceled should not be treated, by itself, as proof that all financial obligations have disappeared. Model the whole migration bill, not just the network transfer:
Migration cost = data-transfer-out
+ destination ingestion
+ source read/retrieval fees
+ temporary duplicate storage
+ export or conversion tooling
+ network connectivity
+ migration labor
+ downtime or dual-running cost
+ contract settlement
Compare leaving now with waiting until renewal or commitment expiry. A lower transfer bill may not compensate for months of remaining minimum spend; conversely, continuing to operate a provider-specific system may carry security, operational, or business costs of its own.

Portability varies. Virtual machines, containers, standard object formats, and PostgreSQL or MySQL data may be relatively portable, though extensions and configuration can complicate a move. Managed databases, warehouses, queues, search systems, identity integrations, and observability stacks often need adaptation. Serverless functions, proprietary databases, cloud-native analytics, specialized networking, managed AI services, and applications built around provider-specific APIs may require substantial refactoring.

Exporting data is not the same as moving an application. A working destination also needs networking, identity and access, secrets, certificates, DNS, firewall rules, backups, monitoring, scheduled jobs, licenses, and operational procedures. Infrastructure-as-code can help recreate resources, but it does not make proprietary services interchangeable or export application data and IAM semantics.
Inventory more than database rows. Include object and block storage; database snapshots and transaction logs; container images and machine images; Kubernetes manifests and infrastructure-as-code; queues and event streams; schemas and data catalogs; DNS zones, load balancers, and firewall rules; IAM users, roles, policies, and audit history; secrets, certificates, and keys; logs, alerts, and backup catalogs; software licenses; compliance evidence and support tickets; and AI models, embeddings, prompts, or evaluation data where relevant.
For each item, record who owns it, its export format, how to restore it elsewhere, what dependencies it has, who is responsible, and how you will validate it. Some key material may not be exportable by design; confirm this before shutdown and plan to re-encrypt or regenerate keys where appropriate.
A migration sequence that preserves a way back
- Freeze the facts. Stop adding new provider-specific dependencies where practical. Collect contracts and invoices, inventory services and data, identify owners and dependencies, estimate commitment exposure, and approve a migration budget.
- Build the destination. Choose the target environment, map service equivalents, establish identity and network controls, configure encryption, monitoring, and backups, and document recovery objectives and rollback steps.
- Test a representative non-production workload. Validate permissions, performance, failure recovery, data integrity, observability, backup restoration, and actual transfer duration and cost. Check database extensions and application behavior, not just successful file copies.
- Request exit terms and give notice. Ask for a written commitment balance, any exit or egress-program approval, transition assistance, access guarantees, and deletion process. Then issue notice in the contractually required way and preserve proof.
- Cut over production deliberately. Plan a change freeze if needed, replicate final changes, validate counts, checksums where appropriate, and application behavior, then switch DNS or traffic routing. Monitor closely and retain the source environment for a documented rollback window.
- Close only after validation. Export final logs and records, remove integrations, rotate credentials, cancel separate subscriptions, reconcile the final bill, and obtain written confirmation of termination and data deletion or retention arrangements.
Do not close the source account simply because the main database has moved. Backups may be in another account or region; snapshots may need the source environment to restore; and the application may still depend on queues, certificates, secrets, or scheduled jobs.
Provider exit programs: request approval before transferring data
AWS
AWS’s published Customer Agreement says a customer may terminate for convenience by giving notice and closing the account where AWS provides an account-closing mechanism. It also says charges incurred through termination remain payable and describes a 30-day post-termination content retrieval period conditional on payment of amounts due. The page hosting the agreement is an archive page and identifies the agreement as last updated March 13, 2026; confirm the regional agreement and version that actually govern your account. Separate negotiated commitments, marketplace purchases, reseller terms, Reserved Instances, and Savings Plans may not be resolved by account closure. See the AWS Customer Agreement.
AWS says closing an account serves as notice of termination for that account, but outstanding invoices remain payable and Reserved Instances or Savings Plans may continue generating invoices until expiry. Reopening an account during the post-closure period can restart charges for remaining services. Back up what you need first. See AWS account closure guidance.

For its published free-data-transfer process, AWS instructs customers to contact their account team, if they have one, and AWS Support before the move; identify the request as free data transfer to move off AWS; and obtain approval. The FAQ currently describes a 60-day completion window and a temporary credit for eligible data-transfer-out charges, not ordinary service usage. It excludes certain specialized services, including CloudFront, Direct Connect, Snow Family, and Global Accelerator. Confirm current scope, timing, and eligibility in writing before starting. Microsoft Azure
Microsoft’s documentation says customers planning a transfer between Azure and another cloud provider should create an Azure Support request. It also warns that the egress-credit policy may change. Treat this as a request-and-verify process, not a permanent entitlement or promise that every transfer is free. Ask for current, account-specific terms before moving data. Do not infer that leaving Azure cancels an Enterprise Agreement, Microsoft Customer Agreement commitment, MACC, reservation, or reseller obligation. Request the remaining financial exposure and cancellation or transfer options from the party that holds your contract.
Google Cloud
Google Cloud publishes a formal exit process for listed data-processing services. Its described steps include submitting an Exit Notice, an Intake Period of 14 calendar days, an Initiation Period of 30 calendar days after intake, a Migration Period generally of at least 30 days subject to service terms, a Data Recovery Period of at least 30 days, and a Completion Notice. Google’s process says to give the assigned support agent at least two working days’ notice before initiating the switching process and describes a 180-day deadline after the Migration Period ends for the Completion Notice. The terms also describe termination treatment for relevant services after completion notice, subject to the stated conditions. Google says it will not impose switching charges for the covered process.
This applies only to covered services and qualifying contractual conditions; it does not mean every Google Cloud product or ordinary usage charge is free. Check the service list, your region, contract date, and live terms before relying on the process. Start with Google Cloud’s exit program and review the applicable service-specific terms.

What the EU Data Act changes—and what it does not
For customers and services within its scope, the EU Data Act sets contractual switching and portability requirements for covered data-processing services. The regulation provides for switching charges to be removed from January 12, 2027. See the EU Data Act text and the European Commission’s explanation.

This is not a universal right to erase every cloud bill. Switching charges are distinct from ordinary service fees, fixed subscription charges, minimum-spend commitments, early-termination amounts, third-party marketplace costs, and your own migration labor. Confirm that the service and customer are within scope and get advice on how the regulation interacts with the contract.
Negotiate an early release with a specific proposal
- Ask the provider or reseller to itemize what remains payable and how it calculated the amount.
- Provide a realistic migration timetable and explain the operational reason for leaving without making legal admissions you do not intend.
- Request the relevant exit program, egress relief, retrieval access, and transition assistance in writing.
- Offer a settlement structure: a defined payment, continued minimum spend during migration, transfer to an affiliate or buyer, or conversion of unused commitment.
- Specify that the settlement releases identified commitments and fees, rather than merely closing service access.
- Make final payment and any release conditional on signed terms that preserve data access through the agreed retrieval period and state the deletion or retention outcome.
If only part of the business is moving, ask whether the contract allows a partial exit, account transfer, or assignment. An acquisition may call for transferring the account or billing relationship rather than terminating it. The answer depends on the agreement and provider approval.
Adaptable termination notice outline
Subject: Notice of termination / non-renewal under [agreement name]
We refer to [agreement, order form, and account identifiers].
Pursuant to Section [x], [customer legal name] gives notice that it will
[terminate / not renew] the services identified below, effective [date].
Please confirm:
- the effective termination date;
- all amounts claimed to remain payable;
- any continuing commitment or reservation charges;
- the data-retrieval period;
- the approved export or switching process;
- the deletion date and form of deletion confirmation; and
- the provider contact responsible for transition assistance.
This notice is subject to our rights and remedies under the agreement and
applicable law.
This is an outline, not legal advice. Check the agreement’s notice method, recipient, address, and timing; have counsel review high-value, disputed, or cause-based terminations.

If payment is disputed or access may be suspended
Do not deliberately stop paying while essential data remains accessible only through the provider. A dispute can lead to suspension, collections, or loss of access, while termination terms may condition retrieval on payment. AWS’s published agreement, for example, makes its post-termination retrieval period conditional on amounts due being paid and permits suspension in specified circumstances.
Instead, promptly use the contract’s dispute procedure, request a standstill or disputed-invoice arrangement, and ask for read-only access and a defined retrieval window. Escalate through the account team, executive contact, and legal notice channel. Preserve invoices, tickets, logs, and evidence supporting the dispute. Do not violate security or acceptable-use terms during the disagreement. If suspension or provider-initiated termination is threatened, involve counsel and a migration specialist urgently.
Final closure checklist
- Required data and configuration exported; restore test passed.
- Final logs, support tickets, audit evidence, and legal-hold records preserved.
- Production cutover validated; rollback window and owner documented.
- DNS, certificates, integrations, and credentials reviewed; old keys revoked or rotated.
- Backups, retention obligations, and deletion requirements reviewed.
- Marketplace subscriptions, support plans, and reseller services canceled separately where required.
- Commitment balance and final invoice reconciled; settlement or release retained.
- Provider confirms termination date, remaining access window, and deletion or retention status in writing.
- Contracts, notices, invoices, migration evidence, and deletion records stored for the required retention period.
Get specialist help when the remaining commitment is material, regulated data is involved, there is a security incident or payment dispute, the provider threatens suspension, an acquisition or wind-down is underway, or production cannot be tested safely. A cloud exit combines contract interpretation, financial settlement, and technical change; none of those is reliably solved by deleting resources alone.
