HealthEquity completed its acquisition of Fort Effect Corp., the Seattle commute-management software company that did business as Luum, on March 8, 2021. The deal added employer-focused parking, commute-benefit and mobility software to HealthEquity’s broader benefits-administration business. Later filings put the aggregate cash purchase price at $56.2 million; that final figure followed an initial $50.2 million cash payment and a $6 million settlement of the earn-out obligation.
What HealthEquity acquired
The buyer was HealthEquity, Inc., an administrator and custodian of health savings accounts (HSAs) and other consumer-directed benefits. Its SEC filing says it acquired all outstanding capital stock of Fort Effect Corp., a Washington corporation doing business as Luum. This was a completed acquisition, not just an announced agreement. HealthEquity’s Form 8-K records the legal entity and transaction; its March 8, 2021 announcement gives the closing date.
GeekWire described Luum as a Seattle startup founded in 2012. It was an enterprise commute-management platform—not a transit operator or consumer ride-hailing service. Its software helped employers manage parking and commuter benefits, use commute data, connect with mobility applications and parking providers, and support compliance and sustainability programs. The company’s tools were also intended to help employers reduce single-occupancy vehicle trips and plan for return-to-office and hybrid work. GeekWire’s contemporaneous report cited Microsoft, T-Mobile, OHSU and the City of Seattle among Luum customers at the time; those are reported historical customer references, not confirmation of current relationships.
Why HealthEquity wanted commute software
HealthEquity’s stated aim was to broaden its commuter-benefits offering beyond conventional monthly transit or parking elections. Luum brought software for employers to administer parking and other commute programs and to connect those programs with mobility, HR, payroll and other workplace systems. The intended audience included employees with different commuting patterns—including people who came to a workplace less often or did not commute—rather than only daily transit-pass users.

The timing mattered: in March 2021, employers were considering how employees might return to offices or work on hybrid schedules. HealthEquity and Luum presented the platform as a way to manage flexible commuting while addressing sustainability and workforce-equity goals. That rationale is a statement of strategic intent, not evidence that the acquisition achieved a measured reduction in car trips or produced a quantified financial return. Luum’s acquisition page and a letter from Luum’s CEO describe the companies’ view of the combination.
The strategic fit was the combination of HealthEquity’s benefits-administration reach with Luum’s specialized commute software. HealthEquity’s filings describe Luum as an additional technology platform supporting commuter services and real-time commute data. The filings do not establish a standalone Luum revenue or profit contribution, so the price alone should not be read as proof of the business’s financial performance.

How much the acquisition cost
The figures reported at different points refer to different stages of the deal, not competing estimates of one unchanged payment. The original structure allowed for as much as $70.2 million in total consideration, but HealthEquity later reported a lower aggregate cash purchase price.

For that reason, calling Luum simply a “$67 million acquisition” is misleading: that shorthand does not explain the contingent-payment terms or the later $6 million settlement. HealthEquity’s 2023 Form 10-K is another later filing covering the transaction.

What Luum customers were told
Luum’s customer FAQ at the time described an intended low-disruption transition. It said customers would not face immediate account or service changes; Luum, WageWorks and HealthEquity portals would continue to be used; existing account managers, support phone numbers and email addresses would remain; and customers would receive advance notice of future changes. Those were commitments about the near-term transition in March 2021, not confirmation of the products, portals, brand or support arrangements available today. How Luum fit HealthEquity’s wider business
HealthEquity’s business extended beyond HSA custody to consumer-directed benefits such as flexible spending accounts, health reimbursement arrangements, COBRA administration and commuter benefits. Its filing for the quarter ended July 31, 2021, and its fiscal 2022 annual report describe Luum as a commuter-services technology platform. The 2021 Form 10-Q and the 2022 Form 10-K provide that context.

The same broader expansion period included HealthEquity’s acquisition of the Fifth Third Bank HSA portfolio and the Further business. Those transactions were more directly tied to HSA scale; Luum extended the company’s commuter and employee-benefits technology. The deal therefore broadened the kinds of benefits software HealthEquity could offer employers, rather than adding another HSA portfolio.
What the public record does—and does not—show
HealthEquity’s filings establish the acquisition terms and describe Luum’s place in its commuter-services platform. The 2021 customer FAQ documents the transition commitments then communicated to customers. These records do not, by themselves, establish Luum’s current standalone brand, product availability, staffing, customer retention or post-acquisition financial contribution. Those points should not be inferred from the completed 2021 transaction.
