Framatome Begins Transforming Berg Electronics Into FCI Electronics

In October 1998, Framatome Connectors International (FCI) began integrating Berg Electronics into its existing electronics business, less than two weeks after completing its approximately $1.85 billion cash acquisition of Berg, including the assumption of Berg’s outstanding debt. FCI created the FCI Electronics Worldwide organization and appointed former Berg operations executive Kerry Krafthefer to lead it.

The move was not an immediate plant shutdown or a simple name change. It was the opening phase of a broader acquisition integration: combining regional operations, reallocating production among existing facilities, gradually retiring the Berg brand, and using complementary product and geographic strengths to compete more effectively with AMP and Molex.

What happened in the Berg acquisition

FCI agreed in August 1998 to acquire Berg Electronics for approximately $1.85 billion in cash. The transaction also included the assumption of Berg’s outstanding debt. By October 13, FCI had accepted about 39,152,764 Berg common shares—approximately 99.4% of the outstanding common stock—along with all 1,908,554 Class A shares. The acquisition was completed later that month.

FCI announced the initial integration plan shortly afterward. The timing mattered: the October 30, 1998 report described an operating reorganization that began almost immediately after the closing, rather than a long period in which Berg would remain an entirely separate company. EDN’s pre-closing report provides the tender-offer and transaction details, while the contemporaneous integration report describes the new organization.

Why Berg fit FCI

The acquisition was strategically complementary. Before the deal, FCI had a stronger European presence, while Berg was particularly strong in the Americas. FCI’s reported 1997 sales were $789.9 million, with approximately 60% from Europe, 31% from the United States, and 11% from Asia. Management expected the combined business to have a more balanced geographic mix of roughly 40% North America, 40% Europe, and 20% Asia. Those figures were management projections at the time, not later audited results.

Berg also strengthened FCI in telecom and datacom, while both companies served consumer-electronics customers. The businesses already shared some distributors, including Arrow Electronics and Future Electronics, which potentially reduced disruption in the sales channel.

Management and analysts also characterized product overlap as limited. That made the acquisition less immediately threatening to the companies’ existing product lines than a deal built around large-scale duplication.

What “FCI Electronics Worldwide” meant

FCI organized its operations into five strategic groups:

Berg was integrated primarily with FCI’s electronics group. The announcement should not be read as saying that Berg was merged into every FCI division. The organizational fit came from the fact that FCI’s electronics business and Berg both operated through three broad regions: the Americas, Europe, and Asia.

FCI appointed Kerry Krafthefer, Berg’s former executive vice president of operations, as president and general manager of FCI Electronics Worldwide. Krafthefer was described as a roughly 24-year veteran of the connector industry and was expected to coordinate the consolidation from FCI’s U.S. headquarters in Fairfield, Connecticut.

Was Berg being shut down?

No—not according to the contemporaneous announcement. FCI chairman and president Philippe Anglaret said the company had no plans at that point to close plants. Instead, FCI expected to reorganize production among its existing facilities.

The distinction is important:

  • Corporate integration: Berg was folded into FCI’s electronics organization.
  • Brand transition: FCI expected to keep using the Berg name for several months before phasing it out.
  • Manufacturing reallocation: Products could be reassigned among plants without an immediate closure announcement.
  • Product rationalization: Overlapping or adjacent product families might later be coordinated.

FCI was reported to have eight U.S. plants, including two in its electronics group. Berg had five plants in Pennsylvania, and the relevant FCI facilities were described as being near Berg’s Pennsylvania operations. The available announcement verifies the initial “no plans to close” position; it does not establish the long-term fate of every facility.

What happened to the product lines?

Analysts saw relatively little direct overlap between the companies’ portfolios, but one notable comparison involved 2-mm connector families:

  • Berg Metral
  • FCI Millipacs

Analyst Ron Bishop suggested that FCI could combine the engineering strengths behind the two lines and potentially improve the resulting offering. That was an integration opportunity, not proof that Metral and Millipacs were subsequently merged into one verified product family. The contemporaneous source describes a possible direction rather than a completed product decision.

Moving production or rationalizing products would also have created practical risks. Customers could face changes to part numbers, packaging, qualification records, tooling, lead times, or manufacturing locations. A product that appeared redundant from a corporate perspective could still have had established customer approvals or regional demand.

The competitive significance

Based on a 1997 sales comparison reported in 1998, the combined FCI-Berg business had sales of nearly $1.7 billion. That placed FCI ahead of Molex, which was reported at approximately $1.5 billion, but well behind AMP, reported at more than $3.8 billion. The transaction was therefore described as making FCI the world’s second-largest connector manufacturer.

That ranking is historical, not a current market position. Its importance in 1998 was strategic: FCI gained additional manufacturing capacity, engineering resources, customer relationships, and geographic coverage. The deal gave the company greater scale in the multinational connector market without requiring an immediate wholesale replacement of Berg’s operating network.

The acquisition also carried clear integration risks. FCI had to preserve customer continuity while changing the corporate identity, coordinate regional operations, decide how to allocate production, and capture efficiencies without weakening the local relationships that had helped make Berg valuable.

What happened next

The initial leadership arrangement did not remain unchanged for long. In May 1999, roughly six months after taking charge, Krafthefer left the position and was replaced by Michel Cuilhé, according to EE Times. That change was subsequent context, not part of the original October announcement, but it illustrates that the acquisition announcement marked the beginning of an integration process rather than its finished result.

FCI also faced a more aggressive competitive environment in 1999 as Tyco pursued major interconnect acquisitions, including AMP. EE Times’ later coverage described the pressure that Tyco’s acquisition campaign created for FCI.

The historical meaning of the transformation

Framatome was not entering electronics from scratch in 1998. FCI was already Framatome’s connector business. The Berg transaction expanded and reorganized that existing platform.

In practical terms, FCI used the acquisition to balance a Europe-heavy business with Berg’s American strength, deepen its telecom and datacom presence, and create a larger electronics organization with worldwide scope. It initially aimed to preserve manufacturing continuity while reallocating work across facilities and gradually replacing the Berg identity with FCI’s.

The most accurate description is therefore not that Berg vanished immediately, nor that every FCI business was merged with Berg. FCI integrated Berg chiefly into its electronics group and began building FCI Electronics Worldwide around the combined companies’ regional, manufacturing, engineering, and customer resources.
